TERMS AND CONDITIONSUpon acceptance of the <strong>contract</strong>, the <strong>Exhibitor</strong> shall be bound by the rules <strong>and</strong> regulations set <strong>for</strong>th herein <strong>and</strong> by such amendments or additional rules <strong>and</strong> regulations, whichmay be established by EXHIBITOR2011. References to EXHIBITOR2011 herein shall be deemed to include the producer, the advisory committees, <strong>and</strong> the managing directors ofthe trade show <strong>and</strong> any duly authorized representative, agent or employee of the <strong>for</strong>egoing.A. Eligibility to Exhibit – All manufacturers or suppliersof a product or service used in the planning or productionof a corporate <strong>exhibit</strong> program <strong>and</strong>/or corporate events. All<strong>Exhibitor</strong>s must be legal entities <strong>and</strong> in good st<strong>and</strong>ing withEXHIBITOR shows <strong>and</strong> EXHIBITOR Media Group.Contracted <strong>exhibit</strong>ors only are permitted to rent meetingrooms on a <strong>space</strong>-available basis.B. Products <strong>and</strong> Services to be Exhibited – No<strong>Exhibitor</strong> shall <strong>exhibit</strong>, or permit to be <strong>exhibit</strong>ed in the<strong>space</strong> allotted to him any goods or services other thanthose specified on the <strong>application</strong> when approved byEXHIBITOR2011, nor shall the <strong>Exhibitor</strong> permit to be <strong>exhibit</strong>edtherein, displays, literature or advertising of any sortbearing any name or <strong>for</strong>m of advertisement other than hisown. Retail sales are not permitted except by separate<strong>contract</strong>ual agreement.C. Space Usage <strong>and</strong> Allocation – The <strong>space</strong> applied <strong>for</strong>is to be used solely <strong>for</strong> the <strong>Exhibitor</strong> whose name appearson the <strong>application</strong>, <strong>and</strong> it is agreed that the applicant willnot assign, sublet, or apportion the whole or any part of the<strong>space</strong> or meeting room allotted. <strong>Exhibitor</strong> may not <strong>exhibit</strong>,offer <strong>for</strong> sale, give as premium, or advertise articles notmanufactured or sold in their name, except where sucharticles are required <strong>for</strong> the proper demonstration or operationof <strong>exhibit</strong>or’s display, in which case identification ofsuch articles shall be limited to the regular nameplate,imprint, or other identification which in st<strong>and</strong>ard practiceappears normally on them. <strong>Exhibitor</strong> may not permit thesenon-<strong>exhibit</strong>ing companies’ representatives in their booth.Rulings of the Managing Directors shall in all instances befinal with regard to use of any <strong>exhibit</strong> <strong>space</strong>. Furthermore,the <strong>Exhibitor</strong> agrees that the Managing Director has soleauthority over the assignment of <strong>exhibit</strong> <strong>space</strong> <strong>and</strong> may berequired to change the <strong>exhibit</strong>ors confirmed <strong>exhibit</strong> <strong>space</strong>in order to accommodate the needs of the show. In theevent the <strong>exhibit</strong>or’s booth number is changed, theManaging Director will notify the <strong>exhibit</strong>or.D. Payment <strong>and</strong> Cancellation/Reduction of ExhibitSpace – Applicant agrees to pay $38.00 per sq.ft. rentalfee <strong>for</strong> the <strong>exhibit</strong> <strong>space</strong> payable in U.S. funds.Applications received be<strong>for</strong>e August 13, 2010 mustinclude a 25% non-refundable deposit. Uponacceptance of this <strong>application</strong> by EXHIBITOR2011, it shallbe a legally binding <strong>contract</strong> between the <strong>Exhibitor</strong> <strong>and</strong>EXHIBITOR2011. Refunds will not be issued under anycircumstances, regardless of the date of cancellation orreduction of <strong>exhibit</strong> <strong>space</strong>, unless EXHIBITOR2011cancels the <strong>contract</strong> or reduces the <strong>exhibit</strong>or’s <strong>exhibit</strong><strong>space</strong>, <strong>for</strong> reasons other than non-payment by the<strong>exhibit</strong>or. EXHIBITOR2011 will be entitled to retain orcollect 100% of the <strong>Exhibitor</strong>’s total <strong>contract</strong> obligation ifthe <strong>exhibit</strong>or cancels or reduces their <strong>exhibit</strong> <strong>space</strong>. Theacceptance by EXHIBITOR2011 or the Managing Directorof a deposit with an <strong>application</strong> does not in any wayconstitute acceptance of the <strong>application</strong> or a grant ofpermission to <strong>exhibit</strong>. If an <strong>application</strong> is denied, a fullrefund of the deposit will be made promptly. The applicantagrees that in the event <strong>space</strong> of greater squarefootage is selected, assigned or allotted to it at its requestor with its consent, it will pay the additional amountrequired promptly upon receipt of notice to that effect;<strong>and</strong>, if <strong>space</strong> of less square footage is assigned, it willaccept a refund based upon the reduced square footage,provided show management is advised of the request toreduce <strong>space</strong> prior to December 10, 2010. <strong>Exhibitor</strong>srequesting an increase or reduction in square footage aresubject to booth relocation. Failure to make paymentswhen due or pay the balance due on or be<strong>for</strong>e December10, 2010 can result in the reassignment of your boothlocation or cancellation of the <strong>contract</strong>.E. St<strong>and</strong>ard Booth Equipment – Includes a drape 8’high along the back line with side rails 33” high <strong>and</strong> 9” x44” I.D. sign showing firm name. Width of all <strong>space</strong>s shownon the official floor plan is from center of side rails <strong>and</strong>depth is overall measurement from face of the front post toback of rear post. All <strong>contract</strong>ed <strong>exhibit</strong> <strong>space</strong> is required tohave carpeting or other flooring supplied by the <strong>exhibit</strong>or.F. Rules & Regulations <strong>and</strong> Display ConstructionGuidelines – <strong>Exhibitor</strong>s agree to abide by <strong>and</strong> con<strong>for</strong>m tothe Display Construction Guidelines <strong>and</strong> Rules <strong>and</strong>Regulations set <strong>for</strong>th by EXHIBITOR2011. The <strong>Exhibitor</strong>acknowledges these rules <strong>and</strong> guidelines are hereby madepart of this <strong>exhibit</strong> <strong>space</strong> <strong>contract</strong>.G. Multi-Story Exhibit Regulations – <strong>Exhibitor</strong>s agreeto abide by <strong>and</strong> con<strong>for</strong>m to the Multi-Story ExhibitConstruction Guidelines.H. Contests, Promotions, Models <strong>and</strong> LiteratureDistribution – <strong>Exhibitor</strong>s agree to abide by <strong>and</strong> con<strong>for</strong>mto the applicable Rules & Regulations outlined.I. Fire Regulations – <strong>Exhibitor</strong>s agree to abide <strong>and</strong>con<strong>for</strong>m to the M<strong>and</strong>alay Bay Fire Marshal Regulations set<strong>for</strong>th by EXHIBITOR2011. The <strong>Exhibitor</strong> acknowledgesthese Fire Regulations are hereby made part of this <strong>exhibit</strong><strong>space</strong> <strong>contract</strong>.J. Installation of Exhibits – Installation of <strong>exhibit</strong>s maybegin on Friday, March 25, 2011. Crates must be removed<strong>and</strong> installation complete by 6:00 PM Sunday, March 27,2011. No freight will be accepted after 12 Noon Sunday,March 27, 2011. All shipments must be prepaid.K. Dismantling of Exhibits – Dismantling of <strong>exhibit</strong>s maybegin at 3:30 PM, Wed., March 30, 2011 <strong>and</strong> must becompleted by 12 Noon, Fri., April 1, 2011. No <strong>Exhibitor</strong> shallhave the right prior to the closing of the Show to pack orremove articles on <strong>exhibit</strong> without the permission <strong>and</strong>approval in writing of EXHIBITOR2011. The <strong>Exhibitor</strong> agreesthat EXHIBITOR2011 <strong>and</strong> the Managing Director shall,without incurring any liability <strong>for</strong> damage or loss, have theright to dismantle <strong>and</strong> pack any property of any <strong>Exhibitor</strong>who has failed to do so in the time allotted, or to order suchwork done at the sole expense of the <strong>Exhibitor</strong>. The <strong>Exhibitor</strong>further agrees that the Managing Director, at its sole discretion,shall have the right <strong>and</strong> authority to clear from thepremises any <strong>exhibit</strong> material or other property of the<strong>Exhibitor</strong> <strong>for</strong> which sufficient shipping arrangements havenot been made, to designate carriers <strong>for</strong> its return, to sendit to public or private storage, or to otherwise dispose of it,without incurring any liability there<strong>for</strong>e, <strong>and</strong> all costs ofsuch removal, return, storage <strong>and</strong> other disposition shall becharged to <strong>and</strong> promptly paid by the <strong>Exhibitor</strong>.L. Badges <strong>and</strong> Exhibit Personnel – Admission will beby <strong>Exhibitor</strong> badge only. Identification badges are nottransferable. The <strong>Exhibitor</strong> shall have an authorized representativepresent at the Show throughout all <strong>exhibit</strong>periods <strong>and</strong> during the installation <strong>and</strong> dismantling of his<strong>exhibit</strong>. The name of the authorized representative shall befurnished to EXHIBITOR2011 not less than (60) sixty daysbe<strong>for</strong>e the opening date of the Show. <strong>Exhibitor</strong>s may <strong>for</strong>feitparticipation in future EXHIBITOR Shows if <strong>Exhibitor</strong> badgesare transferred or ordered <strong>for</strong> attendees or customers notscheduled to work in the <strong>exhibit</strong>or’s booth.M. Union Labor <strong>and</strong> Work Agreements – The <strong>Exhibitor</strong>hereby agrees to abide by all agreements made betweenthe unions, EXHIBITOR2011, its agents <strong>and</strong> M<strong>and</strong>alay Baypertaining to the use of union labor while in M<strong>and</strong>alay Bay.N. Use of an <strong>Exhibitor</strong> Appointed Contractor (EAC) –The <strong>exhibit</strong>or hereby agrees not to <strong>contract</strong> <strong>for</strong>, nor to use,any services in connection with its <strong>exhibit</strong> in the M<strong>and</strong>alayBay Convention Center except such as shall be madeavailable or approved by the Managing Directors not lessthan 30 days be<strong>for</strong>e the opening date of the Show. The<strong>exhibit</strong>or shall supply to the Managing Directors the namesof any persons or organizations other than those designatedas Official Contractors in the <strong>Exhibitor</strong> Guide &Service Manual, who are proposed <strong>for</strong> the per<strong>for</strong>mance ofany service <strong>for</strong> the <strong>exhibit</strong>or. The Managing Directors willpromptly notify <strong>exhibit</strong>or of its approval or disapproval ofsuch selections. Use of any non-official service <strong>contract</strong>oris also subject to those designated <strong>contract</strong>ors providingproof of insurance to the Managing Directors 30 days priorto the opening of the Show. The certificate should nameEXHIBITOR2011, the producers, EXHIBITOR Media Group,the Managing Directors, Hall-Erickson, Inc. (hei), theGeneral Contractor, Champion Exposition Services (CES)<strong>and</strong> the M<strong>and</strong>alay Bay Resort & Casino as additionalinsureds. EAC’s include installation <strong>and</strong> dismantling<strong>contract</strong>ors, florists, photographers, furniture <strong>and</strong> carpetsuppliers <strong>and</strong> any other supplier or <strong>contract</strong>or used by the<strong>exhibit</strong>or that is not the Show’s official <strong>contract</strong>or. Certainservices are considered exclusive <strong>contract</strong>ors of M<strong>and</strong>alayBay <strong>and</strong> <strong>exhibit</strong>ors are required to use their service <strong>for</strong>:Booth Catering, Booth Cleaning, Electrical, Internet,Plumbing, Rigging, Telephones, Video Signal Distribution.O. Direct Sales – EXHIBITOR2011 is <strong>for</strong> educational <strong>and</strong>in<strong>for</strong>mational purposes. No retail sales are allowed withinthe <strong>exhibit</strong> area at any time, except by separate <strong>contract</strong>ualagreement, but orders may be taken <strong>for</strong> future delivery.P. Social Functions/Suitcasing/Outboarding –Contracted <strong>exhibit</strong>ors may conduct social functions inpublic areas of M<strong>and</strong>alay Bay, which do not conflict with

No<strong>exhibit</strong>or shall conduct or sponsor during published Showor Seminar hours any banquet, breakfast, luncheon, partyor other function <strong>for</strong> attendees, or <strong>for</strong> those who have beeninvited to attend EXHIBITOR2011, without the writtenapproval of EXHIBITOR2011. EXHIBITOR2011 has a suitcasing<strong>and</strong> outboarding policy whereby <strong>exhibit</strong>ors <strong>and</strong>non-<strong>exhibit</strong>ors who solicit in the aisles, or anywhere elseon the property outside the <strong>exhibit</strong> hall, or support anyevent within the venue that is hosted by a non-<strong>exhibit</strong>ingsupplier, may be subject to penalties that include cancellation/closureof their <strong>exhibit</strong> <strong>space</strong> from EXHIBITOR2011without refund, loss of <strong>space</strong> selection priority points <strong>and</strong>may have their <strong>application</strong> <strong>for</strong> <strong>space</strong> denied <strong>for</strong> two (2)years from the year of the infraction. Non-<strong>exhibit</strong>ors will beasked to leave EXHIBITOR2011, without refund of anymonies paid, <strong>and</strong> will not be allowed to attend the event<strong>for</strong> two (2) years from the year of the infraction.Q. Age Limitation – Due to insurance liabilities no child17 years of age or under will be permitted on the Showfloor at any time regardless of affiliation or circumstances.This rule applies to <strong>exhibit</strong>ors as well as attendees.R. Liability <strong>and</strong> Security – <strong>Exhibitor</strong> assumes responsibility<strong>and</strong> agrees to indemnify <strong>and</strong> defendEXHIBITOR2011, the Managing Directors, M<strong>and</strong>alay BayResort & Casino, M<strong>and</strong>alay Resort Group, <strong>and</strong> theirrespective subsidiaries <strong>and</strong> affiliates, owners, shareholders,directors, officers, employees, agents, representatives<strong>and</strong> successors from any claims or expensesarising out of the use of the <strong>exhibit</strong>ion premises.EXHIBITOR2011, the Managing Directors <strong>and</strong> theM<strong>and</strong>alay Bay Resort & Casino shall not be liable <strong>for</strong>, <strong>and</strong>are hereby released from, any claims, liabilities, losses,damages, costs or expenses relating to or arising out ofany injury to any personnel of <strong>Exhibitor</strong> or to any otherperson or any loss of or damage to any property of<strong>Exhibitor</strong> or any other property where such injury, loss ordamage is incident to, arises out of, or is in any wayconnected with <strong>exhibit</strong>or’s participation inEXHIBITOR2011, <strong>and</strong> the <strong>Exhibitor</strong> shall be responsible <strong>for</strong>any such injury, loss or damage, or any expenses relatingthereto, <strong>and</strong> the <strong>Exhibitor</strong> hereby agrees to protect, indemnify,hold harmless <strong>and</strong> defend EXHIBITOR2011, theManaging Directors, M<strong>and</strong>alay Bay Resort & Casino <strong>and</strong>their respective owners, shareholders, directors, officers,employees, agents, representatives <strong>and</strong> successors,subsidiaries, affiliates, against all such claims, liabilities,losses, damages, costs <strong>and</strong> expenses, including reasonableattorney’s fees <strong>and</strong> costs of litigation; provided thatthe <strong>for</strong>egoing shall not apply to injury, loss or damagecaused by or resulting from the sole negligence ofEXHIBITOR2011, the Managing Directors, M<strong>and</strong>alay BayResort & Casino, <strong>and</strong> their respective subsidiaries, affiliates,shareholders owners, directors, officers, employees,agents or representatives. In addition to the <strong>for</strong>egoing, the<strong>Exhibitor</strong> agrees that it will make no claim of any kindagainst EXHIBITOR2011, the Managing Directors,M<strong>and</strong>alay Bay Resort & Casino <strong>and</strong> their respectiveowners, subsidiaries, affiliates, shareholders, directors,officers, employees, agents, representatives or successors<strong>for</strong> any injury, loss, cost or damage of any nature or characterwhatsoever, including, without limiting the <strong>for</strong>egoing,any claim <strong>for</strong> damage to the <strong>exhibit</strong>or’s business by reasonof the failure to hold the Show or to provide <strong>space</strong> <strong>for</strong> any<strong>exhibit</strong> or the removal of the <strong>exhibit</strong>, or <strong>for</strong> any action ofEXHIBITOR2011, the Managing Directors, M<strong>and</strong>alay BayResort & Casino <strong>and</strong> their respective subsidiaries, affiliates,shareholders, owners, directors, officers, employees,agents or representatives in relation to the <strong>exhibit</strong>, the<strong>Exhibitor</strong> or the Show.S. Cancellation of the Exposition – Should any contingencyinterrupt or prevent the holding of EXHIBITOR2011,EXHIBITOR2011 will return such portion of the amount paid<strong>for</strong> <strong>space</strong> as may be determined to be equitable byEXHIBITOR2011 after deduction of such amounts as may benecessary to cover expenses incurred by EXHIBITOR2011 inconnection with the Show. If <strong>for</strong> any reason,EXHIBITOR2011 determines that the location of the Showshould be changed or the dates of the Show postponed, norefund will be made but EXHIBITOR2011 shall assign to the<strong>exhibit</strong>or, in lieu of the original <strong>space</strong>, such other <strong>space</strong> asEXHIBITOR2011 deems appropriate <strong>and</strong> the <strong>Exhibitor</strong>agrees to use such <strong>space</strong> under the same rules <strong>and</strong> regulations.EXHIBITOR2011 shall not be financially liable orotherwise obligated in the event the Show is canceled, postponedor relocated except as provided herein.T. Authority of EXHIBITOR2011 <strong>and</strong> the ManagingDirectors – EXHIBITOR2011 shall have power to adopt<strong>and</strong> en<strong>for</strong>ce all show attendance rules <strong>and</strong> regulationswith respect to the kind, nature <strong>and</strong> eligibility of <strong>exhibit</strong>orsadopted by it or set <strong>for</strong>th herein. EXHIBITOR2011 hasappointed the Managing Directors to act as their dulyauthorized agent <strong>and</strong> to en<strong>for</strong>ce all rules <strong>and</strong> regulations.Their decision on such matters as may be referred to themshall be final.U. Live Music, Photographs, Intellectual PropertyRights <strong>and</strong> Other Copyrighted Material – Each<strong>Exhibitor</strong> is responsible <strong>for</strong> obtaining all necessarylicenses <strong>and</strong> permits to use live music, photographs orother copyrighted material in <strong>exhibit</strong>or’s booth ordisplay. No <strong>Exhibitor</strong> will be permitted to play, broadcastor have per<strong>for</strong>med any live music or use any othercopyrighted material, such as photographs or otherartistic works, without first presenting toEXHIBITOR2011 proof satisfactory that the <strong>Exhibitor</strong>has, or does not need, a license to use such live musicor copyrighted material. EXHIBITOR2011 reserves theright to remove from the <strong>exhibit</strong> hall all or any part ofany booth or display which incorporates live music,photographs or other copyrighted or trademarked material<strong>and</strong> <strong>for</strong> which the <strong>Exhibitor</strong> fails to produce proofthat the <strong>Exhibitor</strong> holds all required licenses. The<strong>Exhibitor</strong> shall remain liable <strong>for</strong> <strong>and</strong> shall indemnify <strong>and</strong>hold EXHIBITOR2011, their agents <strong>and</strong> employees,harmless from all loss, cost, claims, causes of action,suits, damages, liability, expenses <strong>and</strong> costs, includingreasonable attorney’s fees, arising from or out of anyviolation or infringement (or claimed violation orinfringement) by <strong>exhibit</strong>or, <strong>exhibit</strong>or’s agents oremployees of any patent, copyright or trade secretrights or privileges.V. Defaults – If the <strong>Exhibitor</strong> is in default of payment,access to the <strong>Exhibitor</strong> Guide & Services Manual, <strong>Exhibitor</strong>registration, <strong>Exhibitor</strong> listings, etc., will be denied until theaccount is brought current. If the <strong>Exhibitor</strong> is a party toother <strong>contract</strong>s with the Producer, including but not limitedto <strong>contract</strong>s <strong>for</strong> <strong>exhibit</strong> <strong>space</strong>, advertising <strong>space</strong> or directmarketing services, <strong>and</strong> the <strong>Exhibitor</strong> fails to make anypayment when due under this or any other <strong>contract</strong> (hereinafterthe “Defaulted Contract”), the Producer may, in itssole discretion <strong>and</strong> without prior notice to the <strong>exhibit</strong>or,reapply any or all funds paid by the <strong>Exhibitor</strong> under any<strong>contract</strong> with the Producer to the payment due on theDefaulted Contract <strong>and</strong>, in such event, the Producer shallpromptly notify the <strong>Exhibitor</strong> of such <strong>application</strong>. In theevent that such re<strong>application</strong> shall create default under a<strong>contract</strong> other than the Defaulted Contract, which defaultis not cured within 10 days after notice to the <strong>exhibit</strong>or,then the Producer may terminate that <strong>contract</strong>. In suchevent, all of the provisions set <strong>for</strong>th under the heading“Cancellation” shall apply. In the event that it shall benecessary <strong>for</strong> Producer to bring suit to en<strong>for</strong>ce any of itsrights hereunder, Producer shall be entitled to recover allcosts of such suits, including reasonable attorney’s fees.W. Insurance – <strong>Exhibitor</strong>2011 requires that each<strong>Exhibitor</strong> maintain general public liability insuranceagainst claims <strong>for</strong> personal injury, death or propertydamage incident to, arising out of or in any wayconnected with the <strong>exhibit</strong>or's participation in the <strong>exhibit</strong>ion,in an amount of not less than one million dollars($1,000,000) <strong>for</strong> personal injury, death or propertydamage in any one occurrence. Such insurance maintainedby the <strong>exhibit</strong>or must be issued by an insurancecompany reasonably acceptable with an A.M. Best ratingA- or higher to the Managing Directors <strong>and</strong> shouldinclude coverage of the indemnification obligations of the<strong>exhibit</strong>or under these rules <strong>and</strong> regulations, <strong>and</strong> shallname EXHIBITOR2011, the producers, EXHIBITOR MediaGroup, the Managing Directors, Hall-Erickson, Inc. (hei),the General Contractor, Champion Exposition Services(CES) <strong>and</strong> the M<strong>and</strong>alay Bay Resort & Casino as additionalinsureds on the general liability policy. Each<strong>exhibit</strong>or is required to indemnify <strong>and</strong> hold harmless theM<strong>and</strong>alay Bay Resort & Casino from all liability (damageor accident) which might ensue from any cause resultingor connected with transportation, placing, removal ordisplay of <strong>exhibit</strong>s. Each <strong>Exhibitor</strong> is required to carryworkers compensation coverage protecting employees inaccordance with the laws of the State of Nevada. Each<strong>exhibit</strong>or acknowledges that it is responsible <strong>for</strong>obtaining, <strong>for</strong> its protection <strong>and</strong> entirely at its expense,such property insurance <strong>for</strong> its <strong>exhibit</strong> <strong>and</strong> display materialsas the <strong>exhibit</strong>or deems appropriate. The <strong>Exhibitor</strong>underst<strong>and</strong>s that neither EXHIBITOR2011, theproducers, EXHIBITOR Media Group, the ManagingDirectors, Hall-Erickson, Inc. (hei), the GeneralContractor, Champion Exposition Services (CES) nor theM<strong>and</strong>alay Bay Resort & Casino maintain insurancecovering the <strong>Exhibitor</strong>’s property <strong>and</strong> it is the soleresponsibility of the <strong>Exhibitor</strong> to obtain such insurance.Any policy providing such property insurance mustcontain an express waiver by the <strong>exhibit</strong>or's insurancecompany of any right of subrogation to any claimsagainst EXHIBITOR2011, the producers, EXHIBITORMedia Group, the Managing Directors, Hall-Erickson, Inc.(hei), the General Contractor, Champion ExpositionServices (CES) <strong>and</strong> the M<strong>and</strong>alay Bay Resort & Casino.X. RULES AND REGULATIONSAmericans with Disabilities Act (ADA)All <strong>exhibit</strong>ing companies are required to be in compliancewith the Americans with Disabilities Act (ADA), <strong>and</strong> areencouraged to be sensitive, <strong>and</strong> as reasonably accommodatingas possible, to attendees with disabilities.In<strong>for</strong>mation regarding ADA compliance is available fromthe U.S. Department of Justice ADA In<strong>for</strong>mation Line,(800) 514-0301, <strong>and</strong> from the ADA web site at:www.usdoj.gov/crt/ada/adahom1.htm.ADA. No <strong>exhibit</strong>,lighting, truss or advertising will be allowed to extendbeyond the <strong>space</strong> assigned to the <strong>exhibit</strong>or. Any demonstrationor activity which results in the obstruction ofaisles or prevents ready access to neighboring <strong>exhibit</strong>ors’booths shall be suspended <strong>for</strong> any period specified by theManaging Directors.BalloonsThe use or display of helium filled balloons smaller than36 inches is prohibited. Large helium-filled balloons,such as advertising balloons, may be used only if theyare securely anchored to the <strong>exhibit</strong> <strong>and</strong> do not exceedthe maximum height allowed <strong>for</strong> your booth. Note: priorapproval must be obtained from the Managing Directorsnot less than 60 days be<strong>for</strong>e the opening date of theShow. Balloons are prohibited outside the <strong>exhibit</strong> hall;there<strong>for</strong>e it is recommended that balloons should not bedistributed to attendees.Contests, Promotions, Models, Literature <strong>and</strong>Promotional Items DistributionThe <strong>exhibit</strong>or shall not permit <strong>exhibit</strong>ions, raffles, donationsor other promotional measures that require guests tobe present at a specific location <strong>and</strong> time, <strong>and</strong> all unusualpromotional plans must be approved by the ManagingDirectors no later than 60 days prior to the Show.Catalogs, souvenirs, literature, printed matter or any otheritems to be distributed at the Show are subject toapproval by the Managing Directors. Any material notapproved by the Managing Directors shall not be distributed.Uni<strong>for</strong>med attendants, models <strong>and</strong> other employeesmust be dressed in good taste <strong>and</strong> remain in <strong>space</strong>soccupied by their employers, including robots. Any <strong>and</strong> alldistribution of literature or other promotional items mustbe made from the <strong>exhibit</strong>or’s rented booth <strong>space</strong>.Furthermore, <strong>exhibit</strong>ing trade publishers are prohibitedfrom soliciting advertising in the Show aisles. They maydistribute their own trade publications from their rentedbooth <strong>space</strong>, but no automatic distribution is to be madeto the individual booths of <strong>exhibit</strong>ors. Also see “Balloons.”Damage To Property – Exhibit Hall<strong>Exhibitor</strong>s are responsible <strong>for</strong> damage to uncrated orimproperly packed shipments, concealed damage, loss ortheft of material after delivery to booth or be<strong>for</strong>e materialis picked up <strong>for</strong> return movement. It is expressly understoodthat the <strong>exhibit</strong>or will make no claim of any kindagainst the Managing Directors <strong>for</strong> any loss, damage ordestruction of goods, nor <strong>for</strong> any damage of any nature totheir business by reason of the failure to provide <strong>space</strong> <strong>for</strong>any <strong>exhibit</strong> or the removal of the <strong>exhibit</strong>.Electrical RegulationsAll electrical wiring on booths or display fixtures mustmeet applicable codes. In any power distribution system,power fluctuations <strong>and</strong>/or failures, although extremelyuncommon, can occur. The Managing Directors, theM<strong>and</strong>alay Bay Convention Center or the Official ElectricalService Contractor cannot be responsible <strong>for</strong> such occurrences,when they are out of the control of the ManagingDirectors, the M<strong>and</strong>alay Bay Convention Center or theOfficial Electrical Service Contractor. It is st<strong>and</strong>ard practice<strong>for</strong> many persons <strong>exhibit</strong>ing equipment sensitive tovoltage fluctuations, power surges <strong>and</strong>/or outages, toutilize surge protectors, line conditioners <strong>and</strong>/or batterybackup systems to guard against these events.Exhibit <strong>and</strong> Display Rules & RegulationsAll st<strong>and</strong>ard booth displays will be confined to amaximum height of 8’3” (2.5m) <strong>and</strong> all display fixturesover 4’ (1.22m) in height <strong>and</strong> placed within 10 lineal feetof an adjoining <strong>exhibit</strong> must be confined to that area ofthe <strong>exhibit</strong>or’s <strong>space</strong> which is at least 5’ (1.52m) fromthe aisle line. Notrays are permitted in the public areas of the Show.Good Neighbor Policy<strong>Exhibitor</strong>s are expected to minimize the noise level ofsound amplifying, reproducing equipment. All unnecessarynoise is prohibited.The use of loudspeakers, sound projection equipment <strong>and</strong>any other sound augmenting devices in <strong>exhibit</strong> booths willbe permitted only with the underst<strong>and</strong>ing that the volumeis kept at a reasonable level <strong>and</strong> is not objectionable tosurrounding <strong>exhibit</strong>ors. <strong>Exhibitor</strong>s planning to use“production numbers” are advised that prior approvalmust be obtained from Show Management (HEI).Amplification equipment may be used only <strong>for</strong> recordedmusic leading to the introduction of product demonstrations,provided that the sound is not objectionable toother <strong>exhibit</strong>ors. Full-timeemployees of the <strong>exhibit</strong>or, age 18 <strong>and</strong> over, may set up<strong>and</strong> take down their own <strong>exhibit</strong>s, with the use of h<strong>and</strong>tools, but <strong>for</strong>klifts or any other heavy equipment required,must be retained through <strong>and</strong> operated by the generalservice <strong>contract</strong>or. For a safe <strong>and</strong> efficient move in by allparties involved, the dock area will be under control ofthe Official Service Contractor. No <strong>exhibit</strong>ors will beallowed to h<strong>and</strong> carry items through this area. Hotelbellmen or Business Center personnel will not bepermitted in the <strong>exhibit</strong> hall; bell carts are not allowed inthe registration area or on the show floor. See“Shipments to M<strong>and</strong>alay Bay” <strong>for</strong> more in<strong>for</strong>mationabout shipping <strong>and</strong> h<strong>and</strong>-carry items.Lighting<strong>Exhibitor</strong>s should adhere to the following suggestedminimum guidelines when determining booth lighting:• No lighting, including Gobo lights, fixtures, lightingtrusses or overhead lighting are allowed to beinstalled outside the boundaries of the <strong>exhibit</strong> <strong>space</strong>.<strong>Exhibitor</strong>s intending to use hanging light systemsshould submit drawings to the Managing Directors <strong>for</strong>approval. Truss must not exceed the booth lines.• Lighting should be directed to the inner confines of thebooth <strong>space</strong>. Any signageor promotional language on equipment must be part ofthe original equipment.SmokingSmoking is strictly prohibited within the M<strong>and</strong>alay BayConvention Center.Social Functions<strong>Exhibitor</strong>s may conduct social functions in public areasof the M<strong>and</strong>alay Bay Convention Center which do notconflict with scheduled programs or activities of theEXHIBITOR2011. No <strong>exhibit</strong>or shall conduct or sponsorduring published Show hours any banquet, breakfast,luncheon, party or other function <strong>for</strong> attendees, or thosewho have been invited to attend the EXHIBITOR2011,without the written approval of the Managing Directors.Sound Amplifying, Reproducing Equipment<strong>Exhibitor</strong>s operating sound reproducing or sound amplifyingequipment are required to operate in such amanner that a maximum 85db reading on the “A” scaleof a sound level meter may be read at the aisle(s)<strong>space</strong> adjacent to their booth or measured at a neighboringbooth in an area bordering that of the soundequipment user.The Managing Directors shall be the sole arbiter ofacceptability of sound levels whether a sound meter isused or not, <strong>and</strong> may require reduction of sound level orelimination of sound reproducing devices in thoseinstances where in violation of these st<strong>and</strong>ards orotherwise are objectionable. <strong>Exhibitor</strong>s using soundamplification equipment are requested to have theequipment comply with Section 1910-95, OccupationalNoise Exposure, page 22157 of the Department of LaborOccupational Safety <strong>and</strong> Health Administration rules<strong>and</strong> regulations pertaining to a st<strong>and</strong>ard eight (8) houroperating shift.Space Assignment PolicyCurrent <strong>and</strong> past <strong>exhibit</strong>ors who mail in their <strong>contract</strong> orbring it to the Show Management Office atEXHIBITOR2011, by Monday, March 28, 2011 areeligible <strong>for</strong> inclusion in the first round of <strong>space</strong> assignments<strong>for</strong> EXHIBITOR2012. After Wednesday, March 30,2011, current <strong>and</strong> past <strong>exhibit</strong>ors will be assigned<strong>space</strong> on a first-come, first-served basis <strong>for</strong> theremaining available <strong>exhibit</strong> <strong>space</strong>.The combined total of <strong>exhibit</strong>ing history points, sponsorship<strong>and</strong> advertising points will determine theranking order of <strong>space</strong> assignments. Contracts will bedate <strong>and</strong> time-stamped. In the event two <strong>exhibit</strong>orshave equal points <strong>and</strong> both request the same location,this in<strong>for</strong>mation will be considered in the rankingprocess <strong>and</strong>/or a drawing will be held. A twenty fivepercent (25%) deposit will be due within thirty days of<strong>space</strong> assignment. <strong>Exhibitor</strong>s who participated in past

Thesepoints will be applied to the <strong>space</strong> assignment process<strong>and</strong> a value of five (5) points will be assigned <strong>for</strong> eachseniority point. Companies who do not <strong>exhibit</strong> in twoconsecutive shows will lose all <strong>exhibit</strong>ing historyseniority points earned to date.Space Usage <strong>and</strong> AllocationThe <strong>space</strong> applied <strong>for</strong> is to be used solely <strong>for</strong> the<strong>exhibit</strong>or whose name appears on the <strong>application</strong>, <strong>and</strong>it is agreed that the applicant will not assign, or apportionthe whole or any part of the <strong>space</strong> allotted.Furthermore, the <strong>exhibit</strong>or agrees that the ManagingDirector has the sole authority over the assignment of<strong>exhibit</strong> <strong>space</strong>, <strong>and</strong> may be required to change the<strong>exhibit</strong>ors confirmed <strong>exhibit</strong> <strong>space</strong> in order to accommodatethe needs of the Show. In the event the<strong>exhibit</strong>or’s booth number is changed, the <strong>exhibit</strong>or willbe notified promptly by the Managing Director.Sub-Leasing<strong>Exhibitor</strong> may not sublet their <strong>space</strong>, nor any partthereof, nor <strong>exhibit</strong>, offer <strong>for</strong> sale, give as premium, oradvertise articles not manufactured or sold in theirname, except where such articles are required <strong>for</strong> theproper demonstration or operation of <strong>exhibit</strong>or’sdisplay, in which case identification of such articlesshall be limited to the regular nameplate, imprint, orother identification which in st<strong>and</strong>ard practice appearsnormally on them. <strong>Exhibitor</strong> may not permit these non<strong>exhibit</strong>ingcompanies representatives in their booth.Rulings of the Managing Directors shall in all instancesbe final with regard to use of any <strong>exhibit</strong> <strong>space</strong>.Union Labor <strong>and</strong> Work AgreementsThe <strong>exhibit</strong>or hereby agrees to abide by all agreementsmade between the unions, Champion ExpositionServices, EXHIBITOR2011, its agents <strong>and</strong> the M<strong>and</strong>alayBay Convention Center pertaining to the use of unionlabor while in the M<strong>and</strong>alay Bay Convention Center.Use of an <strong>Exhibitor</strong> Appointed Contractor (EAC)The <strong>exhibit</strong>or hereby agrees not to <strong>contract</strong> <strong>for</strong>, nor touse, any services in connection with its <strong>exhibit</strong> in theM<strong>and</strong>alay Bay Convention Center except such as shall bemade available or approved by the Managing Directorsnot less than 30 days be<strong>for</strong>e the opening date of theShow. The <strong>exhibit</strong>or shall supply to the ManagingDirectors the names of any persons or organizationsother than those designated as Official Contractors in the<strong>Exhibitor</strong> Guide & Service Manual, who are proposed <strong>for</strong>the per<strong>for</strong>mance of any service <strong>for</strong> the <strong>exhibit</strong>or. TheManaging Directors will promptly notify <strong>exhibit</strong>or of itsapproval or disapproval of such selections. Use of anynon-official service <strong>contract</strong>or is also subject to thosedesignated <strong>contract</strong>ors providing proof of insurance tothe Managing Directors 30 days prior to the opening ofthe Show. The certificate should name EXHIBITOR2011(the show), EXHIBITOR Media Group (the producers),Hall-Erickson, Inc. (the Managing Directors), ChampionExposition Services (the General Contractor), <strong>and</strong> theM<strong>and</strong>alay Bay Resort & Casino (the venue) as additionalinsureds. Please refer to sample certificate in the<strong>exhibit</strong>or manual <strong>for</strong> coverage & limits required. EAC’sinclude installation <strong>and</strong> dismantling <strong>contract</strong>ors, florists,photographers, furniture <strong>and</strong> carpet suppliers <strong>and</strong> anyother supplier or <strong>contract</strong>or used by the <strong>exhibit</strong>or that isnot the Show’s official <strong>contract</strong>or. Certain services areconsidered exclusive <strong>contract</strong>ors of M<strong>and</strong>alay Bay <strong>and</strong><strong>exhibit</strong>ors are required to use their service <strong>for</strong>: BoothCatering, Booth Cleaning, Electrical, Internet, Plumbing,Rigging, Telephones, Video Signal Distribution.Names of the EAC’s must be submitted to the ManagingDirectors by <strong>exhibit</strong>ors on the <strong>for</strong>m contained in the<strong>Exhibitor</strong> Guide & Service Manual. Each EAC must wearproper credentials issued by the Show, <strong>and</strong> agree toabide by the Show rules <strong>and</strong> regulations. It is the responsibilityof the <strong>exhibit</strong>or to oversee compliance of theserules with their EAC’s.Vehicle DisplaysAny vehicle or other apparatus which has a fuel tank <strong>and</strong>is part of a display is required to be equipped with alocking gas cap (or taped gas cap) <strong>and</strong> contain no morethan 1/8 tank of fuel. You must disconnect the batterycables of your vehicle once it is positioned <strong>and</strong> it cannotbe operated. Ignition keys <strong>and</strong> propane tanks must beremoved. The vehicle must be equipped with its own fireextinguisher <strong>and</strong> visqueen must be placed underneaththe vehicle.

You will indemnify us<strong>for</strong> any possession, storage, transportation <strong>and</strong> use ofsuch hazardous material <strong>for</strong> any reason whatsoever. Alloutside <strong>contract</strong>ors/vendors are required to have amaterial safety data sheet (MSDS) on any hazardouschemical that they bring into the facility, so that appropriateaction can be taken to in<strong>for</strong>m <strong>and</strong> protect ouremployees.Production/AVElectrical panels must have thirty (30”) inch clearancesin front. All other electrical equipment (cords, plugs, etc.)must be in accordance with the Uni<strong>for</strong>m Fire Code <strong>and</strong>the National Electrical Code, as well as local codes. Anyuse of two wire extension cords is prohibited. Multipleoutlets <strong>and</strong> electric cords must be grounded <strong>and</strong> mustnot exceed their listed amperage rating. All temporaryelectric wiring must be accessible <strong>and</strong> free from debris<strong>and</strong> storage materials.A certified fire watch is required the entire time specialeffects are utilized which require the M<strong>and</strong>alay BayConvention Center to manually control any sections ofour fire safety system. Special effects would be, but arenot limited to, fog machines, pyrotechnics <strong>and</strong> cooking. Aschedule of the times that M<strong>and</strong>alay Bay ConventionCenter is to manually control our fire safety system isrequired 30 days prior to the event.Displays involving flammable or combustible liquids ormaterials <strong>and</strong> pyrotechnic displays must be demonstratedto the CCFD <strong>for</strong> issuance permit.Exit doors, exit signs, fire alarm, fire hose cabinets,strobes, <strong>and</strong> fire extinguisher locations may not beconcealed or obstructed <strong>and</strong> must be maintained inproper working condition.Projection booths must be ventilated at the ceiling <strong>and</strong>provided with an approved smoke detector. Storage isnot allowed in these areas.Backstage <strong>and</strong> rear screen projection guidelines:• No storage boxes, musical cases, etc. may be storedin service hallways.• Hiperthane cable protectors must be used to ramp allcable 1” in diameter or greater.• Ramp all cable leaving a function room to an outsidearea.• All wires less than 1” in diameter must be taped downwith gaffer’s tape.• If exiting is covered by stage masking, there must bea clear path from masking to exit <strong>and</strong> illuminated exitsign located on masking.• Any fire extinguishers or fire hose cabinets locatedbackstage must be clear <strong>and</strong> easily accessible.Vehicles On PremiseThe Clark County Fire Department 2005 UNIFORM FIRECODE states that all procedures must be in accordancewith section 2505 when pertaining to general liquidfueled<strong>and</strong> gas fueled vehicles <strong>and</strong> equipment <strong>for</strong>display, competition <strong>and</strong>/or demonstration.Automobiles or other fuel powered vehicles of any naturemust adhere to the following guidelines:• Fuel in the tank shall not exceed 1/4 of the tankcapacity• Vehicles shall not be fueled or refueled within thebuilding• Batteries to be removed or disconnected• Locking gas caps or caps sealed with tape ignitionkeys removed• Propane tanks to be removed• Visqueen or other protective covering approved by theM<strong>and</strong>alay Bay Convention Center placed underneathvehicle• At least 30” clear access or aisles must be maintainedaround the vehicle<strong>Exhibitor</strong> is responsible <strong>for</strong> obtaining all CCFD permits.CCFD reserves the right to alter the above requirementswithout prior notice.


AMERICANS WITH DISABILITIES ACT (ADA) - EXHIBIT COMPLIANCEThe Managing Directors require all <strong>exhibit</strong>ors to complywith their responsibilities to the physically challenged.Exhibits are considered “public accommodations” <strong>and</strong>are subject to the requirements of the Americans withDisabilities Act (ADA). The following are some suggestions<strong>for</strong> accommodating attendees to EXHIBITOR2011who are physically, visually or hearing impaired.
