9. According to the information and explanations given to us and the records of the Company examined by us: a. The Company has generally been regular in depositing its undisputed statutory dues including Provident Fund, Employees’ State Insurance, Income Tax, Sales Tax, Service Tax, Custom Duty, Excise Duty, Cess and other statutory dues within the prescribed time with the appropriate authorities during the year and there are no undisputed amounts payable in respect of these dues which have remained outstanding as at 31 March, 2009 for a period of more than six months from the date they became payable. We are informed that the Company’s operations, during the year, did not give rise to any liability for Investor Education and Protection Fund and Wealth Tax. b. The Company does not have any accumulated losses at the end of the financial year and has not incurred cash losses in the financial year and in the immediately preceding financial year. 28

Based on our examination of the books of account and related records and according to information and explanation given to us, we are of the opinion that the Company has not defaulted in repayment of dues to its bankers. The Company did not have any outstanding dues to any financial institutions or debenture-holders during the year. 12. According to information and explanation given to us and based on documents and records examined by us, the Company has not granted loans and advances on the basis of security by way of pledge of shares, debentures and other securities. 13. In our opinion and according to information and explanation given to us, the Company is not a chit fund or a nidhi/mutual benefit fund/society. Accordingly, the provisions of clause 4 (xiii) of the Companies (Auditor’s Report) Order, 2003 are not applicable to the Company. 14. In our opinion and according to information and explanation given to us, the Company does not deal in trading of shares, securities, debentures and other investments. 15. According to information and explanation given to us, the Company has not given any guarantee for loans taken by others from bank or financial institutions during the year. 16. Based on the examination of the books of account and related records and according to the information and explanations given to us, the Company has not availed any term loan during the year. 17. According to the information and explanations given to us, and on an overall examination of the balance sheet of the Company, funds raised on short-term basis have prima facie, not been utilised for long term investment. 18. According to information and explanation given to us and the records of the Company examined by us, the Company has not made any preferential allotment of shares to parties and companies covered in the Register maintained under section 301 of the Companies Act, 1956. 19. According to information and explanation given to us and the records of the Company examined by us, the Company has not issued any debentures. 20. According to information and explanation given to us and the records of the Company examined by us, the Company has not raised any money from public issue during the year under report. 21.
