Article 1ARTICLE 1.PARTIES TO THE AGREEMENTSection 1.Employers CoveredThe Employer consists of members of the National Automobile Transporters LaborDivision, a multi-employer collective bargaining association with divisions consisting ofAutomobile Transporters Central-Southern Area, Eastern Area and Western Area, aslisted in Appendix A, who have given their authorization to the Association to executethis Agreement and Supplemental Agreements; members of the Association who havenot given such Powers of Attorney; and individual Employers who become signatory tothis Agreement and Supplemental Agreements as hereinafter set forth.Section 2.Unions CoveredThe Union consists of any Local Union which may become a party to this Agreementand any Supplement as hereinafter set forth. Such Local Unions are hereinafterdesignated as "Local Unions." In addition to such Local Unions, the TeamstersNational Automobile Transporters Industry Negotiating Committee representing theLocal Unions affiliated with the IBT, hereinafter referred to as the "National UnionCommittee," is also a party to this Agreement and the agreements supplemental hereto.Section 3.Transfer of Company Title or InterestThe Employer's obligations under this Agreement, including Supplements, Local Ridersand dispatch procedures in effect at the time of the transaction shall be binding upon itssuccessors, administrators, executors and assigns. The Employer agrees that theobligations of this Agreement shall be included in the agreement of sale, transfer orassignment of the business. In the event an entire operation or a portion thereof orrights only are sold, leased, transferred or taken over by sale, transfer, lease,assignment, receivership or bankruptcy proceedings, such operation or use of suchrights shall continue to be subject to the terms and conditions of this Agreement for thelife thereof. Transactions covered by this provision include stock sales or exchanges,mergers, consolidation or spin-offs or any other method by which business istransferred.On the sale, transfer or lease of an individual run or runs or rights only, or such rightsare taken over by assignment, receivership or bankruptcy proceedings, the specificprovisions of this Agreement, including Supplements or other conditions, shall prevail. Article 1is understood by this Section that the signator Employer shall not sell, lease or transfersuch run or runs or rights to a third party to evade this Agreement.Corporate re-organizations by a signatory Employer, occurring during the term of thisAgreement, shall not relieve the signatory Employer or the re-organized Employer ofthe obligations of this Agreement during its term.In the event the Employer fails to require the purchaser, the transferee or lessee toagree to assume the obligations of this Agreement, the Employer (including partnersthereof) shall be liable to the Local Union and to the employees covered for alldamages sustained as a result of such failure to require assumption of the terms of thisAgreement, until its expiration date, but shall not be liable after the purchaser, thetransferee or lessee has agreed to assume the obligations of this Agreement. Theobligations set forth above shall not apply in the event of the sale, lease or transfer of aportion of the rights comprising less than all of the signator Employer's rights to anonsignator company unless the purpose is to evade this Agreement.The Employer shall give notice of the existence of this Agreement to any purchaser,transferee, lessee, assignee or other entity involved in the sale, merger, consolidation,acquisition, transfer, spin-off, lease or other transaction by which the operationscovered by this Agreement or any part thereof including rights only may be transferred.Such notice shall be in writing, with a copy to the Union, at the time the seller, transferoror lessor makes the purchase and sale negotiation known to the public or executes acontract or transaction as herein described whichever first occurs. The Union shall alsobe advised of the exact nature of the transaction, not including financial details.The term rights includes routes and runs.Section 1.National Master AgreementARTICLE 2.SCOPE OF AGREEMENTThe execution of this National Master Agreement on the part of the Employer shallapply to all operations of the Employer which are covered by this Agreement, and shallhave application to the work performed within the classifications defined and set forth inthe agreements supplemental hereto.3
