OVERVIEWThe requirements that a Key Individual must meet can be summarised as follows:The follow<strong>in</strong>g determ<strong>in</strong>ations make provision <strong>for</strong> the requirements illustrated above:Board NoticeDeterm<strong>in</strong>ation of<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong><strong>Requirements</strong> <strong>for</strong>F<strong>in</strong>ancial ServicesProvidersDeterm<strong>in</strong>ation ofQualify<strong>in</strong>g Criteria<strong>and</strong> QualificationsDescriptionThis Board Notice (106 of 2008) deals with thenew Determ<strong>in</strong>ation of <strong>Fit</strong> & <strong>Proper</strong>requirements <strong>for</strong> FSPs (Sole Proprietors), KeyIndividuals <strong>and</strong> Representatives. In additionthis Board Notice <strong>in</strong>cludes the relevant“Transitional arrangements” that apply to allparties encompassed by the FAIS Act whowere authorised between the 30 th ofSeptember 2004 <strong>and</strong> 31 December 2009.This Board Notice (105 of 2008) deals with thesett<strong>in</strong>g of Qualify<strong>in</strong>g Criteria which are used toevaluate qualifications, <strong>and</strong> set the regulatoryConta<strong>in</strong>s the relevant<strong>in</strong>fo about:• Honesty <strong>and</strong> <strong>in</strong>tegrity• Competence• Operational Ability• F<strong>in</strong>ancial Soundness• Competence(Specificallyqualifications<strong>and</strong>August 2009 Version 2 6 of 38

HONESTY & INTEGRITYThe first requirement is honesty <strong>and</strong> <strong>in</strong>tegrity. Put simply, a Key Individual must be a person who istruthful, s<strong>in</strong>cere <strong>and</strong> acts honourably. These personal characteristics of Key Individuals are veryimportant when one considers the key management <strong>and</strong> oversight role of the Key Individual. A KeyIndividual must at ALL times be c<strong>and</strong>id <strong>and</strong> accurate <strong>and</strong> disclose all relevant facts or <strong>in</strong><strong>for</strong>mation whichmay be required when apply<strong>in</strong>g to the Registrar <strong>for</strong> approval as Key Individual.The approval of a Key Individual is at the discretion of the Registrar who may refer to any <strong>in</strong><strong>for</strong>mation <strong>in</strong>possession of the Registrar or that was brought to the attention of the Registrar. The Registrar will thenconsider the approval of a Key Individual by tak<strong>in</strong>g the follow<strong>in</strong>g factors relat<strong>in</strong>g to the Key Individual <strong>in</strong>toconsideration:• Whether the person was found guilty with<strong>in</strong> a period of 5 years preced<strong>in</strong>gthe application of crim<strong>in</strong>al proceed<strong>in</strong>gs or liability <strong>in</strong> civil proceed<strong>in</strong>gs by acourt of law of fraud, dishonesty, unprofessional or dishonourable activity orbreach of fiduciary duty,• Has been found guilty by a statutory or professional or voluntary body of negligence,<strong>in</strong>competence, mismanagement of sufficient importance,• Has not have been denied membership of a statutory professional or voluntary body,• Has not been found guilty by any regulatory or supervisory body, <strong>in</strong>side or outside the country,• Has not had authorisation to carry on bus<strong>in</strong>ess refused, suspended or withdrawn by any suchbody,• Must not have had any license granted to the FSP by any regulatory or supervisory bodywithdrawn.• Must not have been disqualified from tak<strong>in</strong>g part <strong>in</strong> the management of any company,regardless of whether the disqualification has s<strong>in</strong>ce been lifted or not.Honesty <strong>and</strong> <strong>in</strong>tegrity do not refer to a once-off declaration or test. It is an ongo<strong>in</strong>g process, where theKey Individual must declare, on a regular basis, to the FSP, whether anyth<strong>in</strong>g has happened to adverselyaffect this status. The FSP must also conduct checks <strong>in</strong> this regard on an ongo<strong>in</strong>g basis. If anyth<strong>in</strong>goccurred to adversely affect the honesty <strong>and</strong> <strong>in</strong>tegrity of a Key Individual, the FSP must <strong>in</strong><strong>for</strong>m theRegistrar thereof. The FSP must also <strong>in</strong>dicate to the Registrar what action they had taken <strong>in</strong> this regard.Let’s look at an example that illustrates the importance of honesty <strong>and</strong> <strong>in</strong>tegrity:August 2009 Version 2 8 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsA woman who applied <strong>for</strong> a licence as a f<strong>in</strong>ancial services provider (FSP)us<strong>in</strong>g a false matric certificate, has been convicted <strong>in</strong> the PretoriaSpecialised Commercial Crime Court on a charge of fraud.In January 2008, she fraudulently misrepresented that she had a matriccertificate when she applied <strong>for</strong> a FSP licence <strong>in</strong> terms of the F<strong>in</strong>ancial Advisory <strong>and</strong> IntermediaryServices Act (FAIS)..In terms of FAIS, FSP applicants must provide proof of their academic qualifications. The womanapplied <strong>for</strong> a licence to market short-term <strong>in</strong>surance, but had only completed st<strong>and</strong>ard seven (grade9).The court found that she never matriculated <strong>and</strong> that the Matric certificate she had attached toher application belonged to another person. She pleaded guilty <strong>in</strong> the Pretoria High Court tocharges of fraud. She was sentenced to two years correctional supervision <strong>for</strong> <strong>for</strong>g<strong>in</strong>g a Matriccertificate.A consequence of her conviction of fraud is that if she, with<strong>in</strong> 5 years from date of her conviction,applies <strong>for</strong> a new licence under FAIS, her conviction would be regarded as prima facie evidence thatshe does not comply with the requirement of honesty <strong>and</strong> <strong>in</strong>tegrity. She will have to adducecompell<strong>in</strong>g evidence to counter the prima facie evidence aga<strong>in</strong>st her.It further does not mean that if she lodges an application, after the 5 year period has elapsed, thather application will be successful. She will have to adduce evidence <strong>and</strong> establish on a balance ofprobabilities that-a) she has, <strong>in</strong>ter alia, undergone a genu<strong>in</strong>e, complete <strong>and</strong> permanent re<strong>for</strong>m;b) the defect of character that led to her be<strong>in</strong>g convicted no longer exists; <strong>and</strong>c) if authorised, she will <strong>in</strong> future conduct herself honourably <strong>and</strong> will be someone who can betrusted to carry out the duties of a FSP <strong>in</strong> a satisfactory manner as far as clients <strong>and</strong>members of the public are concerned.The Registrar will consider all the <strong>in</strong><strong>for</strong>mation at his disposal, <strong>and</strong> make a decision based on the<strong>in</strong><strong>for</strong>mation whether to grant or decl<strong>in</strong>e an application <strong>for</strong> a licence or approve or reject anapplication <strong>for</strong> approval as a Key Individual. .August 2009 Version 2 9 of 38

CompetenceA Key Individual must satisfy specific competence requirements be<strong>for</strong>e appo<strong>in</strong>tment. The fit <strong>and</strong> propercompetence requirements described <strong>in</strong> the Determ<strong>in</strong>ation of <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> are:1. Certa<strong>in</strong> m<strong>in</strong>imum EXPERIENCE requirements;2. Relevant QUALIFICATION(S) requirements;3. The completion of appropriate REGULATORY EXAMINATIONS.The relevant TRANSITIONAL ARRANGEMENTS applicable to Key Individuals approved between2004 <strong>and</strong> 2009 must also be taken <strong>in</strong>to account.4.1 1 Experience <strong>Requirements</strong>What is acceptable experience? The experience must be practical experience (<strong>in</strong> other words “h<strong>and</strong>s-on” experience) that you havega<strong>in</strong>ed specifically <strong>in</strong> terms of the management <strong>and</strong> oversight of an FSP or a similar bus<strong>in</strong>ess entity. When submitt<strong>in</strong>g your evidence of the experience you have ga<strong>in</strong>ed to the Registrar, the period of therelevant experience must be clearly specified – dates from <strong>and</strong> to must be provided. You may also submit a confirmation letter on an official letterhead of the previous employer <strong>and</strong>/orbus<strong>in</strong>ess.August 2009 Version 2 10 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsThe follow<strong>in</strong>g applies to ALL Key Individuals responsible <strong>for</strong> the management <strong>and</strong> oversight of thef<strong>in</strong>ancial services rendered by the F<strong>in</strong>ancial Services Provider: Their experience could have been ga<strong>in</strong>ed <strong>in</strong>side or outside of South Africa, Their experience could have been ga<strong>in</strong>ed <strong>in</strong> <strong>in</strong>termittent periods, not more than 5 years prior to theapplication, <strong>and</strong> <strong>in</strong>cludes experience ga<strong>in</strong>ed prior to the implementation of the FAIS Act. Their experience may have been ga<strong>in</strong>ed <strong>in</strong> the management <strong>and</strong> oversight of services similar to orcorrespond<strong>in</strong>g to the services rendered by the FSP.In ALL <strong>in</strong>stances an applicant seek<strong>in</strong>g approval as a KEY INDIVIDUAL must provideevidence of management <strong>and</strong> oversight experience.4.1.1 Specific experience requirements <strong>for</strong> the different Categories.CATEGORY I <strong>and</strong> IVA Key Individual must, on the date of approval, have at least one year’s practical experience <strong>in</strong>management <strong>and</strong> oversight activities. The one year experience can only be recognised if it wasga<strong>in</strong>ed with<strong>in</strong> the last 5 years. Look at the follow<strong>in</strong>g example of how this pr<strong>in</strong>ciple is applied:Kelly spent 4 years from January 1998 to the end ofDecember 2001 work<strong>in</strong>g as a Branch Manager of an <strong>in</strong>surancecompany <strong>in</strong> the f<strong>in</strong>ancial sector <strong>in</strong> the United K<strong>in</strong>gdom. Shechose to return to South Africa <strong>in</strong> 2002 where she gotmarried <strong>and</strong> had two children. In November 2008 she applied<strong>for</strong> a position at a small brokerage that wanted to appo<strong>in</strong>t her as a Key Individual. Herapplication was rejected by the Registrar because her management experience was ga<strong>in</strong>ed morethan 5 years prior to her application.August 2009 Version 2 11 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key Individuals4.2 QualificationsIn the new <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements, QUALIFYING CRITERIA provide pr<strong>in</strong>ciples <strong>and</strong> st<strong>and</strong>ardsaga<strong>in</strong>st which qualifications are evaluated <strong>and</strong> considered <strong>for</strong> recognition by the Registrar.What is qualify<strong>in</strong>g criteria?Qualify<strong>in</strong>g Criteria is the criteria that were developed <strong>in</strong> consultation with the f<strong>in</strong>ancial services <strong>in</strong>dustry,<strong>and</strong> these criteria stipulates what the m<strong>in</strong>imum knowledge <strong>and</strong> skills of an <strong>in</strong>dividual should be that dealswith any specific f<strong>in</strong>ancial product <strong>and</strong> fulfils a regulatory role (such as a Key Individual or aRepresentative). The qualify<strong>in</strong>g criteria describe what a person must know (knowledge) <strong>and</strong> what aperson must be able to do (skill) <strong>in</strong> order to complete a specific task (as it relates to giv<strong>in</strong>g advice <strong>and</strong>/orrender<strong>in</strong>g <strong>in</strong>termediary services) successfully.The follow<strong>in</strong>g is an example of the qualify<strong>in</strong>g criteria <strong>for</strong> a Key Individual:Task Knowledge SkillOversee <strong>and</strong> manage thecompliance functions asrequired by the FAIS Act.Expla<strong>in</strong> the requirements <strong>for</strong>approval of a compliance officerby the Registrar.Describe the role <strong>and</strong> function ofa compliance officer.Check that the compliance officeris approved by the Registrar.Replace the <strong>in</strong>tended complianceofficer if he/she does not havethe required approval of theRegistrar. Confirm that thecompliance officer has sufficientresources to provide a propercompliance service, where anoutsourced compliance officer isused.All the qualify<strong>in</strong>g criteria can be found <strong>in</strong> the Determ<strong>in</strong>ation of Qualify<strong>in</strong>g Criteria <strong>and</strong> Qualifications, 2008.August 2009 Version 2 13 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsWhat do I need to know regard<strong>in</strong>g qualifications?The ‘new’ <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements have ushered <strong>in</strong> qualificationrequirements which are significantly different from the orig<strong>in</strong>al “30/60credit” requirements as were found <strong>in</strong> Column 4 of the <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong>Determ<strong>in</strong>ation of 2006.Qualifications satisfy<strong>in</strong>g these qualify<strong>in</strong>g criteria are published <strong>in</strong> a list ofrecognised qualifications. This is an important step <strong>in</strong> the evolution of<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements <strong>for</strong> the <strong>in</strong>dustry – one which will ultimatelyplay an important role <strong>in</strong> promot<strong>in</strong>g the professional development of the f<strong>in</strong>ancial services <strong>in</strong>dustry.Remember that these qualify<strong>in</strong>g criteria are used to provide criteria aga<strong>in</strong>st which BOTH appropriatequalifications are evaluated, as well as be<strong>in</strong>g used as the basis <strong>for</strong> sett<strong>in</strong>g the regulatory exam<strong>in</strong>ations.August 2009 Version 2 14 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsWhat is meant by “recognised qualifications”?Qualifications are <strong>for</strong>mally recognised by the Registrar if the content of the qualification is deemed to beappropriate to the Category or subcategory (f<strong>in</strong>ancial product) that the Key Individuals or Representativeswill be approved or appo<strong>in</strong>ted <strong>for</strong>. This essentially means that if the content of a qualification matches thequalify<strong>in</strong>g criteria, then the qualification is deemed to be appropriate.Why is the recognition given to qualifications not all the same?As you might imag<strong>in</strong>e, it’s not always possible to f<strong>in</strong>d qualifications that match all of the qualify<strong>in</strong>g criteria100%. So <strong>in</strong> order to make the recognition of qualifications practical <strong>and</strong> manageable, the follow<strong>in</strong>gapproach was implemented:“Generic - G”(Indicated with a “G” on the list ofrecognised qualifications)The qualifications that match thequalify<strong>in</strong>g criteria only partially <strong>in</strong>terms of their content arerecognised as generic, <strong>and</strong> as aresult a Representative that hasobta<strong>in</strong>ed this type of qualificationwill have to also complete theproduct specific regulatoryexam<strong>in</strong>ations.“Specific - S”(Recognition up unto Dec 2009 –<strong>in</strong>dicated with a “S” on the list ofrecognised qualifications)The qualifications that match thequalify<strong>in</strong>g criteria 80% <strong>in</strong> terms oftheir content is recognised asspecific, <strong>and</strong> as a result allRepresentatives that haveobta<strong>in</strong>ed these type ofqualifications up unto the end of2009 will be exempted fromwrit<strong>in</strong>g the product specificregulatory exam<strong>in</strong>ations.Please note however that thistype of recognition only applies tothe transitional period, <strong>and</strong> fromJanuary 2010 persons enter<strong>in</strong>g<strong>in</strong>to the <strong>in</strong>dustry will not be ableto use the “S” recognition as itwill fall away.“Specific - SP”(Recognition from 2010 onwards –<strong>in</strong>dicated with a “SP” on the list ofrecognised qualifications)The qualifications that match thequalify<strong>in</strong>g criteria 100% <strong>in</strong> termsof their content will be recognisedas “SP” <strong>and</strong> this would mean thatRepresentatives that obta<strong>in</strong>these qualifications will beexempted from writ<strong>in</strong>g theproduct specific regulatoryexam<strong>in</strong>ation.This recognition does not onlyapply to the transitional period,<strong>and</strong> will apply from 2010onwards.Please note: The list of recognised qualifications also <strong>in</strong>clude qualifications that are specificallyrecognised <strong>for</strong> Key Individuals.August 2009 Version 2 15 of 38

However, this list will be updated <strong>and</strong> re-published every quarter. Theupdated version of the list will be available on the FSB website from mid-2009.How do I read the list of recognised qualifications?The list was developed <strong>in</strong> a matrix <strong>for</strong>mat. This is an example of the list, <strong>and</strong> how you should read the<strong>in</strong><strong>for</strong>mation on the list <strong>in</strong> order to identify whether your qualification is recognised, <strong>and</strong> if so, how thequalification is recognised.There are several different lists depend<strong>in</strong>g on the license Categories i.e. Category I, Category II <strong>and</strong> IIA,Category III <strong>and</strong> Category IV. It is important to always check which list you are deal<strong>in</strong>g with be<strong>for</strong>e look<strong>in</strong>gat the detail of the qualification <strong>in</strong><strong>for</strong>mation. Always ensure that you are look<strong>in</strong>g at the list that applies toyou.When look<strong>in</strong>g at a specific qualification, you need to check how the qualification is recognised to identifywhether you will be required to complete the product specific regulatory exam<strong>in</strong>ation (which will bediscussed <strong>in</strong> a lot more detail later on <strong>in</strong> this manual).August 2009 Version 2 16 of 38

Remember that it is the content of the qualification thatmust match the qualify<strong>in</strong>g criteria <strong>for</strong> the specific subcategory / product category, <strong>and</strong> based on this thetype of recognition is awarded.What do I do if my qualification is not on the list?You may apply to <strong>in</strong>clude your qualification on the list of recognised qualifications. The application <strong>for</strong>mcan be downloaded from the FSB website or you can complete the <strong>for</strong>m onl<strong>in</strong>e.How often will the list be updated?The list will be updated at least once every quarter.What qualification must I have if I am already an approved Key Individual?• If you have been approved as a Key Individual dur<strong>in</strong>g the transitional period (2004 to 2009), then youneed to refer to the “Transitional <strong>Requirements</strong>” section of this guide <strong>for</strong> step by step <strong>in</strong><strong>for</strong>mationregard<strong>in</strong>g the qualification you require by 31 December 2009.August 2009 Version 2 17 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsWhat qualification must I have if I am plann<strong>in</strong>g on apply<strong>in</strong>g to become a Key Individual <strong>in</strong> 2010 orlater?You would need to obta<strong>in</strong> a qualification from the list of recognised qualifications, <strong>and</strong> you must havecompleted this qualification at the time that you apply <strong>for</strong> approval as a Key Individual.• Key Individual (manage <strong>and</strong> oversee the bus<strong>in</strong>ess only):If you are appo<strong>in</strong>ted as a Key Individual that only manage <strong>and</strong> oversee the bus<strong>in</strong>ess from 2010, thenyou need to have obta<strong>in</strong>ed a qualification relevant to Key Individuals (last column <strong>in</strong>dicated above)prior to be<strong>in</strong>g appo<strong>in</strong>ted <strong>and</strong> approved as a Key Individual.• Key Individual AND Representative:If you are appo<strong>in</strong>ted as both a Key Individual (manage <strong>and</strong> oversee the bus<strong>in</strong>ess) <strong>and</strong> aRepresentative (also gives advice <strong>and</strong>/or render <strong>in</strong>termediary services) then you must have obta<strong>in</strong>eda relevant qualification recognised <strong>for</strong> the f<strong>in</strong>ancial product(s) you are responsible <strong>for</strong> as aRepresentative. In this case it is not compulsory to have two qualifications i.e. one qualification as aKey Individual <strong>and</strong> one qualification as a Representative. However, your qualification must berelevant to the subcategories (f<strong>in</strong>ancial products) you are responsible <strong>for</strong>.IMPORTANT NOTICEDue to the number of questions <strong>and</strong> queries received from <strong>in</strong>dustry <strong>and</strong> tra<strong>in</strong><strong>in</strong>gproviders, the follow<strong>in</strong>g must be clarified:• The FSB (Registrar of F<strong>in</strong>ancial Services Providers) does NOT qualityassure nor conduct programme approval of qualifications – that is theresponsibility of SAQA usually through the SETAs <strong>and</strong> Higher EducationInstitutions.• The FSB does NOT accredit tra<strong>in</strong><strong>in</strong>g providers. This is the role of the SETAs <strong>and</strong> Higher EducationInstitutions.• The FSB has determ<strong>in</strong>ed qualify<strong>in</strong>g criteria which are deemed appropriate <strong>for</strong> <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong>purposes only.• The FSB compares the qualification (which has already been approved <strong>and</strong>/or accredited by a SETA<strong>and</strong> SAQA) to the qualify<strong>in</strong>g criteria to determ<strong>in</strong>e if the qualification is appropriate <strong>for</strong> <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong>purposes.• If the qualification is deemed to be appropriate then it is recognised by the FSB <strong>and</strong> placed on the listof recognised qualifications which was published <strong>in</strong> the Determ<strong>in</strong>ation of Qualify<strong>in</strong>g Criteria <strong>and</strong>August 2009 Version 2 18 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key IndividualsQualifications, 2008.• The list of recognised qualifications is updated on a regular basis – updates be<strong>in</strong>g published by theFSB.• If a qualification is not deemed to be appropriate <strong>and</strong> there<strong>for</strong>e is NOT recognised by the FSB thatdoes not imply the qualification is of poor quality, it simply means that the qualification contentdoes not match the qualify<strong>in</strong>g criteria set out by the FSB.• The roles <strong>and</strong> responsibilities of the two Regulators (i.e. SAQA <strong>and</strong> the FSB) do NOT overlap – putsimply SAQA accredits <strong>and</strong> registers qualifications <strong>and</strong> learner results accord<strong>in</strong>g to SAQA approvedst<strong>and</strong>ards. The FSB does someth<strong>in</strong>g quite different.• The FSB verifies whether a SAQA accredited qualification is appropriate <strong>for</strong> <strong>Fit</strong> & <strong>Proper</strong>purposes only by compar<strong>in</strong>g the qualification with its predeterm<strong>in</strong>ed qualify<strong>in</strong>g criteria. If thequalification is deemed to satisfy the qualify<strong>in</strong>g criteria then the qualification is placed on the list ofFSB recognised qualifications.4.3 Regulatory Exam<strong>in</strong>ationsThe ‘new’ <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements published <strong>in</strong> 2008 have <strong>in</strong>troduced the <strong>in</strong>dustry to a new concept,namely Regulatory Exam<strong>in</strong>ations. These Regulatory Exam<strong>in</strong>ations will have an important impact on thef<strong>in</strong>ancial services <strong>in</strong>dustry.The concept is important <strong>and</strong> ALL Key Individuals must familiarise themselves with theirobligations <strong>in</strong> terms of these Regulatory Exam<strong>in</strong>ations.There are two levels of regulatory exam<strong>in</strong>ations:Regulatory exam<strong>in</strong>ation Level 1:This regulatory exam<strong>in</strong>ation deals with the regulatory framework <strong>and</strong> is compulsory to all <strong>in</strong>dividuals <strong>in</strong> thef<strong>in</strong>ancial services sector. The content of this exam<strong>in</strong>ation focus on the regulatory framework, i.e. FAIS,FICA, Code of Conduct, etc.There will be different variations of this exam<strong>in</strong>ation depend<strong>in</strong>g on whether you are work<strong>in</strong>g <strong>in</strong> a CategoryI, II, IIA, III or IV environment, <strong>and</strong> whether you are a Key Individual or a Representative.Regulatory exam<strong>in</strong>ation Level 2:The Level 2 regulatory exam<strong>in</strong>ation only applies to Representatives, so if you fulfil the role of aRepresentative as well, then these exam<strong>in</strong>ations will also apply to you. The level 2 regulatoryexam<strong>in</strong>ations are the “product specific” exam<strong>in</strong>ations <strong>and</strong> there<strong>for</strong>e cover the knowledge <strong>and</strong> skillAugust 2009 Version 2 19 of 38

This regulatoryexam<strong>in</strong>ation focuses on your role <strong>and</strong> responsibilities as a Key Individual, <strong>and</strong> what you need to knowabout the FAIS Act <strong>in</strong> order to ensure compliance with<strong>in</strong> your organisation.In order to see what will be covered <strong>in</strong> this exam<strong>in</strong>ation, you can refer to the Determ<strong>in</strong>ation of Qualify<strong>in</strong>gCriteria <strong>and</strong> Qualifications Annexure 1. You will f<strong>in</strong>d the qualify<strong>in</strong>g criteria <strong>for</strong> the follow<strong>in</strong>g regulatoryexam<strong>in</strong>ations:• First level regulatory exam<strong>in</strong>ation <strong>for</strong> applicants <strong>and</strong> / or Key Individuals <strong>in</strong> Category I, II, IIA, III <strong>and</strong>IV;• First level regulatory exam<strong>in</strong>ation <strong>for</strong> applicants <strong>and</strong> / or Key Individuals <strong>in</strong> Category II <strong>and</strong> IIA;• First level regulatory exam<strong>in</strong>ation <strong>for</strong> applicants <strong>and</strong> / or Key Individuals <strong>in</strong> Category III.The reason why there are more than one set of qualify<strong>in</strong>g criteria <strong>for</strong> Key Individuals is because there arecriteria applicable to all Key Individuals <strong>in</strong> all the various Categories, <strong>and</strong> then there are additional criteriathat applies only to Key Individuals <strong>in</strong> a specific Category. The qualify<strong>in</strong>g criteria will be comb<strong>in</strong>ed <strong>in</strong>to oneexam<strong>in</strong>ation depend<strong>in</strong>g on which Category applies to you as a Key Individual.How do the regulatory exam<strong>in</strong>ations affect Key Individuals that are also Representatives?Where Key Individuals are also Representatives, they will be required to complete the regulatoryexam<strong>in</strong>ation level 1 exam<strong>in</strong>ation <strong>for</strong> Key Individuals <strong>and</strong> <strong>for</strong> Representatives because the qualify<strong>in</strong>gcriteria <strong>for</strong> the two exam<strong>in</strong>ations differ. Please refer to the “Transitional Arrangements” section of this guide <strong>for</strong> more detailed<strong>in</strong><strong>for</strong>mation <strong>in</strong> this regard.When must the regulatory exam<strong>in</strong>ations be completed?Key Individuals that apply <strong>for</strong> approval from 2011 onwards must have completed the regulatoryexam<strong>in</strong>ations by the time that they apply <strong>for</strong> approval. It is the Key Individual’s responsibility <strong>in</strong> terms ofthe Act to underst<strong>and</strong> the operational ability requirements as they are responsible <strong>for</strong> ensur<strong>in</strong>g alone ortogether with other co-appo<strong>in</strong>tees that the FSP comply with these requirements.However, there is one requirement that affects the Key Individual directly.A Key Individual <strong>in</strong> respect of an FSP, must be able to ma<strong>in</strong>ta<strong>in</strong> the operationalability to fulfil the responsibilities imposed by the Act on FSPs, <strong>in</strong>clud<strong>in</strong>g theoversight of the f<strong>in</strong>ancial services (regard<strong>in</strong>g the giv<strong>in</strong>g of advice <strong>and</strong> render<strong>in</strong>gof <strong>in</strong>termediary services) provided by the Representatives of the FSP.What this essentially means is that if you, as the Key Individual, is manag<strong>in</strong>g<strong>and</strong> oversee<strong>in</strong>g 250 Representatives distributed across all the prov<strong>in</strong>ces, then you probably do not havethe operational ability to really manage <strong>and</strong> oversee the activities of all 250 Representatives effectively.You would there<strong>for</strong>e have to ensure that your organisational structures allow you to manage <strong>and</strong> overseethe Representatives effectively, <strong>and</strong> that the number of Representatives that you have to manage <strong>and</strong>over see is manageable.The new operational ability requirements come <strong>in</strong>to operation on 1 January 2010.6. . F<strong>in</strong>ancial SoundnessThe f<strong>in</strong>ancial soundness requirements are applicable to the FSP <strong>and</strong> not the KeyIndividual. Cont<strong>in</strong>uous Professional Development (CPD)With<strong>in</strong> the context of <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> the objectives of CPD are to ensure the follow<strong>in</strong>g happens <strong>and</strong>/or toassist Key Individuals to:• Develop <strong>and</strong> ma<strong>in</strong>ta<strong>in</strong> professional competence <strong>in</strong> order to provide f<strong>in</strong>ancial services of a high quality<strong>in</strong> the public <strong>in</strong>terest that will support the professionalism of the f<strong>in</strong>ancial services <strong>in</strong>dustry;• Underst<strong>and</strong> that the primary responsibility of competence vests <strong>in</strong> the <strong>in</strong>dividual, <strong>and</strong> that they havean obligation to develop <strong>and</strong> ma<strong>in</strong>ta<strong>in</strong> their professionalcompetence;• Render f<strong>in</strong>ancial services with due care, competence <strong>and</strong>diligence with an ongo<strong>in</strong>g duty to ma<strong>in</strong>ta<strong>in</strong> knowledge <strong>and</strong> skill ata level required to ensure that the client receives competentprofessional service based on up-to-date developments <strong>in</strong>legislation <strong>and</strong> the f<strong>in</strong>ancial services <strong>in</strong>dustry.What type of programme / activity will be recognised as relevant <strong>for</strong> CPD purposes?Examples of verifiable CPD programmes <strong>and</strong>/or activities <strong>in</strong>clude, but are not limited to:• Courses, conferences or sem<strong>in</strong>ars;• Studies lead<strong>in</strong>g to <strong>for</strong>mal assessments such as additional qualifications;• Workshops• Structured self-study programmes <strong>in</strong>clud<strong>in</strong>g web-based, computer-based or paper-based delivery thatassess knowledge.How do I know if a programme / activity is recognised by the Registrar?In order <strong>for</strong> a programme <strong>and</strong>/or activity to be approved by the Registrar the follow<strong>in</strong>g <strong>in</strong>stitutions mayapply to the Registrar <strong>for</strong> recognition of their offer<strong>in</strong>g of CPD programmes <strong>and</strong>/or activities:• Industry associations;• Statutory or voluntary professional bodies;• Employers;• Individuals or experts;• Institutions of higher education & accredited tra<strong>in</strong><strong>in</strong>g providers.August 2009 Version 2 26 of 38

There<strong>for</strong>e,as soon as the Key Individual meets all the competence requirements (i.e.experience, qualification <strong>and</strong> regulatory exam<strong>in</strong>ation(s)), CPD will come <strong>in</strong>toeffect.For example, a Key Individual that has obta<strong>in</strong>ed his experience <strong>and</strong>qualification prior to approval <strong>in</strong> 2008 will be required to complete theregulatory exam<strong>in</strong>ation Level 1 by 31 December 2011. CPD will there<strong>for</strong>eapply from 2012.What are CPD hours?The concept of hours <strong>in</strong>volves time spent on updat<strong>in</strong>g your exist<strong>in</strong>g knowledge <strong>and</strong> skills <strong>and</strong> ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>gyour level of competence.How many hours of CPD will I need to do?The hours of CPD required <strong>for</strong> a Key Individual depends on the specific regulatory role that he/ she fulfils:• If the Key Individual fulfils the role of only a Key Individual (management <strong>and</strong> oversight only), then theCPD hours is as follows:∼ Category I: 30 hours over a three year cycle∼ Category II, IIA <strong>and</strong> III: 60 hours over a three year cycle∼ Category IV: 30 hours over a three year cycle• If the Key Individual fulfils the role of a Key Individual <strong>and</strong> a Representative (management <strong>and</strong>oversight <strong>and</strong> giv<strong>in</strong>g advice <strong>and</strong>/or render<strong>in</strong>g <strong>in</strong>termediary services), then the CPD hours that appliesto Representatives will apply to the Key Individual. Theprofessional body must record the CPD requirements <strong>and</strong> provide the Registrar with the details of theCPD hours <strong>and</strong> <strong>in</strong><strong>for</strong>mation.What is the application process <strong>for</strong> recognition of CPD programmes?• Accredited tra<strong>in</strong><strong>in</strong>g providers, <strong>in</strong>stitutions of higher education, professional bodies, employers,<strong>in</strong>dividuals <strong>and</strong> <strong>in</strong>dustry associations may apply to the Registrar <strong>for</strong> the recognition of a programme<strong>for</strong> CPD purposes;• Application can be made to add a programme <strong>and</strong>/or activity to the CPD list of approvedprogrammes;• Application can also be made to apply <strong>for</strong> a programme to be removed;• Persons apply<strong>in</strong>g <strong>for</strong> recognition of CPD programmes must use the CPD application <strong>for</strong>m which isconta<strong>in</strong>ed <strong>in</strong> the Annexure to Board Notice 103 of 2008;• The application <strong>for</strong>m together with any other required documents must be submitted directly to theRegistrar <strong>in</strong> hard copy <strong>for</strong>mat, OR it can be submitted on the FSB’s website;August 2009 Version 2 29 of 38


<strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>Requirements</strong> <strong>in</strong> Pla<strong>in</strong> <strong>Language</strong> <strong>for</strong> Key Individuals• The application requires:∼ Bus<strong>in</strong>ess <strong>in</strong><strong>for</strong>mation about the applicant;∼ CPD programme/activity details∼ CPD programme applicability;∼ CPD programme content.• The Registrar will approve such applications based on the programme application <strong>and</strong> its suitability<strong>for</strong> CPD purposes; <strong>and</strong>• The result of the application will be communicated to the applicant with<strong>in</strong> a period of 4 to 6 months;• A CPD reference list of approved programmes will be developed <strong>and</strong> made available to make iteasier to identify which programmes are relevant <strong>for</strong> CPD;• The list of approved programmes will be updated <strong>and</strong>/or amended regularly.8. . Services Under SupervisionIn the new <strong>Fit</strong> & <strong>Proper</strong> requirements, the conditions on the render<strong>in</strong>g of services under supervision havebeen exp<strong>and</strong>ed significantly. The ma<strong>in</strong> difference be<strong>in</strong>g that supervision now covers BOTH experience<strong>and</strong> qualification requirements with<strong>in</strong> the <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> regulations. Key Individuals will have tofamiliarise themselves with this aspect of <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> so as to ensure that they manage <strong>and</strong> overseethe supervision process effectively. Supervision also now extends to Category II, Category IIA <strong>and</strong>Category III.Key Individuals must become familiar with <strong>and</strong> <strong>in</strong>volved <strong>in</strong> the supervision element of <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> <strong>for</strong>the follow<strong>in</strong>g reasons:1. The Act places the function of “management <strong>and</strong> oversight” of the FSP as a key function of the KeyIndividual. Supervision of a Representative now covers both the experience <strong>and</strong> the qualificationrequirements of a Representative <strong>and</strong> this process ofsupervision can now last up to six years while aRepresentative is complet<strong>in</strong>g the required experience <strong>and</strong>qualification. Clients must be <strong>in</strong><strong>for</strong>med of the status ofRepresentatives as they render advice <strong>and</strong>/or <strong>in</strong>termediaryservices on behalf of the FSP. The regulated requirementsof this process make it clear that Key Individuals mustmanage the process professionally <strong>and</strong> authentically.August 2009 Version 2 30 of 38

The second key element of supervision is that Key Individuals can now also per<strong>for</strong>m the function of aRepresentative when they themselves dispense advice <strong>and</strong>/or render <strong>in</strong>termediary services. KeyIndividual who do NOT have the necessary product experience at the time that they are appo<strong>in</strong>ted asa Representative to give advice <strong>and</strong>/or render <strong>in</strong>termediary services, may be permitted to obta<strong>in</strong> thisproduct specific experience under supervision, just like a Representative would have been allowed todo.There<strong>for</strong>e, a Key Individual that fulfils the role of a Key Individual <strong>and</strong> a Representative, must havethe practical management <strong>and</strong> oversight experience at the time of approval as a Key Individual, butmay ga<strong>in</strong> his/her product specific experience as a Representative under supervision.Key Individuals who want to act as Representatives <strong>in</strong> product subcategories where they lack therequired product experience must ensure that they work under supervision <strong>for</strong> the requiredexperience period.As part of their management <strong>and</strong> oversight role, Key Individuals must ensure that supervision isimplemented effectively with<strong>in</strong> the scope of the <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> regulations with<strong>in</strong> the FSP.9. Transitional ArrangementsThe development of the suite of <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements has sensibly evolved <strong>in</strong> dist<strong>in</strong>ct stages. Thishas required TRANSITIONAL ARRANGEMENTS to enable Key Individuals <strong>in</strong> the system when the FAISAct was enacted, to move seamlessly toward the goal of the <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong> requirements published <strong>in</strong>2008.The transitional arrangements apply to all Key Individuals who were approved by the Registrar dur<strong>in</strong>g theperiod September 2004 to 31 December 2009.Be<strong>for</strong>e discuss<strong>in</strong>g the transitional arrangements <strong>in</strong> more detail, the follow<strong>in</strong>g must be clarified:Date of first appo<strong>in</strong>tment / approvalThe concept of “Date of First Appo<strong>in</strong>tment <strong>in</strong> an authorised FSP” isabsolutely critical – it matters (<strong>in</strong> terms of deadl<strong>in</strong>es) whether youare approved as a Key Individual <strong>in</strong> 2004 or 2008, <strong>for</strong> example.August 2009 Version 2 31 of 38

Check date of first appo<strong>in</strong>tment. • You can do this by check<strong>in</strong>g how the FSB recorded yourdate of first appo<strong>in</strong>tment (obta<strong>in</strong> this <strong>in</strong><strong>for</strong>mation from theFSB website).2. Establish the FAIS deadl<strong>in</strong>e that • Do you fall <strong>in</strong>to Group 1 or Group 2?applies to you.• By identify<strong>in</strong>g which transitional Group you fall <strong>in</strong>to, youwill be able to identify the dates that apply to youspecifically.3. Establish what qualification • Establish from the Determ<strong>in</strong>ation <strong>for</strong> <strong>Fit</strong> <strong>and</strong> <strong>Proper</strong>requirements apply to you.<strong>Requirements</strong> if you meet the qualification requirements <strong>in</strong>terms of Table E (i.e. 30/60 credits on a specific NQFlevel).• If you do not meet the requirements, establish exactlywhat you should do to obta<strong>in</strong> to obta<strong>in</strong> the relevantqualification requirements <strong>for</strong> the most ‘onerous’subcategory or category <strong>for</strong> which you are approved.• Note: If you fall <strong>in</strong>to Group 2 <strong>and</strong> you have chosen tocomplete a full qualification from the list of recognisedqualifications, then you need to ensure that your enrolment<strong>for</strong> this qualification is completed <strong>and</strong> that you will be ableto complete the full qualification by 31 December 2013.4. Review your current academic • Beg<strong>in</strong> with your current academic status i.e. Matric; plusstatus.any other credit bear<strong>in</strong>g studies; e.g. a Diploma orCertificate or a Degree such as a B.Com. Degree or theUNISA/INSETA once-off assessments done <strong>in</strong> 2004 or anICiBS or a CoP; or MultiMark 111 etc.5. Check that your skills programme /qualification is appropriate.• To do this look at the unit st<strong>and</strong>ards <strong>in</strong>cluded <strong>in</strong> the skillsprogramme – the unit st<strong>and</strong>ards must be relevant <strong>and</strong>must not consist of fundamental unit st<strong>and</strong>ards.• The subjects of a qualification must also be appropriate.For guidance, look at the Determ<strong>in</strong>ation of Qualify<strong>in</strong>gCriteria <strong>and</strong> Qualifications, 2008. It conta<strong>in</strong>s a list ofappropriate subjects, <strong>and</strong> a qualification must at leastconta<strong>in</strong> three of these subjects <strong>in</strong> order to be deemedJuly 2009 Version 1 36 of 38

(You can’t get credits twice!)6. You identify that you do not meetthe qualification requirements.7. You have identified that you meetthe qualification requirements.• If the above process identifies that you have a FAIScredit/qualification shortfall take immediate steps to enrolwith an accredited tra<strong>in</strong><strong>in</strong>g provider to obta<strong>in</strong> thenecessary credits.• If you meet the qualification requirements then you need tomonitor the FSB website <strong>for</strong> enrolment <strong>in</strong><strong>for</strong>mationregard<strong>in</strong>g the regulatory exam<strong>in</strong>ations. Theseexam<strong>in</strong>ations will be available from the 1 st quarter of 2010.• To meet the exam<strong>in</strong>ation deadl<strong>in</strong>es try <strong>and</strong> enrol as early<strong>and</strong> possible to ensure that you will be able to completethe necessary regulatory exam<strong>in</strong>ations <strong>in</strong> time <strong>for</strong> the duedates. It is expected that most people will wait until the lastm<strong>in</strong>ute to write the exam<strong>in</strong>ation, <strong>and</strong> then not all thepeople will be accommodated due to a limited number ofseats be<strong>in</strong>g available. Rather ensure that you enrol earlierto ensure that you can complete the exam<strong>in</strong>ation <strong>in</strong> time.10.
