confidence in <strong>India</strong>n consumers.<br />
Your Company launched an array <strong>of</strong> new products to meet all budgets<br />
<strong>the</strong>reby quenching <strong>the</strong> growing demands <strong>of</strong> <strong>the</strong> consumers. The<br />
new products were targeted at new destinations and new customer<br />
niche segments like Marathi/ Gujarati/ Jain/ South <strong>India</strong>n tours. Your<br />
Company also expanded its distribution network by opening several<br />
new stores and appointing new franchisees across <strong>the</strong> country.<br />
A new and radical marketing campaign has been unveiled – ‘Travel<br />
Smooth’ – emphasizing <strong>the</strong> unique positioning <strong>of</strong> your Company in its<br />
ability to <strong>of</strong>fer all travel related services under one ro<strong>of</strong>. This marketing<br />
campaign has been designed to alleviate pain points encountered by<br />
travelers- pre, during and post trip. The Company has launched new<br />
television commercials as <strong>part</strong> <strong>of</strong> <strong>the</strong> same.<br />
As per forecasts by UNWTO, it is expected that international tourism<br />
would continue its growth in 2012, although at a slower rate. Arrivals<br />
are expected to increase by 3% to 4%, reaching <strong>the</strong> historic one billion<br />
mark by <strong>the</strong> end <strong>of</strong> 2012.<br />
Leisure Travel (Inbound):<br />
Despite <strong>the</strong> constraints like recessionary conditions in <strong>the</strong> source<br />
markets, <strong>the</strong> demand in <strong>the</strong> leisure inbound holiday space was at<br />
same level compared to last year. Your company launched new<br />
products like PURE to meet <strong>the</strong> growing demands <strong>of</strong> <strong>the</strong> inbound<br />
luxury consumers. Continued negotiation with suppliers helped<br />
<strong>the</strong> company to protect <strong>the</strong> margins. Costs were kept under a tight<br />
control with several initiatives being taken to boost productivity. Your<br />
Company had restructured <strong>the</strong> Inbound sales & operational structures<br />
to focus on acquisition to new business and rework positively on<br />
existing relationships with business <strong>part</strong>ners to bring sales & revenue<br />
growth.<br />
The outlook for next year looks positive; demand for travel services<br />
continues to grow. Your Company will nurture and grow <strong>the</strong> new<br />
product lines and continue to innovate to meet <strong>the</strong> needs and<br />
expectations <strong>of</strong> <strong>the</strong> customers. The increase in total ticketed volume<br />
for <strong>the</strong> combined travel businesses will enable us to have better<br />
bargaining power with our principals and to sustain higher revenue<br />
margins in <strong>the</strong> coming year.<br />
MICE (Meetings, Incentives, Conferences & Events):<br />
MICE business has witnessed an overall growth with strong focus on<br />
Auto and Paint Industries. Pharma market was tapped and overseas<br />
medical conventions were managed on a large scale.<br />
The introduction <strong>of</strong> Key Account Managers and <strong>the</strong>ir support has led<br />
to Corporates continuing to avail our services. The year witnessed an<br />
increase in revenue with one <strong>of</strong> <strong>the</strong> factors being MICE as a division<br />
concentrating on high revenue generating business.<br />
Visa and Passport Business:<br />
This three-year old vertical <strong>of</strong> your Company with over 0.14 million<br />
transactions in <strong>the</strong> year is growing from strength to strength. A<strong>part</strong><br />
from catering to <strong>the</strong> Travel Businesses <strong>of</strong> your Company, it has added<br />
direct external customers for <strong>the</strong>ir visa, passport and ancillary services<br />
[Attestations, Legalization, Apostille, Translation, Notarization <strong>of</strong><br />
documents, Foreigners Regional Registration Office (FRRO) registration/<br />
visa extension/ exit permit, procures People <strong>of</strong> <strong>India</strong>n Origin (PIO) /<br />
<strong>Thomas</strong> <strong>Cook</strong> (<strong>India</strong>) Limited<br />
Overseas Citizen <strong>of</strong> <strong>India</strong> (OCI) cards]. Additionally, your Company has<br />
tied up with attorneys to service <strong>the</strong> long-term immigration visas/<br />
work permits required by corporates for <strong>the</strong>ir projects abroad to move<br />
<strong>the</strong>ir resources to <strong>the</strong>se countries.<br />
The content site developed by <strong>the</strong> business has now been packaged<br />
and is being promoted and sold as a reckoner to <strong>the</strong> travel industry<br />
and is also being shared with internal businesses for visa information.<br />
Informative and rich in content, it facilitates travellers who wish to<br />
apply for visas and provides detailed information to intermediary<br />
customers and agents. It also has an online tracker enabling tracking<br />
<strong>the</strong> documents through its various stages <strong>of</strong> processing.<br />
Travel Corporation (<strong>India</strong>) Limited, <strong>the</strong> Company’s subsidiary has also<br />
incorporated a new company, styled TC Visa Services (<strong>India</strong>) Limited,<br />
to handle <strong>the</strong> visa, passport and o<strong>the</strong>r allied services. It is expected to<br />
commence operations in <strong>the</strong> present year. We expect this to increase<br />
efficiency.<br />
The business is poised for fur<strong>the</strong>r growth in view <strong>of</strong> increase in <strong>India</strong>ns<br />
with high disposable incomes travelling overseas on holidays.<br />
The business continues to face challenges and risks in <strong>the</strong> form <strong>of</strong><br />
biometrics processes being introduced by some <strong>of</strong> <strong>the</strong> Missions<br />
and <strong>the</strong> Passport <strong>of</strong>fices which eliminate <strong>the</strong> use <strong>of</strong> intermediaries.<br />
‘Visas on Arrival’ being granted to <strong>India</strong>ns in selective cases, pose <strong>the</strong><br />
challenge <strong>of</strong> fewer visas being processed.<br />
E-Business:<br />
Online travel industry in <strong>India</strong> is continuing to grow at leaps and<br />
bounds. According to <strong>the</strong> IAMAI & IMRB report <strong>of</strong> 2010, <strong>the</strong> industry<br />
grew by 70% (y-o-y) in December, 2010. Whilst <strong>the</strong>re are no reports<br />
available for 2011 as yet, trade estimates peg <strong>the</strong> industry growth at<br />
50% for <strong>the</strong> year ended December, 2011.<br />
With <strong>the</strong> increasing awareness <strong>of</strong> internet and <strong>the</strong> convenience it<br />
<strong>of</strong>fers, a large number <strong>of</strong> consumers are adopting <strong>the</strong> online medium<br />
for research as well as purchase <strong>of</strong> travel & travel related services.<br />
This channel continues to be a focus area for growth for <strong>Thomas</strong> <strong>Cook</strong><br />
and we have invested in <strong>the</strong> past one year on building our online<br />
capabilities. Last year, we introduced our domestic hotels & holidays<br />
products for sale on <strong>the</strong> website, which received a good response.<br />
We also provide an online self booking solution to Small & Medium<br />
Enterprises (SMEs). We have seen significant growth in this business in<br />
<strong>the</strong> last one year (around 80% y-o-y) and expect this growth to fur<strong>the</strong>r<br />
increase as we make inroads into this segment.<br />
FINANCIAL PERFORMANCE<br />
The Company has posted pr<strong>of</strong>it before tax (and before exceptional<br />
items) <strong>of</strong> ` 829 million (previous year ` 532 million) and <strong>the</strong> pr<strong>of</strong>it<br />
after tax (after exceptional items) <strong>of</strong> ` 559 million (previous year `<br />
415 million). On a consolidated basis, <strong>the</strong> pr<strong>of</strong>it before tax (and before<br />
exceptional items) stood at ` 806 million (previous year ` 636 million)<br />
and <strong>the</strong> pr<strong>of</strong>it after tax (after exceptional items) was ` 562 million<br />
(previous year 472 million).<br />
INTERNAL CONTROL SYSTEMS AND THEIR ADEQUACY<br />
Internal control systems are embedded in <strong>the</strong> processes across all<br />
functions in <strong>the</strong> Company. These systems are being regularly reviewed<br />
and wherever necessary are modified or redesigned to ensure better<br />
