flats, which are likely to be completed and made ready for occupation within 6-8 months of<br />
submission of the <strong>bid</strong>s. The requirements and other details are given in the Bid Document. Prospective<br />
developers/builders/vendors may download the document from the website www.<strong>Syndicate</strong>bank.in.<br />
The last date for submission of duly filled Bid Document is on 31.10.2012 before 03.00 pm<br />

Instructions to Bidders<br />
These instructions shall form part of the <strong>bid</strong> to be submitted by the <strong>bid</strong>der to <strong>Syndicate</strong> <strong>Bank</strong>.<br />
1. The <strong>bid</strong> Document consists of the following:<br />
A. Technical Bid:<br />

Tender offer,<br />
General Terms and Conditions,<br />
Schedule A: <strong>Bank</strong>’s Requirements<br />
Schedule B: Information about the Bidder<br />

B. Price Bid.<br />
The <strong>bid</strong>der has to submit all these documents duly filled and signed along with other additional<br />
information, drawings etc as detailed.<br />
2. Bids submitted not in accordance with these instructions and terms and conditions are liable to be<br />
rejected.<br />
3. Qualification of Bidders: The <strong>bid</strong>ders shall meet the following requirements:<br />
a. Should have at least 5 years experience in the business of developing properties.<br />
b. Should have constructed and sold at least 100 flats in the last 3 years.<br />
c. Should have an average annual turnover of Rs.20 crores during that last 3 financial years.<br />
Documentary evidence to establish these requirements will have to be furnished along with the<br />
Technical Bid. The <strong>Bank</strong> reserves its right to relax these qualifications if the <strong>bid</strong>s are otherwise<br />
found acceptable.<br />
4. Submission of Bids :<br />
� The completed Technical Bid along with all the documents, including EMD of<br />
Rs.1,00,000/- in the form of Demand Draft/Pay Order/<strong>Bank</strong> Guarantee favouring <strong>Syndicate</strong><br />
<strong>Bank</strong>, Faridabad shall be placed into an envelope (1st envelope) superscribed "Technical-<br />
Bid - Offer for sale of Residential Flats to <strong>Syndicate</strong> <strong>Bank</strong>, Faridabad". In this<br />
envelope all details except the Price Bid shall be enclosed.<br />
� The Price Bid shall be placed separately in a second envelope, sealed and super scribed<br />
"Price-Bid - for sale of Residential Flats to <strong>Syndicate</strong> <strong>Bank</strong>, Faridabad". In this<br />
envelope no other documents shall be enclosed other than Price Bid alone.<br />
� The two envelopes shall be placed in a third envelope duly superscribed "Offer for sale of<br />
residential flats at Faridabad & Gurgaon to <strong>Syndicate</strong> <strong>Bank</strong>" and submitted as detailed<br />
so as to reach on or before specified date and time. The name of the <strong>bid</strong>der should be<br />
mentioned at the bottom left hand corner of the envelope.

5. All items in the Bid Document must be duly filled in and no item should be left blank. “Nil” or<br />
“Not applicable” should be written where there is nothing to report. The authorized signatory of<br />
<strong>bid</strong>der should sign all the pages of the Bid Documents and additional documents, if any, enclosed.<br />
The <strong>Bank</strong> reserves its right to reject incomplete <strong>bid</strong>s or in cases where information submitted is<br />
found incorrect.<br />
6. In case the space in the Bid Document is found insufficient, the <strong>bid</strong>der may use separate sheets to<br />
provide full information.<br />
7. Earnest Money: Each <strong>bid</strong> must be accompanied with an Earnest Money of Rs 1.00 lakhs in the<br />
form of a Demand Draft/Pay Order/<strong>Bank</strong> Guarantee in favour of <strong>Syndicate</strong> <strong>Bank</strong>. Bids without<br />
Earnest Money Deposit shall not be accepted. The Earnest Money shall be refunded without<br />
interest as stated in the General Terms and Conditions.<br />
8. Validity of offer: The offer should remain valid for acceptance for a period of 120 days from the<br />
date of opening of technical <strong>bid</strong>s. During the validity period of the offer the <strong>bid</strong>der should not<br />
withdraw/modify the offer in any way. If the <strong>bid</strong>der withdraws his offer or modifies it during this<br />
period, or violates the tender terms, the EMD shall be forfeited.<br />
9. Property offered should satisfy the <strong>Bank</strong>’s requirements specified in Schedule A: “<strong>Bank</strong>’s<br />
requirements”.<br />
10. <strong>Bank</strong> would prefer to purchase flats which are ready for occupation or which will be ready for<br />
occupation within 6-8 months of the date of submission of <strong>bid</strong>s. <strong>Bank</strong> would prefer to buy flats in<br />
exclusive blocks.<br />
11. The property offered should be non-encumbered and have clear and marketable title. Adequate<br />
documentary evidence to this effect should be furnished along with the Technical Bid. All the legal<br />
documents required by the <strong>Bank</strong> for verification of the title clearance of the property should be<br />
submitted. The title certificate issued by <strong>Bank</strong>'s solicitor / Advocate only shall be considered.<br />
12. While furnishing the information in Technical Bid, full details of the items/ materials used/to be<br />
used including the brand name, size, quantity, quality etc. should be furnished for each and every<br />
item in the respective columns. These particulars are subject to verification.<br />
13. Copies of Plans approved by municipal authorities/competent authority should be submitted<br />
along with the Technical Bid. Particulars of the eligible FSI and FSI used etc are to be furnished<br />
in the respective column along with the requisite certificates issued by the competent authorities.<br />
14. The vendors at their own cost shall obtain Income Tax and other statutory clearances as and when<br />
required.<br />
15. The following documents should be enclosed with the offers:<br />
15.1. A copy of investigation and search report on the <strong>bid</strong>der's title to the property along with<br />
copy of Title deeds.<br />
15.2. A copy of sanctioned building plans including site plan and layout.<br />
15.3. Commencement Certificate from competent authority.<br />
15.4. Certified copy of the Occupation Certificate in case of buildings already<br />
completed.<br />
15.5. Structural Stability Certificate from licensed structural engineer of Municipal<br />
Corporation / Local authority.
15.6. No Objection Certificate from the fire control authorities:<br />
15.7. Report of the Solicitor / Advocate for marketability of titles:<br />
15.8. Copy of registered Memorandum between Developers and the landowners in<br />
case the land does not belong to the Developer.<br />
15.9. Copy of Registered Power of Attorney given to the Developer and such other<br />
related documents.<br />
15.10. Details of deviation to the sanctioned plan if any.<br />
15.11. Details of institutional/corporate buyers of the flats in the residential complex, if<br />
any.<br />
15.12. Name and details of the architect, structural consultants, Project Management<br />
Consultant, Service Consultants, Contractors to the project shall be furnished.<br />
16. Bidders may submit separate offers for different sites/locations. For each such offer, separate<br />
Schedule C should be submitted. In such cases, the Technical Bid should contain one set of<br />
complete Bid Document with separate Schedules C for each site/location. Only one Schedule B is<br />
required for each <strong>bid</strong>der. The <strong>price</strong> <strong>bid</strong>s of all offers of a <strong>bid</strong>der may be submitted in one envelope.<br />
17. The <strong>bid</strong>der shall disclose at the technical <strong>bid</strong> stage itself the names of any close relatives working<br />
with the <strong>Bank</strong>.<br />
18. <strong>Bank</strong> reserves the right to accept or reject any or all the <strong>bid</strong>s or to split the purchase among more<br />
than one <strong>bid</strong>der without assigning any reason whatsoever.<br />
19. Purchase preference may be accorded to Public Sector <strong>Bank</strong>s/Undertakings or Government<br />
Departments as per extant of rules.<br />
20. Canvassing in any form will be considered as violation and the tender will be disqualified.<br />
21. Brokers and agents are not allowed to <strong>bid</strong>. No brokerage will be paid in any form in connection<br />
with this purchase.<br />

T E N D E R - O F F E R<br />
We have read and examined and understood the Notice Inviting <strong>bid</strong>, Instructions to<br />
<strong>bid</strong>ders, General Conditions of Contract, and all other documents in the <strong>bid</strong> document<br />
for sale of residential flats to <strong>Syndicate</strong> <strong>Bank</strong>.<br />
We hereby submit our offer in the prescribed form including all schedules in<br />
accordance in all respects with the <strong>bid</strong> document.<br />
We agree to keep the <strong>bid</strong> open for 120 days from the due date of opening of Technical<br />
Bids thereof and not to make any modifications in its terms and conditions. A sum of<br />
Rs.1.00 lakh (Rupees one lakh only) is hereby forwarded as Earnest Money in the<br />
form of Demand Draft/<strong>Bank</strong> Guarantee.<br />
In the event of our withdrawing or modifying the offer or failure to furnish such other<br />
documents/clarifications/information as may be called for by the <strong>Bank</strong> during its<br />
validity period or in the event of our failure to sign the Sale Agreement within the<br />
period specified by the <strong>Bank</strong> or our failure to comply with any of the instructions<br />
contained in the <strong>bid</strong> document, we agree that the <strong>Bank</strong> shall, without prejudice to any<br />
other right or remedy, be at liberty to forfeit the said Earnest Money absolutely.<br />
We hereby declare that we treat the <strong>bid</strong> documents, drawings and other records<br />
connected with the work as secret/confidential documents and shall not communicate<br />
information/derived there from to any persons other than a person to whom we are<br />
authorized to communicate the same or use the information in any manner prejudiced<br />

We fully understand and agree that the bank is not bound to accept our or any <strong>bid</strong> and<br />
that the <strong>Bank</strong> is free to cancel the <strong>bid</strong> process without assigning any reason<br />

GENERAL TERMS & CONDITIONS<br />
1. Interpretation: In construing these conditions, the specifications, the schedules, <strong>price</strong> <strong>bid</strong>,<br />
Technical <strong>bid</strong> and Agreement, the following words shall have the meaning herein assigned to them<br />
except where the subject or context otherwise requires:<br />
1.1. <strong>Syndicate</strong> <strong>Bank</strong> or The <strong>Bank</strong> or Employer: The term shall denote <strong>Syndicate</strong> <strong>Bank</strong> with its<br />
Regional Office at 48- Neelam Bata Road, Faridabad-121001and any of its employees/<br />
representatives authorized on its behalf.<br />
1.2. Bidder or Vendor or Contractor: The term shall mean ______________________________<br />
____________________________________ (Name & address of the vendor) and their heirs,<br />
legal representatives, assigns and successors.<br />
1.3. Work: This term shall mean the work covered by this contract i.e construction and sale of<br />
premises as detailed in the <strong>bid</strong> including all connected works necessary to complete the<br />
contract in all respects.<br />
1.4. Specifications: This term shall mean the Technical Specifications attached to the <strong>bid</strong><br />
documents, submitted by the <strong>bid</strong>der with his <strong>bid</strong> and accepted by the <strong>Bank</strong> for the work.<br />
1.5. “Price Bid” shall mean the <strong>price</strong> <strong>bid</strong> submitted by the <strong>bid</strong>der with the quoted rates of the<br />
<strong>bid</strong>der.<br />
2. Submission of <strong>bid</strong>: The entire set of Bid Document should be submitted completed in all respects<br />
and signed at relevant places together with initials on all other pages. No modifications, writing<br />
(except where provided for) or corrections can be made in the <strong>bid</strong> papers by the <strong>bid</strong>der. The <strong>bid</strong><br />
shall be submitted in the manner specified in the Instructions to Bidders. The <strong>bid</strong>der shall<br />
note that the <strong>bid</strong> shall remain open for consideration for the period mentioned elsewhere in the <strong>bid</strong><br />
document.<br />
3. Scope: This <strong>bid</strong> is for planning, designing, constructing and handing over vacant possession of the<br />
premises as offered by the <strong>bid</strong>der and accepted by the <strong>Bank</strong> with all services and amenities and<br />
undivided share of land including getting all sanctions, approvals, clearances and certificates,<br />
including Occupation Certificate, from appropriate authorities and local bodies and including<br />
registration of documents and transferring the title to the <strong>Bank</strong>.<br />
4. Conveyance Deed/Sale Agreement: The successful <strong>bid</strong>der whose offer is accepted is<br />
required to execute a Sale Agreement with the <strong>Bank</strong>. The Registration formalities
including handing over possession of the property complete in all respects shall be<br />
completed within the time frame indicated in the Sale Agreement. The stamp duty,<br />
registration fees, legal fees and other incidental expenses to be incurred in connection<br />
with the registration of the property shall be borne by the <strong>Bank</strong>.<br />
5. Permits & Licenses: All sanction, permits, licenses and foreign exchange, if any,<br />
required, for procurement of all raw materials, machinery etc and employment of labour<br />
required for completing the work shall be arranged by the <strong>bid</strong>der himself at his own cost.<br />
6. Taxes, Cess, Duties, Registration, Stamp duty charges: The quoted rate must include<br />
all duties, royalties, cess, Service Tax, Sales Tax, VAT or any other taxes or local<br />
charges if applicable but excluding registration and stamp duty charges. The<br />
<strong>bid</strong>der shall agree and undertake to pay all taxes, cess and other public charges<br />
payable to statutory and other bodies pertaining to the property up to the date of<br />
handing over possession. The <strong>bid</strong>der shall indemnify the <strong>Bank</strong> against such<br />
liabilities and shall be responsible for any claims and liabilities.<br />
7. Escalation: The rate quoted shall be firm throughout the tenure of the contract and<br />
will not be subject to any fluctuation due to increase in cost of materials, labour,<br />
sales tax, Octroi etc.<br />
8. Government & Local Rules: The <strong>bid</strong>der shall conform to the provisions of all the<br />
local laws and Acts relating to the work and to the Regulations etc. of the<br />
Government and Local Authorities. The cost, if any, shall be deemed to have been<br />
included in the quoted rates, taking into account all liabilities for licenses, fees etc.<br />
that are payable in this regard and shall indemnify <strong>Syndicate</strong> <strong>Bank</strong> against such<br />
liabilities and shall be responsible for all actions arising from such claims or<br />
liabilities.<br />
9. Earnest Money: The <strong>bid</strong>der will have to deposit earnest money to the extent and in<br />
the form detailed in the NIT and Instructions to the <strong>bid</strong>der. The earnest money will<br />
not bear any interest. In case of unsuccessful <strong>bid</strong>der the earnest money will be<br />
refunded soon after the decision to award the work is taken or after expiry of the<br />
validity period of the offer. In the case of the successful <strong>bid</strong>der to whom the<br />
contract is awarded, the earnest money will be retained as part security deposit till<br />
the contract is performed in all respects. The Earnest Money is liable to be forfeited<br />
in the circumstances indicated in the general Instructions to <strong>bid</strong>ders.<br />
10. Notice inviting objections: The <strong>Bank</strong> may issue public notice in the leading news papers inviting<br />
claims/objections from the public, if any, before entering into the conveyance deed for the offered<br />
property. The <strong>bid</strong>der should not have any objection for this.
11. Inspection of the property: The short listed properties will be inspected by <strong>Bank</strong><br />
Officials/empanelled valuers, Architect for assessing the valuation and to verify the quality of<br />
construction, materials used, etc. The <strong>bid</strong>der should make necessary arrangements and provide the<br />
requisite information/ documentary proof to the visiting officials/ <strong>Bank</strong>'s approved valuers.<br />
12. Payment Terms:<br />
a. 95% of the cost of flats finalized shall be made after completion of all the required<br />
formalities including registration and taking possession etc.<br />
b. Balance 5% of the cost of flats shall be withheld as Security Deposit.<br />
c. As the requirement is for the completed flats with Occupation Certificate, no<br />
interim/advance payment shall be considered.<br />
d. All payments will be made by crossed DD only.<br />
13. Carpet area: The payment will be based on the carpet area transferred to the <strong>Bank</strong>. Carpet area<br />
shall be calculated from the internal wall to wall measurement ignoring the plastering and skirting and<br />
column offsets. Covered balconies shall be measured full in carpet areas. Door jambs/sills,<br />
shafts/ducts, Stilt area, covered / open parking spaces, lifts, staircase, common lobbies, open terraces,<br />
club house, swimming pool, pump room, watchman’s chowky, storage tanks, chajja, canopies, worship<br />
places etc. will not be included. Projected nitches for cup boards, shelves etc will not be included in<br />
carpet area.<br />
14. No separate payment will be made for the items/areas/ amenities/facilities which are included in<br />
the offer but for which separate rate is not quoted and accepted. The cost of such items/ areas/<br />
services/ amenities, which are not specifically included, is deemed to be included in the rates<br />
quoted in the <strong>price</strong> <strong>bid</strong>.<br />
15. Security Deposit: The Security Deposit deducted from the payment to the <strong>bid</strong>der<br />
shall be refunded on satisfactory completion of the Defect Liability Period or after<br />
submission of building completion/occupation certificates, whichever is later, after<br />
deducting any amount due to the <strong>Bank</strong> from the <strong>bid</strong>der on any account. No interest<br />
will be paid on security deposit. The <strong>Bank</strong> may, at its discretion, accept Security<br />
Deposit in the form of a <strong>Bank</strong> Guarantee.<br />
16. Defect Liability Period: The works covered by this contract shall have a defect liability period of<br />
12 months from the date of taking over possession by the <strong>Bank</strong> for any construction and/or<br />
installation defects and deficiencies. If any defect or deficiency of whatever nature is noticed<br />
during this period, the same shall forthwith be removed by the <strong>bid</strong>der to the satisfaction of the<br />
<strong>Bank</strong>, at the <strong>bid</strong>der’s own cost and within a reasonable time of his being informed, failing which<br />
the <strong>Bank</strong> shall remove such defects and deficiencies and recover the expenses incurred in this<br />
connection from the Security Deposit or any other money due under this contract or under any<br />
other contract.
17. Time for completion and handing over: Time is the essence of this contract. The time stipulated<br />
or agreed upon for handing over complete possession of the premises in all respects including the<br />
various services shall be followed strictly.<br />
18. Liquidated Damages: If the <strong>bid</strong>der/ vendor fails to complete in all respects the<br />
premises including various services including Completion/Occupancy Certificate<br />
to the satisfaction of <strong>Syndicate</strong> <strong>Bank</strong> and hand over vacant possession within the<br />
stipulated/agreed period, without prejudice to any other right or remedy available<br />
to the <strong>Bank</strong> on account of such breach, the <strong>bid</strong>der shall be bound to pay to<br />
<strong>Syndicate</strong> <strong>Bank</strong>, as agreed compensation, a sum calculated at the rate of Rs. 10.00<br />
(Rupees ten only) per sft of carpet area for every month or part thereof of the delay<br />
till the actual date of handing over possession.<br />
19. Materials, Workmanship, Sampling, Testing of Materials: All the works specified and<br />
provided for in the specifications or which may be required to be done in order to perform and<br />
complete the work shall be executed in the best and most workmanlike manner with materials of<br />
the best and approved quality with particulars contained in and implied by the specifications.<br />
20. Access & Inspection: Any authorized representative of the <strong>Syndicate</strong> <strong>Bank</strong>/<strong>Bank</strong><br />
Central Vigilance Commissioner/Chief Technical Examiner shall at all reasonable<br />
times have free access to the works site and the <strong>bid</strong>der shall give every facility for<br />
inspection, examination and testing the quality of materials and workmanship if so<br />
desired by the <strong>Bank</strong>.<br />
21. Legal opinion: The bank reserves its right to obtain legal opinion from its advocate<br />
to ensure that the property proposed to be purchased is free from encumbrances,<br />
necessary permission and clearances are obtained, the <strong>bid</strong>der has clear and<br />
marketable title to property etc. The <strong>bid</strong>der shall furnish all necessary information<br />
and details including copies of relevant documents for this purpose.<br />
22. SETTLEMENT OF DISPUTES AND ARBITRATION:<br />
All disputes or differences of any kind whatsoever which shall at any time arise between the parties<br />
hereto touching or concerning the works or the execution or maintenance thereof of this contract or the<br />
rights touching or concerning the works or the execution of maintenance thereof of this contract or the<br />
construction remaining operation or effect thereof or to the rights or liabilities of the parties or arising<br />
out of or in relation thereto whether during or after determination foreclosure or breach of the contract<br />
(other than those in respect of which the decision of any person is by the contract expressed to be final<br />
and binding) shall, after written notice by either party to the contract to the other, be referred for<br />
adjudication, in accordance with the Arbitration and Conciliation Act, 1996, to a Sole Arbitrator to be<br />
appointed by the <strong>Bank</strong>. The decision of the Arbitrator shall be final and binding on the parties.

for which payment well and truly to be made to the said Beneficiary, the <strong>Bank</strong> binds itself, its<br />

Provided that in the demand letter the beneficiary should mention that the amount claimed is<br />
due to the beneficiary owing to the occurrence of one or more of the conditions mentioned<br />

We undertake to pay to the beneficiary upto the above amount upon receipt of his first written<br />
demand without the beneficiary having to substantiate his demand, provided that in his<br />
demand the beneficiary will note that the amount claimed by him is due to him owing to the<br />
occurrence of one or the above mentioned conditions, specifying the occurred condition or<br />

Notwithstanding anything herein contained, our liability under this guarantee is limited to<br />

architectural norms and practices. The planning should conform to the local applicable<br />
municipal bye - laws in all respects and the National Building Code and BIS Codes and<br />
Specifications. The structural and foundation designs should have been carried out by<br />
competent, experienced and reputed consultants to suit the type of founding stratum and its<br />
bearing capacity and anticipated dead, live, wind and earthquake loads. The materials and<br />
workmanship used in the construction shall be of appropriate quality. It shall be open for the<br />
<strong>Bank</strong> to get the structural designs and the quality of materials used and the workmanship<br />
