Sales and supply conditions1 GENERALIn these Conditions ”the Seller” shall mean <strong>Endress+Hauser</strong> Limited,5 Commerce Crescent West, Eastgate Ext. 13, Sandton. ”The Buyer”shall mean the person to whom the Goods are to be supplied.All E-<strong>direct</strong> orders are accepted by Seller on these conditions of saleand, unless otherwise specifically agreed in writing by a Expressor ofSeller, these conditions of sale apply in preference to and supersedeany terms and conditions referred to, offered or relied on by theBuyer, whether in negotiation or at any stage of the order or duringany course of dealing established between Buyer and Seller. Inaddition, these conditions of sale supersede any conditions appearingin any previous <strong>Endress+Hauser</strong> E-<strong>direct</strong> catalogue.Seller reserves the right to decline to trade with any company orperson. In addition, and not withstanding any otherprovisions of these conditions of sale, Seller may decline to accept anyorder, whether or not payment has been received, by giving notice ofnon-acceptance to the Buyer by e-mail, fax or telephone, within 24-hours (excluding weekends and public holidays) of receipt by Sellerof an order. In the event that Seller declines to accept an order inrespect of which payment has been received, the full amount of suchpayment will be refunded.2 CANCELLATION ON ACCOUNT OF INSOLVENCYIf, before all the monies payable under the Contract are paid, theBuyer (being an individual or individuals) shall be the subject of areceiving order in bankruptcy or shall make any assignment or deedof arrangement for, or any composition with creditors generally, or(being a company) shall become the subject of a winding-up or of theappointment of a receiver or receiver and manager, or shall make anyarrangement with its creditors generally, or if any execution is leviedor any distress is threatened or made at any premises occupied bythe Buyer, or if the Buyer ceases to carry on business, then withoutprejudice to the rights of the Seller to exercise any other remedies, theSeller shall be entitled to rescind the Contract by giving written noticeto the Buyer.3 EXCUSABLE DELAYShould the Seller expressly or inexpressly be prevented from carryingout its obligations under the Contract before or after the due datefor delivery owing to any cause whatsoever which is not within thecontrol of the Seller, (whether in the Seller’s business or that of any ofits suppliers or sub-contractors) the Seller reserves the right (withoutprejudice to any other rights it may have) in its absolute discretionand at the Seller’s election, to do one or more of the following:a) To suspend or delay despatch or delivery of the Goods until suchtime as it may be reasonably practicable to despatch or deliver thesame.b) To use substituted materials for any specified in the Contractprovided that such substituted materials are in the Seller’s viewan adequate substitute for the materials so specified.c) To cancel the Contract, or any uncompleted portion thereofand on such Cancellation neither party shall have any claim ofwhatever nature against the other save in respect of work doneand services rendered in relation to goods delivered prior to suchcancellation.4 DRAWINGS, TECHNICAL DATA, ETCAll sketches, drawings, descriptive matters, weights, dimensions andshipping specifications provided by the Seller and the descriptions andillustrations contained in the Seller’s catalogues, <strong>price</strong> <strong>list</strong>s and otheradvertising matter are approximate only, and are intended merely torepresent a general idea of the Goods and shall not form part of theContract.5 ALTERATION TO SPECIFICATIONNotwithstanding anything to the contrary contained in theseConditions, or mutually agreed in writing between the Seller andthe Buyer, the Goods or any part thereof may be altered by the Selleror the manufacturer thereof without the Buyer’s prior consent toincorporate such changes as the Seller or manufacturer considersnecessary to correct defects, improve the Goods or to make the Goodssafer, prevent delay or ensure compliance with these Conditions andwhich have no materially adverse effect on any of the matters whichmight affect any application to which the Seller is aware that theBuyer wishes to put the Goods provided always that the Seller shallnotify the Buyer of such changes if, in the opinion of the Seller, theyalter materially the specifications of the Goods.6 PRICEPrices of Goods will be those ruling in the E-<strong>direct</strong> catalogue currentat the date of dispatch.Prices quoted exclude Value Added Tax, which will be charged at theapplicable rate at the date of dispatch. All <strong>price</strong>s are subject to R.O.E.7 CANCELLATION OF WORKAny purported cancellation of the Contract by the Buyer shall beeffective only1) if made in writing and2) if accepted in writing by the Seller and3) on payment by the Buyer ofa) 25% of the <strong>price</strong> of the Goods andb) such expenses as may be notified to the Buyer by the Selleras the Seller may have incurred in connection with theContract.8 PASSING OF PROPERTYNotwithstanding the provisions of Clause 14 hereof, the Seller andthe Buyer expressly agree for the purposes of this Clause only thatuntil the Seller has been paid in full for the goods comprised in this orany other sale contract between them:a) property in the Goods shall remain in the Seller and the Goodsshall be received and held by the Buyer as agent of and bailee forthe Seller and the Buyer shall store the Goods without charge tothe Seller in such manner that they are clearly identified as theproperty of the Seller.b) the Seller may recover all or any of the Goods from the Buyerwithout notice at any time they are in the possession of theBuyer and for that purpose the Seller and its servants and agentsmay enter upon any land or building upon which the Goods aresituated.c) If the Buyer incorporates any of the Goods in to otherproducts, the property in those other products shall, upon suchincorporation, ipso facto be transferred to the Seller, and theBuyer as bailee of them for the Seller will store the same for theSeller without charge to the Seller in such manner that they areclearly identified as the property of the Seller.d) without prejudice to the foregoing provisions of this Clausethe Buyer has the right to dispose of the Goods or such otherproducts but only for the account of and as agent for the Sellerand in the event of such disposal, the Buyer has the fiduciary dutyto the Seller to account to the Seller for the proceeds of the sale,but may retain therefrom any excess of such proceeds over thetotal amount outstanding under this and any other sale contractbetween the parties hereto.e) the Buyer shall without charge to the Seller ensure that theGoods and any products in which they are incorporated arekept in good condition and repair and shall keep such goods andproducts insured against all risks to their full replacement costunder a policy which provides for all monies payable thereunderto be paid to the Seller as agent for the Buyer for the purpose ofsatisfying from such monies any outstanding claims by the Selleragainst the Buyer and paying the balance (if any) to the Buyer.9 DELIVERY AND TRANSIT DAMAGE OR LOSSSeller shall repair or replace goods damaged in transit to the placeof delivery, provided that Buyer has notified Seller of such damagewithin 3 working days of delivery.Seller shall replace goods lost in transit to the place of delivery,provided that Buyer has notified Seller of such loss within 3 workingdays of receipt of Seller’s Invoice.BUYER MUST REFUSE PARCELS DELIVERED IN A DAMAGEDCONDITION.10 TERMS OF PAYMENT1) Payment shall be made as follows:a) Credit terms (subject to satisfactory references) are available.Payment is due 30 days nett;b) Cheque with order;c) Visa, MasterCard, Access or any other card Seller chooses toaccept.2) If payment of the <strong>price</strong>, or any part thereof is not made by thedue date, the Seller shall be entitled:a) to charge interest on the outstanding amount at the rateof 3 % above the base lending rate of Lloyds TSB Bank plcaccruing daily;b) to require payment in advance of delivery of undeliveredgoods, whether ordered under the contract or under anyother contract between Buyer and Seller. In addition, allsums payable to the Seller under the contract and any othercontract between Buyer and Seller shall become immediatelydue for payment, without regard to the terms of thatcontract;c) to refuse to make delivery of any undelivered goods, whetherordered under the contract or not and withoutincurring any liability whatever, to Buyer for delivery ornon-delivery.3) In all cases time of payment shall be of the essence of thecontract.4) The Buyer shall not be entitled to withhold or set off payment forany reason whatsoever.11 SELLER’S RIGHT OF RESALEIn the event of the Buyer failing to pay in full the whole or any partof the <strong>price</strong> payable under the Contract when due the Seller shall bereleased from the Contract and shall be entitled to re-sell the Goodsor any part thereof without notice to the Buyer and to recover fromthe Buyer any loss occasioned by the Buyer’s default. The rightsconferred on the Seller in this Clause shall not prejudice any otherright it may have under the Contract or any common law or statutoryremedy which the Seller may have.12 GUARANTEESubject to Clauses 13, 17 and 19, the Seller expressly guarantees fora period of 12 calendar months computed from the date the Goodsare ready for despatch to repair or replace any defective parts in theGoods, the defect in which part has developed under proper use andarises solely from faulty material or workmanship, provided that theSeller’s responsibility under this Clause shall be limited to the cost ofrepairing the part or the cost of the replacement part and providedalso that the part or parts are returned to the Seller’s factory by theBuyer carriage paid.The Buyer shall be responsible for ensuring the fitness of the Goodsfor the Buyer’s application.13 LIABILITY1) The Seller does not exclude liability for damages for death orpersonal injury resulting from negligence proved against the Sellerin the performance of its duties under the Contract.2) Subject to the sub-clause (1) of this Clause the Seller’s totalliability whether in contract tort or otherwise and whether inrespect of one claim or in the aggregate shall be limited to theamount of the purchase <strong>price</strong> of the Goods payable under theContract.3) Subject to sub-clause (1) of this Clause, the Seller shall not beliable in any event at any time for any inexpress or consequentialloss or damage (including but not limited to any loss ofproduction or of profits) howsoever causedsuffered by the Buyer or any other person firm or company. TheBuyer shall keep the Seller fully and effectivelyindemnified against all or any liability mentioned in the lastpreceding sentence.4) Without prejudice to the foregoing provisions of this Clause,the Buyer shall in particular keep the Seller indemnified againstany liability the Seller may incur at any time whether in tort orotherwise to any servant or agent of the Buyer in respect of anydefect or failure of the Goods or any part thereof or replacementtherefor howsoever caused.5) Each of the preceding sub-clauses of the Clause shall be deemedto be separate and severable and enforceable accordingly.14 RISKThe risk in the Goods or any part thereof shall pass from the Seller tothe Buyer immediately the same are delivered.15 BUYER’S DEFAULTIf the Buyer makes default in or commits any breach of its obligationsto the Seller, then the Seller shall immediatelybecome entitled (without prejudice to any other rights or claimswhich it may have) to suspend further performance of or to terminatethe Contract.16 INSURANCEThe responsibility for insuring the Goods after the risk in them haspassed to the Buyer shall be that of the Buyer.17 DAMAGE IN TRANSITThe Seller shall not be liable for loss or damage to the Goods after therisk in them has passed to the Buyer.18 PATENTS ETCThe Seller shall indemnify the Buyer against any claim forinfringement of any rights of Letters Patent, Registered Design, TradeMark or Copyright by the use of or the sale of the Goods and againstall costs and charges which the Buyer may incur in any action forsuch infringement or alleged infringement of any rights or for whichthe Buyer may become liable in any such action. Provided always thatthis indemnity shall not apply to any infringement which is due tothe Seller having followed a design or instruction furnished or givenby the Buyer to the use of the Goods in a manner or a purpose or ina foreign country not specified by or disclosed to the Seller or to anyinfringement which is due to the use of the Goods in association orcombination with any other goods not supplied by the Seller, andprovided also that this indemnity is conditional upon the Buyer givingto the Seller as soon as reasonably possible notice in writing of anyclaim being made or action threatened or brought against the Buyerand on the Buyer permitting the Seller at the Seller’s own expenseto conduct any litigation that may ensue and all negotiations for asettlement of the claim.19 GOODS NOT MANUFACTURED BY THE SELLER1) The Seller shall be entitled to the benefit of any restrictionor exclusion of liability more restricted than the liability ofthe Seller to the Buyer under Clauses 12 and 13 or underany other obligation subject to which any part of the Goodsnot manufactured by the Seller are supplied to the Seller andaccordingly the said Clauses or other obligations shall apply tothe Contract and be further restricted in the same terms as theliability of the supplier to the Seller is restricted.2) Sub-clause (1) above shall not apply if as a result of suchapplication any restriction or exclusion of liability by the Seller isunenforceable.3) Without prejudice to the generality of the remainder of theContract the Seller shall not be responsible for ensuring that anycombination of equipment included in the Goods of which allor part has been selected or nominated by the Buyer and notmanufactured by the Seller is in any way satisfactory or fit for thepurpose for which it is intended and the onus of ensuring thisshall be on the Buyer.20 SAFETY AND TECHNICAL INSTRUCTIONSThe Buyer undertakes to ensure that it and all its servants and agentswill observe all safety and technical instructions in the Seller’s ormanufacturer’s operating manuals, bulletins and other expressions.21 ARBITRATIONIn the event of any dispute arising out of the Contract the Buyerand the Seller undertake to make every effect to reach an amicablesettlement. Failing such settlement, the dispute shall be referred toArbitration in Sandton <strong>South</strong> <strong>Africa</strong> of a single Arbitrator to be agreedupon by such parties or, in default of agreement for 28 days, to beappointed by the Chairman for the time being of the Association ofArbitrators (<strong>South</strong>ern <strong>Africa</strong>), upon the application of either suchparty. Such Arbitrator shall have the powers conferred upon him bythe HYPERLINK „http://www.arbitrators.co.za/arbsnew/legalframe.htm“ Arbitration Act 42 of 1965, or any statutory amendment orre-enactment thereof for the time being in force, and his decisionwill be final and binding upon both such parties. The cancellation ofthis contract by either party for whatever reason shall not affect thevalidity of this clause.22 GOVERNING LAW AND JURISDICTIONThe validity extent and performance of the Contract and any variationthereof, or any agreement entered into by the parties hereto ancillaryto the Contract shall be governed by <strong>South</strong> <strong>Africa</strong>n Law. Insofar as theBuyer is not already subject to the jurisdiction of the <strong>South</strong> <strong>Africa</strong>nCourts, it shall subject to clause 22 be deemed to submit itself tothe jurisdiction of the <strong>South</strong> <strong>Africa</strong>n Courts hereby in any disputeor proceedings relating to the validity, extent or performance of theContract and any variation thereof, or any agreement entered into bythe parties hereto ancillary to the Contract, including any claim fordamages for breach thereof. Subject to the provisions of Clause 22 noaction or proceeding in relation to the Contract or arising therefromshall be initiated against the Seller except in the Courts of <strong>South</strong><strong>Africa</strong>.23 NOTICESWhere these terms and conditions provide that a notice from eitherparty to the other is required, such notice must beserved in writing and conveyed by the fastest reasonable means,having regard to the content thereof, provided that where there isin these Conditions, a specified period within which such a notice isto be given to ensure its validity, such notice must reach the party towhom it is addressed within the period stipulated.24 INCOTERMSThe Incoterms in force at the date of formation of the Contract shallapply save to the extent they are inconsistent with any of the terms ofthe Contract.25 CLAUSE HEADINGSClause headings have been inserted in these Conditions merely tofacilitate reference and shall have no bearing on the interpretation ofany of the provisions.Tel: 011 262 8000 Website: www.za.endress.com 11
