noticeofannualgeneralmeeting cont’d6.3 Proposed Renewal Of Existing Share Buy-Back Authority cont’dAND THAT at the discretion of the Directors of the Company, the shares of the Company to be purchased are tobe cancelled and/or retained as treasury shares and distributed as dividends or resold on the KLSE;AND THAT the Directors of the Company be and are hereby empowered generally to do all acts and things togive effect to the Proposed Purchase with full powers to assent to any condition, modification, revaluation,variation and/or amendment (if any) as may be imposed by the relevant authorities and/or do all such acts andthings as the Directors may deem fit and expedient in the best interest of the Company;AND THAT such authority shall commence immediately upon passing of this resolution until:ithe conclusion of the next Annual General Meeting of the Company at which time the authority shall lapseunless by ordinary resolution passed at a general meeting, the authority is renewed either unconditionallyor subject to conditions;iithe expiration of the period within which the next Annual General Meeting after that date is required bylaw to be held; oriiirevoked or varied by ordinary resolution of the shareholders of the Company at a general meeting,whichever is earlier but not so as to prejudice the completion of purchase(s) by the Company before theaforesaid expiry date and, in any event, in accordance with the provisions of the KLSE Listing Requirements orany other relevant authorities.”6.4 Proposed Renewal Of Shareholders’ Mandate For Recurrent Related Party Transactions“THAT approval be and is hereby given for the renewal of Shareholders’ Mandate for the Company and itssubsidiaries to enter into Recurrent Related Party Transactions of a revenue or trading nature which arenecessary for day-to-day operations involving the interest of Directors, Major Shareholders or persons connectedwith the Directors and/or Major Shareholders of the Company and its subsidiaries (“Related Parties”), as detailedin Section 3.4 of the Circular to Shareholders of the Company dated 29 September 2003 subject to the following:<strong>IOI</strong> Corporation BerhadAnnual Report 200318athe transactions are carried out in the ordinary course of business on normal commercial terms which arenot more favourable to the Related Parties than those generally available to the public and are not to thedetriment of the minority shareholders of the Company; and
