General Terms <strong><strong>an</strong>d</strong> Conditions of UTA.1. Establishment of a business relationshipThe Customer´s application for a service card will be considered accepted as of receipt of the service card bythe Customer, or as of receipt of UTA´s written confirmation of accept<strong>an</strong>ce of the application..2. Service CardsBasically, UTA distinguishes between two types of service cards:. a) Full Service Cards <strong><strong>an</strong>d</strong> Service Cards in respect of which the PIN Code shall be required forauthorisation of supplies <strong><strong>an</strong>d</strong>/or services;. b) Service Cards in respect of which no PIN Code shall be required for authorisation of supplies <strong><strong>an</strong>d</strong>/orservices.. The aforementioned service cards (hereinafter referred to as SC) shall authorise the Customer or hisnominees to obtain, at home <strong><strong>an</strong>d</strong> abroad, various vehicle-related goods <strong><strong>an</strong>d</strong>/or services, however, dependingon the level of authorised supplies <strong><strong>an</strong>d</strong>/or services to be rendered. The level of authorised supplies <strong><strong>an</strong>d</strong>/orservices attributed to the Customer´s service card is quoted in the confirmation of receipt relating to theservice card..3. Authorised card useA SC shall only be valid for the Customer <strong><strong>an</strong>d</strong> the motor vehicle identified thereon (vehicle-related SC) or forthe comp<strong>an</strong>y specified thereon (comp<strong>an</strong>y-related SC) <strong><strong>an</strong>d</strong> – subject to UTA´s prior approval to the Customer´ssubcontractor - until expiration of the month shown on the card..4. Supplies <strong><strong>an</strong>d</strong> servicesAs a matter of principle, supplies <strong><strong>an</strong>d</strong> services shall be provided on behalf of <strong><strong>an</strong>d</strong> for account of UTA, on thebasis of the corresponding contracts concluded with UTA service partners.. Except for very few cases where this procedure c<strong>an</strong>not or c<strong>an</strong> only in part be agreed with a UTA servicepartner, UTA shall solicit the service offered by a service partner, providing the supplies <strong><strong>an</strong>d</strong>/or services byorder of the UTA Customer who shall be obliged to pay to UTA the costs incurred.. On settlement of governmental tolls charged (for example on Germ<strong>an</strong> territory), the Customer shall authoriseUTA to settle - on his behalf <strong><strong>an</strong>d</strong> for his account - the tolls owed by the Customer to the toll operatingcomp<strong>an</strong>y. UTA shall be entitled to compensation of adv<strong>an</strong>ced money <strong><strong>an</strong>d</strong> to reimbursement of expensesincurred regarding the UTA Customer..5. Invoicing, compensationThe amounts invoiced shall be based upon the prices officially valid on the day of tr<strong>an</strong>saction <strong><strong>an</strong>d</strong> published atthe petrol station, the list prices of the corresponding petrol comp<strong>an</strong>y (br<strong><strong>an</strong>d</strong>), supra-regionally valid list prices,the prices charged by service providers <strong><strong>an</strong>d</strong>/or tolls due.As a matter of principle, UTA invoices shall be in Euros; notwithst<strong><strong>an</strong>d</strong>ing this, payment in other currencies maybe requested by UTA.. UTA shall invoice service surcharges <strong><strong>an</strong>d</strong> fees in accord<strong>an</strong>ce with the corresponding valid list applicable. Therelev<strong>an</strong>t list valid for service surcharges <strong><strong>an</strong>d</strong> fees will be sent to the Customer on commencement of thebusiness relationship, or at <strong>an</strong>y time upon the Customer´s request..6. Card <strong><strong>an</strong>d</strong> PIN codeThe Customer shall receive a SC. The PIN code (= personal identification number) valid for the SC shall bedisclosed to the Customer under separate cover <strong><strong>an</strong>d</strong> pursu<strong>an</strong>t to § 2a.. The Customer shall undertake to keep the PIN code secret, to keep it separate from the SC, to only reveal it tothose individual persons who <strong>are</strong> specifically authorised by the Customer to use the SC <strong><strong>an</strong>d</strong> to impose onsuch individuals the respective obligation of secrecy. In particular, the PIN code must not be marked on theSC itself.. The SC shall remain the property of UTA, it shall not be tr<strong>an</strong>sferred to a third person/party, it must be kept insafe custody <strong><strong>an</strong>d</strong> it must be protected against the use by unauthorised persons. In particular, the SC must notbe left in <strong>an</strong> unattended vehicle..7. Blocking of a Service Card, notice of termination <strong><strong>an</strong>d</strong> card return. a) UTA may, at <strong>an</strong>y time, prohibit the use of the SC, terminate the business relationship or block the SC atUTA points of accept<strong>an</strong>ce.However, before enforcing <strong>an</strong>y of such measures, the Customer shall be advised thereof in good time.The Customer shall have the right to terminate the business relationship at <strong>an</strong>y time <strong><strong>an</strong>d</strong> to return the SCto UTA.. b) After interdiction of the use of the SC, termination of the business relationship <strong><strong>an</strong>d</strong>/or blocking of the SC,the SC must immediately be returned to UTA.Moreover, the Customer must return the SC to UTA, if the vehicle registration number has ch<strong>an</strong>ged or ifthe relev<strong>an</strong>t vehicle has been signed off or sold, or if the Customer´s comp<strong>an</strong>y´s name has ch<strong>an</strong>ged.. c) In case of <strong>an</strong> import<strong>an</strong>t cause, the measures under a) <strong><strong>an</strong>d</strong> b) shall be implemented without prior notice.An import<strong>an</strong>t cause, in particular, shall be:- if invoices have not been paid, despite of due date <strong><strong>an</strong>d</strong> a first reminder,- if the direct debiting m<strong><strong>an</strong>d</strong>ate or the debit order has been c<strong>an</strong>celled,- if insolvency proceedings into the Customer´s property have been instituted,- if the Customer´s fin<strong>an</strong>cial situation has worsened considerably or threatens to worsen..8. Card verificationThe Customer is aw<strong>are</strong> of the fact, that the personnel at the relev<strong>an</strong>t points of accept<strong>an</strong>ce shall be authorisedto request the SC holder to identify himself <strong><strong>an</strong>d</strong> to check his identification documents, to refuse delivery <strong><strong>an</strong>d</strong>/orto withdraw the SC, if the data shown on the vehicle-related SC presented for settlement is not in conformitywith the registration number of the vehicle used, <strong><strong>an</strong>d</strong>/or if the name on the comp<strong>an</strong>y-related SC differs from theCustomer´s comp<strong>an</strong>y´s name, or if the card presented was blocked or has expired..9. Card loss <strong><strong>an</strong>d</strong> Customers liability. a) Theft <strong><strong>an</strong>d</strong> <strong>an</strong>y type of lossTheft <strong><strong>an</strong>d</strong> <strong>an</strong>y type of loss of a SC, irrespective of prior notification by telephone, must immediately bereported to UTA in writing, by fax or via the UTA Exclusive Section at "http://www.UTA.com/block.htm"specifying the following data: customer number, SC number, vehicle registration number, country, place,time <strong><strong>an</strong>d</strong> type of loss. This procedure shall also apply, if <strong>an</strong> unauthorised person is suspected to havebecome or has become aw<strong>are</strong> of the PIN code, <strong><strong>an</strong>d</strong> the SC concerned shall immediately be returned toUTA <strong><strong>an</strong>d</strong> a new SC with a new PIN code shall be issued. Should the Customer retrieve a SC which hasbeen blocked, the Customer shall be obliged to immediately return it to UTA..b) LiabilityThe Customer´s liability shall end after receipt of the notification by telephone, provided that the Customerhas immediately confirmed the notification in writing, according to clause a). The notification requiredaccording to a) shall be sent to the UTA head office or to a UTA subsidiary.However, the Customer shall be liable beyond the time of receipt of the notification, if the loss or thefraudulent use of the SC has resulted from negligence on his part, in particular, if the Customer hasneglected his obligations under item 6, paragraph 2, if he failed to keep the SC in safe custody or, if - as aconsequence of deliberate <strong><strong>an</strong>d</strong> grossly negligent non-compli<strong>an</strong>ce with his duties under the presentcontract - he has contributed to the fraudulent use of the SC. Fraudulent use shall also comprisetr<strong>an</strong>sactions effected by me<strong>an</strong>s of a falsified SC..10. Customers payment obligation, reservation of property rights <strong><strong>an</strong>d</strong> securitiesThe Customer´s obligation to pay shall become due as from the moment of receipt of the relev<strong>an</strong>t goods<strong><strong>an</strong>d</strong>/or provision of the relev<strong>an</strong>t services or the use of roads which <strong>are</strong> subject to tolls/fees. The same shallapply if other goods/services have been obtained in case of settlement by me<strong>an</strong>s of the UTA Diesel Card. Thegoods supplied shall remain the property of UTA until full payment has been received by UTA. Delayedpayment occurs, once the scheduled term of payment has lapsed - a reminder shall not be required. Delayedpayment, dishonour of debit advices <strong><strong>an</strong>d</strong>/or cheque or bill protests shall entail that all claims shall fall due forimmediate payment, including <strong>an</strong> interest amount of 8% percent points above the base lending rate payablefor the duration of the delay. Assertion of <strong>additional</strong> compensation for loss incurred due to delayed paymentshall not be excluded. In this regard, the Customer shall be free to furnish evidence in support of inferior loss.UTA shall be entitled to request the Customer to provide adequate securities..11. Invoice verification <strong><strong>an</strong>d</strong> Customer complaintRefuelling/toll tr<strong>an</strong>sactions effected <strong><strong>an</strong>d</strong>/or services provided <strong><strong>an</strong>d</strong> acknowledged by delivery note orelectronically registered by me<strong>an</strong>s of the SC shall be considered to be effected. The Customer shall beobliged to check UTA invoices immediately upon receipt <strong><strong>an</strong>d</strong> to notify UTA in writing or by fax, within twomonths from date of invoice at the latest, <strong><strong>an</strong>d</strong> to detail his complaint. Otherwise compensation shall beexcluded <strong><strong>an</strong>d</strong> the invoiced amount shall be deemed to be accepted, unless it had been unfeasible for theCustomer to check the invoice in due time.. In each UTA invoice, UTA shall also refer to this legal consequence. However, the Customer´s paymentobligation <strong><strong>an</strong>d</strong> the term of payment shall not be affected hereby..12. Warr<strong>an</strong>ty, scope of liability <strong><strong>an</strong>d</strong> indemnification. a) Complaints made which <strong>are</strong> based on well-founded app<strong>are</strong>nt defects regarding quality <strong><strong>an</strong>d</strong>/or qu<strong>an</strong>tity ofgoods/services shall be communicated to the corresponding UTA service partner <strong><strong>an</strong>d</strong> to UTA in writing(letter or fax), within 24 hours after receipt of the goods or services. Complaints made which <strong>are</strong> based onwell-founded hidden defects shall be communicated as described, however, must be complained aboutwithin 24 hours from detection of the defect. Otherwise, the relev<strong>an</strong>t goods/services shall be consideredas approved.. b) UTA shall not be obliged to deliver. UTA service partners shall be authorised, yet not obliged, to supplygoods <strong><strong>an</strong>d</strong>/or to provide services. UTA shall not be held responsible in case of Acts of God, failure ofsubcontractors to deliver, other unforeseeable events or ch<strong>an</strong>ges regarding the UTA service partners´network rendering delivery impossible or making it difficult.. c) Only in case of intent or gross negligence, UTA shall be liable for compensation. Liability for physical injuryshall not be excluded..13. NotificationsThe Customer shall undertake to immediately advise UTA of <strong>an</strong>y ch<strong>an</strong>ges in address, name <strong><strong>an</strong>d</strong>/or legal formof his comp<strong>an</strong>y.. In the event that the Customer shall fail to comply with UTA´s present General Terms <strong><strong>an</strong>d</strong> Conditions - in spiteof the corresponding reminder -, get into arrears although notice has been given to him, or in the event thatUTA has blocked the SC use as a consequence thereof, UTA shall be authorised to notify all UTA servicepartners thereof, however, at the Customer´s expense..14. Personal dataThe Customer´s personal data will be stored by UTA <strong><strong>an</strong>d</strong> by UTA´s service partners for the purpose ofperform<strong>an</strong>ce of the contract <strong><strong>an</strong>d</strong> customer service..15. Set-off <strong><strong>an</strong>d</strong> retention of amountsThe Customer shall not be entitled to offset his claims against UTA´s claims unless his counterclaim isundisputed or has been established as final <strong><strong>an</strong>d</strong> absolute. The same applies to the assertion of rights ofretention..16. Side-agreementsNo verbal side-agreements have been made..17. Modification of the present General Terms <strong><strong>an</strong>d</strong> ConditionsModifications of UTA´s present General Terms <strong><strong>an</strong>d</strong> Conditions shall be communicated to the Customer inwriting. By using the SC after receipt of the relev<strong>an</strong>t notification of ch<strong>an</strong>ge, the new version of UTA´s Terms<strong><strong>an</strong>d</strong> Conditions will be deemed accepted by the Customer. Special reference shall be made by UTA to thispoint in the respective notification of modification..18. Tr<strong>an</strong>sference of rights <strong><strong>an</strong>d</strong> dutiesUTA shall be authorised to tr<strong>an</strong>sfer her rights <strong><strong>an</strong>d</strong> duties resulting from the present contract toMercedesService Card GmbH & Co. KG, Mainparkstraße 2, 63801 Kleinostheim, Germ<strong>an</strong>y..19. Choice of lawThe law of the country in which court proceedings <strong>are</strong> instituted shall apply. Application of CISG shall beexcluded..20. Place of jurisdictionThe competent court of jurisdiction for both parties hereto <strong><strong>an</strong>d</strong> with regard to <strong>an</strong>y disputes arising out of thepresent business relationship - even after its termination – shall be Aschaffenburg, Germ<strong>an</strong>y.UTA shall also be entitled to institute legal proceedings before the court having jurisdiction for the Customer´splace of business..21.
