Statement of Inter-se Allocation of Responsibilites for the IssueThe following table sets forth, the distribution of the responsibilities and co-ordination for various activities amongst BookRunning Lead Managers, Allianz Securities Limited (“Allianz”) and IL&FS Investsmart Limited (IIL)Activities Responsibility CoordinatorCapital structuring with the relative components and formalities such as Allianz Allianztype of instruments, etc.Due diligence of the Company’s operations / management / Allianz Allianzbusiness plans/legal etc.Drafting & Design of Prospectus, Statutory advertisement including Allianz Allianzmemorandum containing salient features of the Prospectus.The BRLMsshall ensure compliance with stipulated requirements and completion ofprescribed formalities with SEBI, Stock Exchange and Registrar of CompaniesDrafting and approval of all publicity material other than statutory Allianz Allianzadvertisement as mentioned above including corporate advertisement,brochure, etc.Appointment of Registrar and Bankers Allianz AllianzSelection of various other agencies connected with the issue, Allianz / IIL Allianzsuch as Printers, Ad agency etc.Company Positioning and pre-marketing exercise Allianz / IIL AllianzMarketing of the Issue, which will cover inter-alia1. Formulating marketing strategies, preparation of publicity budget2. Finalize Media & PR strategy3. Finalizing centers for holding conferences for brokers, press etc. Allianz / IIL Allianz4. Finalize collection centers5. Selection of Underwriters and finalization of underwriting agreement6. Follow-up on distribution of publicity and Offer material including form,prospectus and deciding on the quantum of the Offer materialRunning of the book and deciding pricing in consultation of the Company Allianz / IIL AllianzPost bidding activities including management of Escrow Accounts, Allianz Allianzco-ordination with Registrar and Banks, Refund to Bidders etc.The post Issue activities of the Issue will involve essential follow up steps, which Allianz Allianzincludes finalization of basis of allotment, weeding out of multiple applications,listing of instruments and dispatch of certificates and refunds, with the variousagencies connected with the work such as Registrars to the Issue, Bankersto the Issue and the bank handling refund business.Even if many of these activities will be handled by other intermediaries, thedesignated BRLM shall be responsible for ensuring that these agencies fulfilltheir functions and enable it to discharge this responsibility through suitableagreements with the Company.9
