3. For QIB BiddersBids received from the QIB Bidders at or above the Offer Price shall be grouped together to determine thetotal demand under this portion. The allocation to all the QIBs will be made at the Offer price.The QIB portion shall be available for allocation to QIB bidders who have bid in the Offer at the price that isequal to or greater than the Offer price The allotment shall be undertaken in the following manner –a) In the first instance, allocation to mutual funds for upto 5% of the QIB portion shall be determined asfollowsi)In the event that bids from mutual funds exceeds 5% of the QIB portion, allocation to mutual fundsshall be done on a proportionate basis upto 5% of the QIB portion.ii) In the event that the aggregate demand from mutual funds is less than 5% of QIB portion, then allmutual funds shall get full allotment to the extent of valid bids received above the Offer price.iii) Equity Shares remaining unsubscribed, if any, not allocated to mutual funds shall be available toall QIB Bidders as set out in as (b) below;b) In the second instance, allocation to all QIBs shall be determined as follows –i) The number of Equity Shares available for this category shall be the QIB portion, allocation tomutual funds as calculated in (a) above.ii) The subscription level for this category shall be determined based on the overall subscription inthe QIB portion less allocation only to mutual funds as calculated in (a) above.iii) Based on the above, the level of subscription shall be determined and proportionate allocation toall QIBs including mutual funds in this category shall be made.4. For Employee Reservation Portion Bids received from the eligible Employees at or above the Offer Price shall be grouped together to determinethe total demand under this portion. The allocation to all the successful Employees will be made at the OfferPrice.If the aggregate demand in this portion is less than or equal to 1,00,000 Equity Shares at or above the OfferPrice, full allocation shall be made to Employees to the extent of their demand.If the aggregate demand in this portion is greater than 1,00,000 Equity Shares at or above the Offer Price,allocation shall be made on a proportionate basis. For the method of proportionate basis of allocation, referbelow. Only eligible Employees shall apply under the Employee reservation portion.Undersubscription, if any, in any category would be allowed to be met with spillover from any other categoryat the sole discretion of our company, Selling Shareholder and the BRLMs.Method of Proportionate Basis of AllocationIn the event of the Offer being over-subscribed, the basis of allocation shall be finalized by our company in consultation withthe Designated Stock Exchange. The Executive Director or Managing Director (or any other senior official nominated bythem) of the Designated Stock Exchange along with the BRLMs and the Registrars to the Offer shall be responsible forensuring that the basis of allotment is finalized in a fair and proper manner. Allotment to the Bidders shall be as per the basisof allocation as set out in this Prospectus under “Offer Structure”Bidders will be categorized according to the number of Equity Shares applied for by them.(a) Bidders will be categorized according to the nuber of Equity Shares applied for.(b) The total number of Equity Shares to be allotted to each portion as a whole shall be arrived at on a proportionate195
