~b-:--- ._.CEMENT - MERIDIAN~ ..--~...--..•.MINUTE BOOK No. <strong>14</strong>, CITY OF OXFORDThe following contract from the Tennessee Valley Authority was presented to theMayor and Board <strong>of</strong> Aldermen:ENERGENCY OPERATION CmrrRACTBetweenTENNESSEE VALLEY AUTHORJTYandCITY OF OXFORD, MISSISSIPPII"'1THIS AGREEMENT, made and entered into as <strong>of</strong> the __ 27tl! day<strong>of</strong> May, 1951, bett-Teen TENNESSEE VALLEY AUTHORITY (hereinafter called"Authority"), a corporation created and existing under and byvirtue <strong>of</strong> the Tennessee Valley Authority Act <strong>of</strong> 1933 as amended, andCITY OF OXFORD (hereinafter called "Distributor"), a municipal corporationduly created, organized, and existing under and by virtue <strong>of</strong> the laws <strong>of</strong> theState <strong>of</strong> Mississippi,WHEREAS, the parties hereto haveheret<strong>of</strong>ore entered into a PowerContract dated as <strong>of</strong> May 30, <strong>1950</strong>, wheTeunder Distributor agreedto purchase from Authority and Authority agreed to supply to Distributorsubject to certain terms, conditions, and limitations as therein set forth,Distributor's entire electrical requirements; and~iHErffiAS,in orQer that satisfactory and continuous electric servicemay be furnished by Authority to Distributor pursuant to the Power Contr~_ct,it is necessary and desirable th~_tcertain svTitchingand patrolling operationsbe performed from time to time in connection with the operation <strong>of</strong> Authority'stransmission and transformation facilities serving Distributor; andWHEREAS, such switching and patrolling operations are not requiredat intervals frequent enough to justify Authority in maintaining a full-timeemployee to perform the same, and Authority desires to have such operationsperformed by Distributor in the manner and for the consideration herein setforth; andHh"'EREAB, all acts, things, and conditions necessary under la,,, tomake this agreement the valid and binding obligation <strong>of</strong> the parties heretohave been duly done, performed, and complied ~."ith;NOW, THEREFORE, for and in consideration <strong>of</strong> the mutual covenantsherein contained, and subject to all <strong>of</strong> the Drovisions <strong>of</strong> the Tennessee ValleyAuthority Act <strong>of</strong> 1933 as amended, the parties hereto mutually covenantandagree as follows:
