Recommendations: 3.2.8 Liability Protection for <strong>the</strong> <strong>WCB</strong> Board <strong>of</strong> Direc<strong>to</strong>rs1. <strong>The</strong> legislation should be changed <strong>to</strong> provide specific indemnification for members <strong>of</strong><strong>the</strong> <strong>WCB</strong> Board <strong>of</strong> Direc<strong>to</strong>rs and <strong>of</strong> <strong>the</strong> Appeals Tribunal.2. This indemnification should be limited <strong>to</strong> <strong>the</strong> members’ performing <strong>the</strong>ir duties with<strong>the</strong> care described in <strong>the</strong> Financial Administration <strong>Act</strong>, Section 90.3.2.9 Authority <strong>to</strong> Enter in<strong>to</strong> Agreements<strong>The</strong> <strong>Panel</strong> was advised that <strong>the</strong> <strong>Act</strong>s limit <strong>the</strong> ability <strong>of</strong> <strong>the</strong> <strong>WCB</strong> Board <strong>of</strong> Direc<strong>to</strong>rs and<strong>WCB</strong> <strong>to</strong> enter in<strong>to</strong> agreements with parties who are not specified in <strong>the</strong> <strong>Act</strong>s. Forexample, o<strong>the</strong>r agencies or governments may have specialized expertise that <strong>the</strong> <strong>WCB</strong>may wish <strong>to</strong> engage.<strong>The</strong> <strong>Panel</strong> is surprised that <strong>the</strong> <strong>WCB</strong> is unable <strong>to</strong> enter in<strong>to</strong> agreements <strong>to</strong> administer <strong>the</strong><strong>Act</strong>s without specific enabling provisions. It seems <strong>to</strong> <strong>the</strong> <strong>Panel</strong> that if <strong>the</strong> <strong>WCB</strong> needs <strong>to</strong>enter in<strong>to</strong> agreements with o<strong>the</strong>r parties <strong>to</strong> properly administer <strong>the</strong> <strong>Act</strong>s, <strong>the</strong>n <strong>the</strong> <strong>WCB</strong>should be able <strong>to</strong> do so. <strong>The</strong> <strong>WCB</strong> will be held accountable for decisions related <strong>to</strong>administration, including administration conducted under agreements with o<strong>the</strong>r parties.<strong>The</strong> <strong>Panel</strong>’s only concern related <strong>to</strong> <strong>the</strong> confidentiality <strong>of</strong> stakeholder information held by<strong>the</strong> <strong>WCB</strong> – for example, medical information about injured workers, or proprietaryemployer information. <strong>The</strong> <strong>Panel</strong> believes that any agreements <strong>to</strong> share information witho<strong>the</strong>rs should include <strong>the</strong> same level <strong>of</strong> protection contained in <strong>the</strong> <strong>Act</strong>s <strong>to</strong> preserve <strong>the</strong>confidentiality <strong>of</strong> stakeholder information.In keeping with <strong>the</strong> <strong>Panel</strong>’s views on transparency and accountability, we feel anyauthority should be given <strong>to</strong> <strong>the</strong> <strong>WCB</strong> Board <strong>of</strong> Direc<strong>to</strong>rs. <strong>The</strong> <strong>WCB</strong> Board <strong>of</strong> Direc<strong>to</strong>rswill <strong>the</strong>n decide what, if any, authority it wishes <strong>to</strong> delegate <strong>to</strong> <strong>the</strong> corporate <strong>WCB</strong>.<strong>WCB</strong> <strong>Legislative</strong> <strong>Review</strong> <strong>Panel</strong> <strong>Report</strong> Page 24 <strong>of</strong> 128December, 2001
