GENERAL CONDITION FOR SUBMISSION OF TENDER1.0 CONTRACT DOCUMENT1.1 The terms Contract Document means the Notice Inviting Tender, Tender form, Instructions toTenderers, Special Conditions, General Conditions of Contract, Specifications, Price Schedule ofQuantities and Drawings and Articles of Agreement.1.2 CONTRACT SUM.The term “Contract Sum” means:a) This is an Item Rate Contractb) The cost of the work arrived at after multiplication of the quantities shown in the Schedule ofQuantities by the item rates quoted and agreed by the tenderer for the various items, in case of ItemRate Contracts.1.3 “THSTI” shall mean Translational Health Science and Technology Institute with Its office at496,Udyog Vihar, Phase –III Gurgaon 122016 Haryana.1.4 The Tenderer shall mean the sole proprietor, or firm or company whether incorporated or not,undertaking the work and shall include the legal representative or such individual successors, heirs,administrators or assignees of such sole proprietor, firm or company, as the case may be or thepersons composing such firm or company of the successors of such firm or company and thepermitted assignees of such individual or firms or company.1.5 Engineer-in-charge shall mean the officer designated by the Executive Director, THSTI who shallsupervise and be in charge of the work, and issue necessary instructions at site, on behalf of THSTI.2.0 Tenderer shall strictly conform to the specification, schedule of rates, general and special terms andconditions if any, and any other matter contained in the tender documents issued by THSTI.2.1 The tenderers may visit/examine the site and its surrounding on any working with prior appointmentwith the Engineer-in-charge to assess the accessibility and assess the scope of work beforesubmitting their offer. No claims shall be entertained later. The bidders shall arrange & maintain attheir own cost all materials, T&P, security (for their man/material), storage for material andfacilities for worker for executing the work. 5.0 SECURITY DEPOSITThe Tenderer whose tender is accepted shall permit THSTI at the time of making any payment tohim for the work done under the Contract to deduct a sum @ 5% of the gross amount of eachrunning bill till the sum along with the amount of EMD deposited already reaches to the maximumof 5%of tendered amount. Security deposit shall be refunded after expiry of defects liability periodprovided (DLP), there are no defects in work and removed all surplus material, rubbish from site.Security deposit can also be refunded after completion of work against unconditional andirrevocable bank guarantee valid till D.L.P. plus three months for an equivalent amount from anynationalized / scheduled bank.The Security deposit shall be non-interest bearing and the bank guarantee, if furnished, shall also notentail any liability towards bank interest, money or bank charges etc. on THSTI.5.1 The Tenderer shall become entitled for seeking refund of the security deposit (if retained in cash) orreturn of the bank guarantee, as the case may be, only after completion of the defect liability periodof twelve months plus three months.5.2 The conditional bids shall not be considered under any circumstances and rejected without any noticeor assigning any reasons therefore.6.0 Co-relation with the CPWD General Conditions of Contract – 2005For elaboration of any items of the General condition of Contract, reference shall be made to CPWDForm – 6, 7 & 8. The Tenderer shall in advance seek clarification on any elaboration.7.0 THSTI reserves the right to accept the whole or any part of the tender and the Tenderer shall bebound to perform the same at the rate quoted.8.0 Acceptance of tender shall rest with THSTI which shall not be bound to accept the lowest tender andreserves to itself the right to reject any or all of the tenders received without assigning any reasonstherefore. The whole work may be split up between two or more tenderers or accepted in part andnot entirely if considered by THSTI as desirable.9.0 TAXESThe tenderer has to quote rates including all taxes levied; VAT/D.VAT and Service tax etc. &nothing extra will be paid on this account.10.0 FORCE MAJEUREThe right of the tenderer to proceed with the work shall not be terminated because of any delay inthe completion of the work due to unforeseeable causes beyond the control and without the fault ornegligence of the tenderer, including but not limited to the acts of God, or of the public enemy,restraints of a sovereign state, floods, unusual severe weather conditions etc.11.0 TIME AND EXTENSION FOR DELAYIf in the opinion of the Engineer-in-Charge the work is delayed by:a) Force majeure.b) Reasons of civil commotion, location combination of workers on strike or lock-out affectingany of the building trades.c) In consequence of the tenderer for not having received in due time necessary instructionsfrom the Engineer-in-charge for which he shall have specifically applied in writing.d) The Engineer-in-charge shall make a fair and reasonable extension of time for completion ofthe contract works. Then upon the happenings of any such event causing delay, the tenderershall immediately give notice thereof in writing to the Engineer-in-charge but shall7 | P a g e

nevertheless use his best endeavors to prevent or make good the delay and shall do all thatmay be reasonably required to the satisfaction of the Engineer-in-charge to proceed with theworks.11.1 Request for rescheduling of date of completion and extension of time, to be eligible forconsideration, shall be made by the Tenderer in writing immediately after the happenings of theevent causing delay. The tenderer may also, if practicable, indicate in such a request the period forwhich extension is desired.11.2 In such case, the Engineer-in-charge may give a fair and reasonable extension of time andreschedule the completion date. Such extension shall be communicated to the Tenderer by theEngineer-in-charge in writing within 1 month of the date of receipt of such a request. Nonapplicationby the Tenderer for extension of time shall not be a bar for giving a fair and reasonableextension by Engineer-in-charge and this shall be binding on the Tenderer.12.0 COMPENSATION FOR DELAYTime allowed for the work shall be strictly followed otherwise the tenderer shall be liable tocompensation at the rate of 0.2% of the ordered value of the work per day of delay on the part of thetenderer subject to a maximum of 5% of the total ordered value. The decision of engineer-in-chargeabout the delay shall final and binding.13.0 TERMINATIONNotwithstanding anything elsewhere provided herein and in addition to any other right or remedy ofTHSTI under the contract or otherwise including right of THSTI for compensation for delay, theEngineer-in-charge may, without prejudice to his right against Tenderer in respect of any delay, badworkmanship or otherwise or to any claims for damage in respect of any breach of contract andwithout prejudice to any rights or remedies under any of the provisions of this contract or otherwiseand whether the date of completion has or has not elapsed by intimation in writing, absolutelydetermine the Contract.A) Default or failure by the Tenderer in any of the under mentioned cases, including but not limited tothe following shall be the basis of taking action under this clause of the contract.1) Failure to provide at the job site, sufficient labour, material, equipment, machinery, and / orfacilities, required for the proper and / or due execution of the work or any part thereof:2) Failure to execute the works or any of them in accordance with the contract.3) Disobedience of any order or instruction of the Site Engineer / Engineer-in-charge.4) Negligence in carrying out the work or carrying out of work found to be unsatisfactory by theEngineer-in-charge.5) Abandonment of the works or any part thereof.6) Failure to execute the contract in terms of the form of Contract forming part of the TenderDocuments within Ten days of notice in this behalf from THSTI.7) If the Tenderer is incapable of carrying out the work.8) If the Tenderer misconducts in any manner.8 | P a g e

9) If there is any change in the constitution of the Tenderer (of a firm) or in the circumstancesor organization of the Tenderer, which is detrimental to the interests of THSTI.10) Dissolution of the Tenderer (If a firm or commencement of liquidation) or winding up(whether voluntary or compulsory or if a company or appointment of a receiver or Managerof any of the Tenderer’s assets and / or insolvency or if a sole proprietorship) or of anypartner of the Tenderer (if a firm).11) Delay in execution of work, which in opinion of the Engineer-in-charge shall delay thecompletion of work beyond the stipulated date of completion.12) Distress, execution, or other legal process being levied on or upon any of the Tenderersgoods and /or assets.13) Death of Tenderer (if an individual)14) If the Tenderer of any person employed by him shall make or offer for any purposeconnected with the contract any gift, gratuity, royalty, commission, gratification or otherinducement (whether in money or in any other form) to any employee or agent of THSTI.15) If the Tenderer shall assign or attempt to assign his interest or any part thereof in theContract. The decision of the Executive Director THSTI as to whether any of the events/contingencies mentioned in aforesaid clauses entitling THSTI to terminate the contract hasoccurred shall be final and binding upon the Tenderer. The reason for the termination statedin the notice of termination shall be final and binding upon the Tenderer and shall be nonarbitrable. However the jobs left by the Tenderer shall be got done at his risk and costthrough the other agencies and the contract shall be determined accordingly.14.0 PERFORMANCE BANK GUARANTEEThe tenderer is required to furnish performance guarantee for an amount equal to 5% of the contractvalue in the form of CDR/FDR/DD/bank guarantee (of nationalized/ Schedule Bank in a standardperforma enclosed) within two weeks from the date of issue of award letter. The validity period ofthe performance security in form of performance guarantee shall be one year plus three monthsfrom the date of actual completion of work.15.0 PAYMENTa) All the payments towards running account bills shall be advance payments. Any advancepayments so allowed shall be adjusted in the subsequent Running Bill by taking detailedmeasurements thereof. Final payment shall be made only on the basis of detailedmeasurements.b) In addition to above, payment shall be released as mentioned in Annexure-3.16.0 SUBMISSION OF BILLA bill shall be submitted by the Tenderer each month on or before the date fixed by the Engineer-inchargefor all the works executed in the previous months, and the Engineer-in-charge shall take orcause to be taken the requisite measurement for the purpose of having the same verified and theclaim as far as admissible to be adjusted. If the tenderer does not submit the bill within the timefixed aforesaid, the Engineer-in-charge may depute a subordinate to measure up the said work in thepresence of the tenderer whose counter signature to the measurement list will be sufficient warrantand the Engineer-in-charge may prepare the bill. The period of the guarantee shall be (12) twelve months from the date of handing over the completeinstallations to THSTI During this period any or all components found to be defective shall bereplaced or repaired free of charge and any shortcomings found in the system as specified shall beremoved at no extra cost. The tenderer shall provide the necessary personnel and tools for fulfillingthe above guarantee.If the defects are not removed within a reasonable time THSTI may arrange to do at the tenderer’srisk and cost, without prejudice to any other rights.14. INTERPRETATIONIn interpretation of specifications, the following orders of decreasing importance shall be followed:-a) Schedule of quantitiesb) Additional specificationsc) Schedule of fiscal aspectsd) Special Conditions of contracte) General condition of contractMatters not covered by the specification given in this contract as a whole shall be covered byrelevant and latest Indian Standard codes/ C.P.W.D code. If such codes on a particular subject havenot been framed, the decision of the THSTI representative shall be final and binding.15. MEASUREMENTSMeasurements shall be in metric system and running account bills as per schedule of rates shall beprepared and submitted for the work done based on joint measurement.16. SAFETY MEASURESIt shall surely be the responsibility of the Tenderer (including sub-tenderers) to comply with thesafety requirements. Determent panel and legal action shall be taken in the event of any failure onthe part of the tenderer to discharge the safety obligations which are laid down in the contract.17. The tenderer shall, at his expense and without delay supply to Engineer-In-Charge samples ofmaterial with test certificates to be used on the work and shall get these approved in advance.
