Copper <strong>and</strong> aluminum wire<br />

base metal pricing <strong>and</strong><br />

application adders for special<br />

alloys are established in<br />

accordance with current<br />

market costs <strong>and</strong> are invoiced<br />

at the price in effect at the time<br />

of shipment. Seller’s Copper<br />

<strong>and</strong> <strong>Aluminum</strong> <strong>Wire</strong> base<br />

prices are subject to change<br />

without notice <strong>and</strong> are not<br />

subject to trade discounts.<br />

If a firm metal price is desired,<br />

Seller can (at Seller’s option)<br />

assist Buyer in fixing the price<br />

of copper for a specified period<br />

of time <strong>and</strong> quantity with a<br />

forward purchase. Quantities<br />

must be fixed in increments<br />

of 25,000 pounds. Buyer is<br />

obligated to purchase the fixed<br />

quantity in the fixed contract<br />

month. Seller will invoice<br />

the contracted price <strong>and</strong> all<br />

applicable adders on the first<br />

day of the month of contracted<br />

delivery, payable net 10 day<br />

terms. Approved credit <strong>and</strong> a<br />

written agreement signed by<br />

an officer of both Buyer <strong>and</strong><br />

Selling prices for material<br />

on bill of lading as “Copper<br />

The following information is<br />

required when requesting<br />

authorization to return material<br />

to Seller:<br />

• Buyer name <strong>and</strong> location.<br />

• Seller invoice or Buyer<br />

purchase order number.<br />

• Seller or Buyer part number.<br />

• Quantity to be returned.<br />

• Seller ship date or Buyer<br />

receipt date.<br />

• Reason for return.<br />

The following is required if the<br />

material is being returned due<br />

to carrier damage or shortage:<br />

It is the responsibility of the<br />

Buyer to thoroughly inspect<br />

the material at the time of<br />

delivery for signs of damage<br />

or a shortage. An accurate<br />

description of any damage or<br />

shortage must be noted on<br />

the carrier’s receipt; however,<br />

Buyer should not refuse the<br />

shipment. If concealed loss or<br />

damage is discovered, Buyer<br />

must report it to the carrier<br />

within 10 days from the date<br />

of receipt <strong>and</strong> carrier will<br />

determine if any inspection is<br />

necessary. A returned <strong>Wire</strong><br />

Authorization (RWA) number<br />

will be issued by a Customer<br />

<strong>Service</strong> Specialist upon<br />

receiving the signed carrier<br />

delivery receipt noting damage<br />

or shortage. The bill of lading<br />

indicate “damaged wire being<br />

returned for credit” <strong>and</strong> the<br />

Any provisions of an<br />

agreement of sale prohibited<br />

by law, invalidated by the<br />

enactment of any statute,<br />

ordinance, or regulation, or<br />

declared unlawful by a court<br />

of competent jurisdiction,<br />

shall be ineffective only to<br />

the extent of such prohibition,<br />

<strong>and</strong> shall not in any manner<br />

invalidate or effect the<br />

remaining provisions of the<br />

agreement, such provisions<br />

being deemed severable.<br />

All agreements of sale shall<br />

be deemed to have been<br />

made in Florida <strong>and</strong> shall<br />

be governed by the laws of<br />

Florida.<br />

Any action or suit initiated by<br />

Buyer relating in any way to<br />

any contract or sale must be<br />

brought in federal or state<br />

court located in Dade County,<br />

Florida. Buyer consents to the<br />

jurisdiction of the state <strong>and</strong><br />

federal courts located in Dade<br />

County, Florida for all actions<br />

brought by Seller.<br />

Buyer agrees that any<br />

action brought by Buyer<br />

against Seller, including<br />

but not limited to breach<br />

of agreement of sale or<br />

breach of warranty shall be<br />

commenced within one year<br />

from the date of delivery of<br />

the goods.
