Copper and aluminum wire 

base metal pricing and 

application adders for special 

alloys are established in 

accordance with current 

market costs and are invoiced 

at the price in effect at the time 

of shipment. Seller’s Copper 

and Aluminum Wire base 

prices are subject to change 

without notice and are not 

subject to trade discounts. 

If a firm metal price is desired, 

Seller can (at Seller’s option) 

assist Buyer in fixing the price 

of copper for a specified period 

of time and quantity with a 

forward purchase. Quantities 

must be fixed in increments 

of 25,000 pounds. Buyer is 

obligated to purchase the fixed 

quantity in the fixed contract 

month. Seller will invoice 

the contracted price and all 

applicable adders on the first 

day of the month of contracted 

delivery, payable net 10 day 

terms. Approved credit and a 

written agreement signed by 

an officer of both Buyer and 

Seller is required. This is a 

non-cancelable order.

must be in original packaging 

and on Seller pallets. Clearly 

identify returned material 

on bill of lading as “Copper 

(Aluminum) Wire on Reels.” 

The following information is 

required when requesting 

authorization to return material 

to Seller: 

• Buyer name and location. 

• Seller invoice or Buyer 

purchase order number. 

• Seller or Buyer part number. 

• Quantity to be returned. 

• Seller ship date or Buyer 

receipt date. 

• Reason for return. 

The following is required if the 

material is being returned due 

to carrier damage or shortage: 

It is the responsibility of the 

Buyer to thoroughly inspect 

the material at the time of 

delivery for signs of damage 

or a shortage. An accurate 

description of any damage or 

shortage must be noted on 

the carrier’s receipt; however, 

Buyer should not refuse the 

shipment. If concealed loss or 

damage is discovered, Buyer 

must report it to the carrier 

within 10 days from the date 

of receipt and carrier will 

determine if any inspection is 

necessary. A returned Wire 

Authorization (RWA) number 

will be issued by a Customer 

Service Specialist upon 

receiving the signed carrier 

delivery receipt noting damage 

or shortage. The bill of lading 

for the returned wire must 

indicate “damaged wire being 

returned for credit” and the 

RWA number.

Any provisions of an 

agreement of sale prohibited 

by law, invalidated by the 

enactment of any statute, 

ordinance, or regulation, or 

declared unlawful by a court 

of competent jurisdiction, 

shall be ineffective only to 

the extent of such prohibition, 

and shall not in any manner 

invalidate or effect the 

remaining provisions of the 

agreement, such provisions 

being deemed severable. 

All agreements of sale shall 

be deemed to have been 

made in Florida and shall 

be governed by the laws of 

Florida. 

Any action or suit initiated by 

Buyer relating in any way to 

any contract or sale must be 

brought in federal or state 

court located in Dade County, 

Florida. Buyer consents to the 

jurisdiction of the state and 

federal courts located in Dade 

County, Florida for all actions 

brought by Seller. 

Buyer agrees that any 

action brought by Buyer 

against Seller, including 

but not limited to breach 

of agreement of sale or 

breach of warranty shall be 

commenced within one year 

from the date of delivery of 

the goods.
