REPORT OF DIRECTORS<br />
Save as disclosed above, as at 31 December 2012, the Directors are not aware of any other person or<br />
corporation having an interest or short position in shares and underlying shares of the Company or its<br />
associated corporation(s) which would require to be recorded in the register required to be kept by the<br />
Company pursuant to Section 336 of Part VX of the SFO.<br />
As at 31 December 2012, the shareholding interests of seven of the operating subsidiaries in the PRC<br />
are partially held by independent third parties. Details of which are set out in Note 31 to the consolidated<br />
financial statements.<br />
Highest Paid Individuals and the Remuneration of the Directors and Senior Management<br />
All the five highest paid individuals of the <strong>Group</strong> during the year were the Directors and the senior<br />
management members of the <strong>Group</strong>. Details of the Directors’ remuneration and the five individuals with<br />
highest emoluments are set out in notes 6 and 7 respectively of the consolidated financial statements in<br />
this annual report. The remuneration of the senior management whose profiles are included in the Profile<br />
of Directors and Senior Management section of this annual report fell within the following bands:<br />

Remuneration Policy<br />
As at 31 December 2012, the <strong>Group</strong> employed a total of 118,335 employees. The <strong>Group</strong> recruits and<br />
promotes individuals based on merit and their development potentials. Remuneration package offered to<br />
all employees including Directors is determined with reference to their performance, time <strong>com</strong>mitment,<br />
responsibilities and the prevailing salary levels in the market.<br />
Retirement/Pension Schemes<br />
Details of the retirement benefit schemes of the <strong>Group</strong> are set out in note 4(b) to the consolidated financial<br />
statements.<br />
Connected Transactions<br />
During the year ended 31 December 2012, the <strong>Group</strong> had the following non-exempt continuing connected<br />
transactions.<br />
International agency agreement with Auchan International S.A.<br />
Pursuant to an international agency agreement (the “Auchan Agency Agreement”) <strong>com</strong>mencing on 1<br />
January 2003, the Swiss Branch of Auchan International S.A. (“Auchan Switzerland”) agreed to provide<br />
the <strong>Group</strong> with certain services and assistance as an international service provider. As Auchan Switzerland<br />
is a subsidiary of our ultimate controlling shareholder, <strong>Group</strong>e Auchan, the transactions contemplated<br />
under the Auchan Agency Agreement are continuing connected transactions.<br />
