It’s hard to believe that the winter months are nearing their end and that <strong>March</strong><br />

is upon us, and with that, the beginning of spring! Spring always reminds<br />

me of the renewal of life. It particularly reminds me of the beginning of a new<br />

camping season here at <strong>Woodhaven</strong>.<br />

I hope that many of you had the opportunity to take advantage of the “Cabin<br />

Fever” weekend that was held on Saturday February 11, <strong>2012</strong>. So many activities<br />

were available, even though the weather was unseasonably warm and it<br />

didn’t quite feel like winter! Still, many of the activities such as the Winter<br />

Poker Walk, Arts and Crafts, Bingo, and Doubles Indoor Beanbag Tournament<br />

were hopefully enjoyable for everyone.<br />

Of course during the “off season” at <strong>Woodhaven</strong>, the Board of Directors still<br />

remain busy doing the business of managing the affairs of the <strong>Association</strong>. One<br />

particular project of interest that the Board is involved with at this time is the<br />

review of our current By-Laws. The By-Laws of any organization need to be<br />

reviewed from time to time due to changes in the law as well as the needs of the<br />

organization. The By-Laws of <strong>Woodhaven</strong> are no exception. Also, the <strong>2012</strong><br />

meeting schedule for the Board of Directors is being developed along with the<br />

schedule for elections of Board members this year.<br />

As always, I make sure to consider both the Property Owner’s needs and<br />

the needs of the <strong>Association</strong>, as a whole, when deciding on and implementing<br />

important decisions while serving each of you as Board President. Please<br />

know that you can contact me through my <strong>Association</strong> e-mail at boardpres@<br />

woodhavenassociation.com. I will always do my best to respond to your<br />

questions and concerns.<br />

I hope to see many of you in the months ahead as we begin another fun and<br />

relaxing season of camping at <strong>Woodhaven</strong>!<br />

<strong>2012</strong> Election<br />

The <strong>2012</strong> election, under the newly enacted legislative requirements, will<br />

soon be underway. The By-Laws governing our elections have already been<br />

reviewed for compliance, be sure to read the Election of Directors article on<br />

page 10 for specifics. Applications for candidacy will be available April 7th.<br />

Waste Management Changes<br />

The new garbage containers are in place and anyone who has seen or used<br />

them realizes there will be an adjustment. Just to remind everyone, the change<br />

in containers was prompted by the waste management industry, a move driven<br />

by safety concerns. To make the dumpsters more user-friendly, we have<br />

removed the lids. Additional containers will be placed in the future, but the<br />

locations will need to be carefully assessed and possibly altered. We need to<br />

observe the situation for a few weeks in the season before making changes.<br />

You are probably also aware of recent laws prohibiting electronics in the<br />

landfills, this includes TVs, a popular item found in and around our dumpsters,<br />

and computers; refer to the list provided. Other items not allowed in landfills<br />

include: appliances, batteries, hazardous chemicals, liquids, oils, oil filters<br />

(undrained), unsolidified paint, full paint cans, tires, and yard waste. In<br />

addition to the electronics, the hauler will not accept construction materials<br />

or items which could cause damage to the containers or harm to the operator.<br />

Maintenance Manager Greg Dimmig is working on developing some possible<br />

options to handle items like furniture, refrigerators, etc., and we will report on<br />

this progress in future publications.<br />

Maintenance Department Progress<br />

Maintenance crews, with the help of the Utilities staff, have been taking<br />

advantage of the unseasonably mild December and January, getting to projects<br />

we typically would be putting on hold until <strong>March</strong> or April. During the past<br />

two months the maintenance building’s storage addition was erected, 7 culverts<br />

were replaced, 36 trees with Oak Wilt and 20 dead pines were removed, and the<br />

playground surface in Section 6 and the Pavilion have been completed.<br />

Lake Management<br />

We have received an inspection report from Willet and Hofmann for<br />

<strong>Woodhaven</strong> Lake Dam noting the spillway itself is in good repair. Some work<br />

will be needed in replacing the hand railings and posts which will be done in the<br />

summer.<br />

Assessments<br />

The annual assessment invoicing process was completed and statements were<br />

mailed to Property Owners in mid-January. If you have not received an invoice<br />

from <strong>Woodhaven</strong>, please contact the <strong>Association</strong> Office to check on your<br />

statement. The January statement is the only notice sent prior to the <strong>March</strong> 31,<br />

<strong>2012</strong> due date. This issue and next month’s issue of the <strong>Woodhaven</strong> News will<br />

include reminders of your assessment responsibilities.<br />

The billing process provides owners with the choice of two payment options.<br />

The first is full payment on or before <strong>March</strong> 31, <strong>2012</strong>. With this payment<br />

option, property owners owning lots with sewer service are required to pay<br />

$1,100; property owners owning lots without sewer service are required to<br />

pay $937. The second option is an installment payment plan. The first installment<br />

of $560 for sewer lots and $476 for non-sewer lots is due on or before<br />

<strong>March</strong> 31, <strong>2012</strong>. The second installment of $280 for sewer lots and $238 for<br />

non-sewer lots is due on or before May 31, <strong>2012</strong>. The third and final installment<br />

of $280 for sewer lots and $238 for non-sewer lots is due on or before July<br />

31, <strong>2012</strong>.<br />

With either payment option, please make sure your payment is received<br />

before the due date. Payments received after <strong>March</strong> 31, <strong>2012</strong> will be assessed<br />

an additional late fee of $50. Installment payments received after their respective<br />

due dates will be assessed an additional late fee of $25 per installment<br />

payment. Again, please make arrangements to ensure your payments are<br />

received by the <strong>Association</strong> on time.<br />

Computer Upgrades & Pass Replacement Projects<br />

<strong>Woodhaven</strong> Lakes is currently in the midst of its largest software upgrade<br />

since 1999, and this task includes several integrated projects. They include<br />

our Navision customer database software, our back-end database server, the<br />

software operating our main gate, the gate hardware with various related<br />

equipment items, and the replacement of our passes. At our January Board<br />

Meeting, the Board of Directors approved a contract with Sound, Inc. for<br />

several hardware items and a Lenel based access control system for our front<br />

gate operations. The not-to-exceed cost of this contract is $16,132. Our<br />

budget on this segment of the project was established at $30,300 and additional<br />

expenses beyond this contract are anticipated before for the front gate system<br />

projects are completed. At this time, all components for these upgrades are<br />

within our budget projections and are expected to remain well within these<br />

limits.<br />

In recent weeks our IT manager has been working directly with programmers<br />

from Liberty Grove Software, both on site and through remote communications,<br />

to proceed with our software upgrades and to address integration issues<br />

with the gate hardware and Lenel based access control system. These meetings<br />

have been productive and we are making progress, but still have many things<br />

to accomplish before we can proceed with implementing the new systems. Our<br />

immediate objectives are to have a beta system in place in <strong>March</strong> and to begin<br />

internal testing of the new systems at that time.<br />

Our administrative staff members were extremely efficient in completing the<br />

printing of the new property owner passes and completed this task in just over<br />

a one week time frame. We were able to develop a system that allowed us to<br />

enter and record the pass ID information into an excel spreadsheet. This information<br />

will be used to import this data into the new system to match the appropriate<br />

properties with the correct pass ID numbers. With these tasks completed<br />

we have been able to move forward with internal testing of the passes and have<br />

established plans on how and when property owners can pick up their new<br />

passes.<br />

Included in this issue of the <strong>Woodhaven</strong> News, on page 7, is a copy of a direct<br />

mail letter that will be sent to each property owner explaining the pass distribution<br />

process. In addition to the information provided below, please refer to the<br />

letter for details on <strong>Woodhaven</strong>’s pass distribution process. We have established<br />

the following procedures for <strong>Woodhaven</strong> Property Owners to receive the new<br />

passes:<br />

• Property Owners will continue to use the current passes until the new<br />

system is implemented. Do not discard your current passes.<br />

• Our conversion/implementation date is targeted for the week of June 4th<br />

through June 8th. This time frame is subject to change and could only be<br />

delayed. Our conversion to the new system will not occur before this time<br />

frame.<br />

• The Owner of Record on each property will be required to come into the<br />

<strong>Association</strong> Office or to specific distribution days established for Spring<br />

Fling and Memorial Day Weekends.<br />

• Property Owners will need to provide a valid, current photo ID for<br />

identification<br />

• Property Owners will need to provide a signature verifying receipt of the<br />

new passes<br />

• Property Owners can begin picking up the new passes at the <strong>Association</strong><br />

Office on <strong>March</strong> 1, <strong>2012</strong> and each day thereafter with the exception of the<br />

specific distribution days noted below.<br />

• On Saturday, April 28th of Spring Fling Weekend, the <strong>Association</strong> will<br />

setup pass distribution stations at the Family Center. Specific hours will be<br />

established and published at a later date.<br />

• On Saturday and Sunday, May 26th and 27th of Memorial Day Weekend,<br />

the <strong>Association</strong> will setup pass distribution stations at the Rec-Plex.<br />

Specific hours will be established and published at a later date.<br />

• The initial distribution of the new passes will be provided at no cost to the<br />

Property Owner<br />

• The replacement cost for lost, stolen, misplaced or damaged passes has<br />

been increased from $5 per pass for the current passes, to $10 per pass for<br />

the new passes.<br />

• Property Owners requiring immediate use of a replaced pass will continue<br />

to pay $30 per pass.<br />

Again, please look over the <strong>Association</strong> letter that provides details on<br />

<strong>Woodhaven</strong>’s pass distribution process.<br />

<strong>2012</strong>-2013 Budget Process<br />

In January, the Finance Committee and Board of Directors completed a<br />

review of the updated Five-Year Operating Plans for the <strong>Association</strong>. In<br />

February, our focus will be on completing the monthly projection reports for<br />

the next fiscal year and using this information to prepare cash flow projections<br />

for financial planning purposes. Our goal is to have the budget documents<br />

completed and submitted for final approval at the <strong>March</strong> Board Meeting.<br />

We are currently receiving quotes for insurance premiums related to general<br />

liability, workers compensation and group health insurances. Preliminary<br />

figures for the general liability insurance appear to be stable and consistent with<br />

prior figures. Unfortunately, this is not the case with our workers compensation<br />

and group health insurance programs. At this time we have received a workers<br />

compensation increase of about 46%, and a group health insurance increase of<br />

about 34%. As we have done each year, we are looking into other options and<br />

are working on getting additional quotes for these programs. We will review<br />

this information with the Board of Directors and will make adjustments based<br />

on the direction we receive from the Board of Directors.<br />

Governing Documents<br />

Revisions for the remaining articles of the By-Laws are included in this paper;<br />

approval of the amended document is tentatively scheduled for the Board’s<br />

<strong>March</strong> meeting.<br />

Clarification and/or amendments on rules concerning bent pins or boundary<br />

markers, and definitions on fences are currently being reviewed by the Board.<br />

Recreation/Aquatics<br />

Director of Recreation Tim O’Laughlin has been researching information<br />

on ADA mandates for pool chairlifts and the cost to install them at both of our<br />

pools. The Board has included this item on their February meeting agenda.<br />

Miscellaneous Items<br />

• The December financial statements represent the third quarter totals for the<br />

<strong>Association</strong>. We ended this quarter with an overall variance of $739,686.<br />

The favorable variance from the restricted fund was $639,299 and the<br />

net favorable variance from operating activities was $154,387. Property<br />

owners interested in obtaining more information on the <strong>Association</strong>’s<br />

financial statements and/or its budget should call the <strong>Association</strong> Office and<br />

speak with the General Manager.<br />

• Our water usage reports from 2011 show a decrease in water volumes of<br />

about 8.9% from 2009 totals and 4.4% from 2010 totals. On sewer system<br />

side our volume totals were down about 60% from 2009 and 10% from<br />

2010 totals. Weather conditions factor into these totals and we hope our<br />

efforts to make timely repairs to both systems helps to reduce volume totals.<br />

• We are continuing to work on upgrades to our website and are working<br />

with a beta copy for internal review. Our plan is to release the new site this<br />

spring within the next few months.<br />

Dear Property Owner;<br />

As you may already know, <strong>Woodhaven</strong> will be implementing a new pass system this spring. We are<br />

sending this letter to provide you with some important information regarding the new passes and when<br />

you can pick them up.<br />

The new pass system will operate with the use of proximity cards, meaning the pass will be read when it<br />

is in proximity (0”-3”) of the reader. Instead of swiping your pass, you will now hold your pass in<br />

proximity of the reader. This will make the process of accessing your property much easier, especially on<br />

holiday weekends when so many property owners come to enjoy <strong>Woodhaven</strong>.<br />

You may pick up your new passes beginning on <strong>March</strong> 1, <strong>2012</strong>. Pass pick up will take place at the<br />

<strong>Association</strong> Office, except for Spring Fling weekend and Memorial Day weekend. For those weekends:<br />

Saturday, April 28 – Spring Fling Weekend: pass distribution will take place at the Family Center<br />

Saturday, May 26 – Memorial Day Weekend: pass distribution will take place at the Rec Plex<br />

Sunday, May 27 – Memorial Day Weekend: pass distribution will take place at the Rec Plex<br />

The initial distribution of these passes will be provided at no cost to the Property Owner. Please note that<br />

the replacement cost for these new passes has changed. For lost, stolen, or damaged passes, the<br />

replacement cost will now be $10. When requiring an immediate replacement of a pass, the fee will<br />

remain at $30.<br />

Do not discard your current passes. The new pass system will not go into effect until early in<br />

June. You will need to continue to use the current, blue property owner passes until then.<br />

The Owner of Record will be entitled to pick up the new passes. You need to bring with you a valid,<br />

current photo ID for identification. You will be required to sign for the passes, as well. Please remember<br />

that you should continue to use your current passes until the implementation of the new system has<br />

begun. The target date is set for the week of June 4-8; we will publish the official date as soon as it is<br />

established.<br />

Board Action Report<br />

The following actions were taken or reported by the Board of Directors at their<br />

January meeting:<br />

1. Moved to approve the December 2011 Board of Directors’ Meeting Minutes<br />

with the correction regarding the Resolution Allocating the 2010 – 2011 Surplus<br />

Funds to state that 100% of the surplus funds will be applied to pay-off portions<br />

of the principal balance of the <strong>Association</strong>’s long term debt obligations. Motion<br />

passed unanimously.<br />

2. After reviewing the minutes from the ESAC Board of Review and hearing<br />

the opinions from our Resource Staff and Mr. Setchell of Ekana Nursery, it<br />

was moved to defer the matter to the Environmental Committee to consider a<br />

2010-2011 Distribution of Surplus Funds<br />

WHEREAS, the <strong>Woodhaven</strong> <strong>Association</strong> (the “<strong>Association</strong>”) is governed by<br />

and through a duly elected Board of Directors (the “Board”) pursuant to the<br />

Declaration of Covenants and By-Laws; and<br />

WHEREAS, Article VII Section 1 a of the By-Laws provide that the Board<br />

shall manage and control the affairs of the <strong>Association</strong>; and<br />

WHEREAS, Article VIII Section 7, of the By-Laws state, When surplus funds<br />

of more than $100,000 are available, the <strong>Association</strong>’s Board of Directors will<br />

follow limits in redistributing the surplus to the <strong>Association</strong>’s membership. If<br />

no other reasonable <strong>Association</strong> use of the funds is approved by the Board of<br />

Directors, all of the surplus funds will be distributed in the following manner:<br />

1. Approximately 30% of the surplus funds will be applied to offset future<br />

operating assessments.<br />

2. Approximately 70% of the surplus funds will be applied to pay off<br />

portions of the principal balance of the <strong>Association</strong>’s long-term debt<br />

obligations.<br />

WHEREAS, the Board has identified from the Audited Financial Statements<br />

a surplus in operating funds of $97.691 from FY 2010-2011; furthermore the<br />

Board has disclosed to the membership at the November 12, 2011 Budget<br />

Hearing and has published their intentions.<br />

Dog Park on Hold<br />

After considerable discussion by both the Facilities Planning and Finance<br />

Committees, the Board has decided to get more Owner feedback before<br />

proceeding with this project. Currently there is $21,600 for the development<br />

of the park itself; this cost is an estimate based on input from other facilities,<br />

the actual cost would depend on size and amenities, which could be less.<br />

Because the <strong>Association</strong> is a private agency, as opposed to a park district or<br />

forest preserve, exposure to liability becomes a significant factor. According to<br />

our insurance agent, the cost for coverage for such an amenity is estimated at<br />

$5,000 annually.<br />

Election of Directors<br />

The <strong>2012</strong> election schedule, printed below, will be on the Board’s February<br />

agenda for adoption. This will be the first of <strong>Woodhaven</strong>’s elections held<br />

in accordance with the recently enacted State Statutes for Community<br />

<strong>Association</strong>s. In order for <strong>Woodhaven</strong> to comply with the maximum three-year<br />

term requirements and annual elections, a modified term will be needed for<br />

those currently serving and for the next four elections. The term of those elected<br />

in the 2010 election will be shortened to a three-year term: Duane Tutaj, Lyle<br />

Lake Sr., Linda Koutsogianis, and Ivan Martinez. The term for those elected<br />

in <strong>2012</strong> will be two years; those seats are currently held by: Mark Kotte, Jim<br />

Hicks, and Charles Muir.<br />

Proposed Amendments to <strong>Woodhaven</strong>’s By-Laws<br />

By-Law Amendments<br />

In the January issue of the <strong>Woodhaven</strong> News you were apprised of the changes<br />

proposed for Articles IV, VI, and VII of the By-Laws; to follow are the changes<br />

proposed to the remaining articles. Article III is a listing of definitions for terms<br />

found throughout the document. Article VIII sets forth the parameters from<br />

which the Board will conduct the financial matters of the <strong>Association</strong>. Article<br />

IX designates the officers on the Board of Directors and committee structure<br />

of the <strong>Association</strong>. Article X, currently titled Duties of Members, is specific<br />

to the payment of assessments and other obligations, and the remedies and<br />

enforcement for the collection of debt owed the <strong>Association</strong>. Since Articles IV<br />

and X both deal with duties, powers, and obligations of the membership, the<br />

final draft of the By-Laws will combine these two sections under one heading,<br />

Membership Powers, Duties, and Obligations.<br />

Proposed changes, if being eliminated, will be identified with a strikethrough,<br />

additions to the language will be in italics and underlined. If you would like<br />

Articles I and II specify the <strong>Association</strong>’s official name and address, and the<br />

registered agent and location. Article XI concerns future amendments to this<br />

document; there are no changes being recommended in these three articles.<br />

Approval to amend the By-Laws in their entirety will be on the Board’s <strong>March</strong><br />

meeting agenda.<br />

Article III<br />

DEFFINITIONS<br />

“The Act” shall mean the Common Interest Community <strong>Association</strong> Act.<br />

Section 1. “<strong>Association</strong>” shall mean The <strong>Woodhaven</strong> <strong>Association</strong>, an Illinois<br />

not-for-profit corporation.<br />

Section 2. “Board” shall mean the Board of Directors of the <strong>Association</strong>.<br />

Section 3. “By-Laws” shall mean the By-Laws of the <strong>Association</strong>.<br />

Section 5. “Campsite” or “Lot” shall mean any Lot in <strong>Woodhaven</strong> Lakes<br />

included from time to time within the definition of Campsite set forth in the<br />

Declaration of Covenants.<br />

Section 12. “Capital Addition” as contained within Article VIII, Sections 1<br />

and 5 shall mean an asset which is not a pre-existing asset. A duplication of<br />

an existing asset is a capital addition.<br />

Section 14. “Charges” shall include, without limitation, amounts of fines and<br />

costs imposed arising out of citations issued for violations of the <strong>Association</strong>’s<br />

Covenants, By-Laws, and Rules and Regulations, bad check charges, interest,<br />

late fees, court costs, attorney fees and fees for water/sewer repairs.<br />

Section 4. “Common Properties” shall mean all property included from<br />

time to time within the definition of Common Properties set forth in the<br />

Declaration of Covenants.<br />

Section 6. “Declaration of Covenants” shall mean the Declaration of<br />

Covenants for <strong>Woodhaven</strong> Lakes dated the 24th day of October 1995, and any<br />

supplemental Declarations, as amended from time to time.<br />

“Governing Documents” shall mean all documents and authorized amendments<br />

of the <strong>Association</strong> including, but not limited to, the Covenants<br />

Declaration, By-Laws, Rules and Regulations and Policies.<br />

Section 9. “Member” shall mean a Property Owner or Campsite Owner and<br />

refer to those persons entitled to membership as provided in the Declaration.<br />

(Also see Voting Member.)<br />

“Member in Good Standing” shall mean a Member current in the payment<br />

of assessments and charges, and not in violation of any provision of the<br />

Declaration of Covenants, By-Laws, or Rules and Regulations of the<br />

<strong>Association</strong>; or of Resolutions as adopted by the Board of Directors.<br />

“Membership Papers” shall mean and refer to official <strong>Association</strong> documents<br />

used to register all Property Owners as Members of the <strong>Association</strong>.<br />

Section 8. “Owner,” “Property Owner,” or Campsite Owner shall mean and<br />

refer to the record owner, whether one or more persons or entities, of the fee<br />

simple title to any Campsite which is a part of <strong>Woodhaven</strong>, including contract<br />

purchasers, but excluding those having such interest merely as security for the<br />

performance of an obligation.<br />

Section 13. “Pre-existing Asset” shall mean an asset currently in place and<br />

used for a specific purpose, such as a comfort station including but not limited<br />

to the following.<br />

(1) A direct replacement, including reasonable expansion to meet current or<br />

projected requirements, of such asset or combination of such assets on the<br />

same site or different site remains a pre-existing asset.<br />

(2) An expansion of an existing asset to meet current or projected requirements<br />

and done as part of renovation remains a pre-existing asset.<br />

(3) A replacement on another site, which results in a vacated asset, creates a<br />

capital addition equal to the depreciated value plus costs of conversion of the<br />

replaced asset.<br />

“Prescribed Delivery Method” means mailing, or posting in a <strong>Woodhaven</strong><br />

publication that is routinely mailed or emailed to all members.<br />

Section 10. “Rules and Regulations” shall mean and refer to the Rules and<br />

Regulations of the <strong>Association</strong> as approved and adopted from time to time by<br />

Section 11. “Special Assessment” as contained within Article VIII., Section<br />

5. (b) shall mean an amount for one or more “capital additions” which has not<br />

been included in the five year financial plan of the <strong>Association</strong> for at least two<br />

consecutive years.<br />

“Voting Member” means the person or entity designated as an owner and<br />

entitled to one vote as defined by the Governing Documents.<br />

Section 7. “<strong>Woodhaven</strong> Lakes” shall mean and refer to that certain real<br />

property described in the Declaration of Covenants.<br />

Article VIII<br />

FINANCIAL MANAGEMENT BY THE BOARD OF DIRECTORS<br />

Section 1. Adoption of the Five-Year Plan. The Board shall annually during<br />

December adopt or reaffirm a tentative five-year plan for Operating Expenses,<br />

Replacements and approved Capital Additions. The Assessment levied<br />

against each Campsite shall be based upon the five-year plan.<br />

Section 2. The Budget. The Board shall annually during <strong>March</strong> December<br />

adopt budgets for the Operating Fund and Restricted Fund of the <strong>Association</strong>.<br />

Section 3. Separate assessments used for expenditures relating to emergencies<br />

or mandated by law may be adopted by the Board without being subject to<br />

Voting Members approval.<br />

Section 4. Assessments for additions and alterations to the common areas or<br />

to <strong>Association</strong>-owned property not included in the adopted annual budget<br />

shall be separately assessed and are subject to approval of two-thirds (2/3) of<br />

the total Voting Members at a meeting called for that purpose.<br />

Section 5. The Board may adopt separate assessments payable over more<br />

than one fiscal year. With respect to multi-year assessments not governed by<br />

sub-sections (3) and (4) of this Article, the entire amount of the multi-year<br />

assessment shall be deemed considered and authorized in the first fiscal year<br />

in which the assessment is approved.<br />

Section 6. Check requests, invoices, and contracts for services and products<br />

for the maintenance, replacement, and repairs of common areas shall be<br />

submitted to the Accounts Payable Clerk by the department manager, noting<br />

the appropriate account code. There will be two signatures required for<br />

payment. Those authorized to sign will verify the support documentation for<br />

each payment.<br />

The Board shall also approve a Business Plan for each of its subsidiaries for<br />

the upcoming fiscal year.<br />

Section 7. Restricted Fund. The affirmative vote of a majority of the<br />

Directors present at a meeting of the Board shall be required to disburse<br />

money from the Restricted Fund of the <strong>Association</strong> unless the purpose of the<br />

disbursement is to fund a deficit in the Operating Fund of the <strong>Association</strong><br />

whereupon the affirmative vote of three-quarters (3/4) of the Directors of the<br />

<strong>Association</strong> shall be required to disburse money.<br />

Section 8. Borrowing Money. The affirmative vote of three-fourths (3/4) of<br />

the Directors of the <strong>Association</strong> shall be required to borrow money for the<br />

purpose of financing a deficit in the Operating Fund of the <strong>Association</strong>.<br />

Section 9. Membership Voting Members Approval of Certain Expenditures.<br />

a. Capital Addition Limit. The limit shall be adjusted every five (5) years<br />

by a factor based on the yearly changes in the CPI-Midwest, compounded<br />

for five (5) years and rounded to the nearest $5,000. The first adjustment, in<br />

April 2000, will be calculated from 1986 and will become $$300,000. The<br />

next adjustment will be made in 2005 and every five (5) years thereafter.<br />

The capital spending limit as of 2011 is $390,000.<br />

b. In the event the Board approves an expenditure from either the Restricted<br />

Fund of the <strong>Association</strong> to pay for a “Capital Addition” or the borrowing<br />

of money to pay for a “Capital Addition” for the <strong>Association</strong> or any of its<br />

subsidiaries or ventures in an amount greater than the amount determined<br />

by (a) above, the Board must further obtain approval of this expenditure by<br />

a majority of the votes cast in a referendum of Members entitled to vote.<br />

Section 10. The Board shall, in each year, take into consideration all sources<br />

of income that the <strong>Association</strong> may have and levy an annual assessment<br />

upon each Campsite for the following year. In no event shall the assessment<br />

upon Campsites be less than that amount representing the Operating Fund<br />

portion of the budget for that year. The Board may, by resolution, fix the time<br />

for payment of annual assessments, which may be on a monthly, quarterly,<br />

semiannual or annual basis. No assessment shall be levied against Campsites<br />

owned by the <strong>Association</strong>.<br />

Section 11. When surplus operating funds of more than $100,000 are<br />

available, the <strong>Association</strong>’s Board of Directors will follow these limits in<br />

redistributing the surplus to the <strong>Association</strong>’s membership. (4/24/06)<br />

a. The annual allocation to offset future operating assessments is limited to<br />

the greater of $60,000 or 25% of the accumulated surplus in any single year.<br />

b. Any deviation from this policy must be fully disclosed to the<br />

Section 12. The <strong>Association</strong> shall obtain and maintain fidelity insurance<br />

covering persons who control or disburse funds for an amount that is reasonably<br />

required to protect funds in the custody or control of the <strong>Association</strong>.<br />

Article IX<br />

OFFICERS AND COMMITTEES OF THE ASSOCIATION<br />

Section 1. Officers. The officers of the <strong>Association</strong> shall be the President,<br />

one or more Vice Presidents, the Secretary, the Treasurer and Assistant<br />

Secretary, and such other officers and assistant officers as the Board may<br />

from time to time elect. Officers shall serve at the will of the Board. Any<br />

two (2) or more offices may be held by the same person, except the offices<br />

of President and Secretary. Officers shall be Members of the <strong>Association</strong>.<br />

The highest ranking officer of the previous Board whose term has not expired<br />

shall convene a newly constituted Board for its first official meeting following<br />

the election of Directors. The first item of business shall be the election of a<br />

temporary President for the purpose of presiding officers of the <strong>Association</strong><br />

shall have the following duties:<br />

(a) President. The President shall be the presiding officer of the Board of<br />

Directors. The President is the chief executive parliamentary officer in<br />

determining the conduct of the <strong>Association</strong>, Board of Directors and their<br />

committees. With the advice and consent of the Board of Directors, the<br />

President will represent the Board in dealing with the Executive Director<br />

and/or General Manager. The President shall be vested with the powers<br />

and duties generally incident to the office of the President of a Common<br />

Interest Community <strong>Association</strong> not-for-profit corporation, except as<br />

otherwise determined by the Board, or as may be otherwise set forth in<br />

these By-Laws.<br />

(b) Vice President. In the absence of the President, or in the event of his<br />

inability or refusal to act, the Vice President is empowered to act and shall<br />

thereupon be vested with the powers and duties of the President. In the<br />

event that there is more than one Vice President, the Board shall establish<br />

the order in which they serve.<br />

(c) Secretary. The Secretary of the <strong>Association</strong> shall keep the minutes of the<br />

business and other matters transacted at the meetings of the Members and<br />

of the Board. He/She shall mail, or cause to be mailed, all notices required<br />

under the By-Laws. He/She shall have the custody of the corporate seal and<br />

records and maintain a list of the Members and their addresses and perform<br />

all other duties incident to the office of Secretary.<br />

(d) Treasurer/Assistant Secretary. The treasurer shall have custody of the<br />

funds of the <strong>Association</strong>, collect monies due, pay the obligations of the<br />

<strong>Association</strong> out of its funds, and perform such other duties as are incident to<br />

the office of Treasurer. The Board may require that the Treasurer be bonded<br />

for such amount and under such conditions as the Board may require. The<br />

Assistant Secretary shall fulfill the responsibilities of the office of Secretary<br />

in the absence of the Secretary. (11/18/02)<br />

Section 2. Removal of Officers. Any officers may be removed when, in the<br />

judgment of the Board, the best interests of the <strong>Association</strong> will be served by<br />

such removal.<br />

Section 3. Board Committees. The following standing committees are established<br />

to assist the Board of Directors:<br />

(a) Facilities Planning Committee<br />

(b) Communications Committee<br />

(c) Finance Committee<br />

(d) Boards of Review<br />

Each committee will consist of five (5) or more Members appointed by the<br />

Chairman of the respective committee, or by the President with the advice<br />

and consent of the Board of Directors. Members of the committees shall be<br />

<strong>Association</strong> Members. The committees will make recommendations to the<br />

Board of Directors. Guidelines and issues for the committees will be established<br />

by the Board of Directors.<br />

Article IV X<br />

MEMBERSHIP POWERS, DUTIES, AND OBLIGATIONS<br />

DUTIES OF MEMBERS<br />

Section 5. Payment of Assessments. All charges and/or assessments and<br />

related charges levied by the <strong>Association</strong> shall be paid to the <strong>Association</strong> on<br />

or before the time fixed by the Resolution of the Board. Written notice of the<br />

charge and the date of payment shall be sent to each Owner (Member) the<br />

Voting Member at his or her last known address given the address last given<br />

by such Owner to the <strong>Association</strong>. Charges incurred as a result of fines, fees,<br />

penalties, repairs or other charges from the <strong>Association</strong> or its subsidiaries<br />

shall be payable within 60 days of the billing statement. All payments on an<br />

Owner’s account shall be applied in chronological order beginning with the<br />

oldest unpaid invoice or amount due. Unpaid charges shall further become a<br />

part of the assessment.<br />

Section 6. Collections.<br />

(a) Collection and Lien. If assessments levied by the <strong>Association</strong> and<br />

other charges are not paid by the due date, the amount of such assessment<br />

and/or charges plus any charges thereon including interest at the<br />

maximum limit provided under the law from date of delinquency and costs<br />

of collection, including reasonable attorneys’ fees, shall constitute a lien<br />

upon the Campsite. The Board <strong>Association</strong> shall cause a lien to be filed in<br />

the office of the Lee County Recorder of Deeds, which notice shall state the<br />

amount of the Assessment and other such charges and a description of the<br />

Campsite of the Propert Owner which have been assessed or charged. The<br />

<strong>Association</strong> may deem these charges to constitute a lien upon the Campsite<br />

and cause said lien to be filed in the office of the appropriate County<br />

Recorder of Deeds, which notice shall state the amount of the Assessment<br />

and other such charges and a description of the Campsite which has been<br />

assessed. The Board may seek to recover said sums by any other available<br />

judicial procedure and shall be entitled to its internal costs, attorneys’ fees<br />

and costs of suit in said collection. If the <strong>Association</strong> does claim a lien<br />

on the Campsite, upon payment of said assessment and charges and other<br />

satisfaction thereof, the Board shall within a reasonable time cause to be<br />

recorded a further notice stating the satisfaction and the release of said lien.<br />

(b) Collection of Charges. The charges as used in the By-Laws shall<br />

include, without limitation, amounts of fines and costs imposed arising out<br />

of citations issued for violations of the <strong>Association</strong>’s Covenants, By-Laws,<br />

and Rules and Regulations, bad check charges, interest, late fees, court<br />

costs and attorney fees. and any and all costs and expenses incurred by the<br />

<strong>Association</strong> in the exercise of its authority in these By-Laws.<br />

(c) Procedures. In addition to any remedies or liens provided by law<br />

or by these By-Laws, if an Owner is in default in the payments of the<br />

aforesaid charges or assessments or any installment thereof for 30 days,<br />

the <strong>Association</strong> may bring suit to enforce collection thereof or to foreclose<br />

the lien therefore as provided herin or by law; and there shall be added to<br />

the amount due the costs of the suit, together with interest and reasonable<br />

attorneys’ fees to be fixed by the court. No Owner may waive or otherwise<br />

escape liability for the assessments provided for herein by non-use of the<br />

Common Properties or abandonment of his or her Campsite.<br />

Section 7. Priority of Lien. Conveyance of any Campsite shall not affect any<br />

lien for assessments or other charges provided for herein. Such lien shall be<br />

prior to all other liens recorded subsequent to the filing of said lien.<br />

Section 8. Enforcement. The lien provided for herein may be foreclosed by<br />

suit by the <strong>Association</strong> in like manner as a mortgage, and in such an event,<br />

the <strong>Association</strong> may be a bidder at the foreclosure sale. The <strong>Association</strong> may<br />

also pursue any other remedy against any Owner owing money to it which is<br />

available to it by law or equity for the collection of a debt.<br />

Section 9. Proof of Payment. Upon request, the <strong>Association</strong> shall furnish a<br />

statement certifying that all assessments then due have been paid or indicating<br />

the amount then due.<br />

Section 10. Suspension. The <strong>Association</strong> shall not be required to transfer<br />

membership on its books or to allow the exercise of any rights or privileges<br />

of membership on account thereof to any Member owner or to any person<br />

claiming under them unless or until all assessments and charges to which they<br />

are subject have been paid.<br />

Section 11. Removal of Board Member. Two-thirds (2/3) of the membership<br />

may remove a Board Member as a Director at a duly called special meeting.<br />

Article XI<br />

TERM AND AMENDMENT<br />

These By-Laws shall be in force and effect from and after the date of their<br />

adoption and recording and can be amended from time to time by the affirmative<br />

vote of a majority of the Board of Directors of the <strong>Association</strong>, except for<br />

those portions of the By-Laws requiring more than a majority vote. Those<br />

portions of the By-Laws requiring more than a majority vote of the Board can<br />

only be amended by the affirmative three-fourths (3/4) vote of the Board of<br />

Directors.<br />

Assessments due <strong>March</strong> 31, <strong>2012</strong><br />

The annual assessment invoicing process was completed and statements<br />

were mailed to property owners in mid-January. If you have not<br />

received an invoice from <strong>Woodhaven</strong>, please contact the <strong>Association</strong><br />

Office to check on your statement. The January statement is the only<br />

notice sent prior to the <strong>March</strong> 31, <strong>2012</strong> due date.<br />

There are two payment options:<br />

OPTION 1: Full payment on or before <strong>March</strong> 31, <strong>2012</strong><br />

Lots with Sewer Service: Property Owners owning lots with sewer<br />

service are required to pay $1,100.<br />

Lots without Sewer Service: Property Owners owning lots without<br />

sewer service are required to pay $937.<br />

NOTICE TO WATERCRAFT OWNERS<br />

Acouple watercrafts picked up at the boat storage areas in December 2011<br />

are waiting to be claimed by their owners. <strong>Woodhaven</strong> <strong>Association</strong>’s<br />

policy states all watercraft must be removed from lake storage areas between<br />

December 1 and <strong>March</strong> 1. Watercraft remaining after December 1 are picked up<br />

and put into storage. Owners of watercraft with proper identification on them<br />

are notified by letter. Other watercraft will remain in storage until the owners<br />

claim them. Unclaimed watercrafts are normally held for a period of one year<br />

before they are auctioned off or disposed of. Watercrafts held in storage are<br />

subject to a $20 pickup and $5/month storage fees. If you suspect that you left<br />

a watercraft at one of the lake storage areas, please contact Jerry Corcoran at<br />

(815) 849-5209 ext. 258 during the week. To claim your watercraft and arrange<br />

pickup, owners must call ahead of time and provide proof of ownership.<br />

Over the past 6 seasons we have prevented the hatching of 1458 goose eggs<br />

representing 261 nests for an average of 44 nests located and 243 eggs/year<br />

destroyed. We continue to see approximately 25-50 geese successfully hatch<br />

each season. This means in the 6 year period we should have seen an increase<br />

in the resident flock by 150-300 birds. We have not seen this to date. Each year<br />

the number of breeding pairs, 50-60, remains relatively constant in and around<br />

<strong>Woodhaven</strong>. For the coming season, <strong>2012</strong>, our Nuisance Permit again allows<br />

for 60 nests to be treated and removed. The difficulty faced in this program is<br />

locating the nests during the course of the nesting season which runs roughly<br />

late <strong>March</strong> through mid-May.<br />

Geese normally seek a ground nesting site near the water’s edge. They prefer a<br />

location slightly elevated. We have a unique situation, unlike other areas, where<br />

geese are utilizing the tops of building structures throughout property. Most<br />

of the nests found (85%) over the past 6 seasons have been on top of building<br />

structures as opposed to on the ground near lakes and other water bodies. There<br />

are also geese utilizing ground sites away from the lakes to construct their nests.<br />

In so doing, the geese have greatly increased the number of nests that would<br />

otherwise be constructed in a similar size area. Geese are very territorial, as are<br />

all animals when setting up their nest and den sites, thus in more natural situations<br />

there would only be a select number of “choice” nesting sites available.<br />

At our location, many “choice” sites are available to the geese as a result of<br />

their adaptation to nesting on top of building structures.<br />

Thus nest locating has been made much more difficult and time consuming<br />

due to the fact that geese have adapted to building their nest atop building structures<br />

in areas near a lake or in some cases quite a distance from a water body.<br />

Since competition is fierce between the mated pairs, they will nest anywhere<br />

conditions are suitable.<br />

It has been found that most nests built on top of trailers, room additions, and<br />

sheds are in areas under pine tree stands. One of the criteria that allow a nest to<br />

be constructed on top of a trailer is the availability of nesting material. Geese<br />

do not gather nest material and transport it to the selected location as other<br />

birds. Geese utilize materials at the sight. Pines shed a lot of needles in the fall<br />

which provide ideal nest construction material on top of structures for the hen to<br />

pull into a pile around her to form a nest. Any accumulation of leafy debris on<br />

top of a trailer also works for nesting material.<br />

Though we have narrowed down the areas in which they are selecting,<br />

there are some that still manage to go undetected and thus successfully hatch.<br />

• A minimum length limit indicates that fish taken and not returned to the lake are<br />

required to be equal to or larger than the stated length. All fish less than the stated<br />

length shall be returned to the water being fished.<br />

• A daily limit will pertain to the lake being fished. Anglers will not be allowed to<br />

have in possession more than 1 largemouth bass on any given lake. Anglers shall<br />

not exceed the State limit of 6 bass.<br />

NO MINNOWS ALLOWED AS BAIT<br />

Some of these birds are probably nesting off property and raising the young<br />

on property. Other are just plain difficult to locate. To assist with locating<br />

nests, I am asking property owners to take time in the early spring, preferably<br />

by mid-April, to visit your lot and search the property for nests as well as to<br />

clean off accumulated debris from the top of your trailers, room additions, and<br />

sheds. If you locate a nest, contact the Resource Department at 815-849-5209<br />

extension 258 to leave the section and lot where the nest is located. This will<br />

help to further reduce the number of nesting sites thus likewise help in the<br />

management of the goose population.<br />

The procedure once a nest is located is to oil the eggs and place them back<br />

in the nest. Depending on the number of days that they have been incubated to<br />

that point by the hen will determine the length of time that the eggs must remain<br />

in the nest until they are picked up for disposal. This procedure prevents the<br />

geese from setting up a new nest at another location. If the nest is destroyed<br />

early on in the incubation period such as if another predator had found it, the<br />

pair of geese will re-nest at another<br />

In addition to the nest and egg destruction, we continue to utilize harassment<br />

measures at the beach/Family Center area during the season. These worked<br />

well the first couple of seasons, but observations indicated that the geese had<br />

become adapted once again to the methods and did not respond as well to these<br />

measures. More visits to the beach as well as changes to methods used were<br />

required to gain the same effects on the geese.<br />

Another aspect of the program is the application of a deterrent on selected<br />

high use turf areas. The deterrent applied to the turf causes a negative reaction<br />

when ingested by geese while feeding on the grass. This continues to be<br />

effective when conditions allow for the application on a timely basis. The<br />

deterrent must be put down at least every 2-3 weeks during the season to gain<br />

the greatest impact on deterring geese from the selected areas. This deterrent is<br />

Winter Activities<br />

Ice Skating<br />

Depending on the weather this winter, The Recreation<br />

Department may develop a rink if ice and snow conditions prove<br />

to be optimal. Ice skates can be borrowed using a property owner's pass. Our<br />

ice skate collection has grown over the years through the generous donations of<br />

many property owners. However, we cannot guarantee to have all skate sizes.<br />

Sledding<br />

The sled hill is located behind the tennis/basketball courts near the Rec Plex<br />

and General Store. You can’t miss it! As soon as the first snowflakes fly, we are<br />

bound to see sledding enthusiasts begin trekking up the hill.<br />

Cross-Country Skis<br />

The Recreation Department has a limited number of cross-country<br />

skis available that can be borrowed through the Family Center.<br />

The boot sizes are limited. We cannot guarantee to have your size<br />

available. Cross country ski trails pick up at the Rec Plex and follow<br />

portions of the Rec Path as well as other trails.<br />

If you would like to borrow equipment, please call ahead to make arrangements.<br />

a couple days ahead of time, as holiday and off-season schedules can be busy<br />

Children’s Easter Egg Hunt<br />

Saturday, <strong>March</strong> 31, <strong>2012</strong><br />

The hunt will begin at 12 noon at the Rec Plex. Registration and Check-In<br />

will take place at the Q & Ice Box. Each child will be given a number and must<br />

search through the “Easter Field” for the eggs that share the same number.<br />

Everyone will receive a special prize. We will also offer a special section of the<br />

egg hunt geared towards our younger participants (ages 3 and under) who may<br />

not be ready for the number challenge in the “big” kids hunt.<br />

After the egg hunt, hop along with the Easter Bunny to the Creation Station<br />

where we will be having a craft followed by a movie in the Multi-Purpose<br />

Room. The Creation Station (Arts & Crafts Room) will be open from 12-2 p.m.<br />

for children to make an Easter craft. (This is included in the egg hunt fee.) Our<br />

feature movie will begin at 2 p.m. in the Multi-Purpose Room. Children will be<br />

treated to a cookie and punch during the movie.<br />

There is a $3 fee per child that participates. If you bring a non-perishable food<br />

item for the local food pantry, you will receive $1 off the fee. Items that are<br />

needed are: coffee, canned goods, boxed goods (ex. cereal, boxed juice drinks),<br />

and paper products (ex. diapers, Kleenex, paper towels).<br />

Bring your camera and capture the memories of your little ones enjoying<br />

this favorite <strong>Woodhaven</strong> activity. Be sure to see the Easter Bunny who will be<br />

Assessments vs. Taxes<br />

<strong>Woodhaven</strong> is definitely a great place to get away from the grinds of daily<br />

life—work, traffic & noise. As with most hobbies and recreational activities,<br />

however, there are varying degrees of financial costs and expenses that go along<br />

with the fun and relaxation, and <strong>Woodhaven</strong> is no different.<br />

When you make the commitment to yourself and your family to purchase<br />

recreational property at <strong>Woodhaven</strong>, you also make the pledge to accept the<br />

accompanying financial responsibilities. Two of the primary financial obligations<br />

involved at <strong>Woodhaven</strong> are the annual <strong>Association</strong> assessments and the<br />

yearly county property taxes. There is often a misconception that the assessment<br />

and county tax bill are one in the same. It’s very important to learn and know<br />

the differences between these two expenses, what they provide and who they<br />

are paid to.<br />

Annual <strong>Association</strong> Assessment<br />

When you purchase property at <strong>Woodhaven</strong>, you become a member of the<br />

<strong>Woodhaven</strong> <strong>Association</strong>. As a member of the <strong>Association</strong>, you are responsible<br />

to fund your ownership share of the <strong>Association</strong>’s annual budget. This budget<br />

includes annual operating costs; such as cost to operate facilities, including the<br />

pools, water and sewer facilities and other amenities; providing programs and<br />

services; and maintenance of buildings and common grounds. Also included in<br />

the annual budget is a reserve fund; which sets aside a certain amount of cash<br />

for future improvements, emergencies or unexpected repairs and improvements.<br />

Every year <strong>Woodhaven</strong>’s Board of Directors and volunteer committees spend<br />

months reviewing past budgets and working with staff to determine current and<br />

future budgetary needs based on goals set by the Board. Through this process,<br />

the Board then determines each individual property’s share based on the number<br />

of billable properties at <strong>Woodhaven</strong> and <strong>Woodhaven</strong>’s overall budgetary needs.<br />

The budget process is well documented through the <strong>Woodhaven</strong> News and<br />

allows property owner input at several stages of the process. The process culminates<br />

in November of each year when the proposed budget for the upcoming<br />

fiscal year is presented to the members in an open meeting. The following fiscal<br />

year budget is typically approved by the Board of Directors at the December<br />

Board meeting. After the Board approves the budget, including the amount to be<br />

billed to each individual property owner, staff begins preparing the assessment<br />

bills, which are typically mailed to property owners in January each year, with<br />

a <strong>March</strong> 31 due date for the first installment payment (see assessment payment<br />

schedule on page 15 of this issue of the <strong>Woodhaven</strong> News).<br />

It is important to understand that the individual annual assessment amount is<br />

based on the number of billable properties located at <strong>Woodhaven</strong>. Therefore,<br />

every billable lot with sewer service is billed the exact same assessment<br />

amount. Also, every lot without sewer service is billed the same amount as<br />

every other lot in <strong>Woodhaven</strong> without sewer service. And because the assessments<br />

are actually billed to each billable lot, property owners that own multiple<br />

lots are required to pay an assessment for each lot they own.<br />

Property Taxes<br />

If you own a home or property somewhere other than <strong>Woodhaven</strong>, then you<br />

are probably well aware of what property taxes are and how they are assessed.<br />

For all others, property tax on real estate is typically levied by local government<br />

at the municipal or county level and they help support local education, police/<br />

fire protection, local governments and other local infrastructure. The tax is<br />

usually assessed at a percentage of two components—the value of the land, and<br />

any improvements or building value.<br />

At <strong>Woodhaven</strong>, assessed land values can vary greatly depending upon<br />

location within the property. For example, property on a lake would be assessed<br />

at a higher value than a lot not located near water. Structures and improvements<br />

at <strong>Woodhaven</strong> that can be assessed include free standing room additions,<br />

covered decks, and sheds. Park models, travel trailers, fifth-wheels and other<br />

RV’s cannot be assessed as they are considered personal property.<br />

<strong>Woodhaven</strong> properties are located in Lee County, and as such, are taxed<br />

by Lee County Treasurer’s Office. With more than 1,700 acres of property,<br />

<strong>Woodhaven</strong> encompasses two different townships and two different fire protection<br />

districts. Because of this, similar campsites may be assessed at slightly<br />

different rates based on what township or fire protection district they are located<br />

in. Regardless, the typical tax rates for this past tax year in Lee County were<br />

between 6.5% and 6.8% of assessed value. Tax bills in Lee County are usually<br />

mailed out in April or May of each year with due dates of June and September.<br />

A notice is included each year in the <strong>Woodhaven</strong> News when the Lee County<br />

tax bills are mailed.<br />

It is important to know that these bills are mailed directly to the residential<br />

address of the property owner listed on the deed. If you, as a Property<br />

Owner, ever have a home change of address, you need to contact Lee County<br />

Treasurer’s Office to provide them with the most current information so your<br />

tax bill can reach you. Remember, you are responsible for payment of your<br />

county taxes weather you received a bill in the mail or not! We have seen<br />

many situations where property owners have lost ownership of their lot to<br />

non-payment of taxes because the bill was not being sent to the correct address.<br />
