SUPPLEMENT TO THE BASE PROSPECTUS<br />
If at any time <strong>the</strong> Issuer shall be required to prepare a supplement to this Base Prospectus<br />
pursuant to <strong>the</strong> provisions of Article 16 of <strong>the</strong> Prospectus Directive and article 212-25 of <strong>the</strong><br />
General regulations (Règlement général) of <strong>the</strong> AMF and any legislation in any Member<br />
State of <strong>the</strong> <strong>Euro</strong>pean Economic Area that implements <strong>the</strong> Prospectus Directive and<br />
subordinated legislation hereto, <strong>the</strong> Issuer will prepare and make available an appropriate<br />
supplement to this Base Prospectus which in respect of any subsequent issue of <strong>Note</strong>s shall<br />
amend or supplement this Base Prospectus. Such supplement to this Base Prospectus will<br />
be submitted to <strong>the</strong> AMF for <strong>the</strong> purposes of obtaining its visa <strong>the</strong>reon.<br />
