1. บริษัทและผู้ใช้บริการตกลงก าหนดระยะเวลาการใช้บริการขั้นต่ า ตามใบสมัครนี้เป็น เวลา 1 ปี นับแต่วันที่ ____________ ถึง ____________ ในกรณีที่ผู้ใช้บริการ

ข้อก ำหนดและเงื่อนไขกำรใช้บริกำร 

ข้อ 1. ในใบสมัครใช้บริการฉบับนี้ ถ้าข้อความมิได้แสดงให้เห็นเป็นอย่างอื่น ให้ข้อความต่างๆมีความหมาย ดังนี้ 

“บริษัท” หมายถึง บริษัท ซีเอส ล็อกซอินโฟ จ ากัด (มหาชน) 

“ผู้ใช้” หมายถึง หน่วยงานราชการ/รัฐวิสาหกิจ/องค์กร/นิติบุคคล ที่ประสงค์จะใช้บริการที่ให้บริการโดยบริษัทและ/หรือโดยผู้ให้บริการอื่นที่บริษัทจัดหามาประกอบการให้บริการแบบ 

รวมศูนย์จุดเดียว 

"บริการ" หมายถึง “บริการทางเทคนิค” และ/หรือ “การบริหารจัดการทางเทคนิค” และ/หรือบริการอื่นที่ให้บริการโดยบริษัทและ/หรือโดยผู้ให้บริการอื่นที่บริษัทจัดหามาประกอบการ 

ให้บริการแบบรวมศูนย์จุดเดียว ซึ่งอาจรวมถึง บริการทุกรูปแบบ หรือบางส่วนที่บริษัทให้บริการ ทั้งนี้ ขึ้นกับข้อตกลง ตามใบเสนอราคา และ/หรือที่ระบุในหน้าแรกของใบสมัครนี้ 

“บริการทางเทคนิค” หมายถึง บริการอินเทอร์เน็ต และ/หรือการให้บริการเชื่อมโยงเครือข่ายข้อมูล และ/หรือระบบคอมพิวเตอร์ของผู้ใช้กับเครือข่ายอินเทอร์เน็ตหรือเครือข่ายอื่นๆ หรือ 

รูปแบบการเชื่อมต่อเครือข่ายที่ไม่ใช่บริการอินเทอร์เน็ต ที่ให้บริการโดยบริษัท และได้ตกลงกับลูกค้าตามใบเสนอราคาและ/หรือที่ระบุในหน้าแรกของใบสมัครนี้ 

“บริการบริหารจัดการทางเทคนิค” หมายถึง บริการด้านการจัดการเทคนิคและวิศวกรรมต่างๆ โดย ขอบเขตจะครอบคลุมเฉพาะที่ตกลงกัน ตามเงื่อนไขในใบเสนอราคาและ/หรือที่ระบุ 

ในหน้าแรกของใบสมัครนี้ 

บริการให้ค าปรึกษาออกแบบ บริการติดตั้งอุปกรณ์ ซอฟต์แวร์ เครือข่าย และระบบที่จ าเป็น บริการเฝ้าดูแลระบบบริการ การบริหารจัดการ เหตุขัดข้องของการบริการ ตามที่ผู้ใช้ 

ต้องการ ทั้งที่เป็นบริการของบริษัทฯ และ/หรือ เป็นสินค้าบริการภายนอกที่บริษัทจัดหามาเพื่อให้บริการแบบรวมศูนย์จุดเดียว 

“ค่าใช้บริการ” หมายถึง ค่าใช้บริการที่ได้ตกลงกันในใบเสนอราคา และ/หรือค่าบริการอื่นใดที่เกี่ยวเนื่องด้วยการใช้บริการอินเทอร์เน็ต หรือบริการอื่นใด และบริหารจัดการตามใบ 

สมัครนี้ 

“วันครบก าหนดช าระค่าใช้บริการ” หมายถึง วันสุดท้ายของรอบการใช้บริการทุกเดือน ในกรณีที่งวดแรกและงวดสุดท้ายมีก าหนดระยะเวลาไม่ครบ 1 เดือน ค่าบริการจะคิดค านวณ 

ตามจ านวนเวลาที่ได้ใช้บริการในเดือนนั้น 

ข้อ 2. บริษัทตกลงจะให้ผู้ใช้ได้ใช้บริการ เฉพาะเพื่อวัตถุประสงค์ในการรับส่งข้อมูลข่าวสารทางธุรกิจการค้า การศึกษาวิจัยและพัฒนา และข้อมูลของผู้ใช้ องค์กรหรือหน่วยงาน 

ภายในสังกัดตามประกาศของทางราชการ หรือ “บริษัทในเครือ” ซึ่งหมายถึง บริษัทที่มีผู้ใช้เป็นผู้ถือหุ้นในบริษัทนั้นเกินร้อยละ 50 เท่านั้น ทั้งนี้ผู้ใช้ต้องไม่ใช้บริการอินเทอร์เน็ตและ 

บริหารจัดการ เพื่อการอย่างอื่น นอกจากที่ระบุในใบสมัครนี้และบริษัทมีสิทธิที่จะห้ามหรือระงับไม่ให้มีการใช้บริการอินเทอร์เน็ตและ บริหารจัดการ เพื่อการอย่างอื่น นอกจากที่ระบุ 

ในใบสมัครนี้ 

ข้อ 3. ผู้ใช้ตกลงช าระค่าใช้บริการแก่บริษัทในก าหนดระยะเวลาที่ระบุไว้ในใบแจ้งหนี้ หรือตามที่ตกลงกัน ค่าบริการต่างๆและ(หากมี)ค่าธรรมเนียมแรกเข้าและค่าติดตั้งไม่สามารถ 

เรียกคืนได้ เว้นแต่ในใบสมัครนี้จะระบุโดยชัดแจ้งเป็นอย่างอื่น 

ข้อ 4. ในกรณีที่ผู้ใช้ผิดนัดไม่ช าระค่าใช้บริการงวดใดงวดหนึ่งภายในก าหนด ผู้ใช้บริการต้องช าระดอกเบี้ยร้อยละ 15 (สิบห้า) ต่อปี คิดค านวณจากจ านวนเงินที่ถึงก าหนดช าระแล้ว 

ทั้งนี้หากผู้ใช้ค้างช าระค่าใช้บริการและ/หรือค่าใช้บริการอื่นๆ 2 งวดติดต่อกัน และบริษัทได้ท าการแจ้งเตือนแล้ว บริษัทมีสิทธิระงับและ/หรือบอกเลิกบริการได้ทันที 

ข้อ 5. วันเริ่มต้นบริการ วันสิ้นสุดการบริการ และระยะเวลาขั้นต่ าการใช้บริการเป็นไปตามที่ระบุไว้ในใบสมัครใช้บริการ และเมื่อครบก าหนดระยะเวลาการให้บริการ (Service Period) 

ตามใบสมัครนี้ ให้ขยายระยะเวลาการให้บริการออกไปโดยอัตโนมัติครั้งละ 1 ปี นับจากนั้น เว้นแต่ฝ่ายใดฝ่ายหนึ่งจะมีหนังสือแจ้งความประสงค์ที่จะไม่ขยายระยะเวลาบริการให้อีก 

ฝ่ายทราบล่วงหน้าไม่น้อยกว่า 30 (สามสิบ)วันก่อนครบก าหนดระยะเวลาบริการ 

ข้อ 6. ผู้ใช้ต้องใช้ความระมัดระวัง ก ากับดูแล และต้องไม่ใช้ระบบเครือข่ายอินเทอร์เน็ตตามใบสมัครนี้ ไปในทางที่ก่อให้เกิดการล่วงละเมิดสิทธิของบุคคลอื่น ไม่ว่าบุคคลอื่นนั้นจะใช้ 

ระบบความปลอดภัยของแฟ้มข้อมูลป้องกันหรือไม่ก็ตาม และผู้ใช้จะต้องไม่เผยแพร่ข้อมูล ภาพ ข้อมูลหรือภาพของบุคคลอื่นกระจายออกไปในวงกว้างโดยมิได้รับอนุญาตจากผู้เป็น 

เจ้าของ หากการกระท าใดๆ ของผู้ใช้ก่อให้เกิดความเสียหายต่อบุคคลอื่น ผู้ใช้ต้องรับผิดชอบแต่เพียงฝ่ายเดียว 

ข้อ 7. ผู้ใช้ต้องไม่รับ-ส่งข้อความ ข้อมูล ภาพ หรือรหัสสัญญาณใดๆ ที่เป็นการขัดต่อกฎหมาย หรือเป็นการขัดต่อมติคณะรัฐมนตรี นโยบาย กฎ ระเบียบ ค าสั่ง หรือประกาศ ของ 

หน่วยงานที่ก ากับดูแล หรือเป็นการขัดต่อความสงบเรียบร้อยและศีลธรรมอันดีของประชาชน หรือเป็นภัยต่อความมั่นคงของประเทศชาติ 

ข้อ 8. ผู้ใช้จะต้องไม่น าระบบเครือข่ายอินเทอร์เน็ตตามใบสมัครนี้ ในทางละเมิดเงื่อนไขการใช้บริการของบริษัท และ/หรือละเมิดเงื่อนไขการใช้วงจรสื่อสารของหน่วยงานที่ก ากับดูแล 

ซึ่งผู้ใช้จะต้องชดใช้ค่าเสียหายอันเป็นผลจากการฝ่าฝืนนั้น 

ข้อ 9. ผู้ใช้ต้องใช้ความระมัดระวังและไม่กระท าการใดๆ ต่อเครือข่ายอินเทอร์เน็ตเพื่อบุกรุกระบบคอมพิวเตอร์อื่นๆ ไม่ว่าทั้งในระบบเครือข่ายของบริษัทเอง และ/หรือระบบเครือข่าย 

คอมพิวเตอร์อื่นๆ ที่ผู้ใช้ไม่ได้รับอนุญาตให้เข้าไปใช้งาน และผู้ใช้จะต้องรักษาความลับของรหัสการเข้าถึง ของผู้ใช้เป็นอย่างดี ไม่ให้บุคคลภายนอกน าไปใช้ 

ข้อ 10. บริษัทไม่ต้องรับผิดชอบต่อความเสียหายใดๆ อันเกิดจากระบบเคเบิ้ล หรือวงจรสื่อสารต่างๆ ช ารุดบกพร่อง ขัดข้อง หรือไม่สามารถใช้การได้ หรือเกิดจากการที่ข้อความ 

ข่าวสาร ข้อมูล ภาพ หรือรหัสสัญญาณที่ผู้ใช้ใช้ในการติดต่อสื่อสารเกิดความล่าช้า เสียหาย หรือสูญหาย 

ข้อ 11. บริษัทไม่มีหน้าที่ในการควบคุม ตรวจสอบ ป้องกัน เก็บรักษาหรือด าเนินการอื่นใด รวมตลอดทั้งไม่รับประกันในคุณภาพ ข้อมูลภาพ เนื้อหาข่าวสารที่ผู้ใช้รับ-ส่งผ่านระบบ 

เครือข่ายของบริษัท และบริษัทไม่ต้องรับผิดชอบในความเสียหายต่อผู้ใช้อันเนื่องมาจากความล่าช้า ผิดพลาด ขาดตกบกพร่อง หรือการขัดข้องของวงจรสื่อสาร จานแม่เหล็ก ที่ผู้ใช้รับ- 

ส่งผ่านระบบเครือข่ายของบริษัทแต่อย่างใด 

ข้อ12. ข้อก าหนดและเงื่อนไขในใบสมัครนี้ ถือว่าเป็นสาระส าคัญของใบสมัคร ในกรณีที่ผู้ใช้ไม่ปฏิบัติตามข้อก าหนด และ เงื่อนไขในใบสมัครนี้ บริษัทมีสิทธิระงับการให้บริการได้ 

ทันทีโดยไม่ต้องแจ้งให้ทราบล่วงหน้า และมีสิทธิบอกเลิกใบสมัครนี้ได้ทันที โดยบริษัทไม่ต้องรับผิดชดใช้ค่าเสียหายใดๆให้แก่ผู้ใช้ทั้งสิ้น 

ข้อ 13. ในกรณีผู้ใช้ได้ ตกลงสมัครใช้บริการกับบริษัทมากกว่าหนึ่งใบสมัคร หรือบัญชีบริการ (Service account) หากผู้ใช้ผิดข้อตกลงหรือผิดนัดช าระหนี้ตามใบสมัครหรือบัญชีบริการ 

ใด สัญญาซื้อขาย หรือสัญญาอื่นใดที่มีอยู่กับบริษัท ย่อมถือเป็นเหตุผิดข้อตกลงในใบสมัครหรือบัญชีบริการอื่นที่ได้ท าไว้กับบริษัทด้วย และบริษัทมีสิทธิเลิกใบสมัครหรือบัญชีบริการ 

ทั้งหมดทุกใบสมัครหรือบัญชีบริการ และมีสิทธิระงับการให้บริการตามใบสมัครหรือบัญชีบริการทุกฉบับ

ข้อ 14. ในกรณีที่ผู้ใช้ไม่ปฏิบัติตามข้อก าหนดและเงื่อนไขในใบสมัคร เป็นเหตุให้บริษัทหรือบุคคลภายนอกได้รับความเสียหาย ผู้ใช้ตกลงจะเป็นผู้รับผิดชอบในความเสีย หายที่ 

เกิดขึ้นทั้งสิ้น 

ข้อ 15. ผู้ใช้ทราบดีว่าบริษัทเป็นบริษัทผู้ให้บริการอินเทอร์เน็ตที่ได้รับสิทธิจากส านักงานคณะกรรมการกิจการกระจายเสียง กิจการโทรทัศน์ และกิจการโทรคมนาคมแห่งชาติ กรณีหาก 

ใบอนุญาตเป็นผู้ให้บริการที่บริษัทได้รับจากส านักงานคณะกรรมการกิจการกระจายเสียง กิจการโทรทัศน์ และกิจการโทรคมนาคมแห่งชาติ ถูกเพิกถอนหรือระงับสิ้นไป 

ไม่ว่าด้วยเหตุประการใด ให้ถือว่าใบสมัครนี้ระงับสิ้นไปในขณะเดียวกันด้วย และผู้ใช้ตกลงจะไม่เรียกร้องค่าเสียหายใดๆจากบริษัทเนื่องจากการระงับสิ้นไปของใบสมัครในกรณี 

ดังกล่าว เว้นแต่การเรียกร้องค่าใช้บริการที่ได้ช าระไว้ล่วงหน้าและยังไม่ได้มีการใช้บริการจริง 

ข้อ 16. กรณีผู้ใช้ประสงค์จะบอกเลิกการใช้บริการก่อนระยะเวลาสมัครใช้บริการสิ้นสุดลง ผู้ใช้จะต้องแจ้งการบอกเลิกให้บริษัททราบเป็นลายลักษณ์อักษรทราบล่วงหน้าอย่างน้อย 30 

(สามสิบ) วัน หรือกรณีบริษัทบอกเลิกการให้บริการอันเนื่องมาจากความผิดของผู้ใช้ ไม่ว่ากรณีใดผู้ใช้จะต้องช าระค่าปรับให้บริษัทในอัตราร้อยละ 35 ของค่าใช้บริการอินเทอร์เน็ตและ 

บริหารจัดการ ส าหรับระยะเวลาที่เหลืออยู่ พร้อมทั้งช าระค่าชดเชยส่วนลด หรือรายการส่งเสริมการขายอื่นๆ ที่บริษัทได้มีการปรับลดให้จากการตกลงเข้าใช้บริการตามปริมาณและ 

หรือตามก าหนดระยะเวลาที่ได้มีการใช้บริการจริง ตามค่าบริการปกติเต็มจ านวนตามที่ก าหนดในใบสมัครใช้บริการด้านหน้า ภายใน 15 (สิบห้า) วันนับแต่วันที่บริการสิ้นสุดลง 

ข้อ 17. เหตุสุดวิสัย 

คู่สัญญาทั้งสองฝ่าย ไม่ต้องรับผิดชอบในกรณีที่ไม่อาจปฏิบัติตามใบสมัครนี้ได้ ถ้าหากการที่ไม่อาจปฏิบัติตามได้นั้น เกิดจากเหตุสุดวิสัยอันอยู่นอกเหนือการควบคุมของคู่สัญญาแล 

เป็นเหตุที่ไม่อาจป้องกันได้ แม้ว่าจะได้ใช้ความระมัดระวังตามสมควรแล้ว 

ข้อ 18. ในกรณีมีเหตุจ าเป็น บริษัทอาจใช้สิทธิระงับการให้บริการชั่วคราวได้ โดยแจ้งเป็นลายลักษณ์อักษรให้ผู้ใช้บริการทราบล่วงหน้าไม่น้อยกว่า30 (สามสิบ) วัน พร้อมระบุเหตุใน 

การใช้สิทธิดังกล่าว เว้นแต่กรณีเกิดเหุตสุดวิสัยต่อบริษัทหรือผู้ให้บริการโครงข่าย หรือผู้ใช้บริการถึงแก่ความตายหรือสิ้นสุดสภาพนิติบุคคล หรือผู้ใช้บริการใช้เอกสารปลอมในการขอ 

ใช้บริการ หรือบริษัทมีเหตุจ าเป็นต้องบ ารุงรักษาหรือแก้ไขระบบโทรคมนาคมที่ใช้ในการให้บริการ บริษัทสามารถระงับการให้บริการได้ทันที และไม่ต้องรับผิดชอบต่อความเสียหาย 

อย่างใดๆที่อาจเกิดขึ้นแก่ผู้ใช้บริการอันเนื่องจากเหตุจ าเป็นข้างต้น 

ข้อ 19. การโอนสิทธิให้บุคคลอื่น 

ในระหว่างอายุบริการตามใบสมัครนี้ หรือระยะเวลาที่มีการขยายออกไป ผู้ใช้บริการจะไม่โอนสิทธิหรือหน้าที่ตามใบสมัครนี้ให้แก่บุคคลอื่นโดยไม่ได้รับความยินยอมเป็นลายลักษณ์ 

อักษรจากบริษัทก่อน และหากได้รับความยินยอมดังกล่าวแล้ว ผู้ใช้บริการจะเป็นผู้ช าระค่าใช้บริการทั้งหมดตามใบสมัครนี้ และปฏิบัติภาระหน้าที่ทั้งปวงของผู้ใช้บริการ และจะแจ้ง 

ให้ผู้รับโอนได้ทราบและยอมรับปฏิบัติตามเงื่อนไขและก าหนดเวลาในใบสมัครนี้ 

ข้อ 20. ในกรณีที่ข้อก าหนดใดในใบสมัครฉบับนี้ถูกหรือถือว่าถูกชี้ขาดว่าไม่มีผลใช้บังคับหรือไม่สมบูรณ์ ให้ข้อก าหนดต่างๆส่วนที่เหลือในใบสมัครฉบับนี้ยังคงมีผลใช้บังคับได้และ 

ยังคงสมบูรณ์และไม่กระทบกระเทือนความสมบูรณ์ของบรรดาข้อก าหนดที่เหลือนั้นๆ บรรดาข้อพิพาทใดๆที่มีเกี่ยวด้วยใบสมัครใช้บริการฉบับนี้ให้ใช้กฎหมายไทยบังคับ 

ข้อ 21. การตีความในใบสมัคร 

ในการตีความในใบสมัครที่แตกต่างกันระหว่างภาษาอังกฤษและภาษาไทย ให้ถือข้อความภาษาไทยเป็นหลักในการตีความ 

TERM AND CONDITION OF SERVICE 

Clause 1. In this Application for Service Contract, unless stated otherwise, the following words shall have the meaning specified herein. 

“The Company” means CS Loxinfo Public Company Limited. 

“The User” means Government Agencies, State Enterprise, Organizations or Juristic persons desiring to use the services provided by the Company and/or other 

provider procured by the company for the purpose of one stop service. 

“The services” means “The technical service” and/or “The managed service” and/or other service provided by the company and/or other provider procured by the 

company for the purpose of one stop service which may include all or some of the services subject to the terms and conditions as agreed upon each quotation 

and/or specified in the first page of this application. 

“The technical service” means the internet services and or the connection service of data network and or computer system of the users with the internet network or 

other network or any other form of networking which is not the internet service as provided by the company and as agreed upon with the customers according to 

each quotation and/or specified in the first page of this application. 

“The managed service” means the management of technical and engineering service, the scope of service specifically covered according to the terms and 

condition in each quotation and/or specified in the first page of this application. 

The advisory of design, implementation of equipment, software, network and necessary system. The monitoring and managing the service and incident of services 

according to the user’s requirement including the service provided by the company or the service procured by the company for the purpose of one stop service. 

“Service Fee” means the service fee according to the quotation and fees for other services in connection with the use of internet service or other service and 

managed service under this Application. 

“Due Date of Payment ” means the last day of the service period for one every month, regardless of whether or not the period of service for the first and /or the 

last month of service is less than full calendar month and in such case the service charges shall be calculated prorate. 

Clause 2. The Company agrees to provide the Service to the User for the purpose of transmitting business information and data, education, research and 

development and the User, its organizations, or sub-divisions in accordance with the government’s notification or “Affiliated companies” which mean the company 

over fifty percent of the share capital of which is owned by the User, provide that the User shall not use Internet and Managed Service for other purposes than those 

specified in this Application.

Clause 3. The User agrees to pay the Service Fee to the Company within a period specified in the invoice. The service fee, initial access fee and installation fee 

(If any) is non-refundable unless specified in this Application. 

Clause 4.In case the User fails to make payment in time, the User required to pay interest at a rate of 15 percent ( fifteen) per year shall be charged for the overdue 

sent. In case THE USER fails to make payment of services fee and/or other service charges 2 consecutive period, a notice shall have given to THE USER, 

COMPANY shall be entitle to suspend and/or terminate the service immediately. 

Clause 5. Service start date, the end of the service and the minimum period of service as specified in the Application for Service Contact. The User reserves the 

right to extend the duration of this Application under the agreed terms and conditions, the User, in such case, shall submit a notice in writing at least 60 (sixty) days 

prior to the expiration date to the Company. In case the User fails to submit the notice of extension within the period specified, the duration of the Application shall 

be deemed to have extended for further one year. 

Clause 6. The User shall use reasonable care in the supervision and utilization of the Internet Access Services and shall not use such Service in such a way as 

stated to violate the other’s rights, regardless of whether such other person employs security measure with respect to its database and the User shall not publish the 

data or picture of other person without his/her permission. If any act of the User causes the losses or damages to the third party, the User shall be solely responsible 

for such losses and damages. 

Clause 7. The User shall not transmit-receive any statements, data, picture or codes which are contrary to the laws or the resolutions of the Council of Ministers or 

policies, rules, regulations, orders or notifications of the Supervise authority Official circulars which are against public order, good moral and the peace and security 

of the nation. 

Clause 8. The User shall not use the Internet network under this Application for a breach of condition of the Company service and/or breach of the condition for the 

use of the communication circuit of the supervise authority any losses or damages, as a result of such breach, shall be the sole responsibility of the User. 

Clause 9. The User shall use reasonable care and shall not do any act to the Internet Network in order to gain access to other computer system regardless of 

whether such computer system belong to the Company or to other person to which the User is not permitted to access, and the User shall keep his password strictly 

confidential and shall not permit any unauthorized person to make such attempt. 

Clause 10. The Company shall not be liable for any losses or damages caused by the defect, malfunction or unoperationable of the cable system or 

communications circuit, or the network system linkage causing the delay, loss and damages to statements, information, data, pictures or code used by the User in 

communication. 

Clause 11. The control, detection, protection, storing or any other acts, including the guarantee of the quality of Information, data or picture transmitted through the 

Company’s network are not the Company’s duties. Also, the losses or damages resulting from the delay, mistakes, defect or malfunction of the communications 

circuit or disk drive, the User used by for transmission purpose through the Company’s network, are not the Company’s responsibility. 

Clause 12. Terms and conditions stated in the Application are material conditions. The breach of such terms and conditions shall result the immediate service 

discontinuation, without giving notice in advance, and termination of the Application, nor will the Company be liable to pay any costs of termination to the User. 

Clause 13. In case of having any Service Account more than one Application or Service Account , when the User faults any payment hereunder or breaches any 

Application or Service Account or purchasing contract or other contract with the company, the Company is entitled to terminate immediately all of relevant 

Application or Service Accounts and stop any provide services. 

Clause 14. In case of the losses or damages occur to the Company or the third party is the result of the User’s noncompliance with the terms and conditions stated 

in the Application, the User shall be fully responsible to such losses and damages. 

Clause 15. The User acknowledges that Office of The National Broadcasting and Telecommunications Commission granted the Company to provide service. In case 

the license granted by the Company as a service Provider is revoked or terminated or expired for whatever reasons, this Agreement shall automatically terminated at 

the same time, and the User shall have no claims whatsoever against the Company, except to refund the Service Fee paid in advance. 

Clause 16. In case the User wishes to terminate the Application prior to the end of the term, the User shall notify the Company in writing not less than thirty (30) 

days in advance or in case the Company terminate this Application from the cause of the User non-compliance with the terms and conditions, In any case whatever, 

the User must pay to the Company a liquidated damages in the amount equivalent to 35% of all of the Service Fee for the remaining term of the Service Period and 

agrees to compensate COMPANY for all discounts and other sale promotions made by COMPANY for its consideration of volume and/or term of Service actually 

used by THE USER in accordance with Regular Service Fees as specified in the application form hereof within fifteen days from the date of termination. 

Clause 17. Force Majeure 

Neither party hereto shall be liable for failure in performance of its obligations under this Application due to force majeure beyond the control of the party and any 

cause or circumstances beyond its control and protection even though due care.

Clause 18. In case of necessity, the Company may temporarily suspend service by notifying reasons of such rights to the user in writing not less than thirty (30) 

days in advance. Unless case of force majeure happened to the company or network provider who provides services under this contract or the user’s death/entity 

ceases or the use false documents to apply or it is necessary to maintain or repair the system used to provide telecommunications services. The company can 

suspend the service immediately and is not responsible for any damages caused to the user due to the above. 

Clause 19. Assignment 

During the term of this service or further extension, if any, THE USER shall have no rights to assign any of its rights or obligations herein to any person without prior 

written consent of COMPANY. In case of permitted assignment, any and all obligations as well as payment obligations of THE USER shall remain in full force and 

effect. In addition, THE USER shall inform and procure its permitted assignee to acknowledge and comply with all terms and conditions of this Application. 

Clause 20. This Application will be governed by and construed in accordance with the laws of Thailand. If any provision of this Application is held to be invalid or 

unenforceable, all other provisions shall remain in effect. 

Clause 21. Interpretation 

Meaning in Thai is valid if it is construed differently from meaning in English.

ข้อก ำหนดและเงื่อนไขส ำหรับกำรใช้บริกำร WEB HOSTING, URL, Secure Sockets Layer (SSL) 

ข้อ 1. “บริการ Web Hosting” คือ บริการรับฝากโฮมเพจหรือบริการให้เช่าพื้นที่บนเครื่องเซิร์ฟเวอร์แม่ข่ายภายในศูนย์ IDC (Internet Data Center) โดยบริษัทจะ 

จัดเตรียมพื้นที่ รวมถึงการเชื่อมต่อกับเครือข่ายอินเตอร์เน็ตหลัก (Internet Backbone) ผ่านระบบเครือข่ายคอมพิวเตอร์ระยะใกล้ (LAN) เพื่อพร้อมให้ผู้ใช้สามารถใช้ 

“บริการ Secure Socket Layer (SSL)” คือ บริการโปรโตคอลความปลอดภัยซึ่งช่วยให้การติดต่อสื่อสารหรือท าธุรกรรมผ่านอินเทอร์เน็ตมีความปลอดภัยมากขึ้น ซึ่งออก 

หรืออนุมัติโดย Certificates Authority (CA) 

ข้อ 2. ผู้ใช้บริการตกลงช าระค่าใช้บริการทั้งหมดตลอดระยะเวลาการใช้งานตามสัญญานี้ ให้แก่บริษัทในวันสมัครใช้บริการ 

ข้อ 3. บริษัทจะจัดส่งรหัส (Code) เพื่อใช้ในการติดตั้ง SSL ให้แก่ผู้ใช้บริการ เมื่อผู้ใช้บริการช าระค่าบริการให้แก่บริษัทเรียบร้อยแล้ว 

ข้อ 4. ผู้ใช้จะต้องไม่น าบริการตามสัญญานี้ ไปให้บริการต่อ (Resale) ไม่ว่าจะมีวัตถุประสงค์แสวงหาก าไรหรือไม่ก็ตาม เช่นการน าพื้นที่บนเครื่องคอมพิวเตอร์ไปขาย 

ต่อ โดยไม่ได้รับความยินยอมจากบริษัท การฝ่าฝืนเงื่อนไขดังกล่าวถือว่าเป็นการละเมิดเงื่อนไขการให้บริการตามสัญญานี้ ซึ่งผู้ใช้จะต้องชดใช้ค่าเสียหายอันเป็นผลจาก 

การฝ่าฝืนนั้น 

ข้อ 5. บริษัทไม่ต้องรับผิดชอบในความเสียหายอย่างใดๆ ที่เกิดแก่ผู้ใช้ ไม่ว่าจะเป็นค่าเสียหายหรือประโยชน์ทางธุรกิจ หรือประโยชน์อื่นใดที่ผู้ใช้พึงได้รับจากการใช้ 

บริการตามสัญญานี้ 

ข้อ 6. บริษัทขอสงวนสิทธิ์การให้บริการแก่เว็บไซต์ที่มีลักษณะเป็นเว็บไซต์รับฝากไฟล์ หรือ Bittorrent หรือบริการอื่นๆที่อาจมีการรับส่งข้อมูล หรือใช้ทรัพยากรระบบ 

ส่วนรวมมากจนมีผลต่อเสถียรภาพของระบบ หรือผู้ใช้รายอื่นๆ 

ข้อ 7. บริษัทขอสงวนสิทธิ์ในการระงับการให้บริการ กรณีมีค าสั่งศาล หรือหน่วยงานอื่นที่มีอ านาจก ากับดูแลให้ระงับการให้บริการแก่ผู้ใช้ 

ข้อ 8. ผู้ใช้ต้องไม่ใช้บริการตามสัญญานี้ไปในทางที่ขัดต่อกฎหมาย ความสงบเรียบร้อยและศีลธรรมอันดีของประชาชน หรือเป็นภัยต่อความมั่นคงของประเทศ หากการ 

กระท าใดๆ ของผู้ใช้ก่อให้เกิดความเสียหายต่อบุคคลอื่น ผู้ใช้ต้องรับผิดชอบแต่เพียงผู้เดียว 

ข้อ 9. เนื่องจากบริษัทได้ลงทุนในการให้บริการตามสัญญานี้ ดังนั้นหากผู้ใช้บริการบอกเลิกสัญญาก่อนครบก าหนดระยะเวลาใช้บริการ (Service Period) หรือหาก 

บริษัทฯ บอกเลิกสัญญานี้เนื่องจากความผิดของผู้ใช้บริการหรือผู้ใช้บริการกระท าผิดข้อตกลงใดในสัญญาฉบับนี้ ผู้ใช้บริการตกลงค่าสินไหมทดแทนเพื่อชดใช้ 

ค่าเสียหาย อันเป็นผลมาจากการบอกเลิกสัญญานี้ โดยคิดเป็นเงินค่าเสียหายเท่ากับค่าบริการทั้งหมดทุกงวดเดือนส าหรับระยะเวลาใช้บริการที่เหลือที่ยังไม่ถึงก าหนด 

ช าระ 

ข้อ 10. การย้ายเว็บ: ผู้ใช้บริการอาจขอให้บริษัทฯ ช่วยอ านวยความสะดวกในการย้ายข้อมูลเว็บไซต์ และ/หรือข้อมูลในฐานข้อมูล (database) ที่เกี่ยวข้องกับเว็บไซต์ 

หรือเว็บแอปพลิเคชั่น มายังเซอร์ฟเวอร์ของบริษัทฯได้ โดยมีขอบเขตคือ: 

1. บริษัทฯ ท าหน้าที่อ านวยความสะดวกในการย้ายแฟ้มข้อมูล (file transfer) และโอนย้ายข้อมูลในระบบฐานข้อมูลสัมพันธ์ (RDBMS) ที่อยู่บน platform 

MySQL หรือ Microsoft SQL Server มายังเซอร์ฟเวอร์ของบริษัทฯ ในแพลตฟอร์มเดียวกันเท่านั้น 

2. ความช่วยเหลือนี้อาจรวมถึงการปรับแก้ Configuration File ของเว็บไซต์หรือเว็บแอปพลิเคชั่น โดยให้อยู่ในดุลยพินิจของวิศวกรของบริษัทฯ แต่ไม่รวมถึง 

การแก้รหัสโปรแกรม (source code) ของเว็บไซต์หรือเว็บแอปพลิเคชั่นของผู้ใช้งาน ซึ่งหากมีความจ าเป็นต้องแก้ไขรหัสโปรแกรมของเว็บไซต์หรือเว็บแอปพลิเคชั่น 

นอก เหนือจากการปรับแก้ Configuration Fileเพื่อให้ใช้งานได้หลังจากโอนย้ายเว็บมายังเซอร์ฟเวอร์ของบริษัทฯ ผู้ใช้งานต้องเป็นผู้ด าเนินการเอง 

3. ความช่วยเหลือนี้เป็นความช่วยเหลือแบบให้เปล่า มิได้ถือเป็นส่วนหนึ่งที่รวมในค่าบริการรับฝากเว็บไซต์ (web hosting service) บริษัทฯ ไม่ต้องรับผิดชอบ 

ต่อความถูกต้อง ความพร้อมใช้งาน (usability) และ/หรือเหตุขัดข้องในการให้บริการ (down-time) ของเว็บไซต์หรือเว็บแอป

ข้อ 11. บริษัทฯ จะไม่รับผิดชอบถึงความถูกต้องครบถ้วนของข้อมูลภายในเว็บไซต์ของผู้ใช้บริการ หรือกรณีข้อมูลสูญหายไปและไม่สามารถกู้คืนได้ไม่ว่ากรณีใดๆ 

รวมถึงอันเนื่องจากเหตุสุดวิสัย เว้นแต่เกิดจากการกระท าโดยจงใจหรือประมาทเลินเล่อของบริษัท ผู้ใช้บริการควรอย่างยิ่งที่จะต้องมีข้อมูลส ารองไว้อย่างน้อยจ านวน 1 

ชุดเสมอ 

ข้อ 12. ในกรณีที่ Server เสียหายและไม่สามารถกู้คืนข้อมูลของผู้ใช้บริการได้ อันเนื่องมาจากการกระท าโดยจงใจหรือประมาทเลินเล่อของบริษัท บริษัทฯขอสงวนสิทธิ์ 

ในการชดใช้ค่าเสียหาย ไม่เกินมูลค่าของค่าใช้บริการ 1 เดือน 

ข้อ 13. ผู้ใช้บริการตกลงปฏิบัติตามข้อก าหนด เงื่อนไข ระเบียบปฏิบัติของการใช้บริการที่จะมีการเพิ่มเติมหรือเปลี่ยนแปลงอันเนื่องมาจากความปลอดภัยของศูนย์ข้อมูล 

อินเทอร์เน็ต และ/หรือเพื่อความเรียบร้อยต่อผู้ใช้บริการโดยรวม 

TERM AND CONDITION FOR WEB HOSTING, URL, Secure Sockets Layer (SSL) SERVICE 

1."Web Hosting /Dedicated Server Service" means the service of providing home page or server deposit in the Internet Data Center ("IDC") as 

prepared spaces by THE COMPANY including Internet Backbone connection service through the Local Area Network ("LAN") readily for THE USER’s 

utilization 

“Secure Socket Layer (SSL) Service” means the cryptographic protocols that provide the security communications or transactions over the 

Internet, issued or approved by the Certificates Authority (CA) 

2. THE USER agrees to pay all of the Service Fee to the Company in the day we made this Agreement. 

3. THE COMPANY shall deliver Code for the installation SSL to THE USER upon payment 

4. THE USER shall not use the Service under this Agreement for resale, regardless of whether or not profits are made. The breach of such condition 

shall be deemed a breach of condition of service. Any loss or damages, as a result of such breach, shall be the sole responsibility of THE USER. 

5. In no event, shall the Company be liable for any direct, indirect, incidental or consequential damages or loss of profits or revenues whether 

foreseeable or not occasioned by any defect, or by reason of an outage or failure in the Service, or the provision or any delay in the provision of 

services to THE USER or any other causes whatsoever. 

6. THE COMPANY reserves the rights to suspend service to THE USER regarding file download hosting, bittorrent services or any other services that 

may consume too much bandwidth and/or other shared system resources which may affect system reliability or other users. 

7. THE COMPANY reserves the rights to suspend service to THE USER by the Court order or other regulator in charge. 

8. THE USER shall not use such Service in such a way as to contrary to the laws or against public order and good morals of the people, or which is 

prejudicial to the peace and security of the country. If any act of THE USER causes the loss or damage to the third party, THE USER shall be solely 

responsible for such loss and damages. 

9. Whereas, THE COMPANY has invested on the preparation of the Service to be rendered, in the event THE USER terminates before the expire date 

of the Service Period, or if THE COMPANY terminates this Service Agreement due THE USER’s fault or THE USER is in breach of any provision of this 

Service Agreement THE USER agrees to pay the compensation for damages resulting from the termination of this Service Agreement as above 

mentioned, the amount of which compensation is calculated to be equivalent all the Service Fees for the remaining Service Period not yet due. 

10. Web Hosting Transfer: THE COMPANY may provide website data files and database transfer service upon request, with limited scope: 

1. THE COMPANY shall provide file transfer and/or relational-database transfer from MySQL or Microsoft SQL to the same platform provided by 

THE COMPANY only. 

2. This assistance may include configuration file modification, according to discretion of the engineers of THE COMPANY, but not include 

source-code modification. If source-code modification is necessary, it is solely the responsibility of the customer. 

3. This assistance is granted for free, not included as part of the web hosting service charge. THE COMPANY shall not be responsible for 

accuracy, correctness, usability nor down-time of the web site or web application after migration. 

11. The Company shall not be liable for any losses or damages of users data in the website and cannot be recovered caused by any cases, force 

majeure, unless caused by the willful act or negligence of the Company, The user should back up at least 1 copy of any users data. 

12. In the event the Server is damaged and cannot be recovered the users data caused by the willful act or negligence of the Company, the Company 

reserves the right to compensate not exceeding 1 month Charged. 

13. User agrees to comply with the terms of the procedures the service to be further or change caused by the security of internet data centers and/or 

to complete by the users.
