3.0 Corporate Profile<br />

<strong>Heron</strong> <strong>Resources</strong> NL is a Kalgoorlie-based exploration and development company. The corporate aim is to become a<br />

profitable mining company through the development of mineral deposits. <strong>Heron</strong> is focused on the exploration and<br />

development of its nickel laterite projects in the Eastern Goldfields of Western Australia.<br />

The Company undertakes cost-effective exploration based on literature reviews, aeromagnetic interpretation, and ore<br />

resource drill testing of targets so generated.<br />

The management of the Company is based in Kalgoorlie. Accordingly, the Company has excellent access to tenement<br />

acquisition opportunities, and to specialist contractor services. Administrative overheads are also maintained at lower levels<br />

due to the Kalgoorlie base.<br />

The Company is managed and staffed by a team of five professional geoscientists with extensive industry experience.<br />

Specialist consultants are used as required, particularly in disciplines where future project due diligence may be required.<br />

Field programs such as drill rig access, drill site rehabilitation and hydrological monitoring are implemented under long-term<br />

contracts to experienced operators.<br />

OBJECTIVES<br />

a) To convert the existing nickel laterite mineral resources into profitable mining operations for the Company;<br />

b) To increase the value of the Company through the continued acquisition, exploration and development of mineral<br />

resources;<br />

c) To establish mining cash flows that increase the Company’s market capitalisation and value to Shareholders;<br />

d) To conduct operations in a safe and environmentally responsible manner, to offer employment opportunities to those<br />

who live in the exploration provinces, and to respect and nurture the Indigenous culture of the exploration provinces; and<br />

e) Manage the risk in all exploration, development and corporate endeavours.<br />

STRATEGY<br />

a) Acquire the maximum available equity in nickel laterite and associated commodity projects through pegging, optioning<br />

or outright purchase, concentrating within the Eastern Goldfields of Western Australia;<br />

b) Focus on cost-effective drill exploration to convert exploration targets into mineral resources;<br />

c) Location of the corporate base at Kalgoorlie within the principal area of operation;<br />

d) Active acquisition and testing of new exploration concepts and targets, such as the Bremer-Eucla oil shale project;<br />

e) Use of best management, technical and financial control techniques; and<br />

f) Utilise farm-outs where appropriate to spread exploration and commodity risk.<br />

CORPORATE GOVERNANCE PRACTICES<br />

General<br />

The Company does not have any formally constituted committees of the Board of Directors. The Company is not of a size<br />

nor are its affairs of such complexity to justify the formation of separate or special committees. The Board as a whole is able<br />

to address the governance aspects of the full scope of the Company’s activities and to ensure that it adheres to appropriate<br />

ethical standards.<br />
