1. STC hereby engages the services of Speaker/Lecturer for a presentation at the time and place and under the
conditions hereinafter set forth:

2. STC shall pay and/or reimburse Speaker/Lecturer as follows:

Payment to the Speaker/Lecturer shall be made within 30 days upon receipt of invoice.
Payment to the Speaker/Lecturer shall be made upon close of the engagement.
3. Speaker/Lecturer recognizes that he/she is engaged as an independent contractor and, consistent with such status,
agrees that he/she will not claim to be an officer, agent, partner or employee of STC and will not make any claim
or demand for any right or privilege applicable to an officer, agent, partner or employee of STC. As an
independent contractor, Speaker/Lecturer shall be responsible for the payment of any taxes due on any monies
received under this agreement.
4. Speaker/Lecturer agrees to hold STC harmless from any loss, claim, damage, or liability of any kind arising out of
or in connection with this agreement, including any liability arising from the subject matter, except to the extent
that it is directly due to the negligent acts or omissions of any of the officers, employees or agents of STC.

5. In the event that the performance under this agreement is prevented by any cause beyond the reasonable control of
Speaker/Lecturer or STC, both Speaker/Lecturer and STC shall be relieved of their obligations with respect to this
engagement.
6. This agreement is a personal service contract and may not be assigned or delegated to a third party.
7. This agreement shall be governed according to the laws of the State of Texas.
IN WITNESS WHEREOF, the parties have executed this agreement effective the date first stated above.
