42. The defendants through <strong>the</strong>ir subsidiary US BANCORP<br />
PIPER JAFFRAY formed exclusionary contracts to prevent<br />
compet<strong>in</strong>g hospital suppliers from hav<strong>in</strong>g access to <strong>the</strong><br />
market for hospital supplies.<br />
43. The defendants through <strong>the</strong>ir subsidiary US BANCORP<br />
PIPER JAFFRAY controlled which companies would receive<br />
supplier contracts, access to Nov<strong>at</strong>ion’s member hospitals,<br />
venture and <strong>in</strong>itial public <strong>of</strong>fer<strong>in</strong>g capital.<br />
44. When <strong>the</strong> defendants discovered <strong>the</strong> pla<strong>in</strong>tiff would be<br />
able to enter <strong>the</strong> hospital supply market without US Bancorp<br />
Piper Jaffray gett<strong>in</strong>g a cut and th<strong>at</strong> <strong>the</strong> pla<strong>in</strong>tiff would be<br />
able to compete and undercut Nov<strong>at</strong>ion’s distribution<br />
system, <strong>the</strong> defendants breached <strong>the</strong>ir contract to withhold<br />
a critical <strong>in</strong>put from <strong>the</strong> pla<strong>in</strong>tiff and stole <strong>the</strong><br />
pla<strong>in</strong>tiff’s <strong>in</strong>tellectual property to help Nov<strong>at</strong>ion protect<br />
aga<strong>in</strong>st competition <strong>in</strong> <strong>the</strong> hospital supply market.<br />
