Application of the Legislation 1. The Crown Whether the Crown is bound by franchise legislation varies by province, as noted below: Table 3 Application to the Crown Ontario Act The Ontario Act does not apply to a service contract or franchise-like arrangement with the Crown or an agent of the Crown. ULCC Act The Act binds the Crown (but the Crown is not required to provide financial statements in a disclosure document). PEI Act The Act does not bind the Crown. New Brunswick Act Alberta Act The Act binds the Crown (but the Crown is not required to provide financial statements in a disclosure document). No exemption for the Crown. In provinces in which the Crown is bound, this will mean that provincial agencies, for example which outsource their operations on a franchised basis (e.g., liquor stores, lotteries, motor vehicle license outlets) will be subject to franchise legislation. 2. Retroactive Application Each of the Ontario Act, the Alberta Act, the Atlantic Legislation, and the ULCC Act includes a provision stating that certain sections of the legislation will apply to all franchise agreements, and businesses operated under such agreements, even if the parties entered into the agreements prior to the legislation coming into force. This retroactive application of certain sections of the legislation has the very real possibility of catching unwary franchisors off guard, who may be unaware of the additional obligations imposed on them. The chart below is a summary of the provisions in each piece of legislation that have retroactive effect.
