PORT LUDLOW RECREATIONAL VEHICLE CLUB<br />
BY LAWS<br />
ARTICLE I – NAME<br />
The name of this organization shall be the Port Ludlow Recreational Vehicle <strong>Club</strong>,<br />
otherwise known as the Port Ludlow RV <strong>Club</strong>.<br />
ARTICLE II – MISSION OF ORGANIZATION<br />
The mission of the Port Ludlow RV <strong>Club</strong> is to foster and promote good will among its<br />
members, and families, as well as the people of the community. Membership provides<br />
the opportunity to enjoy the fellowship of friends who share in the common interest of<br />
recreation vehicles, travel, and the beauty of the Northwest.<br />
ARTICLE III – MEETINGS<br />
The principal meeting places of the Port Ludlow RV <strong>Club</strong> shall be at the North Bay and<br />
South Bay <strong>Club</strong>s. These <strong>Club</strong>s are located in Port Ludlow in the County of Jefferson,<br />
State of Washington; however meetings may be held in other places as designated by the<br />
Wagonmaster. Robert’s Rules of Order shall govern all meetings.<br />
ARTICLE IV – SUBJECT TO BYLAWS<br />
All Officers, members and guests shall be subject to the <strong>By</strong>laws and Regulations of the<br />
Port Ludlow RV <strong>Club</strong>.<br />
ARTICLE V – MEMBERSHIP<br />
Membership shall be open to not only residents of Port Ludlow, but to all who wish to<br />
join. Each membership (per 1 RV) has one (1) vote. All Officers and members are<br />
responsible for promoting and recruiting new <strong>Club</strong> members.<br />
ARTICLE VI – DUES<br />
Unless otherwise established by the membership, dues shall be $25.00 for each RV<br />
payable at the Annual Meeting of each calendar year. New members shall be assessed an<br />
additional $10.00 for which they will receive name badges showing their affiliation with<br />
the Port Ludlow RV <strong>Club</strong>.<br />
Any member failing to pay dues within 30 days of the time dues are due shall<br />
automatically be suspended, but shall be reinstated upon payment of dues and any other<br />
sums due the <strong>Club</strong>.<br />

ARTICLE VII – OFFICERS<br />
The Officers of the <strong>Club</strong> shall be a minimum of Six (6) with the titles of:<br />
Wagonmaster<br />
Wrangler<br />
Scout<br />
Scribe<br />
Paymaster<br />
Past Wagonmaster (s)<br />
The Officers shall be elected at the Annual Meeting and shall hold office until successors<br />
are elected and installed. Both the Scribe and Paymaster may succeed themselves in<br />
office. Vacancies will be filled in accordance with the provisions of Section IX.<br />
The elected Board has the flexibility to reassign members as Wagon Master, Wrangler<br />
and Scout from its elected ranks each year.<br />
The duties of the Wagonmaster shall be to preside at all meetings of the <strong>Club</strong>, to appoint<br />
a Social, News, and Historian Committee Chairpersons as needed and perform any and<br />
all acts conferred by the <strong>Club</strong> membership.<br />
The primary duties of the Wrangler shall be the implementation of those <strong>Club</strong> outings<br />
which were established during the Wrangler’s tenure as Scout, and approved at the<br />
Annual Meeting. The wrangler will assist the Wagonmaster in the administration of the<br />
<strong>Club</strong>, and other duties assigned by the Wagonmaster.<br />
The Wrangler shall assume the duties of the Wagonmaster should the office of the<br />
Wagonmaster be vacated or when the Wagonmaster is to be absent from an official<br />
meeting or other assembly of the <strong>Club</strong> and perform other duties assigned by the Wagon<br />
master.<br />
Duties of the Scout shall be to select the locations for the <strong>Club</strong>’s next year’s outings, the<br />
dates for the outings, and arrange with the management the required number of sites, fees<br />
and payment arrangements. The Scout will prepare a schedule of the planned outings and<br />
present to the members at the Annual Meeting. During the Annual Meeting, members<br />
will be requested to volunteer as Trail Bosses for the future outings.<br />
The Scout shall assume the office of the Wrangler in the absence of the Wrangler and<br />
perform such other duties assigned by the Wagonmaster.<br />
The Scribe shall prepare and maintain the Official minutes of the <strong>Club</strong>’s meetings, the<br />
<strong>Club</strong>’s membership and distribute to all members in a timely manner. The Scribe will<br />
also provide information regarding the <strong>Club</strong> to interested individuals. The Scribe will<br />
also perform any other duties conferred upon the position by the Wagonmaster.<br />

The Paymaster shall collect all annual dues from the <strong>Club</strong>’s members, outing fees, any<br />
other monies owed to the <strong>Club</strong> and deposit all funds in the name of the <strong>Club</strong> in a Bank as<br />
the Officers shall designate.<br />
The Paymaster shall receive all funds collected in connection with social and outing<br />
events as collected by the Social Chairperson and Trail Boss, and pay all expenses in a<br />
timely manner related to the events.<br />
The Paymaster shall also keep records of all deposits and disbursements of the <strong>Club</strong>’s<br />
funds and shall report all transactions since the previous meetings, including the account<br />
balances<br />
At least two signatures will be required on the selected Bank signature cards where the<br />
<strong>Club</strong> funds are deposited. The Officers authorized to sign signature cards and checks<br />
shall be the Wagonmaster, or Scout and the Paymaster. The signature of one of these<br />
authorized Officers will suffice for all checks or withdrawals.<br />
The Paymaster will also obtain an account Debit card that will be used by the Scout to<br />
make deposits for advanced reservations.<br />
ARTICLE VIII – AUDIT<br />
Prior to the Annual Meeting, the Wagonmaster and Paymaster shall meet to discuss and<br />
audit the books of the club, considering the end of the prior fiscal year and current year-to<br />
date status. The Paymaster will present results at the Annual Meeting.<br />
ARTICLE IX – VACANCIES<br />
A vacancy in any Office of the <strong>Club</strong> shall be filled by the remaining Officers. The<br />
Officers would then appoint a temporary Board Member to hold office until the next<br />
Annual <strong>Club</strong> Meeting.<br />
ARTICLE X – COMMUNITY OUTREACH<br />
The immediate past Wagonmaster shall be responsible for recommending and<br />
coordinating community outreach programs and fund raising projects.<br />
ARTICLE XI – QUORUM<br />
Ten (10) percent of the membership shall constitute a quorum for conducting matters of<br />
the <strong>Club</strong>’s business. A lesser number may meet and adjourn to another date. Actions<br />
taken at the adjourned meeting shall be valid when ratified at a subsequent meeting, when<br />
a quorum is present.<br />

ARTICLE XII – AMENDMENTS<br />
These <strong>By</strong>laws may be amended at any legal meeting called by the <strong>Club</strong>, provided a notice<br />
advising the members and a copy of said proposed amendment be sent to the <strong>Club</strong><br />
membership seven days (7) days in advance at which the proposed amendment will be<br />
voted on. It shall require a two-thirds (2/3) majority vote of the members present to carry<br />
the vote.<br />

ARTICLE XIII – DISSOLUTION<br />
The <strong>Club</strong> may be dissolved at any time by a two thirds (2/3) majority vote of the<br />
membership. Any and all funds in the treasury at the time of dissolution shall be donated<br />
to a philanthropic organization whose purpose is to support the cause of outdoor<br />
recreation.<br />
