the <strong>Company</strong>, the board of directors may cause the <strong>Company</strong> to<br />

indemnify, or contract to indemnify, to the same extent allowed<br />

for its directors <strong>and</strong> officers, such person who was, is or may<br />

become a party to any proceeding, <strong>by</strong> reason of the fact that he<br />

or she is or was an employee or agent of the <strong>Company</strong>, or is or<br />

was serving at the request of the <strong>Company</strong> as a director, officer,<br />

employee or agent of another corporation, partnership, joint<br />

venture, trust, employee benefit plan or other enterprise.<br />

Insofar as indemnification for liability arising under the<br />

SEC such indemnification is against public policy as expressed<br />

<strong>by</strong> a director, officer or controlling person of the depositor in<br />

successful defense of any action, suit or proceeding) is asserted<br />

<strong>by</strong> such director, officer or controlling person in connection<br />

with the securities being registered, we will, unless in the<br />

opinion of our counsel the matter has been settled <strong>by</strong> controlling<br />

precedent, submit to a court of appropriate jurisdiction the<br />

question whether such indemnification <strong>by</strong> it is against public<br />

policy as expressed in the 1933 Act <strong>and</strong> will be governed <strong>by</strong> the<br />

final adjudication of such issue.<br />

Capital Brokerage Corporation is not in any pending or<br />

threatened lawsuits that are reasonably likely to have a material<br />

adverse impact on us or on the Variable Account.<br />

Although it is not anticipated that these developments will have<br />

an adverse impact on us, the Variable Account, or on the ability<br />

of Capital Brokerage Corporation to perform under its principal<br />

underwriting agreement, there can be no assurance at this time.<br />

Capital Brokerage Corporation <strong>and</strong> GFWM are not involved<br />

in any pending or threatened lawsuits that are reasonably<br />

likely to have a material adverse impact on us.<br />

Within the free-look period (generally 30 days) after you<br />

receive the Certificate, you may cancel it for any reason <strong>by</strong><br />
