What If The Policies Of My Department Are<br />

Different From The <strong>Code</strong>?<br />

The <strong>Code</strong> does not displace any other Company policy, procedure or guideline,<br />

including the policies <strong>and</strong> procedures set forth in the Team Member H<strong>and</strong>book.<br />

Many departments, groups or sites have developed policies that relate to their specific<br />

areas. If your department or site has policies that are more stringent than those<br />

contained in the <strong>Code</strong>, you are required to follow those policies. Conversely, if the<br />

<strong>Code</strong> provides for a st<strong>and</strong>ard that is higher or more restrictive, then the st<strong>and</strong>ard in<br />

the <strong>Code</strong> will govern.<br />

Does The <strong>Code</strong> Explain All The St<strong>and</strong>ards<br />

I Need To Know?<br />

The <strong>Code</strong> is the cornerstone <strong>of</strong> our commitment to integrity. But the <strong>Code</strong> is not<br />

intended to describe every law or policy that may apply to you. The Company has<br />

policies <strong>and</strong> procedures to further implement the st<strong>and</strong>ards in the <strong>Code</strong>. Make sure<br />

you know all the rules that apply to you.<br />

To learn more about laws <strong>and</strong> policies that apply to you, see the additional resources<br />

identified throughout the <strong>Code</strong> with the i symbol, visit the Compliance &<br />

<strong>Ethics</strong> Center on the MERC, ask your Department Manager, or contact the Legal<br />

Department or the Company’s Compliance Officer.<br />

What About Different Laws In Different<br />

Countries?<br />

<strong>Micron</strong> does business all over the world, <strong>and</strong> that means team members are<br />

subject to the laws <strong>of</strong> many different countries <strong>and</strong> organizations. Each <strong>of</strong> us is<br />

personally responsible to know <strong>and</strong> follow the laws that apply to us where we work.<br />

Additionally, <strong>Micron</strong> is a corporation organized in the United States. For this reason<br />

<strong>and</strong> others, U.S. law can apply to team members <strong>and</strong> business activities outside<br />

the U.S. That means that sometimes <strong>Micron</strong> team members in one country need<br />

to comply with the law <strong>of</strong> both their country <strong>and</strong> the law <strong>of</strong> another country (e.g.,<br />

<strong>Micron</strong> subsidiaries outside the U.S. must comply with the export control laws <strong>of</strong> their<br />

own country <strong>and</strong> those <strong>of</strong> the U.S.). Other countries apply their laws outside their<br />

boundaries too.<br />

Because <strong>Micron</strong> performs its activities on a worldwide basis, <strong>Micron</strong> is subject to<br />

the specific constraints <strong>of</strong> local laws for the performance <strong>of</strong> its activities locally.<br />

Accordingly, no provision <strong>of</strong> the <strong>Code</strong> shall have force in any jurisdiction where such<br />

provision would contradict or violate any applicable law, regulation or collective<br />

agreement applicable to the Company’s team members.<br />
