Član 1.<br />
Predmet ovog <strong>Ugovor</strong>a je regulisanje uslova i<br />
načina otvaranja, vođenja i gašenja <strong>računa</strong> Klijenta<br />
za obavljanje platnog prometa u dinarima, kod<br />
Banke.<br />
Član 2.<br />
Banka otvara Klijentu sledeće tekuće račune za<br />
redovno poslovanje:<br />

Article 1<br />
The subject of this Agreement is establishing the<br />
conditions and manner of opening, maintaining and<br />
closing the Client’s account for performing payment<br />
operations in dinars, with the Bank.<br />
Article 2<br />
The Bank opens the following current accounts to the<br />
Client for regular operations:<br />

Član 3.<br />
Klijentu će biti omogućeno izvršenje transakcija<br />
plaćanja u poslovnim ekspoziturama Banke, za<br />
koje se Klijent opredelio dostavljanjem Banci<br />
posebnog Zahteva ovlašćenog lica o mestu i<br />
načinu dostavljanja naloga platnog prometa.<br />
Banka se obavezuje da će transakcije plaćanja<br />
izvršiti isključivo u ekspoziturama za koje se Klijent<br />
opredelio u svom Zahtevu.<br />
Banka će poslove obavljati ažurno i u dobroj<br />
nameri, u skladu sa standardima Banke i opštim<br />
bankarskim standardima.<br />
Article 3<br />
The client will be enabled to perform payment<br />
transactions in the Bank’s business branches for which<br />
the Client has opted by submitting a special Request of<br />
an authorized person on the place and manner of<br />
submitting the payment operation order to the Bank.<br />
The Bank undertakes to perform the payment<br />
transactions exclusively in the branches for which the<br />
Client has opted in his/her Request.<br />
The Bank shall perform its operations timely and with<br />
good intentions, in accordance with the Bank’s standards<br />
and the general banking standards.<br />
Član 4.<br />
Banka se obavezuje da prima i izvršava naloge<br />
Klijenta za plaćanje, koji su izdati u skladu sa<br />
zakonom kojim se reguliše platni promet i odlukom<br />
Narodne banke Srbije kojom se regulišu oblik,<br />
sadržina i način korišćenja jedinstvenih<br />
instrumenata platnog prometa u pisanoj formi,<br />
<strong>računa</strong>rskom komunikacijom ili na magnetnim<br />
nosiocima podataka (disketa, CD-ROM, magnetne<br />
trake itd).<br />
Banka se obavezuje da izvršava i evidentira naloge<br />
za plaćanje na teret <strong>računa</strong> iz člana 2. ovog<br />
<strong>Ugovor</strong>a, do iznosa raspoloživih sredstava, u<br />
rokovima i na način propisan zakonom kojim se<br />
reguliše platni promet.<br />
Banka se obavezuje da poštuje princip tajnosti<br />
<strong>računa</strong> i da informacije o računu daje samo Klijentu<br />
i organima koji su ovlašćeni da ih zahtevaju prema<br />
važećim pozitivnim propisima.<br />
Klijent je izričito saglasan u skladu sa članom 47.<br />
stav 3. Zakona o Bankama, da Banka ima pravo da<br />
podatke iz ovog <strong>Ugovor</strong>a, podatke o Klijentu i<br />
njegovim povezanim licima, dokumentaciju koja čini<br />
dosije uz ovaj <strong>Ugovor</strong>, kao i druge podatke koji se<br />
smatraju bankarskom tajnom, prosledi u Centralnu<br />
bazu podataka grupe <strong>Intesa</strong> Sanpaolo, članovima<br />
svojih organa, svojim akcionarima, zaposlenima u<br />
Banci, spoljnom revizoru Banke, drugim licima koji<br />
zbog prirode posla koji obavljaju moraju imati<br />
pristup takvim podacima, kao i trećim licima sa<br />
kojima Banka ima zaključen <strong>Ugovor</strong> koji reguliše<br />
postupanje sa poverljivim podacima, a koji su<br />
obavezni da po prestanku ugovornog odnosa ili<br />
nakon što poverljive informacije postanu<br />
nepotrebne, odmah, odnosno po isteku roka za<br />
čuvanje, ukoliko je takav predviđen propisima ili<br />
internim aktom trećeg lica zasnovanim na<br />
propisima, a tokom kog perioda obaveznog čuvanja<br />
su dužni u potpunosti pridržavati se važećih<br />
propisa o postupanju sa poverljivim informacijama i<br />
odredbi predmetnog <strong>Ugovor</strong>a, poverljive<br />
informacije unište ili obrišu na takav način da je iste<br />
nemoguće povratiti i o tome dostave pisanu<br />
Article 4<br />
The Bank undertakes to receive and execute the Client’s<br />
payment orders, issued in accordance with the Law on<br />
Payment Operations and Decision on the Form,<br />
Contents and Use of Uniform Instruments in Payment<br />
Transactions in the written form, computer<br />
communication or on the magnetic memory devices<br />
(disc, CD-rom, magnetic tape etc.).<br />
The Bank undertakes to execute and record the payment<br />
orders debited to the account from Article 2 of this<br />
Agreement, up to the amount of assets available, within<br />
the deadlines and in the way prescribed by the Law on<br />
Payment Operations.<br />
The Bank undertakes to respect the account<br />
confidentiality principle and to provide information on the<br />
account only to the Client and to the bodies authorized to<br />
request them, in accordance with the valid positive<br />
regulations.<br />
The client explicitly agrees that, in accordance with<br />
Article 47, paragraph 3 of Law on Banks, the Bank has<br />
the right to submit the data regarding the Agreement,<br />
information about the client and their related parties and<br />
documentation included in the dossier along with the<br />
Agreement, as well as the other data that are considered<br />
to be a banking secret, to the Central database of <strong>Intesa</strong><br />
Sanpaolo Group, to members of its bodies, shareholders<br />
and the Bank employees, as well as the external auditor<br />
of the Bank, other persons who due to the nature of<br />
activities they perform, must have access to the<br />
specified data as well as the third persons with whom the<br />
Bank has reached the Contract on treating confidential<br />
data, and who shall, upon termination of the contractual<br />
relationship or after confidential information become<br />
redundant, immediately, i.e. upon expiration of the period<br />
of keeping, if such period was stipulated by regulations<br />
or internal enactment of a third party based on<br />
regulations, and who have the obligation during the<br />
period of mandatory keeping to fully adhere to effective<br />
regulations on acting with confidential information and<br />
provisions of the Agreement hereof, destroy confidential<br />
information or delete it so that it cannot be retrieved, and<br />
send a written confirmation about that.<br />

Klijent je izričito saglasan da Banka ima pravo da<br />
podatke o Klijentu koji se odnose na adresu,<br />
brojeve telefona, faks i telefaks uređaja, e-mail<br />
adrese i ostale podatke za uspostavljanje kontakta,<br />
a koje je Klijent prezentovao Banci prilikom<br />
potpisivanja ovog <strong>Ugovor</strong>a, koristi radi dostavljanja<br />
Klijentu obaveštenja o svojim aktivnostima,<br />
proizvodima i uslugama, u vidu letaka, prospekata,<br />
elektronskih poruka, kao i svih drugih sredstava<br />
poslovne komunikacije i poslovne prezentacije.<br />
Član 5.<br />
Klijent se obavezuje da naloge za plaćanje izdaje u<br />
skladu sa zakonom kojim se reguliše platni promet i<br />
odlukom NBS kojom se reguliše oblik, sadržina i<br />
način korišćenja jedinstvenih instrumenata platnog<br />
prometa. Nalog za plaćanje koji Klijent dostavi<br />
Banci u pisanoj formi, mora biti potpisan i overen<br />
pečatom, identičnim kao na depo kartonu kod<br />
Banke. Ukoliko se Klijent opredeli da instrumente<br />
platnog prometa dostavljaju ovlašćeni donosioci,<br />
Banka se obavezuje da će ih obraditi samo uz<br />
obaveznu predhodnu identifikaciju donosioca.<br />
Klijent se obavezuje da će u slučaju blokade<br />
<strong>računa</strong> za redovno poslovanje, odnosno <strong>računa</strong> za<br />
posebne namene koji nisu izuzeti od blokade, radi<br />
izvršenja prinudne naplate po nalogu organizacije<br />
zadužene za izvršenje prinudne naplate, poslovati<br />
isključivo u skladu sa važećim odredbama zakona<br />
kojim se reguliše platni promet i drugim relevantnim<br />
zakonima, koji regulišu navedeno.<br />
Klijent se obavezuje da će sredstva sa <strong>računa</strong> za<br />
posebne namene koristiti u skladu sa zakonom,<br />
propisom ili aktom nadležnog organa, kojim se<br />
uređuje korišćenje sredstava sa ovih <strong>računa</strong>.<br />
Član 6.<br />
Banka utvrđuje za Klijenta dnevni promet i<br />
dostavlja pismeno izveštaj o svim promenama na<br />
računu sa konačnim saldom, narednog, a<br />
najkasnije u roku od dva dana od dana izvršene<br />
promene. Izveštaj o promenama na računu, Banka<br />
dostavlja na način za koji se Klijent opredelio (na<br />
šalteru Banke, elektronski, preko faha, putem e-<br />
mail-a) izjavom na obrascu Zahtev za otvaranje<br />
<strong>računa</strong> klijenta.<br />
Klijent je dužan da vodi <strong>računa</strong> o izveštajima koje je<br />
primio od Banke, da ih pregleda i da, ukoliko<br />
smatra da postoji neslaganje ili da postoje sporna<br />
dugovanja, odnosno potraživanja, o tome odmah<br />
obavesti Banku, a najkasnije u roku od dva dana<br />
od dana izrade izveštaja, u protivnom Banka neće<br />
snositi odgovornost za eventualnu štetu.<br />
Banka je dužna da ispita svako neslaganje,<br />
odnosno osporavanje dugovanja ili potraživanja, na<br />
koje ukaže Klijent i da obezbedi relevantne<br />
informacije, koje su joj na raspolaganju i da, u<br />
zavisnosti od rezultata ispitivanja, izvrši potrebna<br />
usaglašavanja i korekcije na računu.<br />
Član 7.<br />
Klijent je izričito saglasan da Banka u skladu sa<br />
članom 44. Zakona o platnom prometu izvrši<br />
usklađivanje podataka o statusnim i drugim<br />
promenama u vezi sa računima Klijenta sa<br />
The Client explicitly consents to the right of the Bank to<br />
use the data on the Client regarding the address, phone<br />
numbers, fax and telefax devices, email address and<br />
other data for establishing contact, which the Client<br />
presented to the Bank when signing this Agreement, for<br />
the purposes of notifying the Client on its activities,<br />
products and services in the form of flyers, brochures,<br />
electronic messages as well as all other means of<br />
business communication and business presentation.<br />
Article 5<br />
The Client undertakes to submit payment orders in<br />
accordance with the Law on Payment Operations and<br />
the Decision on the Form, Contents and Use of Uniform<br />
Instruments in Payment Transactions. The payment<br />
order that the Client submits to the Bank in the written<br />
form must be signed and stamped with a seal identical to<br />
the one on specimen signatures with the Bank. If the<br />
Client opts for the payment operations instruments to be<br />
delivered by the authorized bearer, the bank undertakes<br />
to process them only with a previous identification of the<br />
bearer.<br />
In case of freezing the accounts for regular operations,<br />
i.e. accounts for specific-purpose not exempted from the<br />
freezing, for the purpose enforced payment against the<br />
order at the order of the institution in charge of execution<br />
of enforced collection, the client business only in<br />
accordance with valid regulations governing payments<br />
and other relevant laws, governing the above stated.<br />
The client shall use the funds on the specific-purpose<br />
loan in line with the law, legislation or enactments of the<br />
governing body, which regulate the use of the funds<br />
placed on these accounts.<br />
Article 6<br />
The Bank establishes the daily turnover for the Client<br />
and submits a report on all the changes on the account<br />
with a final balance in writing, on the next day, and within<br />
two days at the latest from the day of the performed<br />
change. The Bank delivers the Report on the Changes<br />
on the Account in the manner for which the Client has<br />
opted (at the Bank’s counter, electronically, by fax,<br />
email) by a statement on the form- Request for Opening<br />
a Dinar Account.<br />
The Client is obliged to take care of the reports he/she<br />
has received from the Bank, to examine them and, if<br />
he/she considers that there is a discrepancy or there are<br />
disputable debts, i.e. receivables, to notify the Bank on it<br />
immediately, within two days from the day of report<br />
compilation at the latest. If the contrary is the case, the<br />
bank will not bear responsibility for possible damage.<br />
The Bank is obliged to examine any disagreement, i.e.<br />
contestation of a debt or a receivable, to which the Client<br />
draws its attention and to provide relevant information<br />
that lay at its disposal and, depending on the<br />
examination results, perform the necessary adjustments<br />
and corrections on the account.<br />
Article 7<br />
The client exceptionally agrees that the Bank shall, in<br />
line with Article 44 of the Law on payment transactions,<br />
harmonize data on status and other changes related to<br />
client’s accounts with data taken from the organization in<br />
charge of maintaining Business Registers Agency within<br />

podacima preuzetim od organizacije nadležne za<br />
vođenje Registra privrednih subjekata u roku od tri<br />
radna dana od dana preuzimanja ovih podataka.<br />
Klijent se obavezuje da obavesti Banku o statusnim<br />
i drugim promenama podataka u vezi sa računima<br />
Klijenta koji se registruju kod drugih organa i<br />
organizacija, kao i da preduzme pravne radnje<br />
potrebne za usklađivanje podataka u vezi sa svojim<br />
računima sa ovom promenom u roku od 3 (tri) dana<br />
od dana prijema rešenja o upisu te promene.<br />
Klijent se obavezuje da Banci dostavi podatke i<br />
dokumentaciju neophodne za poznavanje i<br />
praćenje Klijenta, fizičkog lica, preduzetnika,<br />
pravnog lica i lica građanskog prava u skladu sa<br />
pozitivnim propisima o sprečavanju pranja novca i<br />
finansiranja terorizma. U suprotnom, Banka je<br />
dužna da odbije izvršenje transakcija i raskine ovaj<br />
<strong>Ugovor</strong> shodno odredbama važećeg zakona koji<br />
reguliše sprečavanje pranja novca i finansiranje<br />
terorizma.<br />
Član 8.<br />
Za obavljene usluge platnog prometa Klijent plaća<br />
Banci naknadu u skladu sa Odlukom o tarifi<br />
naknada za usluge <strong>Banca</strong> <strong>Intesa</strong> ad Beograd.<br />
Klijent ovlašćuje Banku da za njegov račun i u<br />
njegovo ime, vrši obračun i naplatu naknade sa<br />
<strong>računa</strong>.<br />
Klijent se obavezuje da za naplatu usluga platnog<br />
prometa obezbedi pokriće na svojim računima.<br />
Član 9.<br />
Za eventualnu štetu koju ugovorne strane pričine<br />
jedna drugoj u izvršavanju ovog <strong>Ugovor</strong>a i vršenju<br />
platnog prometa, kao i za sve drugo što ovim<br />
<strong>Ugovor</strong>om nije predviđeno primenjivaće se odrebe<br />
Zakona o platnom prometu, Zakona o bankama,<br />
Zakona o obligacionim odnosima, Zakona o<br />
sprečavanju pranja novca i finansiranju terorizma,<br />
drugih pozitivnih zakonskih propisa i Opštih uslova<br />
poslovanja <strong>Banca</strong> <strong>Intesa</strong> ad Beograd.<br />
Član 10.<br />
Ovaj <strong>Ugovor</strong> se zaključuje na neodređeno vreme, a<br />
ugovorne strane ga mogu raskinuti dostavljanjem<br />
pisanog obaveštenja drugoj ugovornoj strani<br />
najkasnije 15 (petnaest) dana pre dana raskida.<br />
Banka može jednostrano raskinuti <strong>Ugovor</strong>, bez<br />
ostavljanja otkaznog roka, ukoliko Klijent račun<br />
koristi za nedozvoljene poslove, zloupotrebi<br />
izveštaje primljene od Banke ili ne izvršava<br />
obaveze prema Banci.<br />
Član 11.<br />
<strong>Ugovor</strong>ne strane su saglasne da će sve eventualne<br />
sporove nastojati da reše sporazumno, a u slučaju<br />
nepostizanja sporazuma, spor će rešavati sud u<br />
Beogradu.<br />
Član 12.<br />
Ovaj <strong>Ugovor</strong> je zaključen pod odložnim uslovom.<br />
<strong>Ugovor</strong>ne strane su saglasne da ovaj <strong>Ugovor</strong> stupa<br />
na snagu pošto Banka izvrši stručnu proveru<br />
dokumentacije koju je Klijent dostavio u cilju<br />
zaključenja ovog <strong>Ugovor</strong>a i potvrdi njenu<br />
kompletnost i ispravnost.<br />
Provera dokumentacije iz stava 2. ovog člana ne<br />
3 (three) working days from the date of receiving the<br />
data.<br />
The Client undertakes to inform the Bank on the status<br />
and other changes of data related to client’s accounts<br />
registered with other bodies and organizations, and to<br />
assume legal actions necessary for harmonization of the<br />
data related to its accounts with the change within 3<br />
(three) days from receiving the decision on the entry of<br />
the respective change.<br />
The Client undertakes to submit the data and<br />
documentation necessary for knowing and monitoring<br />
the client, an individual, an entrepreneur, legal entity and<br />
citizen to the Bank, in accordance with positive<br />
regulations on the prevention of money laundering and<br />
the financing of terrorism. In the case of the contrary, the<br />
Bank is obliged to refuse to perform the transactions and<br />
cancel this Agreement in accordance with Article 8 of the<br />
valid Law on the Prevention of Money Laundering and<br />
Terrorism Financing.<br />
Article 8<br />
The Client pays a fee for the performed payment<br />
operations services to the Bank in accordance with the<br />
Decision on the Tariff of Fees for the Services of <strong>Banca</strong><br />
<strong>Intesa</strong> ad Beograd. The Client authorizes the Bank to<br />
perform the calculation and collection of the fee from the<br />
account, in his/her name and for his/her account.<br />
The Client undertakes to provide coverage for his/her<br />
accounts for the payment operations services.<br />
Article 9<br />
For possible damage that the contractual parties may<br />
cause to one another in the execution of this Agreement<br />
and in the performance of payment operations, as well<br />
as for anything else not envisaged by this Agreement,<br />
the provisions of the Law on Payment Operations, Law<br />
on Banks, Obligations Law, Law on the Prevention of<br />
Money Laundering and Terrorism Financing, other<br />
positive regulations and the General Operating Terms<br />
and Conditions of <strong>Banca</strong> <strong>Intesa</strong> ad Beograd will apply.<br />
Article 10<br />
This Agreement is being concluded on an open-ended<br />
basis, and the contractual parties may cancel it by<br />
delivering a written notice to the other contractual party<br />
15 (fifteen) days before the cancellation date at the<br />
latest.<br />
The Bank may unilaterally cancel the Agreement, without<br />
the notice period, if the client uses the account for not<br />
approved operations, misuses reports accepted by the<br />
Bank or fails to perform obligations due to the Bank.<br />
Article 11<br />
The contractual parties agree that they will attempt to<br />
solve all disputes that may arise amicably, and in the<br />
case of not reaching the agreement, the disputes will be<br />
solved by the Commercial Court in Belgrade.<br />
Article 12<br />
This Agreement is entered into under the suspensive<br />
condition.<br />
The contractual parties agree that this Agreement shall<br />
be enforced after the Bank’s professionally inspection of<br />
documentation submitted by the client in order to<br />
conclude the Agreement and confirms the completeness<br />
and validity of the documentation.<br />
Inspection of documentation referred to in para 2 of this<br />

može trajati duže od tri radna dana.<br />
Po stupanju ovog <strong>Ugovor</strong>a na snagu, račun Klijenta<br />
iz člana 2. ovog <strong>Ugovor</strong>a postaje operativan i<br />
Klijent ga može koristiti za svoje poslovne svrhe, a<br />
Banka, u propisanom roku, obaveštava Narodnu<br />
banku Srbije o <strong>otvaranju</strong> <strong>računa</strong>.<br />
Banka će Klijenta obavestiti o stupanju ovog<br />
<strong>Ugovor</strong>a na snagu putem e-mail-a za koji se Klijent<br />
opredelio na obrascu Zahtev za otvaranje <strong>računa</strong>.<br />
Ako se proverom dokumentacije iz stava 2. ovog<br />
člana utvrdi nedostatak koji se naknadno ne može<br />
otkloniti ili, ako Klijent, po pozivu Banke, ne ispravi<br />
nedostatke u dokumentaciji u roku od 3 (tri) radna<br />
dana od dana kada je Klijent primio taj poziv,<br />
smatra se da ovaj <strong>Ugovor</strong> nije ni zaključen.<br />
Banka će Klijenta obavestiti o nedostatku<br />
dokumentacije koji se ne može otkloniti ili koji nije<br />
otklonjen ni naknadnom dostavom dokumentacije,<br />
odnosno potrebi da ispravi nedostatke u<br />
dokumentaciji, pisanim putem.<br />
Član 13.<br />
Ovaj <strong>Ugovor</strong> je sačinjen u 2 (dva) istovetna<br />
primerka, od kojih po jedan zadržava svaka<br />
ugovorna strana.<br />
Article shall be within three working days.<br />
Upon the enforcement of the Agreement, the client’s<br />
account referred to in Article 2 hereof become<br />
operational and the client can use it for its business<br />
purposes, and the Bank shall notify the National Bank of<br />
Serbia on opening of the account within the prescribed<br />
time frame.<br />
The Bank shall inform the client on coming into force of<br />
this Agreement by e-mail-a which the client opted for on<br />
the Application for account opening.<br />
If the inspection of the documentation referred to para 2<br />
of this Article proves deficiencies which could not be<br />
subsequently removed, or if the client, upon the Bank’s<br />
invitation, fails to remove deficiencies in the<br />
documentation within 3 (three) working days from the<br />
date the client accepted the invitation, the Agreement<br />
shall not be deemed concluded.<br />
The Bank shall inform the client about deficiencies in<br />
documentation which cannot be removed or which has<br />
not been removed by subsequent delivery of documents,<br />
i.e. on the need to remove deficiencies in the<br />
documentation in written.<br />
Article 13<br />
This Agreement has been made in 2 (two) identical<br />
copies, of which each contractual party shall retain one.<br />
