ARTICLE 8
CONTRACT DOCUMETNS
The Contract Documents, which comprise the entire Agreement between FGUA and
Contractor concerning the Work, consist of the following:
8.1 This Agreement
8.2 Instructions to Contractor
8.3 Insurance Certificate
8.4 Specifications
8.5 SWFWMD Grant Doucments
There are no Contractor Documents other than those listed above in this Article 8. The
Contract Documents may only be amended, modified, or supplemented as provided in
the Conditions of the Contract section of the Contract Documents.
ARTICLE 9
SUBCONTRACTORS
The Contractor shall not sublet, assign, or transfer any Goods and/or Services
specifically set forth under this Agreement without the prior written consent of the
FGUA. All persons used by the Contractor for fulfilling the requirements of this
Agreement must be employees of the Contractor.
ARTICLE 10
INDEMNIFICATIONS
In consideration of the first $100.00 paid by FGUA to Contractor, the receipt and
sufficiency of which is hereby acknowledged, the Contractor shall indemnify, defend, or
at the option of the FGUA pay the cost of defense, and hold harmless FGUA from any
and all claims, expenses and damages, including, but not limited to, attorneys’ fees,
legal assistants’ fees, court costs and all other sums which FGUA may pay or become
obligated to pay on account of a demand or claim, or assertion of liability, or any claim
or action founded thereon, arising or alleged to have arisen out of Contractor’s
products, Contractor’s performance of the Contract, or the operation of Contractor’s
business, or any act or omission of Contractor, his agents, servants, or employees,
whether such claim or claims, action or actions be for damages, injury to persons or
property, including FGUA’s property, or death of any person, made by any person,
group or organization, whether employed by Contractor or FGUA, or otherwise or for
breach of warranty by Contractor either expressed or implied, except that neither the
Contractor nor any of its subcontractor will be liable under this section for damages
arising out of injury or damage to persons or property directly caused or resulting from
the sole negligence of FGUA or any of its officials, agents or employees.
