PROSPECTUS SUMMARY
Size : 148,000,000 New Shares which will, upon issue and allotment, rank
pari passu in all respects with the existing issued Shares.
Price : $0.60 for each New Share.
Over-Allotment Option : We have granted Citicorp a 30-day option to purchase up to a total
of 22,200,000 New Shares, solely to cover over-allotments, if any.
Unless we indicate otherwise, all information in this Prospectus
assumes that Citicorp has not exercised its Over-Allotment Option.
Purpose of the Invitation : Our Directors believe that the listing of our Company and the
quotation of our Shares on SGX-ST will enhance the public image
of our Group and enable our Group to raise funds from the capital
markets to finance our business expansion. It will also provide
members of the public, employees and business associates of our
Group, as well as others who have contributed to our success, with
an opportunity to participate in the equity of our Company.
Reserved Shares : 14,800,000 New Shares will be reserved for the directors, executive
officers and employees of our group of companies, directors, officers
and employees of our related corporations, and our business
associates and their employees. More than 90% of the Reserved
Shares will be offered to directors, officers and employees of the
SPH Group. The Reserved Shares will be offered at the same price
as the New Shares. In the event that any of the Reserved Shares
are not taken up, they will be made available to satisfy applications
made by members of the public for the New Shares.
Listing Status : Our Shares will be quoted on SGX-ST, subject to admission of our
Company to the Official List of SGX-ST and permission for dealing
in and for quotation of our Shares being granted by the SGX-ST.
