1 Vol. I, clause 2.1.3: The Feasibility Report <strong>of</strong> <strong>the</strong> being provided only as a<br />

<strong>pre</strong>liminary reference document by way <strong>of</strong> assistance to <strong>the</strong> Bidders who are<br />

expected to carry out <strong>the</strong>ir own surveys, investigations and o<strong>the</strong>r detailed<br />

Feasibility report is indicative. Scope <strong>of</strong> work,<br />

Specifications and standards and provisions <strong>of</strong> C.A. &<br />

schedules are final binding.<br />

examination <strong>of</strong> <strong>the</strong> Project before submitting <strong>the</strong>ir Bids. Nothing contained in <strong>the</strong><br />

Feasibility Report shall be binding on <strong>the</strong> Authority nor confer any right on <strong>the</strong><br />

Bidders, and <strong>the</strong> Authority shall have no liability whatsoever in relation to or<br />

arising out <strong>of</strong> any or all contents <strong>of</strong> <strong>the</strong> Feasibility Report.<br />

It is assumed that <strong>the</strong> contents <strong>of</strong> <strong>the</strong> feasibility report are not binding on <strong>the</strong><br />

concessionaire. Kindly clarify.<br />

2 Vol. I, clause 2.11.1: The Bidder shall submit <strong>the</strong> Bid in <strong>the</strong> format specified at Appendix 1 along with format as per part – II.<br />

Appendix – I and seal it in an envelope and mark <strong>the</strong> envelopes as “BID”.<br />

There is contradiction in <strong>the</strong> clause as <strong>the</strong> financial <strong>bid</strong> format is provided in<br />

Part – II. Kindly confirm whe<strong>the</strong>r <strong>the</strong> financial <strong>bid</strong> is to be submitted in <strong>the</strong><br />

Appendix – I or <strong>the</strong> format as per Part – II.<br />

3 Vol. I, Appendix I, clause 30: We hereby submit our Bid and <strong>of</strong>fer [a Premium in<br />

<strong>the</strong> form <strong>of</strong> ____ Percent (in words) <strong>of</strong> <strong>the</strong> gross revenues <strong>of</strong> <strong>the</strong> Project as share<br />

<strong>of</strong> <strong>the</strong> Authority/require a Grant <strong>of</strong> Rs. ____ (Rupees____Only)] (Strike out<br />

whichever is not applicable) for undertaking <strong>the</strong> aforesaid Project in accordance<br />

with <strong>the</strong> Bidding Documents and <strong>the</strong> Concession Agreement. There is<br />

contradiction in <strong>the</strong> clause as <strong>the</strong> financial <strong>bid</strong> format is provided in Part-II.<br />

Kindly confirm whe<strong>the</strong>r <strong>the</strong> financial <strong>bid</strong> is to be submitted in <strong>the</strong> Appendix-I<br />

4 Vol. III, clause 27.1.1: On and from <strong>the</strong> COD till <strong>the</strong> Transfer Date, <strong>the</strong><br />

Concessionaire shall have <strong>the</strong> sole and exclusive right to demand, collect and<br />

appropriate Fee from <strong>the</strong> Users subject to and in accordance with this Agreement<br />

and <strong>the</strong> National Highways Fee (Determination <strong>of</strong> Rates and Collection) Rules,<br />

2008 and amendment rules, 2010 including any fur<strong>the</strong>r amendments (<strong>the</strong> “fee<br />

Rules”);<br />

The amendments if any shall be provide for <strong>the</strong> correct assessment <strong>of</strong> <strong>the</strong><br />

<strong>bid</strong>der.<br />

5 Vol. III, clause 27.1.2: The Parties acknowledge that a notification for levy and<br />

collection <strong>of</strong> Fee shall be issued by <strong>the</strong> Government under Section 8A <strong>of</strong> <strong>the</strong> Act<br />

read with Rule 3 <strong>of</strong> <strong>the</strong> National Highways Fee (Determination <strong>of</strong> Rates and<br />

Collection) Rules, 2008 and amendment rules, 2010 including any fur<strong>the</strong>r<br />

amendments (“<strong>the</strong> Notification”) within 90 (ninety) days here<strong>of</strong>, substantially in<br />

<strong>the</strong> form set forth in Schedule-R.<br />

The amendments if any shall be provided for <strong>the</strong> correct assessment <strong>of</strong> <strong>the</strong><br />

<strong>bid</strong>der.<br />

6 Vol. III, clause 29.1.1: The Authority and <strong>the</strong> Concessionaire acknowledge that<br />

<strong>the</strong> traffic as on October 1, 2035 (<strong>the</strong> “Target Date”) is estimated to be 42349<br />

PCUs per day (<strong>the</strong> “Target Traffic”), and hereby agree that for determining <strong>the</strong><br />

modifications to <strong>the</strong> Concession Period under this Article 29, <strong>the</strong> actual traffic on<br />

<strong>the</strong> Target Date shall be derived by computing <strong>the</strong> average <strong>of</strong> <strong>the</strong> traffic as<br />

determined by traffic sampling.<br />

Kindly explain <strong>the</strong> methodology for <strong>the</strong> arriving <strong>of</strong> <strong>the</strong> Target date as<br />

October 1, 2035.<br />

7 Vol. III, clause 30.1.1: Notwithstanding anything to <strong>the</strong> contrary contained in this<br />

Agreement but subject always to Clause 30.2, <strong>the</strong> Authority shall not construct,<br />

and shall procure that no Government Instrumentality shall construct or cause to<br />

be constructed, any ex<strong>pre</strong>ssway or o<strong>the</strong>r toll road between, inter alia, Mangwan<br />

and MP/UP Border i.e. km 98/2 and km 46/6 on National Highway No. 27<br />

(collectively <strong>the</strong> “Additional Tollway”) for use by traffic at any time before <strong>the</strong><br />

18 th (Eighteenth) anniversary <strong>of</strong> <strong>the</strong> Appointed Date; provided that in <strong>the</strong> event <strong>of</strong><br />

<strong>the</strong> Concession Period being reduced to 18 (eighteen) years, <strong>the</strong> Additional<br />

Tollway may be opened to traffic at any time after <strong>the</strong> 12 th (twelfth) anniversary<br />

<strong>of</strong> <strong>the</strong> Appointed Date.<br />

The significance <strong>of</strong> reduction in concession period to 18 yrs. is not<br />

understood. Kindly explain <strong>the</strong> same in detail.<br />

We understand that <strong>the</strong> concession period is <strong>of</strong> 30 yrs.<br />

8 Vol. III, clause 47.3: 47.3 Memorandum <strong>of</strong> Understanding (MOU)<br />

The Concessionaire acknowledges that it has received from <strong>the</strong> Authority a<br />

certified true copy <strong>of</strong> <strong>the</strong> agreement executed between MORTH and <strong>the</strong> State<br />

Government <strong>of</strong> Madhya Pradesh through MPRDC for providing <strong>the</strong> support and<br />

services specified <strong>the</strong>rein (<strong>the</strong> “MOU”), and <strong>the</strong> Parties hereto agree to make <strong>the</strong>ir<br />

best endeavours to procure <strong>the</strong> support <strong>of</strong> <strong>the</strong> State Government. Kindly provide<br />

<strong>the</strong> copy <strong>of</strong> MOU.<br />

9 Vol. III, Article 48: “Fee Notification” means <strong>the</strong> Notification to be issued by<br />

<strong>the</strong> Government, prior to <strong>the</strong> Appointed Date, in exercise <strong>of</strong> <strong>the</strong> powers conferred<br />

by Section 8A <strong>of</strong> <strong>the</strong> National Highways Act, 1956 read with Rule 3 <strong>of</strong> <strong>the</strong><br />

National Highways Fee (Determination <strong>of</strong> Rates and Collection) Rules, 2008, and<br />

amendment rules, 2010 including any fur<strong>the</strong>r amendments in respect <strong>of</strong> <strong>the</strong> levy<br />

13 General: Whe<strong>the</strong>r <strong>the</strong> proposed ROW <strong>of</strong> <strong>the</strong> project passed through <strong>the</strong> forest<br />

area, if yes what is <strong>the</strong> status <strong>of</strong> clearances from <strong>the</strong> concerned authorities<br />

As per <strong>pre</strong>sent toll policy applicable mentioned in<br />

schedule „R‟ with recent amendment to <strong>the</strong> NH Fee<br />

(determination <strong>of</strong> rate and collection) Rules 2008 along<br />

with amendment rate 2010 and 2011 shall be<br />

applicable. Copies <strong>of</strong> <strong>the</strong> said rule and amendment are<br />

enclosed. Accordingly <strong>the</strong> toll rates for bypasses are<br />

based on length ra<strong>the</strong>r than cost.<br />

Total length <strong>of</strong> road including bypass is 52.07 Km and<br />

length <strong>of</strong> bypasses only is 13.10 Km.<br />

Application has been submitted to forest department<br />

for NOC.
