The tenders should be submitted in two separate sealed covers super scribed as cover A<br />
“TECHNICAL BID” and cover B “PRICE BID” indicating name of work, tender No., due date, name,<br />
address and contact No. of the tenderer.<br />
TECHNICAL BID should contain the documents listed in clause 5.1 of special conditions of contract:
1. Remittance of EMD in a separate sealed cover kept outside the cover containing Technical<br />
bid.<br />
2. Proforma of checklist duly filled and signed.<br />
3. All Certificates as per Clause No.5.1 in special condition.<br />
PRICE BID: Price bid of those tenderers who qualify technically will only be considered. Price bid<br />
shall be with out any conditions and strictly in accordance with the tender schedule and specification.<br />
Rates quoted should be inclusive of all taxes and duties. Date of opening of Price bid will be<br />
intimated to successful tenderers in advance. PRICE BID WITH ANY CLAUSE LIKE<br />
REIMBURSEMENT OF TAXES ETC OR ANY OTHER CONDITIONS ADDED BY THE TENDERER<br />

SPECIAL CONDITIONS<br />
1. The conditions enumerated below are in addition to the General conditions of<br />
contract given in “Conditions of contract and instructions to Tenderers of CSL”<br />
and will have precedence over them.<br />
2. “General Conditions of Contract (GCC) and Instructions to Tenderers ” is<br />
available in the CSL website. The tenderer shall submit his tender document<br />
including GCC. Although, it is permissible to submit the tender without the copy<br />
of GCC, while entering into agreement by the successful tenderer, the GCC shall<br />
be duly signed by both the parties and form part of the agreement. As such, it is<br />
deemed that the tenderer has made reference to the GCC in the website or<br />
otherwise, and has full knowledge of its contents, although it is not signed and<br />
attached with the tender. The conditions enumerated below are in addition to the<br />
General conditions of contract given in “Conditions of contract and instructions to<br />
Tenderers of CSL” and will have precedence over them.<br />
3. All corrigenda, addenda, amendments and clarifications to Tender Specifications<br />
will be hosted in the website www.cochinshipyard.com and not in the newspaper.<br />
Bidders shall keep themselves updated with all such developments till the last date<br />
and time of submission of tender<br />
4. The validity of contract will be up to 31 March 2013, but CSL reserve the right to<br />
extend the period of contract for a further period of 3 months if necessary.<br />
5. The tender for the work will be based on two cover system (cover ‘A’ & cover<br />
‘B’)<br />
5.1 Cover A:<br />
Technical bid - shall consist of two separate covers A1 &A2.<br />
Cover A1 shall contain EMD for Rs.62, 500.00 in the form of DD/TDR drawn in<br />
favour of Cochin Shipyard Limited. EMD of unsuccessful bidders will be released<br />
once the work order is issued to and accepted by the successful bidders. Those who<br />
have already submitted EMD for the first call of the tender for the same work need<br />
not submit again .On acceptance of the tender of the successful bidder the EMD will<br />
be treated as part of Security deposit.<br />
Cover A2 shall consist of the following<br />
1. Proforma of checklist duly filled and signed.<br />
2. Following Certificates signed by the contractor.<br />

3. Attested documents by gazetted officer in proof of experience & financial capability<br />
4. to be submitted. In the case of experience from private sector, work completion<br />
certificate and relevant TDS certificate shall be enclosed. Proof of financial turn over<br />
for the preceding 3 years has to be submitted.<br />
Cover B:<br />
Financial /price bid - shall contain the rates and amount for each item of<br />
work. There shall not be any clause, added by the tenderers in the price<br />
bid. Price bid with any clause and conditions other than rates and amount<br />
will be summarily rejected.<br />
5.2 The cover A & cover B shall then put together in another cover marked Cover C. All<br />
the covers shall be sealed and superscribed with name of work, due date, name and<br />
address & Contact No: of contractor.<br />
5.3 Cover C shall be opened at 14:30 hrs on 15.06.2011 at the office of AGM (Civil). At<br />
first cover A containing EMD and certificates from the contractor shall be opened. In<br />
case the earnest money is not deposited or is not in order, the tender shall be returned<br />
to the tenderer unopened either on the spot, if the tenderer is present, or later by post.<br />
Only a mention to this effect shall be made in the tender opening register.<br />
6. SELECTION CRITERIA<br />
Selection criteria for qualifying the tenderers for opening the price bids in Cover<br />
‘B’ of the tender will be as below:<br />
(I)<br />
EXPERIENCE:<br />
The tenderer should have successfully completed at least one similar work of<br />
value not less than Rs.20 Lakhs OR Two similar works, each of value not less<br />
than Rs. 12.5 Lakhs OR Three similar works, each of value not less than Rs. 10<br />
Lakhs, during the preceding seven years ending with the date of submission of<br />
tender. The tenderer shall furnish experiences with necessary documental<br />
evidences.<br />
Explanatory notes: Similar work(s) means maintenance works of buildings /<br />
flats, fabrication works etc.<br />
a) If the tenderer is a partnership firm, the experience of the firm during the<br />
preceding seven years as specified above, shall be taken into account.<br />
Alternatively, in the absence of having the required experience, and if the<br />
firm want to rely on the experience of its individual partners, the<br />
experience, if any, of such individual partners during the preceding seven<br />
years combined and put together will be taken into account for the purpose<br />

of this tender. The partners shall be jointly and severally liable and<br />
responsible for the performance of the contract in all respects and this<br />
liability and responsibility of the partners should be incorporated /<br />
reflected in the partnership deed. Otherwise a legally binding<br />
unconditional agreement to the effect executed between all the partners of<br />
the firm shall be furnished with the tender.<br />
b) If the tenderer is a joint venture company / consortium of companies, the<br />
experience of the joint venture company / consortium of companies during<br />
the preceding seven years as specified above shall be taken into account.<br />
Alternatively in the absence of having the required experience and if they<br />
want to rely on the experience of the individual participating companies,<br />
the experience of those participating companies will be taken into account<br />
for the purpose of this tender, provided all the participating companies<br />
(participants of the joint venture company or the consortium as the case<br />
may be) enter into a legally binding unconditional agreement committing /<br />
undertaking the individual participating company liable and responsible<br />
for the performance of the contract in all respects and the same shall be<br />
furnished with the tender. Further, all the participating companies shall<br />
give a guarantee, jointly or severally, to the Cochin Shipyard Limited<br />
making them liable for, and undertaking, jointly and severally, the<br />
performance of the contract in all respects and shall be submitted along<br />
with the tender.<br />
c) If the tenderer is a subsidiary company and if they want to rely on the<br />
experience of its holding company/or another subsidiary of the holding<br />
company, the experience of such holding company / subsidiary will be<br />
taken into account for the purpose of this tender, provided the tenderer<br />
enter into a legally binding unconditional agreement with the holding<br />
company/subsidiary company, committing / undertaking the holding /<br />
subsidiary company liable and responsible for the performance of the<br />
contract in all respects and the same shall be furnished with the tender.<br />
Further, such holding company/subsidiary company shall give a guarantee,<br />
jointly or severally, to Cochin Shipyard Limited making them liable for,<br />
and undertaking, the performance of the contract in all respects and the<br />
same shall be submitted along with the tender.<br />
II) FINANCIAL TURNOVER:<br />
Average Annual Financial Turnover of the tenderer during the last three financial<br />
years ending 31st March 2011 shall not be less than Rs. 7.5 Lakhs.The tenderer<br />
shall furnish documental evidence as proof of financial turnover for the preceding<br />
three years.<br />
a) If the tenderer is a partnership firm, the average annual financial<br />
turnover of the firm for the last three financial years shall be taken<br />
into account. Alternatively, in the absence of having the required<br />
financial turnover and if the firm wants to rely on the turnover of its<br />
individual partners, the financial turnover of such individual partners<br />
during the last three financial years combined and put together will<br />
be taken into account for the purpose of this tender. The partners<br />
shall be jointly and severally liable and responsible for the<br />
performance of the contract in all respects and this liability and<br />
responsibility of the partners shall be incorporated / reflected in the<br />
partnership deed. Otherwise a legally binding, unconditional<br />

agreement to the effect executed between all the partners of the firm<br />
shall be furnished with the tender.<br />
b) If the tenderer is a joint venture company / consortium of companies,<br />
the said financial turnover of the Joint Venture Company /<br />
consortium of companies shall be taken into account. Alternatively,<br />
in the absence of having the required financial turnover and if they<br />
want to rely on the financial turnover of the individual participating<br />
companies, the financial turnover of those participating companies<br />
combined, put together and consolidated will be taken into account<br />
for the purpose of his tender, provided all the participating company<br />
(participants of the joint venture company or the consortium as the<br />
case may be) enter into a legally binding unconditional agreement<br />
committing / undertaking the individual participating company liable<br />
and responsible for the performance of the contract in all respects<br />
and the same shall be furnished with the tender. Further, all the<br />
participating companies shall give a guarantee, jointly or severally, to<br />
Cochin Shipyard Limited making them liable for, and undertaking,<br />
jointly and severally, the performance of the contract and shall be<br />
submitted along with the tender.<br />
c) If the tenderer is a subsidiary company and if they want to rely on the<br />

the holding company, the financial turnover of such holding<br />
company / subsidiary company will be taken into account for the<br />
purpose of this tender, provided the tenderer enter into a legally<br />

subsidiary company, committing / undertaking the holding /<br />
subsidiary company liable and responsible for the performance of the<br />
contract in all respects and the same shall be furnished with the<br />

making them liable for, undertaking, the performance of the contract<br />

7. Price bid (cover B) of those tenderers who have qualified technically and<br />
submitted EMD and the undertaking that Cover B does not contain any<br />
conditions shall only be opened on a later date after giving notice to the qualified<br />
bidders. Tenderer should ensure that his quoted amount as per cover B is not<br />
mentioned anywhere in other documents, directly or indirectly. If any such<br />
mention is made the tender will become invalid and shall become liable for<br />
rejection.<br />
8. If any difference is found in different parts of the tender documents, the following<br />

9. Rates shall be quoted both in figures and words. Rates quoted should be inclusive<br />

10. The rates quoted by the contractor shall be for finished items of works including<br />
supplying appropriate materials, labour, equipment/tools, conveyance etc. all<br />
complete, unless specified in the tender schedule.<br />
11. The tenderers are expected to have inspected the site, before quoting, read the<br />
conditions thoroughly and understand the works in all respect. Clarifications, if<br />
any may be obtained from the Assistant General Manager (CE) before the tender<br />
is submitted, and if clarifications/details are not obtained before the tender is<br />
submitted, no claim on this account will be admitted.<br />
12. The contractor or his authorized technically qualified representative shall be<br />
available at CSL throughout the period of contract for receiving instructions from<br />
department, arranging and executing the work.<br />
13. The Contractor / representative shall report at the office of the Engineer-in-charge<br />
on all working days before 8:30 hrs and receive instruction regarding the works.<br />
14. The Contractor may have to work round the clock including holidays, if required<br />
to complete the work in time without any extra cost. However works executing<br />
out of office hours and holiday shall be informed to the Engineer-in-charge well<br />
advance and get his clearance.<br />
15. The normal working time of the CSL is from 8.15 a.m. to 5.00 p.m on all<br />
weekdays and Saturdays with half an hour interval from 12.15 noon to 12.45 p.m.<br />
All Sundays, second Saturday and fourth Saturday are holidays. If the Contractor<br />
wishes to carry out the work beyond normal working hours and or on holidays, he<br />
should get specific approval from the Engineer-in-Charge for the same. Necessary<br />
supervision will be arranged by the department and the expenditure to be incurred<br />
in this connection will be borne by the department.<br />
16. All labour, skilled or unskilled shall be provided by the contractor. Settling any<br />
dispute with the labour/ subcontractor will be contractor’s responsibility. The<br />
workers engaged for works should have sufficient knowledge and experience in<br />
the respective fields. This shall be proved to the Engineer-in-charge.<br />
17. The work shall be carried out without damaging any of the existing structures/<br />
structures under construction in the locality.<br />
18. The contractor shall bring all necessary machinery and equipments required for<br />
the work.<br />
19. This work is planned to be executed through more than one contractor. The<br />
quantities mentioned in the tender schedule is approximate quantities only, and<br />
likely to be changed based on requirements. Payment will be made as per actual<br />
quantity of work done at the agreed rates. CSL reserves the right to award this<br />
work to a maximum of five contractors. The tenderers cannot make any claim on<br />

this account. The maximum amount of work one contractor has to execute is<br />
limited to Rs. 25 Lakhs per year. L1, L2, L3, L4 and L5 tenderers will be<br />
considered for award of work. First the tender from L1 will be processed and if<br />
the L1 tenderer agrees to the CSL terms and conditions the work will be awarded<br />
to him at mutually agreed rates. If L2, L3, L4 and L5 tenderers are willing to<br />
execute the work at the same terms and conditions and rates agreed with L1, then<br />
they also will be considered for award of work. Suppose some one between L2 to<br />
L5 is not willing opportunity will be given to next lowest tenderer.<br />
20. The contractor is expected to acquaint himself with the site conditions, labour<br />
situation, wage and benefits applicable to labourers, working hours, out turn of<br />
work by labour and the fluctuations which are likely to happen till the work is<br />
completed on all the above aspects prior to quoting the rates. The submission of a<br />
tender by tenderer implies that he has made himself aware of all the above<br />
situations and conditions. Any extra claim on this account will not be entertained.<br />
21. All materials to be used on the work will have to be got approved by the Engineerin-charge<br />
before use. Unless otherwise decided by the Engineer-in-charge all the<br />
materials are to be procured by the contractor.<br />
22. Contractor shall work in close co-ordination with other agencies working in the<br />
same work site at the same time. The space for storage of materials for each work<br />
should also be decided by mutual agreement among the contractors working in the<br />
same area. CSL will not entertain any claim regarding non-availability of space<br />
for storing materials nor can enter into any discussion to settle the dispute between<br />
contractors regarding usage of space for storing materials etc.<br />
23. Electric power supply from KSEB grid is available in CSL but cannot ensure<br />
uninterrupted power supply. There can be restriction in supply of power by KSEB.<br />
Contractors shall take note of this situation.<br />
24. Waste materials are to be cleared from site on a day-to-day basis. Each area of<br />
working is to be cordoned off with necessary signboards and barriers to ensure<br />
safe transportation of men and material by CSL in the area as directed by the<br />
Engineer-in-charge.<br />
25. AGM (Civil) shall have the right to take possession of or use completed or<br />
partially completed part of the work. Such possession or use shall not be deemed<br />
to be an acceptance of such work. After completion of all the works, the<br />
contractor has to clear the debris at the site and the final bill shall be paid only<br />
after the site is cleared off all the materials.<br />
26. It is the responsibility of the contractor to follow all safety rules and regulations in<br />
force, during the currency of contract in CSL, and any violation of the same<br />
during the course of work will be at the risk and cost of the contractor and will<br />
attract penal action.<br />
27. The contractor shall not construct any structure, even of temporary nature, for any<br />
purpose at site, except with the written permission of the Engineer-in-Charge of<br />
the work and any construction so put up shall be removed by the contractor<br />
whenever the Engineer-in- Charge calls upon the contractor to do so.<br />

28. Late tenders and tenders with conditions will be summarily rejected.<br />
29. The acceptance of a tender will rest with AGM (civil) who does not bind himself<br />
to accept the lowest tender and reserves to himself the authority to reject any or all<br />
of the tenders received without assigning any reason<br />
30. The tenderer should keep open the validity of the tender normally for 90 days<br />
from the date fixed for its opening. However, it is also obligatory for the tenderer<br />
to keep the validity open for another 60 days for which request in writing/telegram<br />
by the AGM (civil), before the expiry of the original validity, would be intimated.<br />
The receipt of the intimation of the AGM (civil) should be acknowledged. Should<br />
any tenderer withdraw his tender before these periods, or makes any modifications<br />
in the terms and conditions of the tender which are not acceptable to CSL, the<br />
earnest money deposited by the tenderers shall be forfeited.<br />
31. For all items brought from outside to be used/ consumed on the work, material<br />
Declaration forms with work order number shall be obtained from Security<br />
section and the same shall be submitted at the office of the Engineer-in-Charge.<br />
32. For works at height and excavation / trench openings and night work, Work<br />
permit from safety department has to be obtained.<br />
33. Welding Sets without ELCB and Safety Relay will not be permitted at site.<br />
Necessary instructions regarding safety shall be strictly adhered to by the agency<br />
during the course of the work.<br />
34. For the completed items of the work 75% of the net amount payable on each bill<br />
can be paid as advance by CSL at the discretion of AGM (Civil), on a request by<br />
the contractor and a recommendation of the Engineer-in-charge and production of<br />
an undertaking on approved format by the contractor. Balance amount will be paid<br />
after scrutiny and check of the bill.<br />
35. The tenderer shall specify the PAN No: allotted to him so that DGM (Fin) can<br />
ascertain his liability to the Income Tax Department. The income tax/KVAT/ any<br />
other statutory taxes, as per the rules /directions of the concerned departments,<br />
prevailing in force at the time of payment of bills will be deducted while making<br />
payment or when crediting the amount to the account.<br />
36. The contractors registered under the Kerala value Added Tax Act, 2003 shall<br />
produce a Liability Certificate, along with the bill, in relation to the works<br />
contract, from the Assessing Authority showing the tax liability or tax remittance<br />
as the case may be and the works contract tax deduction will be made accordingly.<br />
Otherwise Works Contract tax @8% in the case of registered contractors and<br />
@10% in the case of unregistered contractors will be deducted from the payment<br />
released against the contract.<br />
37. Following services/materials will be given free of cost depending upon<br />
availability. Contractor has to make his own arrangements to avail the same at his<br />
risk and subject to satisfying statutory rules and regulations if any.<br />

38. The workers engaged for works should have sufficient knowledge and experience<br />
in the respective fields.<br />
39. 10% of the bill amount will be retained towards security deposit (including earnest<br />
money already deposited) and the security deposit alone retained during the first<br />
year ( 2011-2012 ) will be released after satisfactory completion of an observation<br />
period of six months and the security deposit and EMD for the second year (2012-<br />
2013) will be released after the observation period of 6 months from the date of<br />
completion of the work.<br />
40. All materials required for the execution of the work, other than facilities<br />
mentioned under clause 37 above, should be supplied by the contractor.<br />
41. The contractor has to take extreme care so that the existing structures are not<br />
damaged or disturbed.<br />
42. The contract will be valid up to 31.03.2013. But CSL reserve the right to extend<br />
the period of contract for further period of 3 months.<br />
43. Tools and plants, and all items brought by the contractor to be put on use on the<br />
work, should have prior entry permit from CSL security and unauthorized<br />
possession of any undeclared material/equipment will attract penalty.<br />
44. The workmen employed for the work should be covered by insurance by the<br />
contractor at his own cost during the period of contract.<br />
45. Contractor shall be solely responsible for the safe custody and upkeep of<br />
departmental materials issued to him and also the materials bought out by him for<br />
the work. Unauthorised use of any departmental materials, machinery or service<br />
by the contractor or his workmen will attract penalty and even termination of the<br />
contract<br />
46. Minor cutting/welding/machining etc. can be got done free of cost in shops after<br />
getting approval from CSL authority without affecting the work of CSL.<br />
However, it is for the speedy execution of the work. If there is any delay in getting<br />
the work done from CSL it is the responsibility of the contractor to arrange the<br />
work by himself without any delay.<br />

47. Tenders duly filled shall be deposited in the Tender Box kept in the office of the<br />
Assistant General Manager (Civil), Cochin Shipyard Ltd., before the date and time<br />
as specified in the Tender Notice<br />
48. The contractor shall submit the labour report and wage disbursement details of the<br />
workers engaged by the contractor the work for each men in the prescribed form<br />
on or before fifth day of the next month.<br />
49. Occupational Health, Safety & Environmental requirements<br />
a) The contractor (or a sub-contractor performing work on behalf of the<br />
contractor) is deemed to comply with the Occupational health, safety<br />
and environmental policy of the company and also to all operational<br />
controls/standard operating procedures and shall undertake the work in<br />
total compliance with the requirements of the established Integrated<br />
Management System (IMS) of the company.<br />
b) The Contractor shall undertake the work in total compliance with all<br />
applicable legal/statutory requirements related to occupational health,<br />
safety and environment effective in the state of Kerala.<br />
c) It is the sole responsibility of the contractor to assure that any subcontractor/s<br />
who shall perform works in company<br />
lands/facilities/worksites on behalf of the contractor, is also following<br />
all requirements related to the Integrated Management System of the<br />
company and the health/safety/environmental Rules effective in the<br />
state.<br />
d) The contractor shall provide/implement and operate/practice all<br />
occupational health, safety and environmental management<br />
measures/facilities, for their period of contract, in their activities/at<br />
their work sites, which shall be required according to the IMS of the<br />
company or that required by the health/safety/environmental Rules<br />
established and effective in the state, at their own cost.<br />
e) If any contractor failed to comply with or violated any<br />
clauses/requirements of occupational health, safety and environmental<br />
Rules effective in the state, in their activities or at work sites and the<br />
same shall be exposed to the government or any competent authorities<br />
upon inspections, the contractor shall be solely responsible for all<br />
liabilities caused by his/her action and shall be responsible for paying<br />
the penalty and taking stipulated corrective actions insisted by the<br />
authorities within the specified time, at their own cost. Any liability to<br />
the company in this regard needs to be compensated by the contractor.<br />
f) Upon completion of the work, contractor shall clear the area and shall<br />
not leave any Occupational health/safety/environmental liabilities to<br />
the company, from their activities at the worksites.<br />

50. Cochin Shipyard Limited reserves the right to terminate the Contract at short<br />
notice in case the Contractor's performance is found not satisfactory with regard to<br />
progress of work, quality, time factor, labour dispute with their workers, poor<br />
safety records etc.,and other contractual obligations. No claim whatsoever will be<br />
entertained by Cochin Shipyard Limited on this account. If the contract is<br />
terminated, CSL will arrange the work through other agencies at the risk and cost<br />
of the contractor.<br />
