<strong>HSE</strong> is fully owned by the Republic of Slovenia. In 2012, the company did not conclude any<br />

transactions with the government.<br />

The table above represents transactions with legal entities which are directly or indirectly<br />

majorly owned by the Republic of Slovenia and perform energy activity, or which are<br />

directly owned by these companies and are important for <strong>HSE</strong> from the perspective of<br />

significance of transactions. Other transactions with companies, ministries, agencies and<br />

other legal entities, where the Republic of Slovenia is a majority or minority owner, are<br />

irrelevant in terms of <strong>report</strong>ing.<br />

4.5.8.7 Remuneration<br />

Remuneration of managers and employees who are not subject to the tariff part of the<br />

collective agreement comprises:<br />

• gross receipts included in the income tax return notice,<br />

• other receipts (meals, transportation, per diems); and<br />

• premiums paid for voluntary supplementary pension insurance.<br />

Remuneration of Supervisory Board members includes gross attendance fees of all<br />

members (composition of the SB changed during the year), including travel expenses<br />

related to the performance of tasks in the SB and the audit committee.<br />

No advances, loans or guarantees were granted to these groups of persons in 2012.<br />

Short-term operating liabilities include December salaries for managers and employees<br />

who are not subject to the tariff part of the collective agreement as well as December<br />

attendance fees payable to Supervisory Board members for their work in the Supervisory<br />
