1.6 Membership <strong>of</strong> the Charity is not transferable.<br />

2. GENERAL MEETINGS<br />

2.1 Members are entitled to attend general meetings by an authorised representative.<br />

General meetings are called on at least clear 21 days notice specifying the business to<br />

be discussed.<br />

2.2 There is a quorum at a general meeting if the number <strong>of</strong> members or authorised<br />

representatives personally present is at least on third <strong>of</strong> the members.<br />

2.3 The Chairman or (if the Chairman is unable or unwilling to do so) some other<br />

member elected by those present presides at a general meeting.<br />

2.4 Except where otherwise provided by the Act, every issue is decided by a majority <strong>of</strong><br />

the votes cast and except for the Chairman <strong>of</strong> the meeting, who has a second or<br />

casting vote, every member present has one vote on each issue.<br />

2.5 A resolution put to the vote <strong>of</strong> a meeting shall be decided on a show <strong>of</strong> hands unless<br />

before, or on the declaration <strong>of</strong> the result <strong>of</strong>, the show <strong>of</strong> hands a poll is duly<br />

demanded. Subject to the provisions <strong>of</strong> the Act, a poll may be demanded:-<br />

2.5.1 by the Chairman; or<br />

2.5.2 by at least two members having the right to vote at the meeting; or<br />

2.5.3 by a member or members representing not less than one-tenth <strong>of</strong> the total<br />

voting rights <strong>of</strong> all the members having the right to vote at the meeting;<br />

and a demand by a person as proxy for a member shall be the same as a<br />

demand by the member.<br />

2.6 Unless a poll is duly demanded a declaration by the Chairman that a resolution has<br />

been carried or carried unanimously, or by a particular majority, or lost, or not carried<br />

by a particular majority and an entry to that effect in the minutes <strong>of</strong> the meeting,<br />

which minutes shall be approved by the members at the following general meeting,<br />

shall be conclusive evidence <strong>of</strong> the fact without pro<strong>of</strong> <strong>of</strong> the number or proportion <strong>of</strong><br />

the votes recorded in favour <strong>of</strong> or against the resolution.<br />

2.7 The demand for a poll may, before the poll is taken, be withdrawn but only with the<br />

consent <strong>of</strong> the Chairman and a demand so withdrawn shall not be taken to have<br />

invalidated the result <strong>of</strong> a show <strong>of</strong> hands declared before the demand was made.<br />

2.8 A poll shall be taken as the Chairman directs and he may appoint scrutineers (who<br />

need not be members) and fix a time and place for declaring the result <strong>of</strong> the poll.<br />

The result <strong>of</strong> the poll shall be deemed to be the resolution <strong>of</strong> the meeting at which the<br />

poll was demanded.<br />

2.9 In the case <strong>of</strong> an equality <strong>of</strong> votes, whether on a show <strong>of</strong> hands or on a poll, the<br />

Chairman shall have a casting vote.
