to promote a more constructive dialogue between<br />
the company <strong>and</strong> the shareholders <strong>and</strong> between<br />
the company <strong>and</strong> the financial analysts. The<br />
Investor Relations Programme will comprise an<br />
increased number of meetings <strong>and</strong> presentations<br />
for investors <strong>and</strong> analysts, <strong>and</strong> in future <strong>Carlsberg</strong><br />
A/S will also be more active in arranging <strong>and</strong><br />
participating in international “road-shows”. In<br />
addition, the section on <strong>Carlsberg</strong>’s Internet site<br />
concerning investor relations will be extended.<br />
Incentive programme<br />
In December <strong>2000</strong>, <strong>Carlsberg</strong> A/S announced the<br />
establishment of a share option programme for<br />
about 40 managers in the <strong>Carlsberg</strong> <strong>Group</strong>. The<br />
primary objective of the programme is to create an<br />
even greater alignment of interests between the<br />
company management <strong>and</strong> the shareholders.<br />
Initially, the programme will run for a trial period of<br />
two years.<br />
The Board of Directors <strong>and</strong><br />
the Executive Board<br />
In the past financial year, the composition of the<br />
Board of Directors was changed as the deputy<br />
chairman, Director Erik B. Rasmussen, resigned at<br />
the Annual General Meeting on December 9, <strong>1999</strong><br />
due to the age clause applying to board members.<br />
President <strong>and</strong> CEO Henning Dyremose was<br />
elected as a new board member <strong>and</strong> the board<br />
elected Professor D.Econ. Poul Chr. Matthiessen<br />
as chairman <strong>and</strong> Managing Director Palle Marcus<br />
as deputy chairman.<br />
At the end of January <strong>2000</strong>, <strong>Group</strong> Managing<br />
Director Walther Paulsen resigned <strong>and</strong> <strong>Group</strong><br />
Managing Director Jørn P. Jensen took up his position<br />
at the beginning of May <strong>2000</strong>.<br />
On 31 May <strong>2000</strong>, in connection with the establishment<br />
of <strong>Carlsberg</strong> Breweries A/S, it was announced<br />
that the Board of Directors of <strong>Carlsberg</strong><br />
Breweries A/S will consist of eight representatives<br />
elected by the shareholders. Five of these representatives<br />
will be appointed by <strong>Carlsberg</strong> A/S. It<br />
was also announced that the Executive Board of<br />
<strong>Carlsberg</strong> Breweries A/S will consist of President<br />
<strong>and</strong> CEO Flemming Lindeløv as well as the Executive<br />
Vice Presidents Nils S. Andersen, Michael C.<br />
Iuul, Paul Bergqvist <strong>and</strong> Bjørn Erik Næss.<br />
Subsequently, the Board of Directors decided<br />
to appoint <strong>Group</strong> Managing Director Jørn P.<br />
Jensen as the new CEO of <strong>Carlsberg</strong> A/S. It was<br />
also decided that <strong>Carlsberg</strong> A/S’ five representatives<br />
on the Board of Directors of <strong>Carlsberg</strong> Breweries<br />
A/S will be Managing Director Palle Marcus<br />
(chairman), Professor D.Econ Poul Chr. Matthiessen,<br />
Managing Director Jens Bigum, President<br />
<strong>and</strong> CEO Henning Dyremose <strong>and</strong> CEO Jørn P.<br />
Jensen.
