DIRECTORS AND SENIOR MANAGEMENT<br />
The amounts due in <strong>2012</strong> and 2011 to the members of the Parent Company governing bodies, Board of Directors (15 members, 13 in 2011), Executive Committee<br />
(5 members) Audit and Control Committee (4 members) and Appointments and Remuneration Committee (3 members), for the remuneration of Executive<br />
Directors, attendance fees and allowances, are as follows:<br />

The “Compensation” item includes both compensation and remuneration under a post contractual non-competition agreement, received by Mr<br />
Mariano Pérez Claver, who left the Group on 23 November <strong>2012</strong>.<br />
In 2011, the “Compensation” item includes both compensation and remuneration under a post contractual non-competition agreement, received<br />
by Mr Gabriele Burgio, who left the Group on 28 February 2011.<br />
The Board of Directors had 15 members at 31 December <strong>2012</strong>, of which 1 is a woman and 14 are men (in 2011, there were 13 members: 2 women<br />
and 11 men).<br />
30.2 Remuneration of Senior Management<br />
The remuneration of members of the Management Committee at 31 December <strong>2012</strong> and 2011, excluding those who simultaneously held office as<br />
members of the Board of Directors (whose remuneration has been set out above), is detailed below:<br />

In <strong>2012</strong>, the Management Committee unanimously accepted a voluntary 10% reduction in their fixed salaries.<br />
There were 10 members of Senior Management in <strong>2012</strong> (9 members in 2011).<br />
30.3 Information on conflicts of interest among Directors<br />
At year-end <strong>2012</strong>, the members of the Board of Directors of NH Hoteles, S.A. some people individuals associated with the Board, as defined<br />
in the Revised Text of the Capital Companies Act, held interests in the capital of the following companies engaged in the same, similar or<br />
complementary type of operations as those comprising the corporate purpose of NH Hoteles, S.A.<br />
