<strong>Development</strong> <strong>of</strong> a Multi-purpose Sports Complex <strong>at</strong> <strong>Kai</strong> <strong>Tak</strong><br />

[Note: This is NOT a tender<strong>in</strong>g exercise] <br />

1. Introduction<br />

1.1 The Government <strong>of</strong> <strong>the</strong> Hong Kong Special Adm<strong>in</strong>istr<strong>at</strong>ive Region<br />

(“Government”) has decided to develop a multi-purpose sports complex<br />

(“<strong>MPSC</strong>”) <strong>at</strong> <strong>Kai</strong> <strong>Tak</strong> (“<strong>the</strong> Project”). The Government act<strong>in</strong>g through <strong>the</strong><br />

Home Affairs Bureau (“HAB”) <strong>in</strong>tends to <strong>in</strong>vite <strong>the</strong> priv<strong>at</strong>e sector and o<strong>the</strong>r<br />

stakeholders to work toge<strong>the</strong>r <strong>in</strong> develop<strong>in</strong>g <strong>the</strong> <strong>MPSC</strong> which is expected to<br />

come <strong>in</strong>to oper<strong>at</strong>ion by 2019/20.<br />

1.2 This document sets out <strong>the</strong> objective <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion for <strong>Expressions</strong> <strong>of</strong><br />

<strong>Interest</strong> (“EOI”) and provides background <strong>in</strong>form<strong>at</strong>ion on <strong>the</strong> Project.<br />

1.3 This <strong>in</strong>vit<strong>at</strong>ion is not <strong>the</strong> beg<strong>in</strong>n<strong>in</strong>g <strong>of</strong> a competitive bidd<strong>in</strong>g process and is<br />

not a pre-qualific<strong>at</strong>ion exercise for <strong>the</strong> subsequent competitive bidd<strong>in</strong>g for<br />

<strong>the</strong> Project. Nei<strong>the</strong>r this <strong>in</strong>vit<strong>at</strong>ion nor any submission received by HAB<br />

<strong>in</strong> response to this <strong>in</strong>vit<strong>at</strong>ion constitutes an <strong>of</strong>fer or <strong>the</strong> basis <strong>of</strong> any contract<br />

which may be concluded <strong>in</strong> rel<strong>at</strong>ion to <strong>the</strong> development <strong>of</strong> <strong>the</strong> <strong>MPSC</strong>.<br />

2. Objectives <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion for EOI<br />

2.1 The objectives <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion for EOI are –<br />

(a) to show <strong>the</strong> Government’s <strong>in</strong>terest <strong>in</strong> work<strong>in</strong>g closely with <strong>the</strong> priv<strong>at</strong>e<br />

sector and o<strong>the</strong>r stakeholders when develop<strong>in</strong>g <strong>the</strong> <strong>MPSC</strong>;<br />

(b) to obta<strong>in</strong> feedback from <strong>the</strong> priv<strong>at</strong>e sector and o<strong>the</strong>r stakeholders on –<br />

• options for <strong>the</strong> mode <strong>of</strong> delivery and f<strong>in</strong>anc<strong>in</strong>g <strong>of</strong> <strong>the</strong> Project;<br />

• <strong>the</strong> scope for priv<strong>at</strong>e sector <strong>in</strong>vestment <strong>in</strong> <strong>the</strong> Project and <strong>the</strong> form<br />

th<strong>at</strong> such <strong>in</strong>vestment might take;<br />

• <strong>the</strong> scope for public and priv<strong>at</strong>e sector collabor<strong>at</strong>ion <strong>in</strong> <strong>the</strong> design,<br />

construction and oper<strong>at</strong>ion <strong>of</strong> <strong>the</strong> <strong>MPSC</strong>;<br />

• ways to enhance <strong>the</strong> commercial viability <strong>of</strong> <strong>the</strong> <strong>MPSC</strong>; and<br />

(c) to obta<strong>in</strong> an understand<strong>in</strong>g <strong>of</strong> <strong>the</strong> specific concerns and <strong>in</strong>terests <strong>of</strong> <strong>the</strong><br />

priv<strong>at</strong>e sector <strong>in</strong> rel<strong>at</strong>ion to <strong>the</strong> Project.<br />

2.2 Inform<strong>at</strong>ion ga<strong>the</strong>red will be used to help establish <strong>the</strong> most suitable<br />

approach to develop<strong>in</strong>g <strong>the</strong> <strong>MPSC</strong>.<br />

2.3 Follow<strong>in</strong>g receipt and consider<strong>at</strong>ion <strong>of</strong> <strong>the</strong> EOIs, HAB <strong>in</strong>tends to prepare<br />

and publish a report on this exercise before decid<strong>in</strong>g on <strong>the</strong> appropri<strong>at</strong>e<br />

form <strong>of</strong> procurement and f<strong>in</strong>anc<strong>in</strong>g <strong>of</strong> <strong>the</strong> <strong>MPSC</strong>.<br />

3. Background <strong>in</strong>form<strong>at</strong>ion<br />

The case for <strong>the</strong> <strong>MPSC</strong><br />

3.1 The Government’s policy objectives for sports development are to promote<br />

sport <strong>in</strong> <strong>the</strong> community, to develop elite sport, and to make Hong Kong a<br />

major loc<strong>at</strong>ion for <strong>in</strong>tern<strong>at</strong>ional sports events. Hong Kong has a shortage<br />

<strong>of</strong> public sports facilities, <strong>in</strong> particular sports grounds, <strong>in</strong>door sports centres<br />

and football pitches. In addition, our capacity for host<strong>in</strong>g major sports<br />

events is affected by a lack <strong>of</strong> modern, multi-purpose venues. When<br />

host<strong>in</strong>g major sports events, we rely heavily on age<strong>in</strong>g venues th<strong>at</strong> do not<br />

meet modern-day requirements. We have one major outdoor venue, <strong>the</strong><br />

Hong Kong Stadium (“HKS”), which can accommod<strong>at</strong>e 40,000 spect<strong>at</strong>ors<br />

but which has several constra<strong>in</strong>ts: it does not have a ro<strong>of</strong> th<strong>at</strong> would allow<br />

for <strong>the</strong> host<strong>in</strong>g <strong>of</strong> events under all wea<strong>the</strong>r conditions; <strong>in</strong> order to avoid<br />

damage to <strong>the</strong> turf <strong>the</strong>re is a limit to <strong>the</strong> number <strong>of</strong> different types <strong>of</strong> sport<br />

and non-sports events th<strong>at</strong> can be held <strong>the</strong>re; and back-<strong>of</strong>-house facilities<br />

for players, spect<strong>at</strong>ors and <strong>the</strong> media are below <strong>the</strong> standards th<strong>at</strong> are<br />

expected by participants and spect<strong>at</strong>ors <strong>at</strong> major events. The only <strong>in</strong>door<br />

sports venue we have th<strong>at</strong> provides sufficient arena size for major sports<br />

events and a capacity <strong>of</strong> more than 3,000 spect<strong>at</strong>ors is <strong>the</strong> Hong Kong<br />

Coliseum, which itself has constra<strong>in</strong>ts such as a lack <strong>of</strong> warm-up space and<br />

<strong>in</strong>sufficient support<strong>in</strong>g facilities for players, spect<strong>at</strong>ors and o<strong>the</strong>r users.<br />

3.2 The host<strong>in</strong>g <strong>of</strong> major <strong>in</strong>tern<strong>at</strong>ional sports events cre<strong>at</strong>es economic benefits<br />

<strong>in</strong> areas such as tourism, retail, market<strong>in</strong>g and event management, and<br />

promotes a city’s pr<strong>of</strong>ile. The improved performances <strong>of</strong> Asian <strong>at</strong>hletes <strong>at</strong><br />

<strong>the</strong> <strong>in</strong>tern<strong>at</strong>ional level have gener<strong>at</strong>ed <strong>in</strong>creas<strong>in</strong>g <strong>in</strong>terest <strong>in</strong> sport <strong>in</strong> <strong>the</strong><br />

region, and organisers <strong>of</strong> major sports events <strong>in</strong>creas<strong>in</strong>gly look to Asian<br />

cities to host such events. In recent years, several major cities <strong>in</strong> <strong>the</strong> region,<br />

<strong>in</strong>clud<strong>in</strong>g Guangzhou, Shenzhen and S<strong>in</strong>gapore have built or started<br />

build<strong>in</strong>g new st<strong>at</strong>e-<strong>of</strong>-<strong>the</strong>-art multi-purpose sports facilities. Unless we<br />

address <strong>the</strong> limit<strong>at</strong>ions <strong>in</strong> our sports <strong>in</strong>frastructure, Hong Kong will lose<br />

opportunities to host major events.<br />

3.3 The development <strong>of</strong> an <strong>MPSC</strong> <strong>at</strong> <strong>Kai</strong> <strong>Tak</strong> was identified as a key<br />

development component <strong>in</strong> <strong>the</strong> <strong>Kai</strong> <strong>Tak</strong> Plann<strong>in</strong>g Review (2007). In his<br />

2013 Policy Address, <strong>the</strong> Chief Executive st<strong>at</strong>ed th<strong>at</strong> <strong>the</strong> plann<strong>in</strong>g <strong>of</strong> <strong>the</strong><br />

<strong>MPSC</strong> is a priority.<br />

Planned facilities for <strong>the</strong> <strong>MPSC</strong><br />

3.4 An <strong>in</strong>itial Technical Feasibility Study completed <strong>in</strong> 2009 envisaged th<strong>at</strong> <strong>the</strong><br />

<strong>MPSC</strong> would have a 50,000-se<strong>at</strong> multi-purpose ma<strong>in</strong> stadium, a 5,000-se<strong>at</strong><br />

sports ground and a 4,000-se<strong>at</strong> <strong>in</strong>door multi-purpose sports arena. The<br />

complex would also <strong>in</strong>clude over 40,000 sq. metres <strong>of</strong> <strong>of</strong>fice and<br />

commercial space, as well as public open space. In addition to host<strong>in</strong>g<br />

sports events, <strong>the</strong> complex would provide a venue for events such as<br />

concerts, exhibitions and carnivals.<br />

3.5 To help meet our policy objectives for promot<strong>in</strong>g sport more widely <strong>in</strong> <strong>the</strong><br />

community, <strong>the</strong> <strong>MPSC</strong> will be a “sports park” for Hong Kong, with a<br />

mixture <strong>of</strong> high quality sports facilities for public use, open space, park<br />

fe<strong>at</strong>ures and retail and d<strong>in</strong><strong>in</strong>g outlets so th<strong>at</strong> <strong>the</strong> wider public and visitors to<br />

Hong Kong can enjoy <strong>the</strong> park throughout <strong>the</strong> day, seven days a week.<br />

The loc<strong>at</strong>ion plan for <strong>the</strong> <strong>MPSC</strong> is <strong>at</strong> Annex A.<br />

3.6 The major facilities proposed for <strong>the</strong> <strong>MPSC</strong> are described <strong>at</strong> Annex B.<br />

The exact mix <strong>of</strong> facilities will be subject to fur<strong>the</strong>r review, hav<strong>in</strong>g regard<br />

to factors such as demand and long-term commercial viability. An <strong>in</strong>itial<br />

plan show<strong>in</strong>g <strong>the</strong> proposed loc<strong>at</strong>ion <strong>of</strong> <strong>the</strong> three major sports facilities for<br />

<strong>the</strong> <strong>MPSC</strong> described <strong>in</strong> paragraph 3.4 above (i.e., <strong>the</strong> ma<strong>in</strong> stadium, <strong>the</strong><br />

sports ground and <strong>the</strong> <strong>in</strong>door sports arena) is <strong>at</strong> Annex C. The plan takes<br />

account <strong>of</strong> <strong>the</strong> physical constra<strong>in</strong>ts rel<strong>at</strong>ed to <strong>the</strong> development <strong>of</strong> <strong>the</strong> <strong>MPSC</strong><br />

<strong>at</strong> <strong>the</strong> site.<br />

Procurement and f<strong>in</strong>anc<strong>in</strong>g<br />

3.7 In 2011, HAB engaged a consultant to study procurement and f<strong>in</strong>anc<strong>in</strong>g<br />

options for <strong>the</strong> <strong>MPSC</strong>, tak<strong>in</strong>g <strong>in</strong>to account recent experience with <strong>the</strong><br />

procurement and f<strong>in</strong>anc<strong>in</strong>g <strong>of</strong> large local and overseas projects. The study<br />

was completed <strong>in</strong> 2012. In addition to <strong>the</strong> option <strong>of</strong> full public f<strong>in</strong>anc<strong>in</strong>g<br />

<strong>of</strong> <strong>the</strong> Project through <strong>the</strong> Public Works Programme, <strong>the</strong> consultant noted<br />

th<strong>at</strong> <strong>the</strong>re was an opportunity to <strong>in</strong>volve <strong>the</strong> priv<strong>at</strong>e sector directly <strong>in</strong> <strong>the</strong><br />

f<strong>in</strong>anc<strong>in</strong>g <strong>of</strong> <strong>the</strong> Project through options such as “Design-Build-F<strong>in</strong>ance<br />

-Oper<strong>at</strong>e”, “Partial Priv<strong>at</strong>e F<strong>in</strong>anc<strong>in</strong>g” and “Jo<strong>in</strong>t Venture” arrangements.<br />

3.8 The Government proposes to conduct a fur<strong>the</strong>r study with a view to ga<strong>in</strong><strong>in</strong>g<br />

a comprehensive view <strong>of</strong> <strong>the</strong> “full” costs (<strong>in</strong>clud<strong>in</strong>g <strong>the</strong> capital and<br />

recurrent costs <strong>of</strong> <strong>the</strong> <strong>MPSC</strong> and <strong>the</strong> opportunity cost <strong>of</strong> public f<strong>in</strong>anc<strong>in</strong>g)<br />

and benefits <strong>of</strong> procur<strong>in</strong>g <strong>the</strong> <strong>MPSC</strong> under all viable procurement and<br />

f<strong>in</strong>anc<strong>in</strong>g options, <strong>in</strong>clud<strong>in</strong>g but not limited to <strong>the</strong> options mentioned <strong>in</strong><br />

paragraph 3.7 above. This will help <strong>the</strong> Government to decide on an<br />

appropri<strong>at</strong>e mode <strong>of</strong> procurement, and whe<strong>the</strong>r, and if so, <strong>the</strong> extent to<br />

which it should seek priv<strong>at</strong>e sector f<strong>in</strong>anc<strong>in</strong>g for <strong>the</strong> Project. The study will<br />

take <strong>in</strong>to account <strong>the</strong> feedback received through this exercise.<br />

4. Approach to <strong>the</strong> exercise<br />

4.1 This <strong>in</strong>vit<strong>at</strong>ion is NOT an exercise to shortlist or pre-qualify any potential<br />

bidders for <strong>the</strong> Project, ra<strong>the</strong>r, <strong>the</strong> ma<strong>in</strong> objective is to obta<strong>in</strong> views on<br />

options for develop<strong>in</strong>g <strong>the</strong> <strong>MPSC</strong>, for <strong>the</strong> Government’s consider<strong>at</strong>ion<br />

<strong>Interest</strong>ed parties who do not submit an EOI will not be barred from tak<strong>in</strong>g<br />

part, or prejudiced aga<strong>in</strong>st, <strong>in</strong> any subsequent competitive bidd<strong>in</strong>g exercise.<br />

Nei<strong>the</strong>r <strong>the</strong> Government nor any respondent will be bound by any response<br />

to <strong>the</strong> exercise.<br />

4.2 A press release on this <strong>in</strong>vit<strong>at</strong>ion was issued on Friday 18 January 2013.<br />

4.3 Inform<strong>at</strong>ion and views provided by respondents will not be <strong>in</strong>dividually<br />

<strong>at</strong>tributed <strong>in</strong> <strong>the</strong> report mentioned <strong>at</strong> paragraph 2.3 above and will NOT be<br />

considered <strong>in</strong> rel<strong>at</strong>ion to any future tender evalu<strong>at</strong>ion exercise.<br />

Respondents are asked to note th<strong>at</strong> under <strong>the</strong> Licence (see paragraph 4.14<br />

below) <strong>in</strong>form<strong>at</strong>ion provided <strong>in</strong> response to this <strong>in</strong>vit<strong>at</strong>ion <strong>in</strong>clud<strong>in</strong>g <strong>the</strong><br />

written responses and <strong>in</strong>form<strong>at</strong>ion obta<strong>in</strong>ed <strong>in</strong> any subsequent <strong>in</strong>terviews<br />

may be used or modified for use by <strong>the</strong> Government <strong>in</strong> draw<strong>in</strong>g up <strong>the</strong><br />

document<strong>at</strong>ion for any subsequent competitive bidd<strong>in</strong>g exercise for <strong>the</strong><br />

Project.<br />

4.4 Each respondent should make its own <strong>in</strong>dependent assessment <strong>of</strong> <strong>the</strong><br />

<strong>in</strong>form<strong>at</strong>ion conta<strong>in</strong>ed <strong>in</strong> this <strong>in</strong>vit<strong>at</strong>ion document after mak<strong>in</strong>g such<br />

<strong>in</strong>vestig<strong>at</strong>ion and tak<strong>in</strong>g such pr<strong>of</strong>essional and o<strong>the</strong>r advice as may be<br />

prudent <strong>in</strong> order to assess <strong>the</strong> risks and benefits and to prepare its response<br />

to this <strong>in</strong>vit<strong>at</strong>ion. Respondents should not construe <strong>the</strong> contents <strong>of</strong> this<br />

<strong>in</strong>vit<strong>at</strong>ion, or any o<strong>the</strong>r communic<strong>at</strong>ion by or on behalf <strong>of</strong> <strong>the</strong> Government<br />

or any <strong>of</strong> its <strong>of</strong>ficers, agents or advisors, as f<strong>in</strong>ancial, legal, tax or o<strong>the</strong>r<br />

advice. Respondents should consult <strong>the</strong>ir own pr<strong>of</strong>essional advisors as to<br />

f<strong>in</strong>ancial, legal, tax or o<strong>the</strong>r m<strong>at</strong>ters concern<strong>in</strong>g <strong>the</strong> Project.<br />

4.5 This <strong>in</strong>vit<strong>at</strong>ion is not <strong>in</strong>tended to provide <strong>the</strong> basis <strong>of</strong> any <strong>in</strong>vestment<br />

decision and should not be considered as a recommend<strong>at</strong>ion by <strong>the</strong><br />

Government or any <strong>of</strong> its <strong>of</strong>ficers, agents or advisors to any potential<br />

respondent to submit any responses.<br />

4.6 Each respondent shall be solely responsible for <strong>the</strong> fees, costs and expenses<br />

<strong>in</strong>curred <strong>in</strong> prepar<strong>in</strong>g for and respond<strong>in</strong>g to this <strong>in</strong>vit<strong>at</strong>ion, or subsequent<br />

responses or <strong>in</strong>iti<strong>at</strong>ives on <strong>the</strong> part <strong>of</strong> any respondent. The Government<br />

will under no circumstances be liable to any respondent for any such fees,<br />

costs, expenses, loss or damage wh<strong>at</strong>soever aris<strong>in</strong>g out <strong>of</strong> or <strong>in</strong> connection<br />

with this <strong>in</strong>vit<strong>at</strong>ion.<br />

4.7 Some aspects <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion may require clarific<strong>at</strong>ion, amplific<strong>at</strong>ion or<br />

correction. The Government reserves <strong>the</strong> right without prior consult<strong>at</strong>ion<br />

or notice, to modify, amend and revise any provision <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion and<br />

to issue addenda to such effect <strong>at</strong> any time. Any addenda, amendments,<br />

written communic<strong>at</strong>ions, additional <strong>in</strong>form<strong>at</strong>ion or changes to this<br />

<strong>in</strong>vit<strong>at</strong>ion will be posted on <strong>the</strong> HAB website <strong>at</strong><br />

http://www.hab.gov.hk/mpsc. Respondents are advised to check <strong>the</strong><br />

website regularly. The website is not a guaranteed secure site and no<br />

epresent<strong>at</strong>ion, warranty or undertak<strong>in</strong>g is given by <strong>the</strong> Government as to<br />

<strong>the</strong> accuracy and completeness <strong>of</strong> <strong>the</strong> <strong>in</strong>form<strong>at</strong>ion posted. If a respondent<br />

experiences difficulty <strong>in</strong> access<strong>in</strong>g or is <strong>in</strong> doubt as to <strong>the</strong> security <strong>of</strong> <strong>the</strong><br />

website, assistance may be sought <strong>in</strong> <strong>the</strong> manner as set out <strong>in</strong> paragraph 5.5<br />

below. The Government also reserves <strong>the</strong> right to postpone and cancel<br />

this <strong>in</strong>vit<strong>at</strong>ion <strong>at</strong> any time.<br />

4.8 Whilst <strong>the</strong> <strong>in</strong>form<strong>at</strong>ion <strong>in</strong> this <strong>in</strong>vit<strong>at</strong>ion has been prepared <strong>in</strong> good faith, it<br />

does not claim to be comprehensive or to have been <strong>in</strong>dependently verified.<br />

Nei<strong>the</strong>r <strong>the</strong> Government nor any <strong>of</strong> its <strong>of</strong>ficers, agents or advisors accepts<br />

any liability or responsibility as to, or <strong>in</strong> rel<strong>at</strong>ion to, <strong>the</strong> adequacy, accuracy<br />

and completeness <strong>of</strong> <strong>the</strong> <strong>in</strong>form<strong>at</strong>ion conta<strong>in</strong>ed <strong>in</strong> this <strong>in</strong>vit<strong>at</strong>ion or any<br />

to proceed with <strong>the</strong> development <strong>of</strong> <strong>the</strong> <strong>MPSC</strong> beyond this <strong>in</strong>vit<strong>at</strong>ion stage.<br />

Noth<strong>in</strong>g <strong>in</strong> this <strong>in</strong>vit<strong>at</strong>ion constitutes any commitment by <strong>the</strong> Government<br />

to any respondent <strong>in</strong> respect <strong>of</strong> responses which may be submitted, nor does<br />

it guarantee th<strong>at</strong> priv<strong>at</strong>e sector particip<strong>at</strong>ion will be implemented <strong>in</strong> any<br />

manner or form.<br />

4.10 Should <strong>the</strong> Government proceed with <strong>the</strong> development <strong>of</strong> <strong>the</strong> <strong>MPSC</strong><br />

beyond this <strong>in</strong>vit<strong>at</strong>ion stage, <strong>the</strong> Government may conduct an open tender<br />

exercise or adopt any procurement str<strong>at</strong>egy as <strong>the</strong> Government sees fit for<br />

<strong>the</strong> Project.<br />

4.11 The Government does not have any oblig<strong>at</strong>ion to enter <strong>in</strong>to any<br />

negoti<strong>at</strong>ions with any respondents to <strong>the</strong> Project on an exclusive or<br />

non-exclusive basis.<br />

4.12 In submitt<strong>in</strong>g a response to this <strong>in</strong>vit<strong>at</strong>ion, <strong>the</strong> respondent shall be deemed<br />

to have agreed to all terms <strong>of</strong> this <strong>in</strong>vit<strong>at</strong>ion <strong>in</strong>clud<strong>in</strong>g all Annexes and <strong>the</strong><br />

Licence (def<strong>in</strong>ed <strong>in</strong> paragraph 4.14 below).<br />

4.13 Respondents may be <strong>in</strong>vited, <strong>at</strong> <strong>the</strong>ir own cost and expense, to <strong>at</strong>tend an<br />

<strong>in</strong>terview with <strong>the</strong> Government, its <strong>of</strong>ficers or agents, to make clarific<strong>at</strong>ions<br />

on <strong>the</strong> responses and <strong>in</strong>vite <strong>the</strong>ir fur<strong>the</strong>r ideas, views and suggestions on <strong>the</strong><br />

Project. Respondents are allowed to reta<strong>in</strong> anonymity <strong>of</strong> <strong>the</strong> <strong>in</strong>form<strong>at</strong>ion<br />

discussed <strong>at</strong> <strong>the</strong> <strong>in</strong>terviews upon request.<br />

Intellectual Property Rights<br />

4.14 Respondents are required to sign <strong>the</strong> licence <strong>at</strong>tached <strong>at</strong> Annex D to this<br />

document (“Licence”) and return such signed licence to <strong>the</strong> Government<br />

with <strong>the</strong>ir submissions. Failure to return <strong>the</strong> signed Licence will cause<br />

<strong>the</strong> response not to be considered by <strong>the</strong> Government.<br />

4.15 For <strong>the</strong> purpose <strong>of</strong> <strong>the</strong> Licence, <strong>the</strong> Government agrees th<strong>at</strong> it will upon<br />

demand by a respondent pay HK$1 (as referred to <strong>in</strong> Clause 3 <strong>of</strong> <strong>the</strong><br />

Licence) to <strong>the</strong> respondent. Failure to return <strong>the</strong> signed Licence will<br />

render <strong>the</strong> response not to be considered <strong>at</strong> all by <strong>the</strong> Government.<br />

4.16 The Government shall be entitled, without any fur<strong>the</strong>r reference to <strong>the</strong><br />

respondents, to disclose or make copies <strong>of</strong> any or all <strong>of</strong> <strong>the</strong> responses to this<br />

<strong>in</strong>vit<strong>at</strong>ion and/or any views, ideas and suggestions discussed <strong>at</strong> <strong>the</strong><br />

<strong>in</strong>terview for <strong>the</strong> purpose <strong>of</strong> consider<strong>in</strong>g or explor<strong>in</strong>g <strong>the</strong> practicality <strong>of</strong> <strong>the</strong><br />

Annex B<br />

Major Facilities Proposed for a Multi-purpose Sports Complex<br />

(<strong>MPSC</strong>) <strong>at</strong> <strong>Kai</strong> <strong>Tak</strong><br />

Project objective<br />

The site reserved for <strong>the</strong> <strong>Kai</strong> <strong>Tak</strong> <strong>MPSC</strong> occupies approxim<strong>at</strong>ely 24<br />

hectares <strong>at</strong> <strong>the</strong> <strong>Kai</strong> <strong>Tak</strong> <strong>Development</strong> (“KTD”), and is envisaged as one <strong>of</strong><br />

<strong>the</strong> def<strong>in</strong><strong>in</strong>g fe<strong>at</strong>ures <strong>of</strong> <strong>the</strong> development, which is <strong>in</strong>tended to be a sports,<br />

recre<strong>at</strong>ion and enterta<strong>in</strong>ment centre for Hong Kong.<br />

In order to cre<strong>at</strong>e a popular and dynamic dest<strong>in</strong><strong>at</strong>ion th<strong>at</strong> will help to<br />

cre<strong>at</strong>e a dist<strong>in</strong>ct identity for <strong>the</strong> new <strong>Kai</strong> <strong>Tak</strong>, <strong>the</strong> complex will essentially<br />

be a very large and modern urban park fe<strong>at</strong>ur<strong>in</strong>g a range <strong>of</strong> sports venues,<br />

recre<strong>at</strong>ional amenities and retail and d<strong>in</strong><strong>in</strong>g outlets th<strong>at</strong> will encourage<br />

nearby residents, <strong>the</strong> wider public and visitors to Hong Kong to enjoy <strong>the</strong><br />

park throughout <strong>the</strong> day, seven days a week. As with exist<strong>in</strong>g large urban<br />

parks such as Victoria Park and Kowloon Park, <strong>the</strong> <strong>MPSC</strong> would have<br />

sports venues th<strong>at</strong> would be primarily for community use, but th<strong>at</strong> could<br />

also host major <strong>in</strong>tern<strong>at</strong>ional events. It would also be <strong>the</strong> home <strong>of</strong> a new<br />

st<strong>at</strong>e-<strong>of</strong>-<strong>the</strong>-art stadium for Hong Kong to replace <strong>the</strong> age<strong>in</strong>g Hong Kong<br />

Stadium.<br />

Major Facilities<br />

It is proposed th<strong>at</strong> <strong>the</strong> sports venues, amenities and o<strong>the</strong>r <strong>at</strong>tractions <strong>at</strong> <strong>the</strong><br />

<strong>MPSC</strong> <strong>at</strong> <strong>Kai</strong> <strong>Tak</strong> <strong>in</strong>clude <strong>the</strong> follow<strong>in</strong>g –<br />

• A 50,000-se<strong>at</strong> stadium to allow Hong Kong to host major<br />

<strong>in</strong>tern<strong>at</strong>ional sports and enterta<strong>in</strong>ment events. The stadium would<br />

have a retractable ro<strong>of</strong> to allow events to be held under all wea<strong>the</strong>r<br />

conditions, and to conta<strong>in</strong> possible noise nuisance from large-scale<br />

events such as pop concerts and product launches. The stadium<br />

would have a moveable n<strong>at</strong>ural turf system to allow for <strong>the</strong> gre<strong>at</strong>est<br />

possible variety <strong>of</strong> sports and enterta<strong>in</strong>ment events to take place on<br />

an appropri<strong>at</strong>e quality <strong>of</strong> surface.<br />

• A public sports ground with permanent se<strong>at</strong><strong>in</strong>g for 5,000 spect<strong>at</strong>ors<br />

to help meet <strong>the</strong> shortfall <strong>of</strong> such facilities <strong>in</strong> Hong Kong generally,<br />

and East Kowloon <strong>in</strong> particular – i.e., Kwun Tong, Wong Tai S<strong>in</strong> and<br />

Kowloon City Districts - which faces a shortfall <strong>of</strong> two to three<br />

sports grounds based on <strong>the</strong> popul<strong>at</strong>ion forecasts for <strong>the</strong> three

districts for 2018. The ground would be a venue for public jogg<strong>in</strong>g,<br />

<strong>at</strong>hletics tra<strong>in</strong><strong>in</strong>g and events as well as football and rugby m<strong>at</strong>ches<br />

and would provide a warm-up venue for some major sports events<br />

be<strong>in</strong>g held <strong>at</strong> <strong>the</strong> stadium.<br />

• An <strong>in</strong>door sports centre with a ma<strong>in</strong> arena with permanent se<strong>at</strong><strong>in</strong>g<br />

for 4,000 spect<strong>at</strong>ors and a secondary arena with se<strong>at</strong><strong>in</strong>g for 400<br />

people th<strong>at</strong> could accommod<strong>at</strong>e sports such as basketball, volleyball,<br />

badm<strong>in</strong>ton and table tennis. The centre would help meet <strong>the</strong> shortfall<br />

for public facilities for <strong>in</strong>door sports, (based on 2018 popul<strong>at</strong>ion<br />

forecasts for East Kowloon, <strong>the</strong> area faces a shortfall <strong>of</strong> 5 <strong>in</strong>door<br />

sports centres) and would also be able to host major <strong>in</strong>tern<strong>at</strong>ional<br />

events requir<strong>in</strong>g a large arena space, a large spect<strong>at</strong>or capacity and<br />

appropri<strong>at</strong>e warm-up and o<strong>the</strong>r ancillary facilities.<br />

• Office space <strong>of</strong> <strong>at</strong> least 10,000 square metres, which we anticip<strong>at</strong>e<br />

would accommod<strong>at</strong>e “n<strong>at</strong>ional sports associ<strong>at</strong>ions”, o<strong>the</strong>r sports<br />

organis<strong>at</strong>ions and commercial companies with an <strong>in</strong>terest <strong>in</strong> sports<br />

market<strong>in</strong>g, promotion, broadcast<strong>in</strong>g and event management. The<br />

presence <strong>of</strong> a large number <strong>of</strong> <strong>of</strong>fice workers <strong>in</strong> addition to <strong>the</strong> staff<br />

and users <strong>of</strong> <strong>the</strong> sports venues and recre<strong>at</strong>ional amenities would<br />

cre<strong>at</strong>e a regular flow <strong>of</strong> people throughout <strong>the</strong> complex <strong>at</strong> all times<br />

<strong>of</strong> <strong>the</strong> day, and would contribute to <strong>the</strong> cre<strong>at</strong>ion <strong>of</strong> a dynamic and<br />

lively <strong>at</strong>mosphere <strong>in</strong> this part <strong>of</strong> <strong>the</strong> KTD.<br />

• Commercial space <strong>of</strong> <strong>at</strong> least 31,500 square metres th<strong>at</strong> could<br />

accommod<strong>at</strong>e a range <strong>of</strong> retail and food and beverage outlets. We<br />

anticip<strong>at</strong>e th<strong>at</strong> <strong>the</strong> area would <strong>at</strong>tract <strong>in</strong> particular retailers <strong>of</strong> sports<br />

and outdoor recre<strong>at</strong>ional equipment, sports-rel<strong>at</strong>ed fashion items, as<br />

well as sports <strong>the</strong>med restaurants, cafes and bars, many <strong>of</strong> which<br />

would be able to provide temporary outdoor se<strong>at</strong><strong>in</strong>g to allow<br />

customers to enjoy <strong>the</strong> park ambience and harbour views.<br />

• Public recre<strong>at</strong>ional and sports facilities suitable for a park sett<strong>in</strong>g,<br />

such as children’s play areas, tai chi areas and fitness st<strong>at</strong>ions<br />

suitable for use by people <strong>of</strong> all ages. There is also scope for<br />

provid<strong>in</strong>g jogg<strong>in</strong>g and cycl<strong>in</strong>g tracks th<strong>at</strong> would l<strong>in</strong>k up with wider<br />

jogg<strong>in</strong>g and cycl<strong>in</strong>g networks runn<strong>in</strong>g throughout <strong>the</strong> KTD. Given<br />

th<strong>at</strong> part <strong>of</strong> <strong>the</strong> site is adjacent to <strong>the</strong> w<strong>at</strong>erfront, <strong>the</strong>re is also scope<br />

for <strong>in</strong>clud<strong>in</strong>g harbour front walkways and parkland <strong>in</strong> <strong>the</strong> project.<br />

Extensive landscap<strong>in</strong>g and se<strong>at</strong><strong>in</strong>g would also be <strong>in</strong>cluded <strong>in</strong> <strong>the</strong><br />

project to provide a relax<strong>in</strong>g and enjoyable environment with<strong>in</strong> <strong>the</strong><br />

urban loc<strong>at</strong>ion <strong>of</strong> <strong>the</strong> complex.

<strong>in</strong>form<strong>at</strong>ion, whe<strong>the</strong>r <strong>in</strong> rel<strong>at</strong>ion to this Project or o<strong>the</strong>rwise (<strong>the</strong><br />

“Purposes”), on <strong>the</strong> terms and conditions <strong>of</strong> this Licence. In addition, <strong>the</strong><br />

Government is entitled:<br />

(a)<br />

to make use <strong>of</strong> (<strong>in</strong>clud<strong>in</strong>g reproduce and publish, display, exhibit<br />

and/or make available and to do any o<strong>the</strong>r acts set out <strong>in</strong><br />

paragraphs (a) to (g) <strong>of</strong> section 22(1) <strong>of</strong> <strong>the</strong> CO) <strong>the</strong> Submissions<br />

and <strong>the</strong> Records and Record<strong>in</strong>gs <strong>in</strong> whole or <strong>in</strong> part, <strong>in</strong> any form<br />

for <strong>the</strong> Purposes; and<br />

(b) to use, adopt (<strong>in</strong>clud<strong>in</strong>g mak<strong>in</strong>g any adapt<strong>at</strong>ions with<strong>in</strong> <strong>the</strong><br />

mean<strong>in</strong>g <strong>of</strong> <strong>the</strong> CO) or develop any Inform<strong>at</strong>ion without<br />

acknowledg<strong>in</strong>g <strong>the</strong> source <strong>of</strong> <strong>the</strong> Inform<strong>at</strong>ion<br />

6. In addition, I/we hereby declare th<strong>at</strong> <strong>the</strong> Government shall have <strong>the</strong> right<br />

to make use <strong>of</strong> and disclose to any third party <strong>the</strong> Submissions, <strong>the</strong><br />

Records and Record<strong>in</strong>gs and Inform<strong>at</strong>ion, <strong>in</strong> whole or <strong>in</strong> part, <strong>in</strong> any form<br />

for <strong>the</strong> Purposes.<br />

7. I/We hereby warrant th<strong>at</strong>:<br />

Rights <strong>of</strong> any third party;<br />

<strong>the</strong> use or possession by <strong>the</strong> Government <strong>of</strong> <strong>the</strong> Submissions,<br />

Records and Record<strong>in</strong>gs and Inform<strong>at</strong>ion or any part <strong>the</strong>re<strong>of</strong> for<br />

any purposes contempl<strong>at</strong>ed by <strong>the</strong> Invit<strong>at</strong>ion and/or <strong>the</strong> Purposes<br />

does not and will not <strong>in</strong>fr<strong>in</strong>ge <strong>the</strong> Intellectual Property Rights <strong>of</strong><br />

any third party;<br />

to <strong>the</strong> extent th<strong>at</strong> beneficial ownership <strong>of</strong> any Intellectual Property<br />

Rights <strong>in</strong> any component <strong>of</strong> <strong>the</strong> Submissions, Records and<br />

Record<strong>in</strong>gs or Inform<strong>at</strong>ion is vested <strong>in</strong> a third party, I/we declare<br />

and warrant th<strong>at</strong> <strong>the</strong> relevant beneficial owner <strong>of</strong> <strong>the</strong> third party<br />

Intellectual Property Rights has licensed and authorized me/us to<br />

hereby grant a valid and cont<strong>in</strong>u<strong>in</strong>g licence <strong>in</strong> favour <strong>of</strong> <strong>the</strong><br />

Government upon <strong>the</strong> same terms as those set out <strong>in</strong> Clause 5<br />

above; and<br />

(d)<br />

each party who executes this Licence has or shall have <strong>the</strong> full<br />

right, title, power and authority to grant <strong>the</strong> licence referred <strong>in</strong><br />

Clause 5 above <strong>in</strong> favour <strong>of</strong> <strong>the</strong> Government.<br />

8. I/We fur<strong>the</strong>r agree th<strong>at</strong> <strong>the</strong> Intellectual Property Rights <strong>in</strong> any m<strong>at</strong>erials<br />

developed by <strong>the</strong> Government on <strong>the</strong> basis <strong>of</strong> <strong>the</strong> Submissions, Records<br />

and Record<strong>in</strong>gs or Inform<strong>at</strong>ion (<strong>in</strong>clud<strong>in</strong>g any alter<strong>at</strong>ion or modific<strong>at</strong>ion<br />

<strong>of</strong> <strong>the</strong> Submissions, Records and Record<strong>in</strong>gs or Inform<strong>at</strong>ion), shall vest <strong>in</strong><br />

and belong to <strong>the</strong> Government absolutely and immedi<strong>at</strong>ely upon cre<strong>at</strong>ion.<br />

9. I/We agree th<strong>at</strong> any assignment made or licence granted by any owners <strong>of</strong><br />

<strong>the</strong> Intellectual Property Rights subsist<strong>in</strong>g <strong>in</strong> <strong>the</strong> Submissions Records<br />

and Record<strong>in</strong>gs and Inform<strong>at</strong>ion shall be subject to <strong>the</strong> licence <strong>of</strong> <strong>the</strong><br />

Government referred to <strong>in</strong> Clause 5 above. I/We shall procure th<strong>at</strong> such<br />

owner/assignees also impose oblig<strong>at</strong>ion(s) on <strong>the</strong> assignees and licensees<br />

regard<strong>in</strong>g <strong>the</strong>ir subsequent assignment(s) <strong>of</strong> such Intellectual Property<br />

Rights to be made subject to <strong>the</strong> said licence <strong>of</strong> <strong>the</strong> Government to <strong>the</strong><br />

<strong>in</strong>tent th<strong>at</strong> such oblig<strong>at</strong>ion(s) shall apply to all subsequent assignees.<br />

10. I/We hereby waive and shall procure all authors concerned to waive all<br />

moral rights <strong>in</strong> respect <strong>of</strong> <strong>the</strong> Submissions and Inform<strong>at</strong>ion to which <strong>the</strong>y<br />

may now or <strong>at</strong> any time <strong>in</strong> future be entitled under <strong>the</strong> CO or under any<br />

similar law <strong>in</strong> force from time to time anywhere <strong>in</strong> <strong>the</strong> world.<br />

11. I/We shall <strong>in</strong>demnify and hold <strong>the</strong> Government harmless from and<br />

aga<strong>in</strong>st any and all claims (whe<strong>the</strong>r or not successful, compromised or<br />

settled) thre<strong>at</strong>ened, brought or established aga<strong>in</strong>st <strong>the</strong> Government and all<br />

losses, damages, costs, charges or expenses (<strong>in</strong>clud<strong>in</strong>g all legal fees and<br />

o<strong>the</strong>r costs, charges and expenses) which <strong>the</strong> Government may pay or<br />

<strong>in</strong>cur <strong>in</strong> connection with or aris<strong>in</strong>g from a breach <strong>of</strong> this Licence or any <strong>of</strong><br />

<strong>the</strong> warranties given by me/us.<br />

12. I/We shall <strong>at</strong> <strong>the</strong> Government’s request and <strong>at</strong> my/our own cost <strong>at</strong> all<br />

times hereafter do all such acts and execute all such documents as may be<br />

reasonably necessary or desirable to secure <strong>the</strong> vest<strong>in</strong>g <strong>in</strong> <strong>the</strong> Government<br />

<strong>of</strong> all rights given to <strong>the</strong> Government hereunder and to assist <strong>in</strong> <strong>the</strong><br />

resolution <strong>of</strong> any question concern<strong>in</strong>g <strong>the</strong> Submissions, Records and<br />

Record<strong>in</strong>gs and Inform<strong>at</strong>ion.<br />

13. Unless <strong>the</strong> context o<strong>the</strong>rwise requires, “Intellectual Property Rights” <strong>in</strong><br />

this Licence means p<strong>at</strong>ents, utility models, trade marks, service marks,<br />

trade names, trade dress, design rights, copyright, doma<strong>in</strong> names,<br />

d<strong>at</strong>abase rights, rights <strong>in</strong> know-how or proprietary or confidential<br />

<strong>in</strong>form<strong>at</strong>ion, trade secrets, new <strong>in</strong>ventions, designs, methods, processes,<br />

practices or formulae and o<strong>the</strong>r <strong>in</strong>tellectual property rights whe<strong>the</strong>r now<br />

known or cre<strong>at</strong>ed <strong>in</strong> future (<strong>of</strong> wh<strong>at</strong>ever n<strong>at</strong>ure and wherever aris<strong>in</strong>g) and<br />

<strong>in</strong> each case whe<strong>the</strong>r registered or unregistered and <strong>in</strong>clud<strong>in</strong>g applic<strong>at</strong>ions<br />

for <strong>the</strong> grant <strong>of</strong> any such rights.<br />

14. I/We agree th<strong>at</strong> all parties who have executed this Licence are jo<strong>in</strong>tly and<br />

severally liable for <strong>the</strong> oblig<strong>at</strong>ions imposed and warranties given <strong>in</strong> this<br />

Licence.<br />

15. I/We agree th<strong>at</strong> a term or part <strong>of</strong> a term <strong>of</strong> this Licence th<strong>at</strong> is illegal or<br />

unenforceable may be severed from this Licence and <strong>the</strong> rema<strong>in</strong><strong>in</strong>g terms<br />

or parts <strong>of</strong> <strong>the</strong> term <strong>of</strong> this Licence cont<strong>in</strong>ue <strong>in</strong> force.<br />

16. I/We agree th<strong>at</strong> <strong>the</strong> Government does not waive a right, power or remedy<br />

if it fails to exercise or delays <strong>in</strong> exercis<strong>in</strong>g <strong>the</strong> right, power or remedy. A<br />

waiver <strong>of</strong> a right, power or remedy by <strong>the</strong> Government must be <strong>in</strong> writ<strong>in</strong>g<br />

and signed by <strong>the</strong> Government giv<strong>in</strong>g <strong>the</strong> waiver.<br />

17. This Licence shall be governed by and construed <strong>in</strong> accordance with <strong>the</strong><br />

laws from time to time <strong>in</strong> force <strong>in</strong> Hong Kong and I/we agree to submit to<br />

<strong>the</strong> jurisdiction <strong>of</strong> <strong>the</strong> Hong Kong courts.<br />

18. I/We agree th<strong>at</strong> damages may not be an adequ<strong>at</strong>e remedy for a breach <strong>of</strong><br />

any term or condition <strong>of</strong> this Licence by me/us and <strong>in</strong> addition to any<br />

rights or remedies it may have under this Licence or <strong>in</strong> accordance with<br />

any law, <strong>the</strong> Government will be entitled to seek specific performance <strong>of</strong><br />

this Licence or any <strong>in</strong>terlocutory, <strong>in</strong>terim or emergency measure or relief<br />

<strong>in</strong> accordance with <strong>the</strong> law from any court <strong>of</strong> competent jurisdiction.<br />

19. This Licence is duly executed by me/us under hand on <strong>the</strong> d<strong>at</strong>e as shown<br />
