PRESENTATION OF FINANCIAL AND OTHER INFORMATION<br />
Our financial statements included in this Preliminary Placement Document have been prepared in<br />
accordance with Indian GAAP. Indian GAAP differs in certain significant respects from USGAAP and<br />
IFRS. The Company does not provide a reconciliation of its financial statements to US GAAP and IFRS.<br />

Unless stated otherwise, the financial data in this Preliminary Placement Document is derived from our<br />
consolidated financial statements prepared in accordance with Indian GAAP. Our Fiscal Year commences<br />
on April 1 of each year and ends on March 31 of the succeeding year, so all references to a particular Fiscal<br />
Year of the Company are to the twelve-month period ended on March 31 of that year.<br />
All references to “us”, “we” and “our” are to <strong>Glenmark</strong> Pharmaceuticals Limited and its subsidiaries on a<br />
consolidated basis, unless otherwise stated.<br />
All references to “you”, “offeree”, “purchasers”, “subscriber”, “recipient”, “investors” are to prospective<br />
investors in the Equity Shares. References in this Preliminary Placement Document to “India” are to the<br />
Republic of India and the “Government” are to the governments in India, central or state, as applicable.<br />
EXCHANGE RATES<br />
The Company prepares and publishes its financial statements in Rupees. All references to “Rupees” and<br />
“Rs.” are to Indian Rupees and all references to “US Dollars” and “US$” are to United States Dollars. The<br />
following table sets forth, for the periods indicated, information with respect to the exchange rate between<br />
the Rupee and the U.S. Dollar (in Rupees per U.S. Dollar) based on the reference rates released by the RBI.<br />
The exchange rate as at March 31, 2009 was Rs. 50.95 = U.S. $1.00 and as at September 9, 2009 was Rs.<br />
