SELECTION OF LONG-TERM INCENTIVE PERFORMANCE MEASURES<br />

The Committee c<strong>on</strong>tinues to believe that EPS is the best measure<br />

of l<strong>on</strong>g-term performance for the Group and should therefore<br />

remain the primary l<strong>on</strong>g-term incentive measure. It provides<br />

str<strong>on</strong>g line of sight for executives, who are familiar with the existing<br />

basis of EPS performance measurement and is c<strong>on</strong>sistent with<br />

the Group’s l<strong>on</strong>g-term strategy focusing <strong>on</strong> sustainable growth.<br />

ROCE, combined with EPS, provides a balance between growth<br />

and returns.<br />

REMUNERATION POLICY FOR OTHER EMPLOYEES<br />

Our approach to salary reviews is c<strong>on</strong>sistent across the Group,<br />

with c<strong>on</strong>siderati<strong>on</strong> given to the level of resp<strong>on</strong>sibility, experience,<br />

individual performance, salary levels in comparable companies<br />

and the Company’s ability to pay. Remunerati<strong>on</strong> surveys are<br />

used, where appropriate, to establish market rates.<br />

Senior managers participate in an annual b<strong>on</strong>us scheme<br />

which has similar performance targets to those of the<br />

Executive Directors. Below this level, local incentive schemes<br />

are in place for management and n<strong>on</strong>-management<br />

employees. Opportunities and performance c<strong>on</strong>diti<strong>on</strong>s<br />

vary by organisati<strong>on</strong>al level with business unit specific<br />

metrics incorporated where appropriate. Commissi<strong>on</strong><br />

based arrangements are also operated for certain roles.<br />

Senior managers (c.300 individuals) also receive normal PSP<br />

awards, while enhanced PSP awards and participati<strong>on</strong> in the<br />

CIP is limited to Executive Directors, Executive Committee<br />

members and the next level of executives (c.30 individuals).<br />

Performance c<strong>on</strong>diti<strong>on</strong>s are c<strong>on</strong>sistent for all participants,<br />

while award sizes vary by organisati<strong>on</strong>al level. Share ownership<br />

guidelines apply to Executive Directors.<br />

All UK employees are eligible to participate in the SAYE scheme<br />

<strong>on</strong> the same terms.<br />

Pensi<strong>on</strong> and benefits arrangements are tailored to local market<br />

c<strong>on</strong>diti<strong>on</strong>s, and so various arrangements are in place for different<br />

populati<strong>on</strong>s within the Group. Executive Directors participate in<br />

the same scheme as other senior executives.<br />

CONSIDERATION OF CONDITIONS ELSEWHERE IN THE GROUP<br />

In 2013, the average salary increase across the Group was 2.84%<br />

compared to 2% for the Group Chief Executive and 4% for the<br />

Group Finance Director.<br />

Prior to the annual salary review, the Committee receives an<br />

update from the Group HR Director <strong>on</strong> the average salary<br />

increases across the Group. This is c<strong>on</strong>sidered by the Committee<br />

when determining salary increases for the Executive Directors<br />

and the Executive Committee. The Company has a diverse<br />

internati<strong>on</strong>al spread of business as well as a wide variety of roles<br />

from petrol pump attendants and valeters through to Managing<br />

Directors of our individual businesses and therefore pay levels<br />

and structures vary to reflect local market c<strong>on</strong>diti<strong>on</strong>s.<br />

Although the Company has not carried out a formal employee<br />

c<strong>on</strong>sultati<strong>on</strong> regarding Board remunerati<strong>on</strong>, it does comply with<br />

local regulati<strong>on</strong>s and practices regarding employee c<strong>on</strong>sultati<strong>on</strong><br />

more broadly.<br />

CONSIDERATION OF SHAREHOLDER VIEWS<br />

When determining remunerati<strong>on</strong>, the Committee takes into<br />

account the guidelines of investor bodies and shareholder views.<br />

In light of the high level of support for the 2011 Directors’ <str<strong>on</strong>g>report</str<strong>on</strong>g><br />

<strong>on</strong> remunerati<strong>on</strong>, the extensive c<strong>on</strong>sultati<strong>on</strong> that was carried out<br />

in 2010/11 following the last remunerati<strong>on</strong> review, and the fact<br />

that no changes to remunerati<strong>on</strong> policy are being proposed<br />

for 2013, the Committee did not carry out a formal shareholder<br />

c<strong>on</strong>sultati<strong>on</strong> exercise in 2012. However, the Committee is always<br />

open to feedback from shareholders <strong>on</strong> remunerati<strong>on</strong> policy<br />

and arrangements, and commits to undergoing shareholder<br />

c<strong>on</strong>sultati<strong>on</strong> in advance of any changes to remunerati<strong>on</strong> policy.<br />

The votes received <strong>on</strong> the 2011 Directors’ <str<strong>on</strong>g>report</str<strong>on</strong>g> <strong>on</strong> remunerati<strong>on</strong><br />

are provided in the Implementati<strong>on</strong> Report.<br />

RELATIVE IMPORTANCE OF SPEND ON PAY<br />

The table below shows the percentage change in profit after tax,<br />

dividends, and total employee compensati<strong>on</strong> spend from the<br />

financial year ended 31 December 2010 to the financial year<br />

ended 31 December 2012.<br />

SERVICE CONTRACTS<br />

The Company’s policy is for Executive Directors’ service c<strong>on</strong>tract<br />

notice periods to be no l<strong>on</strong>ger than 12 m<strong>on</strong>ths, except in<br />

excepti<strong>on</strong>al circumstances. All current c<strong>on</strong>tracts c<strong>on</strong>tain notice<br />

periods of 12 m<strong>on</strong>ths.<br />

The Company may terminate the c<strong>on</strong>tract by paying the<br />

Executive Director a sum equal to his basic salary and, in certain<br />

circumstances, benefits including pensi<strong>on</strong> and life assurance, car<br />

and entitlement to holiday pay for the 12 m<strong>on</strong>th period. In the<br />

event that an Executive Director is not required to work their full<br />

notice period, the Company may also, in certain circumstances,<br />

exercise discreti<strong>on</strong> to pay the Executive Director a proporti<strong>on</strong><br />

of the annual b<strong>on</strong>us that they would otherwise have received.<br />

The N<strong>on</strong>-Executive Directors receive a letter of appointment and<br />

are normally appointed for an initial three year period, subject to<br />

their re-appointment by shareholders at the AGM.<br />

No N<strong>on</strong>-Executive Director is engaged <strong>on</strong> a service c<strong>on</strong>tract with<br />
