General Terms & Condition for the Tender Notice for supply of the Items mentioned in the Bill of
Quantity, U.P.State Road Transport Corporation.
1- Tenders are invited for supply of items mentioned in the Bill of Quantity as per specifications mentioned therein
from the manufacturer. The Tenders shall remain open for acceptance for a period of minimum 12 Month
commencing from the date of opening of the Tenders.
2- Tenders must be filled in tender forms obtainable from the undersigned’s office on any working day during office
hours on the payment of Rs. 10000.00 {Ten Thousand } (+5% VAT extra) in the shape of Demand Draft in favour
of General Manager (MMT) U.P.S.R.T.C Lucknow which is Non-Refundable. The tenders must be properly
sealed and superscribed, Tender as per bill of quantity and must be delivered at the undersigned office not later
than 13.00 hours on Date mentioned in Bill of Quantity. Tenders received after due date/time will not be
entertained, even if the same is due to Postal/courier delay. Tender form may also be downloaded from UPSRTC,
Website www.upsrtc.com & prescribed tender Fee Rs. 10000.00 +5% VAT (on Demand Draft payable to
GM(MMT) UPSRTC), Lucknow has to be deposited at the time of submission of tender form.
3- Each tender must be accompanied by Tender Form and Bill of Quantity with Terms & Condition. Form should be
duly signed and stamped together with a BANK DRAFT in favour of General Manager (MMT), UPSRTC,
PARIVAHAN BHAWAN, Lucknow for Rs.5.00 Laks. Tender which are not accompanied by the Earnest Money
in the proper Terms will not be considered to be VALID. The Tenderers are required to give the acceptance of
payments terms – 100% of the payment due to the suppliers in 45 days. The payment Through RTGS only.
Every firm which has been awarded Purchase Order has to deposit Security in shape of Bank Guarantee/Bank
Draft of a Nationalized Bank of 10% of the Order Value before commencing of supply. The validity of the Bank
Guarantee should be Three Years. In case of Security Deposited in Bank Draft, amount should be withheld for
Three Years.
4- Each Tenderer has to submit ‘Technical Bid’ and ‘Financial Bid’, in separate envelope super scribing technical
bid or financial bid as the case may be. All the sealed envelope should be kept in a single separate envelop.
Financial bid consists of only annexure D & E and bill of Quantity whereas technical bid consists annexure A B &
C and all other documents required in tender form. Technical bid shall be opened first subsequent to satisfactory
approval, financial bid of those only who qualify in Technical Bid.
5- If subsequent to the submission of the tender, any Tenderer, alter or modifies the contents of his tender which are
not acceptable to UPSRTC then, for the purpose of this condition, the Tenderer shall be deemed to have
withdrawn his proposal and thereby inviting forfeiture of Earnest Money. If any tenderer withdraws his tender
before expiry of the period referred to in para above, UPSRTC may agree to allow such withdrawal, but in such a
case Earnest Money deposited by the Tenderers may be forfeited, in case of refusal to such withdrawl and
acceptance of the tender, still if the tenderer fails to perform his part of the contract, not only the Earnest Money
deposited by the Tenderer shall be liable to be forfeited but shall invite other consequences of Breach of contract If
subsequent to the submission of the tender.
6- Correction, if any made by the tenderer must bear date & initial of Tenderer.
7- UPSRTC reserves the right to place order on more than one source. In such case tenderer must enclose their
CONSENT to make the supply on eligible lowest rates. (Cost per K.M. in the present case). In case the Purchase
Order is placed to more than one source, the quantity shall be distributed as per the Purchase Policy of Corporation
and the preference for placing purchase order to more than one would be given to Second, third or subsequent
lowest tenderer accordingly after their written consent. Those who give their CONSENT for acceptance of this
clause, will get the over riding preference over those manufacturers who do not agree or do not give consent for
this clause
In case of order to more than one source the total ordered qty. shall be distributed as per purchase Policy:--

In case of 3 source of supply the %age for 1 st Lowest firm will remain the same as calculated as per above policy and the
distribution among 2 nd and 3 rd lowest firm shall be made from the balence qty, as per policy given above.
8- The Managing Director reserves the right to reject any or all the tenders without assigning any reasons.
9- It will be open to the General Manager (MMT) to accept any tender in full or in part with respect to
valid tender as the Tenderers shall supply such quantities as are accepted by General Manager (MMT)
at the quoted rates. The Tenderers are at liberty to tender for the whole or any portion of the goods
mentioned in the Bill of Quantity and Terms & Condition Form.

10- Tenderers must give detailed description, make and origin of the manufacturer of various items tendered and
goods offered by the Tenderer will be deemed to be covered by a guarantee which may be specified.
11- All rates must be inclusive of Packing, Forwarding, Insurance and Railway Freight etc. F.O.R. destination on door
delivery basis. The price quoted shall be net in Indian Rupees strictly for the Unit (each) mentioned in the Bill of
Quantity.
12- All items offered have to be delivered according to agreed delivery schedule failing which the General Manager
(MMT) reserves the right to accept the supplies beyond the stipulated period. The consignee has the right to
impose a penalty upto Rs. 50/- per day for delay not exceeding 5% of the value of unsupplied items. Those items
which have been supplied in time but subsequently rejected by the respective consignee, during inspection, will be
treated as rejected supplies. The period of delay shall be reckoned from the date of receipt of material as per
specification.
13- All items supplied will be subject to an inspection before being accepted by the consignee’s authorised
representative of the Corporation.
14- In all matters of dispute relating to this tender the decision of the Managing Director, UPSRTC will be final and
binding on tenderer.
15- All disputes and difference, arising out of the contract, shall be referred to the Sole Arbitration of the Managing
Director of UPSRTC or his nominee, who shall be an employee of the UPSRTC not below the rank of General
Manager whose decision shall be final and binding on both the parties. Thus submission shall be deemed to be a
submission to the arbitration within the meaning of Indian Arbitration Act 1996 and statutory modifications
thereof. Subject to above all local matters are subject to Lucknow Jurisdiction only.
16- Any other condition as per Bill of Quantity and Terms & Condition form enclosed shall also be treated as
condition of tender.
17- Any tender that does not contain all the information required according to the conditions stated above or deviated
from the above conditions of his own shall be rejected.
18- Managing Director reserves the right to alter any quantity of any items.
19- Rates must be quoted in attached scheduled “D”, “E” only.
20- Supplies for ELGI Plant material will have to make FOR Sharanpur, Bareilly, Kanpur, Allahabad, Lucknow
Moradabad, Aligarh, Etawah and Agra & for INDAG plant FOR Ghaziabad and Gorakhpur.
21- Sample of Tyre Retreading Material from supply shall be sent for Testing at CIRT Pune/IRMRA/ Rubber
Board/any other testing laboratory approved by Central Government. Test Report shall be binding for the both
parties i.e. Supplier and user. Penalty will be imposed on the supplier for failure of samples in Test Reports as
per Penalty Clause of ASRTU, New Delhi specification AS:272:63:FEB:2002 (Revised upto Date). ASRTU

(a) The tenderer should enclose a self test certificate of their product on the above mentioned points (1 to 8)
from Central Government approved testing agency
(b) Sample of Tread Rubber, BVC & Bonding Gum will be sent for testing within Fifteen days from the date
of receipt of material
(c) Sampling will be done jointly with RM, SM & in the presence of representative of the company.
(d) Sample will also be sent from the final balance quantity irrespective of the quantity left.
(e) Sample of Tread Rubber from every 10 M.T. for each tyre shops, shall be sent for testing as per ASRTU
specification amd allied Items shell besent fortestingas per requirement.
(f) In case Two consecutive sample fail in testing, supplies shall be short closed, irrespective of the fact that
samples are sent form different tyre shops of UPSRTC and test reports are form two different testing agencies,
The remaining quantity shall be diverted to other eligible sources.
22- The tenderer is also required to with stand unconditional minimum kilometer guarantee which shall not in any case
be less than 33,000 km for purchase of T.R.M on Cost Per Kilometer basis (CPKM). CPKM shall be calculated on
the Kilometer Guarantee offered by individual supplier which in any case shall not be less than 33,000 km and for
first timer (New Comer) CPKM shall be calculated on the basis of minimum km. guarantee as specified by
UPSRTC or on the km guaranteed by the firm but guaranteed km cannot be less than the km guarantee desired by
UPSRTC in this case 33,000 km. All other terms & conditions regarding guarantee, km assessment and penalty
etc. shall be same for every bidder or tenderer.
If the life of 80% removed tyres (fir for retreading) during entire order period is found to be
less than 80% of guarantee life then the bidder/supplier shall be debarred from participating in future
tenders of UPSRTC for T.R.M
23- The purchase of TRM will be decided on the basis of formula given at Serial No 34 of this
document.
The performance of removed tyres shall be monitored from day one. The sample size will be
of 1,000(one thousand) removed tyres (fir for retreading). If the life of these tyres comes to less
than 90% of the guaranteed Km. then supplies from the firm shall be stopped and remaining ordered
quantity will be diverted to the other qualified firm/s
24- Tenderers should confirm and Guarantee that the rates quoted are lowest for respective quantity and
that there are no other lower rates or discounts etc. (Excluding statutory duties) quoted to any other
STU’s and/or Govt. Dept./Undertaking. In case of such default the difference shall be recovered from
the ordered Firm/Tenderer, after the lower rate quoted in other STU’s in known from the date of
quotation.
26- Those firms who insist that their material should only be stored and transported in A.C. environment
may not be considered.
27- Offer received for Tread Rubber & Allied Items will be considered in totality. If some tenderer quote
either of Items tender will be treated as incomplete and may not be considered.

28- Those tenderers who are U.P. based and are not ASRTU Rate Contract/Trial Rate Contract
and have not supplied to any other STU’s are requested to submit documentary proof for
registration as SSI unit of director of industries, U.P. for manufacturing of Tyre Retreading
material. Those who do not submit documentary evidance may not be considered as
approved manufacturer for the purpose of placing the order by UPSRTC.

29- Failure to Supply and Risk Purchase Clasue
If the supplier fails to supply any stores in accordance with the terms and conditions herein provided
and those agreed with the Undertakings, or fails to replace the stores as may be rejected by the Undertakings,
within the time stipulated, the Undertakings shall at the risk and cost of supplier and without any notice or
reference to him be entitled to purchase such stores (of the same specifications) for any other source and at
such price as the undertaking shall in their sole discretion think fit and if such price shall exceed the rate set
out in rate contract, the supplier shall be liable to pay to the Undertakings the difference between the price at
which such stores have been purchased by athe Undertakins and at the price set out in the contract plus 10%
overheads. The risk purchase and payment of difference with overheads in terms thereof shall not absolve the
supplier form the liability to pay damage as may be suffered and claimed by the Undertakings due to the
failure of the supplier to make timely and proper delivery of the contracted stores.
30- Force Majeure Clause

Provided however, if such failure referred to in clause (36) above shall have arised form an act of
God or disorganization of public transport, thunder, flood, earthquake or any other inevitable or unforeseen
circumstance beyond human control including any casue directly or indirectly interfering with the supply of
raw material such as limitation of import licence or any other cause which the UPSRTC may admit as
reasonable ground for non-supply in time as may be justified by the circumstances of the case, the UPSRTC
may forego the claim for any such loss or damage.
31- Liquidated Damages
If the contractor fails to deliver the stores or any installment thereof within the period fixed for such
delivery or at any time repudiates the contract before the expiry of such period, the Undertaking may without
prejudice to the other rights of the purchaser to recover damages for breach of the contract, recover from the
contractor as agreed liquidate damages and not by way of penalty a sum equivalent to 2% of the price of any
stores which the Supplier has failed to deliver within the period fixed for the delivery in the schedule for each
month or part of a month during which the delivery of such store may be in arrears, where delivery thereof is
accepted after expiry of the aforesaid period subject to the conditions that the damages to be calculated shall
be limited to 10% of the value of delayed supplies.
32- Service of Notice
Any Notice required to be given under any of the foregoing Clause shall be deemed to have been
given and served if sent to the supplier by registered Post/Speed Post/Courier at the address given in the
tender form or at any other address subsequently notified by the supplier.
33- If the higher rates are offered in comparison to previous tender, then the rate will applicable only
after supplying the total back order quantity.
34- (a) If any tenderer offers a km guarantee which is more than the km guarantee specified by
UPSRTC in this case 33,000 km then CPKM of the tenderer shall be calculated on the offered Km.

-35- The proprietor who has more than one Firm in different Names then the different Firm shall
be treated as one and order will be place accordingly.
36- CORRUPT OR FRAUDULENT PRACTICES
The Bidders and their respective officers, employees, agents and advisers shall observe the selected
standard of ethics during the Tender process and subsequent to the issue of the Tender and during the
subsistence of the Agreement. Not with standing anything to the contrary contained herein, or in the Tender
or the Agreement, the Authority may reject a Bid, withdraw the Tender terminate the Agreement, as the case
may be, without being liable in any manner whatsoever to the Bidder or Contractor, as the case may be, if it
determines that the Bidder or Contractor, as the case may be, has, directly or indirectly or through an agent,
engaged in corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice
in the Tender Process. In such an event, the Authority shall be entitled to forfeit and appropriate the EMD or
Bid Security, as the case may be, as Damages, without prejudice to any other right or remedy that may be
available to the Authority under this Tender Document and /or the Agreement, or otherwise.

Without prejudice to the rights of the Authority under Clause hereinabove and the rights and
remedies which the Authority may have under the Tender or the Agreement, or otherwise if a Bidder or
Contractor, as the case may be, is found by the Authority to have directly or indirectly or through an agent,
engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or
restrictive practice during the Tender Process, or after the issue of the Tender or the execution of the
Agreement, such Bidder or Contractor shall not be eligible to participate in any tender during a period of 2
(two) years from the date such Bidder or Contractor, as the case may be, is found by the Authority to have
directly or indirectly or through an agent, engaged or indulged in any corrupt practice, fraudulent practice,
coercive practice, undesirable practice or restrictive practices, as the case may be.
For the purposes of this clause, the following terms shall have the meaning hereinafter respectively
assigned to them:-

“Corrupt practice” means (a) The offering, giving, receiving, or soliciting, directly or indirectly,
of anything of value to influence the actions of any person connected with the Tender Process
(for avoidance of doubt, offering of employment to or employing or engaging in any manner
whatsoever, directly or indirectly, any official of the Authority who is or has been associated in
any manner, directly or indirectly, with the Tender Process or has dealt with matters concerning
the Agreement or arising there from, before or after the execution thereof, at any time prior to
the expiry of one year from the date such official resigns or retires from or otherwise ceases to
be in the service of the Authority, shall be deemed to constitute influencing the actions of a
person connected with the Tender Process). Or
Engaging in any manner whatsoever, whether during the Tender Process after the execution of
the Agreement, as the case may be, any person in respect of any matter relating to the Project or
the Tender of Agreement, who at any time has been or is a legal, financial or technical adviser
of the Authority in relation to any matter concerning the Project
“Fraudulent Practice” means a misrepresentation or omission of facts or suppression of facts or
disclosure of incomplete facts, in order to influence the Tender Process.
“Coercive Practice” means impairing or harming or threatening to impair or harm, directly or
indirectly, any person or properly to influence any person’s participation or action in the Tender
Process.
“Undesirable practice” means (i) establishing contact with any person connected with or
employed or engaged by the Authority with the objective of canvassing, lobbying or in any
manner influencing or attempting to influence the Tender Process, or (ii) having a Conflict of
Interest, and
“Restrictive practice” means forming a cartel or arriving at any understanding or arrangement
among Bidders with the objective of restricting or manipulating a full and fair competition in the
Tender Process.

Imposed a penalty of rupees one crore or more for violation of the provisions of the Foreign
Exchange Regulation Act, 1973 (46 of 1973) (since repealed) or the Foreign Exchange
Management Act, 1999 (42 of 1999), or
Detained under the National Security Act, 1980 (65 of 1980) or the Narcotic Drugs and
Psychotropic Substances Act, 1985 (61 of 1985), or
Adjudged guilty by the Stock Exchange Board of India or any other such Financial Regulatory
Boards or Tribunals or Agencies, or

Found to be associated in any manner with an organized crime syndicate or its associate or with
any Association declared unlawful under the Unlawful Activities (Prevention) Act, 1967 (37 of
1967) or any other law for the time being in force, or
(f)
Found to be connected with activities prejudicial to the National Security, is not considered for
selection as vendor for supply of New Tyre sets.
DISQUALIFICATIONS
Even through the Bidder meets the pre-qualifying Criteria, they could be disqualified if they have:
1- Made misleading or false representations in the forms, statements and attachments submitted in proof
of the qualification requirements.
2- If it is found that bidder’s any previous contract any where was cancelled for his default.
3- Failed to provide any clarifications related thereto.
4- Where the bidder has already submitted the Tender Document and is a member of a entity which has
already submitted the technical bid/tender document or vice versa.
5- If any member of a Entity is replaced or withdraws, except without prior written permission of
UPSRTC at any stage.
6- If any such information which would have entitled UPSRTC to reject or disqualify the bidder, becomes
known after the bidder has been pre-qualified. UPSRTC reserves the right to cancel the prequalification
of the bidder at any later stage, without assigning any reason thereof.
7- Where the applicant is a Joint Venture/ Partnership firm or an entity of similar nature, UPSRTC may
disqualify . The entire entity for any of the reasons set out above, even if it applies in respect of only
one member of the Entity.
8- The Lead member of bidding Entity cannot be changed. Any such change or Applicant except with the
written permission of UPSRTC.
9- Bidders who canvass or attempt to influence the pre/post-qualification or selection process shall
necessarily be disqualified from the process at any stage.
10- Any entity which has been barred by Government of India/any State Government or any of its agencies
from participating in tendering or otherwise and the bar subsists as on the technical bid submission
date, would not be eligible to submit any technical bid document. Any bidder who has earlier defaulted
in payment to UPSRTC or has been associated as director or owner or signatory of such firm/company
shall not be eligible to participate in process. A notarized affidavit to this effect shall have to be
furnished by all bidders irrespective of their legal status.

MANDATORY QUALIFICATION FOR TENDER
1- Only those Tenderer whom are Manufacturing Tread Rubber (STM/PTR) as per ASRTU
Specification No. AS:272:69:JULY:2005 (Revised upto Date) are eligible for
participating in tender. Those Tenderer who claim to be Manufacturing Tread Rubber
(STM/PTR) as per ASRTU Specification No. AS:272:69:JULY:2005 (Revised upto
Date), supplier must enclose documentary evidence for the same BRAND to consider
their tender. Those who fail to submit the documentary evidence as above shall not be
considered.
2- Only those Tenderer (Old Suppliers) are eligible for qualifying in Technical Bid who has
CIRT Pune Test Report Pass %age 65 or above. The Test Report period for consideration
will be taken from last Three years received Test Report till the opening of Tender Date.
3- Acceptance of Unconditional Kilometer Guarantee as per clause “22” of General terms &
conditions of Terder Form is must.
4- Acceptance for Firmness of the rate for One Year is must.
5- Acceptance of the payments terms as per Clause “3” Through RTGS is must.
6- In case the offer of the firm is accepted the firm will have to submit a Security deposit in
shape of Bank Guarantee/ Bank Draft of 10% of the Order Value adjusting EMD, before
commencing of supply, the validity of the Bank Guarantee of a Nationalized Bank should
be Three Years. In case of Security Deposited in Bank Draft, Bank Draft Amount should
be withheld for Three Years.
7- Acceptance for submiting the Earnest Money with the tender (General Terms &
Condition No. 3 is must).
8- Only those tenderer will qualify technically whose capability to supply is 33% of offered quantity
to UPSRTC.
Factory Inspection shall be done for the firm/s who are coming for the first time and a
demand draft of Rs. 20,000 (twenty thousand) has to be enclosed along with Technical Bid for the
same.
9- Accceptance of the Firm to supply the material as per the required size & specification as
mentioned in bill of Quantity is must.
10- Acceptance to make the supplies at the locations Presently at ELGI Plant. All supplly
should be make on terms F.O.R. Sharanpur, Bareilly, Kanpur, Allahabad, Lucknow, Etawa,
Moradabad, Aligarh, Faizabad and Agra & for INDAG plant FOR Ghaziabad and Gorakhpur.
11- Firm must be ready to give the guarantee of quantity and quality of supplies as specified
by UPSRTC.
12- The Firm must be ready to take back the supplied item, if it is rejected due to technical
reasons.
