The Group also has other companies in Spain’s banking sector, insurance sector, real estate sector and<br />
service and operating lease companies.<br />
- Mexico<br />
The Group’s presence in Mexico dates back to 1995. It operates mainly through Grupo Financiero <strong>BBVA</strong><br />
Bancomer, both in the banking sector through <strong>BBVA</strong> Bancomer, S.A. and in the insurance and pensions<br />
business through Seguros Bancomer S.A. de C.V., Pensiones Bancomer S.A. de C.V. and Administradora<br />
de Fondos para el Retiro Bancomer, S.A. de C.V.<br />
- United States and Puerto Rico<br />
In recent years, the Group has expanded its presence in the United States through the acquisition of several<br />
financial groups operating in various southern states. In 2007 the Group acquired Compass Bancshares Inc.<br />
and State National Bancshares Inc., taking control of these entities and the companies in their groups. The<br />
merger between the three banks based in Texas owned by the Bank (Laredo National Bank, Inc., Texas<br />
National Bank, and State National Bank) and Compass Bank, Inc. took place in 2008.<br />
In 2009, through its subsidiary <strong>BBVA</strong> Compass, the Group acquired certain assets and liabilities of Guaranty<br />
Bank, Inc. (hereinafter, “Guaranty Bank”) from the Federal Deposit Insurance Corporation (hereinafter,<br />
“FDIC”). At the date of acquisition, Guaranty Bank operated 105 branches in Texas and 59 in California.<br />
The <strong>BBVA</strong> group also has a significant presence in Puerto Rico through its subsidiary <strong>BBVA</strong> Puerto Rico,<br />
S.A.<br />
- Latin America<br />
The Group’s activity in Latin America is mainly focused on the banking, insurance and pensions sectors, in<br />
the following countries: Chile, Venezuela, Colombia, Peru, Argentina, Panama, Paraguay and Uruguay. It is<br />
also active in Bolivia and Ecuador in the pensions sector.<br />
The Group owns more than 50% of most of the companies in these countries. Below is a list of the<br />
companies which, although less than 50% owned by the <strong>BBVA</strong> Group, as of June 30, 2010, are fully<br />
consolidated at this date as a result of agreements between the Group and the other shareholders giving the<br />
Group effective control of these entities (see Note 2.1):<br />
