Audit Committee <strong>Report</strong><br />

Governance<br />

The Audit Committee is chaired by Graham Pimlott who was a<br />

member of the Auditing Practices Board until March 2010. Graham<br />

took over the role as Chairman from Ken Hanna on 14 May 2009.All<br />

the members are Non-Executive Directors.Will Samuel is a chartered<br />

accountant and the Board has determined that Will has recent and<br />

relevant financial experience.<br />

The Audit Committee met three times during 2009, to coincide with<br />

the key dates in the Company’s financial calendar.Attendance is<br />

shown on page 58. In addition to the scheduled meetings the Audit<br />

Committee meets with the external auditors twice a year.The Audit<br />

Committee reviewed its way of working and the balance of focus on<br />

financial and non-financial risks and agreed that from 2010,the Audit<br />

Committee will meet four times per year in order to give the<br />

Committee more time to consider the key activities delegated to it.<br />

No one other than the Audit Committee Chairman and its members<br />

are entitled to attend the meetings however, the Chairman, Group<br />

Chief Executive, Group Finance Director, Group Audit and Risk<br />

Director and the external auditors attend by invitation.<br />

The Audit Committee may take external legal, accounting or other<br />

advice at the Company’s expense when it believes it necessary to<br />

do so. Other than discussions with the Company’s external auditors,<br />

none was taken during 2009.<br />

The primary responsibilities of the Audit Committee are financial<br />

reporting; internal control and risk management systems; internal<br />

audit and external audit.The Audit Committee discharged all its<br />

responsibilities, as set out in its Terms of Reference, during the year.<br />

Activities<br />

During 2009, the principal activities of the Audit Committee<br />

included the following:<br />

• review and approval of interim and full year results and any other<br />

formal announcement relating to financial performance;<br />

• review of the internal audit plan and the results of the internal<br />

auditors’ work, including monitoring management’s<br />

responsiveness to findings and recommendations;<br />

• review of the Company’s internal financial controls and the<br />

internal control and risk management system;<br />

• approval of the terms of engagement with the external auditor at<br />

the start of each audit and the scope of the audit to be provided;<br />

• review of the audit plan with the external auditor at the planning<br />

and reporting stages;<br />

• effectiveness of the internal and external audit function;<br />

• whistleblowing provisions;<br />

• relevant disclosures in this <strong>Report</strong>; and<br />

• review of its Terms of Reference.<br />

As part of the approval process for the appointment of the external<br />

auditor, the Committee is responsible for monitoring the objectivity,<br />

independence and performance of the external auditor.The<br />

Committee is satisfied that the external auditor continues to be<br />

effective.The Committee recommends the Board propose a<br />

resolution to re-appoint the auditors at the AGM.<br />

PricewaterhouseCoopers LLP have been the Company’s auditors for<br />

over ten years.The Audit Committee considers that the relationship<br />

with the auditors is working well and remains satisfied with their<br />

effectiveness.Accordingly, it has not considered it necessary to<br />

require the firm to tender for the audit work.The external auditors are<br />

required to rotate the audit partners responsible for the Group audit<br />

every five years. In accordance with best practice guidelines the<br />

current audit partner will step down during 2010 and his<br />

responsibilities will be transferred to another partner.There are no<br />

contractual obligations restricting the Company’s choice of<br />

external auditor.<br />
