CERTIFICATION<br />
I, RICHARD W. TOTH, National Vice President-<br />
Secretary of the <strong>William</strong> <strong>Penn</strong> Association, hereby certify<br />
the Charter of the <strong>William</strong> <strong>Penn</strong> Association as amended<br />
and restated as follows:<br />
CHARTER<br />
WILLIAM PENN ASSOCIATION<br />
AS AMENDED AND RESTATED<br />
BE IT KNOWN that the subscribers having associated<br />
themselves together for the purpose of forming a beneficial<br />
society for Hungarian American citizens and being<br />
desirous of becoming incorporated agreeably to the<br />
provisions of the Act of the <strong>General</strong> Assembly of the<br />
Commonwealth of <strong>Penn</strong>sylvania entitled, “An Act to<br />
provide for the Incorporation and Regulation of certain<br />
Corporations” approved the 29th day of April, A.D. 1874,<br />
and its supplements do hereby declare, set forth and<br />
certify that the following are the purposes, objects, articles<br />
and conditions of their said association for and upon<br />
which they desire to be incorporated:<br />
1. The name of the corporation is <strong>William</strong> <strong>Penn</strong> Association.<br />

2. The business of this Association shall be conducted<br />
in accordance with the purposes of fraternal benefit<br />
societies, as provided by the laws of the various jurisdictions,<br />
its purposes shall be:<br />
(a) To create funds for mutual aid as established by<br />
the Board of Directors and as permitted by any body<br />
having jurisdiction where the Association is authorized to<br />
do business;<br />
(b) To preserve the funds from mismanagement and<br />
loss by judicious investments;<br />
(c) To disburse the funds among the aged, sick<br />
members, widows and orphans or designated beneficiaries<br />
of deceased members as provided in the membership<br />
certificates;<br />
(d) To retain and foster in the United States of<br />
America Hungarian culture and heritage as established by<br />
the Founding Fathers of the Association. (As amended<br />

3. The corporate powers of the Society shall be exercised<br />
through a <strong>Convention</strong> which shall be its supreme<br />
legislative and governing body, a Board of Directors,<br />
Executive Committee and other committees, officers and<br />
subordinate branches. (As amended effective May 16,<br />

4. The place where its principal office is located in the<br />
<strong>William</strong> <strong>Penn</strong> <strong>Life</strong>, Special <strong>Convention</strong> Edition, December 2007<br />

5. The Corporation is to exist perpetually.<br />
6. The names and residences of the subscribers are as<br />

The Corporation has no capital stock.<br />
7. (a)The Association shall have a Board of Directors<br />
charged with the responsibility for its affairs in the interim<br />
between meetings of the <strong>General</strong> <strong>Convention</strong>, and having<br />
the powers and duties delegated to it in the Charter and<br />
By-Laws of the Association.<br />
(b)The Board of Directors shall consist of no fewer<br />
than seven (7) nor more than fifteen (15) Directors to be<br />
elected by the <strong>General</strong> <strong>Convention</strong> and in addition those<br />
who are Directors by virtue of their office.<br />
(c) The Officers of the Association shall be: National<br />
President, National Vice President-Secretary, National<br />
Vice President-Treasurer, and National Vice President,<br />
who shall be elected as provided in the By-Laws. The<br />
Directors and National Officers shall hold their respective<br />
offices until their successors have been elected and have<br />
qualified for the discharge of their duties.<br />
