Up until this <strong>stage</strong>, the core themes <strong>of</strong> <strong>governance</strong> - power, benefit, and<br />

accountability - have rema<strong>in</strong>ed essentially bound together, albeit embedded with<strong>in</strong> an<br />

<strong>in</strong>creas<strong>in</strong>gly large partner/director group. The Delegated phase is the po<strong>in</strong>t at which<br />

this <strong>in</strong>terweav<strong>in</strong>g <strong>of</strong> power, benefit, and accountability are unpicked for the first time.<br />

A pr<strong>of</strong>essional service firm can only progress to the Delegated phase if<br />

partners/directors are will<strong>in</strong>g to rel<strong>in</strong>quish management authority to one or more <strong>of</strong><br />

their peers.<br />

Delegated<br />

In the Delegated phase, the partners/directors <strong>of</strong> the firm delegate a limited degree<br />

<strong>of</strong> power to one <strong>of</strong> two <strong>in</strong>dividuals (variously called a Senior Partner, Manag<strong>in</strong>g<br />

Partner, Chairman, Manag<strong>in</strong>g Director or CEO) on the understand<strong>in</strong>g that they<br />

accept that benefit must still lie with the partner/director group. Power rema<strong>in</strong>s<br />

cont<strong>in</strong>gent, however, and <strong>in</strong>extricably bound up with accountability -<br />

partners/directors can resc<strong>in</strong>d the delegation <strong>of</strong> authority at any <strong>stage</strong>, either through<br />

formal <strong>governance</strong> procedures or through a more <strong>in</strong>formal collective ‘loss <strong>of</strong><br />

confidence’ <strong>in</strong> the <strong>in</strong>dividual. In other words, this authority is delegated from the<br />

partners/directors to specific <strong>in</strong>dividuals at a po<strong>in</strong>t <strong>in</strong> time and is not evidence that<br />

they have accepted the pr<strong>in</strong>ciple <strong>of</strong> the separation <strong>of</strong> power, benefit, and<br />

accountability <strong>in</strong> more general terms.<br />

In time the senior executives may become frustrated with the limitations on their<br />

power and may argue that the <strong>in</strong>creased scale and complexity <strong>of</strong> the firm<br />

necessitates <strong>in</strong>creased formalization <strong>of</strong> the management systems and structures and<br />

to enable them to take concerted action. If they attempt to exercise this authority<br />
