Welcome to Q1’s ‘the Pulse’ from <strong>Daisy</strong> <strong>Distribution</strong><br />
Happy New Year to all of our Partners.<br />
Where on earth did 2012 go?! It barely seems a few months since we were<br />
looking ahead into the new year and forming our plans for our second full year<br />
as <strong>Daisy</strong> <strong>Distribution</strong> and now we sit doing the same for 2013.<br />
The past 12 months have been both challenging and rewarding as we have<br />
continued to reinforce our standing within the distribution channel, leading the<br />
way on most if not all of our categories.<br />
Looking ahead into 2013 we have a stable proposition to start the year with,<br />
with many of the promotions and initiatives extended to bring you stability and<br />
security. However we are also looking for growth across all of our network<br />
propositions and are keen to engage with partners to help support them in<br />
developing initiatives to drive acquisition and promote retention.<br />
Customer engagement is even more critical in today’s marketplace and you<br />
will see within this issue a number of key stats that are recorded about<br />
customer behaviour when they receive a high quality service and more<br />
importantly when they receive a poor experience. Customers will continue to<br />
be difficult to acquire and will be circumspect in selecting their partners so it is<br />
important that having won their business you have the means and<br />
mechanisms in place to manage their account throughout contract term<br />
making the effort to understand their business and its needs and to act<br />
proactively in support of them.<br />
Ultimately having a satisfied customer increases the opportunities to sell in<br />
more products and services and this can be achieved through a structured<br />
customer lifecycle management plan. <strong>Daisy</strong> <strong>Distribution</strong> can help you<br />
achieving this with a full toolkit of resources and collaterals at your disposal.<br />

Earn up to £70 for every new Vodafone connection with a £50 connection bonus for writing just 10+ new<br />
connections in a month, plus a further £20 bonus where your opening churn rate is below 10%.<br />
£60 One Net Express Bonus<br />
Every time you convert a new customer over to a One Net Express variant tariff you will earn an additional £60 over and above the basic<br />
sharer commission rate. With the volume bonus payments this brings the total maximum commission for a Vodafone sharer to a massive<br />
£280.<br />
3 Months Free Line Rental<br />
The promotion to offer new customers 3 months free line rental on all sharers on their account has been extended until 31st March. This<br />
promotion can be combined with the bonus offers above and is fully revenue protected.<br />

Express included.<br />
This combined presentation gives customers ultimate<br />
flexibility from their mobile communications, incorporating:<br />

• Free voicemail retrieval<br />
• Inclusive shared SMS<br />
• Free Wi-Fi & tethering with data bundles<br />
• As well as a range of data and roaming bundles to<br />
further enhance the usability of the plans.<br />
By including One Net Express as part of the standard delivery<br />
you are also able to give your customers the added benefit of:<br />
• 1 geographic landline number per account<br />
• Multi user hunt group facility<br />
• Auto call attendant<br />
• Single voicemail for landline and mobile<br />
These features are included in the plans for just £2.50 per<br />
sharer, and £20 for the overall account, already built into<br />
these line rentals.<br />

Vodafone Migration Rules<br />
£50 Product Bonus On One Net Express Migrations<br />
Vodafone has updated its rules surrounding migrating Voice-Only plans to One Net Express Single and Sharer plans. These rule<br />
changes are designed to recognise a customers true value by paying migrations based on renewal bandings, and in addition a £50<br />
product bonus has been introduced for the quarter, to further increase the value in moving your existing voice customers to One Net<br />
Express. The previous One Net Express Migration commissions are no longer valid. The updated rules are outlined below.<br />
Migrations from point of connection to earliest in-life resign point<br />
Between the point of connection and the earliest point of in-life resign eligibility, pro-rata claw back of the last commissionable event<br />
will occur*. Thereafter:<br />
- if the last commissible event was acquisition, then full acquisition commission on new <strong>24</strong> month contracts will be<br />
paid, PLUS a £50 product bonus**<br />
- if the last commissionable event was an in-life resign, full in-life renewal banding amounts will be paid on new <strong>24</strong><br />
month contracts PLUS a £50 product bonus**<br />
- if the last commissionable event was a full term resign, full full-term renewal bandings on new <strong>24</strong> month<br />
cotnracts will be paid, PLUS a £50 product bonus.***<br />
Migrations from point of in-life resign eligibility to full term eligibility<br />
- From point of in-life resign eligibility to full term eligibility, no claw back will occur. In-life banding PLUS a £50<br />
product bonus will be paid.<br />
- From point of full term resign eligibility, no claw back will occur. Full term banding PLUS a £50<br />
product bonus will be paid.<br />

Vodafone Red Migration Rules<br />
Migrations from Your Plan to Red Tariffs:<br />
Any consumer customer wishing to upgrade will need to tariff change over to a new Red Tariff in line with the following:<br />
• In Contract: Existing Your Plan customers can move up the tariff ladder at any point in contract. This is defined as moving to a plan<br />
with the same or higher contracted line rental. No commission is payable for an In Contract Migration.<br />
• In Life Renewal: Existing Your Plan customers are permitted to drop one place down the tariff ladder when migrating to a<br />
• Vodafone Red plan at their In-Life point. An In-Life Renewal banding will be paid, but not additional commission.<br />
• Full Term Renewal: Existing Your plan customers can migrate to any Vodafone Red tariff. A Full Term Renewal commission will be<br />
paid according to the banding.<br />
Migration from Sharer plans to Red Tariffs:<br />
Any customer seeking to move from a Sharer to a Single User Plan can only be done with prior authorisation, in line with the following:<br />
• In Contract: Existing Single User customers can move up the tariff ladder at any point in contract. This is defined as moving to a<br />

Customers connecting this O2 variant device to a 1GB mobile broadband plan can now receive the equivalent of a £2.50 discount on the<br />

O2 Landline Bill Challenge<br />
Challenge your customers to send in their existing landline bills and if we can’t demonstrate a saving by switching them to O2 we’ll give<br />

The main elements of the new plan are, that for every new connection you will receive an upfront talkplan bonus, an advance at 30% of the revenue share for a committed term, an inclusive<br />
handset bonus, a guaranteed volume bonus, plus a further 30% of all additional bill spend.<br />
Resigns are similar but at a 25% rate with no volume bonus attached.<br />
The revenue share advance will be reclaimed at either 30% or 25% until this has been paid back in full. At that point a full revenue share of either 30% or 25% will be paid monthly on the total<br />
monthly billed revenue.<br />

Clawback of new connection early termination: In the event<br />
of a termination of a new connection either by the customer<br />
or by O2 (in both cases, whether or not in accordance with its<br />
terms), within the new connection pre-payment period, <strong>Daisy</strong><br />
<strong>Distribution</strong> shall:<br />
Clawback from the dealer all revenue share advance along<br />
with all and any bonuses that <strong>Daisy</strong> <strong>Distribution</strong> has pre-paid<br />
as per the quarterly price guide including, but not limited to<br />
the connection bonus, additional volume bonus, Value Added<br />
Services bonus and any other discretional bonus amounts<br />
where the termination occurs within the first six months of<br />
contract term.<br />
Where the termination occurs outside of the first six months<br />
of contract term <strong>Daisy</strong> <strong>Distribution</strong> shall reconcile the revenue<br />
share advance paid against the actual revenue generated and<br />
true down the balance notwithstanding any additional bonuses<br />
that may have been paid.<br />
Where there is a downward tariff migration at any time within<br />
the contract term, a true-down will be applied and the entire<br />
revenue share differential between the original connected tariff<br />
and the downwardly migrated tariff will be clawed back.<br />
Where any value added service is applied at the point of<br />
connection or first resign into revenue share and a revenue<br />
share advance is paid and the value added service is<br />
subsequently disconnected a true-down of the advance<br />
element of that value added service will occur and a clawback<br />
of the full advance differential will be made.<br />
No revenue share advance will be paid for new lead handsets<br />
where an existing customer migrates the current parent<br />
handset down to a sharer and adds a new parent handset to<br />
the account. This is viewed as commercial gain and as such<br />
attracts no additional revenue share.<br />
Clawback of a resign connection early termination: In the<br />
event that an existing connection is resigned by the dealer<br />
and subsequently is terminated by the customer or by O2 (in<br />
both cases, whether or not in accordance with its terms), in the<br />
previous connection pre-payment period, <strong>Daisy</strong> <strong>Distribution</strong><br />
shall:<br />
Clawback from the dealer any ongoing advanced revenue share<br />
amount that <strong>Daisy</strong> <strong>Distribution</strong> has prepaid as per the quarterly<br />
packages and any additional discretionary bonus.<br />
Pay the dealer the actual revenue share in respect of the period<br />
between the date of resign and the date of termination except in<br />
the event that the resign is deemed to be fraudulent.<br />
<strong>Daisy</strong> <strong>Distribution</strong> will only be able to pass on revenue share<br />
when it has received the revenue share detail and subsequent<br />
payment from O2. If, under any circumstance, it does not<br />
receive revenue share detail or payment from O2 it will be<br />
unable to make the dealer revenue share payments.<br />
In the event that a dealer transfers their revenue share code to<br />
another distributor, at this point <strong>Daisy</strong> <strong>Distribution</strong> reserves the<br />
right to true up any advances given against the actual revenue<br />
share earnt up to the point of the transfer. Any further revenue<br />
share due will be held and may be paid once each customer has<br />
fulfilled their full contract term and the revenue share payment<br />
from O2 ceases.<br />
Customers that disconnect from the O2 network and<br />
subsequently reconnect within a 6 month period will not<br />
be entitled to any revenue share advances or associated<br />
connection bonuses. Ongoing revenue share will be payable<br />
within the terms of the quarterly package.<br />
Migrations from an alternative O2 service provider to O2 will<br />
not be entitled to any revenue share advance or associated<br />
connection bonuses. Ongoing revenue share will be payable<br />
within the terms of the quarterly package.<br />
A dealer’s churn must not exceed 15% in any quarter. Churn<br />
over 15% may result in the removal of the O2 stockist code. The<br />
churn percentage in a calendar quarter shall be calculated as<br />
follows:<br />
Total number of lines originally connected by the dealer that<br />
disconnect in the relevant period divided by the average base<br />
size, then multiplied by 100.<br />
A dealer’s base should remain in net positive terms at all times.<br />
That is to say that the volume of disconnections in a Period<br />
should not exceed the volume of new connections in the same<br />
Period. In this instance <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to<br />
withhold any due volume bonuses and additional funding.<br />
Out of contract customers: If an O2 customers falls out of<br />
contract, <strong>Daisy</strong> <strong>Distribution</strong> will withdraw or suspend all<br />
ongoing revenue share payments until such point as the<br />
customer is recommitted into contract, at which point the<br />
revenue share payments will resume, although not to take into<br />
account any retrospective payment for the period the customer<br />
was out of commitment.<br />
In all instances, <strong>Daisy</strong> <strong>Distribution</strong> reserves the right of offset<br />
any commissions or revenues due against monies due to it.<br />
Irrespective of all of the above, <strong>Daisy</strong> <strong>Distribution</strong> reserves the<br />
right to pass on any clawback received from the network.<br />

Commission Clawback<br />
Additional Services Cancellations<br />
Where a data add-on is added to a tariff connection, the Business<br />
Partner shall ensure that each data add-on has a minimum term<br />
equal to that of the tariff connection.<br />
Where there is cancellation of any additional services within the<br />
clawback period of the first 270 days, the entire commission paid<br />
with respect to those additional services will be clawed back.<br />
Where a further additional service is added within the 270 days,<br />
the original commission will be clawed back in full and a pro rata<br />
amount paid in respect of the new value added service.<br />
Additional services encompass all additional products and services<br />
covered in this Special Edition for which a bonus or commission is<br />
paid and includes, but is not exhaustive, of the following:<br />
• Itemised Billing<br />
• Mobile Connect Packs<br />
• Extras Packs<br />
• BlackBerry add-ons including:<br />
• BlackBerry VBE<br />
• BlackBerry Internet<br />
Change of Tariff Migration Policy – Effective from 01.10.2010<br />
18 month contracts<br />
A consumer customer cannot downward tariff migrate on an 18<br />
month contract.<br />
<strong>24</strong> month contracts<br />
A customer can only downward tariff migrate in conjunction with<br />
doing an in-life renewal where the contract is extended. You can<br />
only tariff migrate down 1 step.<br />
Secondary Connections<br />
Text / Data / Email Bolt-ons cannot be removed mid contract. This<br />
excludes the 30 day roaming voice bundles.<br />
Any customer who is connected to a legacy tariff and wishes to<br />
migrate up or down the tariff ladder (change their allocation of<br />
bundle minutes) can only do so by moving to a current tariff set.<br />
This applies both to customers who are out of commitment or<br />
customers tariff migrating “in life” in accordance with the above<br />
Policy.<br />
Downward Tariff Migrations<br />
A downward migration is classed as a change to a tariff with a<br />
lower line rental, or a change of service which has a detrimental<br />
impact on the ARPU of the account. For the avoidance of doubt, this<br />
includes removing any secondary subscription including UK and<br />
International Voice, Email, Text or Data bolt-ons.<br />
For the purposes of Vodafone Business Clarity a customer can<br />
migrate up and down the Clarity parent ladder at any time during<br />
the contract duration dependent upon the number of connections.<br />
This will allow the customer to move to the best value tariff,<br />
dependant on the size of their account. Customers will NOT be<br />
automatically migrated to the best-priced plan for their number of<br />
connections. The customer must inform Vodafone Partner Services<br />
when they wish to move to a more effective Vodafone Business<br />
Clarity tariff.<br />
Please note that a customer cannot move from a <strong>24</strong> month<br />
Hardware version of Business Clarity to a Non-Hardware version of<br />
the tariff while still in commitment.<br />
In life customers on Mobile Broadband £12.77 / £18.00 contracts<br />
cannot migrate downwards to either £3.00 or £5.00 tariffs, or to any<br />
3 month / 12 month / 18 month offerings. This includes at point of<br />
in-life renewal.<br />
Out of contract customers (including those eligible for full term<br />
renewal) can only migrate downwards to these tariffs with prior<br />
commercial approval.<br />
Customers migrating downwards in line with above will not be<br />
eligible to receive Banding renewal payments as per standard Pay<br />
Plan Policy on downward tariff migration.<br />
Any existing customers migrating to 3 month tariffs with prior<br />
commercial approval and then subsequently disconnecting<br />
within 12 months of renewal WILL be subject to disconnection<br />
/ churn measurements.<br />
Fraud<br />
Where a customer has been disconnected for non-payment and has<br />
never paid a bill, Vodafone will deem that customer to have been<br />
fraudulently connected.<br />
For these disconnections, the entire commission paid will be<br />
clawed back.<br />
In addition, through routine investigation or other means, where<br />
an active connection is suspected to be fraudulent, the Business<br />
Partner will provide a copy of the correctly completed contract and<br />
all relevant documentation for Vodafone to establish whether actual<br />
fraud occurred.<br />
Should this be found to be in order, then no further action will<br />
be taken.Should the Business Partner fail to comply with the<br />
request for documentation within 30 days of the request, the entire<br />
commission paid, including any volume bonuses will be clawed<br />
back.<br />
Where the requested documentation is submitted to Vodafone but is<br />
clearly found to be fraudulent (based on reasonable expectations of<br />
the Business Partner’s employees or representatives to be able to<br />
identify fraud, rather than specific expertise), the entire commission<br />
paid, including any volume bonuses will be clawed back.<br />
Full details of any actual fraud will be made available to the<br />
Business Partner in order that they can review this and take<br />
appropriate correcting actions.<br />
Fraud will include but is not limited to:<br />
• Amendments to a customer contract post signature that the<br />
customer is unaware of or has no record of.<br />
• Forged or inappropriate signatures on documents.<br />
• Obtaining blank copies of customer purchase orders or the<br />
like.<br />
• Placing the customer on a contract term that the customer has<br />
not agreed to.<br />
• Knowingly accepting connections that will have zero usage.<br />
• Connecting a parent handset (or added value bundle) to an<br />
existing customer account and subsequently removing or<br />
downgrading an existing connection in order to remove a<br />
similar feature or value.<br />
• No time limits shall apply to any commission clawback in<br />
relation to fraud. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to claw<br />
back at any point where fraud is discovered.<br />
Non-Compliance<br />
As well as the above specific cases for clawback, all other customer<br />
disconnections within the first six months of connection may also<br />
be subject to commission clawback where It is shown that the<br />
Business Partner has not complied with credit checking and /or<br />
other operational procedures.<br />
Business Partners will be required to provide evidence of<br />
compliance by submitting copy contracts and proofs.<br />
Where no evidence of compliance is submitted or substantiated,<br />
the entire commission paid (including any volume bonuses) will be<br />
clawed back from the Business Partner.<br />
This does not affect Vodafone’s right to audit contracts from time to<br />
time, as part of routine business procedures.<br />
Zero-Usage Clawback<br />
For Company Caller, Commercial Caller and Business Caller tariffs,<br />
Vodafone will monitor for any zero usage after connection. Where it<br />
is found that a tariff connection has no minutes or data usage, the<br />
entire commission paid in respect of that connection (including any<br />
volume bonuses) will be clawed back from the Business Partner.<br />
Upgrade Commission Clawback<br />
When a customer is upgraded they are put onto a 90 day clawback<br />
period. If a customer should cancel within 90 days after upgrade,<br />
Vodafone will clawback the upgrade commission.<br />
Fixed Dialled SIMs<br />
Any order requiring fixed dialled SIMs will be treated as bespoke<br />
and must therefore be referred for approval before connecting<br />
the deal as the commission payable may need to be reviewed to<br />
reflect the ARPU.<br />
Fixed Cellular Device<br />
Vodafone Partner Services does not accept any equipment<br />
containing a SIM card which enables the routing of calls from fixed<br />
apparatus to mobile equipment by establishing a mobile to mobile<br />
call.<br />
Disconnect/Reconnect (D/R)<br />
In addition to the provisions for commission clawback <strong>Daisy</strong><br />
<strong>Distribution</strong> shall also clawback the entire commission for any new<br />
connections where a D/R has been identified.<br />
A D/R is defined as an existing Vodafone customer who either:<br />
Disconnects the existing connection within 365 days before making<br />
a new connection or Disconnects the existing connection within 365<br />
days after making a new connection.<br />
This applies to D/R within the same Vodafone billing base (e.g. ZYGO<br />
to ZYGO), or across Vodafone’s various billing bases (e.g. Libra to<br />
ZYGO), and across all Vodafone’s sales channels (i.e. Indirect to<br />
Indirect, or Direct to Indirect).<br />
Any Business Partner found to have deliberately encouraged<br />
the use of D/R on three or more occasions shall be subject to<br />
termination.<br />
For the purpose of this policy a customer who is ported out to<br />
another Network and subsequently ported back in to VF within 12<br />
months will be defined as a Disconnect / Reconnect.<br />
Unrestricted Policy<br />
Customers who are on ‘unrestricted’ data or voice price plan or data<br />
bundle are allowed to use their mobile internet for (1) calls over<br />
the internet (voice over IP); and/or (2) peer to peer communication<br />
services. If customers use their mobile internet for (1) and/or (2)<br />
above and are not on an unrestricted data bundle we may do one or<br />
more of the following:<br />
1. block access to the services; and/or<br />
2. restrict network performance; and/or<br />
3. charge you for use at the full published rates as set out at www.<br />
vodafone.co.uk<br />
Re-sign Rules & Rules of Engagement<br />
Resign Rules<br />
For 18 and standard <strong>24</strong> month contracts, customers can re-sign<br />
within 60 days of contract end date.<br />
To be eligible for re-sign commission, any contract duration<br />
shortfall must be added to the new contract, otherwise the re-sign<br />
is not eligible for commission.<br />
Customers on a <strong>24</strong> month contract are able to re-sign between<br />
months 12 and 22, providing the customer re-signs a further <strong>24</strong><br />
month contract. In this case, the Partner will receive the <strong>24</strong> in-life<br />
re-sign commission.<br />
Vodafone Migrations<br />
Based on your feedback at the Partner Boards and the recent VPS<br />
event we will be making some adjustments to our current migration<br />
policy. The changes reflect our commitment to protecting your base<br />
with Vodafone and will apply to all Vodafone channels, effective 1st<br />
January 2012.<br />
If you wish to migrate a customer any contractual obligations must<br />
be settled in full with the current Vodafone channel. This means<br />
that customers will start a new contract. Existing contract end<br />
dates cannot be mapped across channels.<br />
If a customer wishes to change Channel/Partner the following<br />
commercial terms will apply:<br />
• Zero upfront commission.<br />
• Standard pay plan on-going commission for a review period*<br />
• In-life renewal will be permitted**<br />
*All Partners will be paid standard pay plan on-going commission.<br />
**The review period will be defined as the period following<br />
connection through until the in-life eligibility date. At the end of<br />
this period the customer will be eligible for an in-life renewal<br />
via the Managing Partner if both parties are happy to continue<br />
the relationship.<br />
Customers who are already on the Gemini Billing System must<br />
remain on this platform to ensure they receive continued service<br />
with no disruption. ZYGO Partners will be set up with a Gemini<br />
Dealer Code for these instances.<br />
Tariffs & Commissions<br />
Secondary Product up sell at Voice Re-sign<br />
Mobile Internet and Email Add on commission<br />
If a Mobile Internet and Email add on is connected to the ctn then<br />
standard SOC commissions will be applied.<br />
Mid-Contract Bolt-Ons<br />
If adding a data bolt-on at any point in the contract other than at<br />
upgrade or in-life:<br />
• Connection will be paid a pro-rated commission as detailed in<br />
the Partner bulletin.<br />
• Connection will NOT receive a commission payment if the<br />
number has a previous data bolt-on.<br />
• Connection will NOT receive a commission payment if adding<br />
Roaming to an existing data bolt-on.<br />
Text-Max / International and Roaming Sharers / Bundles<br />
Text Max bolt-ons and International and Roaming Sharers / Bundles<br />
only attract commission when added at point of connection.<br />
ARPU<br />
All Vodafone’s commissions are based on an assumed level of<br />
customer spend. As such, Vodafone reserves the right to revise<br />
maximum handset limits from those published, for some or all<br />
Business Partners, following a review of customer ARPU.<br />

Clawback<br />
<strong>Daisy</strong> <strong>Distribution</strong> reserves the right to reclaim in full or part<br />
any commissions or bonuses paid, including but not limited to<br />
the revenue share (value share payment), advance payment,<br />
equipment connection commission, upgrade service plan<br />
bonus, volume bonus, commission, service plan commission<br />
or value added service commission in the following<br />
circumstances:<br />
1. Where the connection has been identified by Orange<br />
as fraudulent. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to<br />
clawback 100% of the value share payment, the advance<br />
payment and Commissions paid or payable in respect of<br />
fraudulent connections unless the dealer can show to Orange’s<br />
satisfaction that it used all reasonable endeavours<br />
(which shall include complying with any applicable Orange<br />
procedures notified to the dealer by <strong>Daisy</strong> <strong>Distribution</strong>)<br />
to verify the customer’s identity and can provide copies<br />
of appropriate identity documents obtained from the<br />
customer, in which case <strong>Daisy</strong> <strong>Distribution</strong> may at its sole<br />
discretion repay 50% of Commissions paid or payable in<br />
respect of that connection. For the avoidance of doubt the<br />
100% clawback of the value share payment and advance<br />
payment is not repayable.<br />
2. Where a fraudulent connection or upgrade is made to<br />
a SIM only service plan, <strong>Daisy</strong> <strong>Distribution</strong> reserves the<br />
right to clawback 100% of Commissions payable, even if<br />
satisfactory proof of identity is obtained by the dealer.<br />
3. Where a connection is terminated for call reselling as<br />
identified by the Orange fraud team. For the avoidance<br />
of doubt, call reselling is defined as the fraudulent use<br />
of an Orange SIM card to route calls for Orange devices<br />
originated on other mobile and fixed networks through<br />
call reseller’s equipment. The aim being to gain financial<br />
benefit but the impact being reduced revenues for Orange<br />
and reduced quality of service for the Orange customer.<br />
4. For the avoidance of doubt, where no payment to an<br />
account has been received or where any outstanding<br />
payments remain due in relation to a customer’s account<br />
within 120 days of connection, and as a result the<br />
customer account is disconnected, <strong>Daisy</strong> <strong>Distribution</strong> will<br />
clawback 100% of the value share payment, 100% of the<br />
advance payment and 50% of any other Commissions paid.<br />
5. Where Value Added Services or data bundles are sold and<br />
subsequently disconnected within 120 days of connection.<br />
6. Where Loyalty promotions are sold and subsequently<br />
disconnected within 120 days of connection.<br />
7. Where a customer connected through Mobile Number<br />
Transfer is subsequently disconnected within 120 days of<br />
connection.<br />
8. Where Orange suspends or terminates a customer from<br />
the Network within 120 days of connection due to a<br />
breach by the customer of the Orange network terms and<br />
conditions<br />
9. Where Orange believes, in its sole discretion, that a<br />
consumer customer has been connected to a business<br />
service plan or vice versa.<br />
10. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to clawback any<br />
commissions after 120 days following any connection or<br />
service plan change when, in the sole belief of Orange, the<br />
change of service plan, connection or disconnection has<br />
been made for the commercial gain of either.<br />
11. For the avoidance of doubt, connections identified pursuant<br />
to clauses 1 to 10 above (inclusive) will be disregarded<br />
in assessing any revenue share, advance and/or volume<br />
bonus payable.<br />
12. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to levy the following<br />
charges if in any calendar month the number of Devices<br />
(excluding PAYG Devices) terminated under the 14 day<br />
money back policy as a percentage of the number of Connections<br />
of Devices (excluding PAYG Devices)<br />
• Up to 5% - no charge<br />
• 5% or more but less than 6.25% - £10<br />
• 6.25% or more but less than 7.5% - £15<br />
• 7.5% or more - £20<br />
This charge will be levied for each Device (excluding PAYG<br />
Devices) disconnected under the 14 day money back policy<br />
during the relevant calendar month.<br />
13. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to levy the following<br />
charges if in any calendar month the number of handset<br />
upgrades which are cancelled as a percentage of the<br />
number of handset upgrades in the same calendar month<br />
exceed the thresholds set out below:<br />
• Up to 5% - no charge<br />
• 5% or more but less than 10% - £20<br />
• 10% or more - £50<br />
This charge will be levied for each handset upgrade which<br />
is subsequently cancelled. The percentages will be calculated<br />
in respect of mobile Devices supplied by Orange only.<br />
14. In the event that a customer disconnects from the network<br />
and reconnects within 120 days as a new customer, <strong>Daisy</strong><br />
<strong>Distribution</strong> reserves the right to clawback any monetary<br />
difference between the Commissions payable on acquisition<br />
of new customers and Commissions payable on the<br />
equivalent upgrade at the time of reconnection.<br />
15. <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to clawback any commissions<br />
and revenue share, paid to upgrades or connections<br />
(including NHO) working through Gateway devices<br />
(multi SIM systems) and not mobile handsets.<br />
Terms<br />
a. Once a connection has been made to the Network, usage<br />
may be monitored by Orange on an ongoing monthly<br />
basis. If a connection remains inactive or reverts to being<br />
inactive during the term of the contract, <strong>Daisy</strong> <strong>Distribution</strong><br />
reserves the right to claw back all commissions paid in<br />
respect of the inactive connections.<br />
b. Inactivity will be measured as a percentage of total connections<br />
from the same calendar month (e.g. connections<br />
made in July 2011 that are found to be inactive will be<br />
divided by the total number of connections made by the<br />
dealer in July 2011 to arrive at the inactivity percentage).<br />
If inactivity on all connections made by the dealer is above<br />
10% in any month, the dealer will have all commission<br />
clawed back on all inactive connections in the period.<br />
c. The measurement is based on all connections made since<br />
1st July 2008 and will be measured monthly at Orange’s<br />
discretion using Orange’s method of calculation. Any new<br />
connections to an account in the 30 days before the measurement<br />
is taken will be excluded from the measurement,<br />
as Orange accepts that there may be a short ramp-up<br />
period on new connections.<br />
d. For the avoidance of doubt, it is the dealer’s responsibility<br />
to ensure connections become and remain active, to<br />
ensure that commission payments remain eligible.<br />
T-Mobile Terms & Conditions<br />
Disconnection Clawback (including additional services disconnections):<br />
Where a customer disconnects for any reason (including fraud and non-payment) or de-activates any service within 120 days of connection, <strong>Daisy</strong> <strong>Distribution</strong> will clawback in full all elements of the<br />
commission, including all additional bonuses.<br />
Tariff Migrations:<br />
If, within 120 days of connection, a customer migrates to a price plan with a lower commission rate than that of the price plan the customer originally connected to, <strong>Daisy</strong> <strong>Distribution</strong> will clawback<br />
the commission differential between the tariffs. This includes Postpay to Prepay migrations without an IMEI which have zero value commissions.<br />
Handset Returns Cap:<br />
Postpay handset returns are capped at 4.5%. Prepay handset returns are capped at 4.5%. At the end of each quarter the Postpay / Prepay returns will be calculated and each return in excess of the<br />
cap will result in a clawback of £80 per Postpay handset and £40 per Prepay handset.<br />
Renewal Disconnection Clawback:<br />
If a customer is disconnected for any reason (including fraud and non-payment) or de-activates any service within 120 days of renewal, <strong>Daisy</strong> <strong>Distribution</strong> will clawback in full all elements of the<br />
commission, including all additional bonuses.<br />
Renewal Return Clawback:<br />
Where a renewal is returned within 120 days of the date of renewal, <strong>Daisy</strong> <strong>Distribution</strong> will clawback all elements of the renewal commission in full, including any additional bonuses.<br />
Data Price Plan renewal clawback:<br />
Handsets / cash renewals will be clawed back in full in the event of them being paid where a customer is renewing on to a data only price plan.<br />
Business Proofs:<br />
Where correct proofs are not collected and / or are not produced on request for audit, <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to clawback in full all commissions and benefits in relation to a breach of<br />
acceptance process. In any event a clawback of £40 will be levied where the dealer has failed to collect correct proofs in accordance with the T-Mobile policy.<br />
Disconnect / Reconnect:<br />
No commissions will be paid.<br />
In all instances, <strong>Daisy</strong> <strong>Distribution</strong> reserves the right of offset any commissions or revenues due against monies due to it.<br />
Irrespective of all of the above, <strong>Daisy</strong> <strong>Distribution</strong> reserves the right to pass on any clawback received from the network.<br />
