been resubmitted, <strong>the</strong> Eng<strong>in</strong>eer shall on <strong>the</strong> account payable to <strong>the</strong> Contractor and issue a payment certificate, with<strong>in</strong><br />
56 days <strong>of</strong> receiv<strong>in</strong>g <strong>the</strong> contractor’s revised account.<br />
58. Operat<strong>in</strong>g and Ma<strong>in</strong>tenance Manuals<br />
58.1 If “as built” Draw<strong>in</strong>gs and/or operat<strong>in</strong>g and ma<strong>in</strong>tenance manuals are required, <strong>the</strong> contractor shall supply<br />
<strong>the</strong>m by <strong>the</strong> dates stated <strong>in</strong> <strong>the</strong> contract data.<br />
58.2 If <strong>the</strong> contractor does not supply <strong>the</strong> draw<strong>in</strong>gs and/or manuals by <strong>the</strong> dates stated <strong>in</strong> <strong>the</strong> contract data or <strong>the</strong>y<br />
do not received Eng<strong>in</strong>eer’s approval, <strong>the</strong> Eng<strong>in</strong>eer shall with hold <strong>the</strong> amount stated <strong>in</strong> <strong>the</strong> contract data from<br />
payments due to <strong>the</strong> contractor.<br />
59. Term<strong>in</strong>ation<br />
59.1 The Employer or <strong>the</strong> Contractor may term<strong>in</strong>ate <strong>the</strong> Contract if <strong>the</strong> o<strong>the</strong>r party causes a fundamental breach <strong>of</strong><br />
<strong>the</strong> contract.<br />
59.2 Fundamental breaches <strong>of</strong> contract <strong>in</strong>clude, but shall not be limited to <strong>the</strong> follow<strong>in</strong>g:<br />

(d)<br />
(e)<br />
(f)<br />
(g)<br />
(h)<br />
The Contractor stops work for 28 days when no stoppage <strong>of</strong> work is shown on <strong>the</strong> current programme<br />
and <strong>the</strong> stoppage has not been authorized by <strong>the</strong> Eng<strong>in</strong>eer;<br />
The Eng<strong>in</strong>eer <strong>in</strong>structs <strong>the</strong> Contractor to delay <strong>the</strong> progress <strong>of</strong> <strong>the</strong> works and <strong>the</strong> <strong>in</strong>struction is not<br />
withdrawn with<strong>in</strong> 28 days.<br />
The employer or <strong>the</strong> contractor is made bankrupt or goes <strong>in</strong>to liquidation o<strong>the</strong>r than for a<br />
reconstruction or amalgamation;<br />
A payment certified by <strong>the</strong> Eng<strong>in</strong>eer is not paid by <strong>the</strong> Employer to <strong>the</strong> Contractor with<strong>in</strong> 56 days <strong>of</strong><br />
<strong>the</strong> date <strong>of</strong> <strong>the</strong> Eng<strong>in</strong>eer’s certificate;<br />
The Eng<strong>in</strong>eer gives notice that failure to correct a particular Defect is a fundamental breach <strong>of</strong><br />
Contract and <strong>the</strong> Contractor fails to correct it with<strong>in</strong> a reasonable period <strong>of</strong> time determ<strong>in</strong>ed by <strong>the</strong><br />
Eng<strong>in</strong>eer;<br />
The Contractor does not ma<strong>in</strong>ta<strong>in</strong> a security which is required;<br />
The Contractor has delayed <strong>the</strong> completion <strong>of</strong> works by <strong>the</strong> number <strong>of</strong> days for which <strong>the</strong> maximum<br />
amount <strong>of</strong> liquidated damages can be paid as def<strong>in</strong>ed <strong>in</strong> <strong>the</strong> Contract Data; and<br />
If <strong>the</strong> Contract, <strong>in</strong> <strong>the</strong> judgment <strong>of</strong> <strong>the</strong> Employer has engaged <strong>in</strong> corrupt <strong>of</strong> fraudulent practices <strong>in</strong><br />
compet<strong>in</strong>g for or <strong>in</strong> execut<strong>in</strong>g <strong>the</strong> Contract.<br />
For <strong>the</strong> purpose <strong>of</strong> this paragraph: “corrupt practice” means <strong>the</strong> <strong>of</strong>fer<strong>in</strong>g, giv<strong>in</strong>g, receiv<strong>in</strong>g or<br />
solicit<strong>in</strong>g <strong>of</strong> anyth<strong>in</strong>g <strong>of</strong> value to <strong>in</strong>fluence <strong>the</strong> action <strong>of</strong> a public <strong>of</strong>ficial <strong>in</strong> <strong>the</strong> procurement process or <strong>in</strong><br />
contract execution. “Fraudulent practice” means a misrepresentation <strong>of</strong> facts <strong>in</strong> order to <strong>in</strong>fluence a<br />
procurement process or <strong>the</strong> execution <strong>of</strong> a contract to <strong>the</strong> detriment <strong>of</strong> <strong>the</strong> Borrower, and <strong>in</strong>cludes collusive<br />
practice among Bidders (prior to or after bid submission) designed to establish bid prices at artificial noncompetitive<br />
levels and to deprive <strong>the</strong> Borrower <strong>of</strong> <strong>the</strong> benefits <strong>of</strong> free and open competition”.<br />
59.3 When ei<strong>the</strong>r party to <strong>the</strong> Contract gives notice <strong>of</strong> a breach <strong>of</strong> contract to <strong>the</strong> Eng<strong>in</strong>eer for a cause o<strong>the</strong>r than<br />
those listed under Sub-Clause 59.2 above, <strong>the</strong> Eng<strong>in</strong>eer shall decide whe<strong>the</strong>r <strong>the</strong> breach is fundamental or not.<br />
59.4 Notwithstand<strong>in</strong>g <strong>the</strong> above, <strong>the</strong> Employer may term<strong>in</strong>ate <strong>the</strong> Contract for convenience.<br />
59.5 If <strong>the</strong> Contract is term<strong>in</strong>ated <strong>the</strong> contractor shall stop work immediately, make <strong>the</strong> site safe and secure and<br />
leave <strong>the</strong> site as soon as reasonably possible.
