CONDITIONS OF CONTRACT<br />

1. Def<strong>in</strong>itions<br />

A. GENERAL<br />

1.1 Terms, which are def<strong>in</strong>ed <strong>in</strong> <strong>the</strong> Contract Data, are not also def<strong>in</strong>ed <strong>in</strong> <strong>the</strong> Conditions <strong>of</strong> Contract but keep<br />

<strong>the</strong>ir def<strong>in</strong>ed mean<strong>in</strong>gs. Capital <strong>in</strong>itials are used to identify def<strong>in</strong>ed terms.<br />

The Adjudicator (synonymous with Dispute Review Expert) is <strong>the</strong> person appo<strong>in</strong>ted jo<strong>in</strong>tly by <strong>the</strong> Employer<br />

and <strong>the</strong> Contractor to resolve disputes <strong>in</strong> first <strong>in</strong>stance, as provided for <strong>in</strong> Clauses 24 and 25. The name <strong>of</strong> <strong>the</strong><br />

Adjudicator is def<strong>in</strong>ed <strong>in</strong> <strong>the</strong> Contract Data.<br />

Bill <strong>of</strong> Quantities means <strong>the</strong> priced and completed Bill <strong>of</strong> Quantities form<strong>in</strong>g part <strong>of</strong> <strong>the</strong> Bid.<br />

Compensation Events are those def<strong>in</strong>ed <strong>in</strong> Clause 44 here under.<br />

The Completion Date is <strong>the</strong> date <strong>of</strong> completion <strong>of</strong> <strong>the</strong> works as certified by <strong>the</strong> Eng<strong>in</strong>eer <strong>in</strong> accordance with<br />

Sub-Clause 55.1.<br />

The Contract is <strong>the</strong> contract between <strong>the</strong> Employer and <strong>the</strong> Contractor to execute, complete and ma<strong>in</strong>ta<strong>in</strong> <strong>the</strong><br />

Works till <strong>the</strong> completion <strong>of</strong> Defects Liability Period. It consists <strong>of</strong> <strong>the</strong> documents listed <strong>in</strong> Clause 2.3 below.<br />

The Contract Data def<strong>in</strong>es <strong>the</strong> documents and o<strong>the</strong>r <strong>in</strong>formation, which comprise <strong>the</strong> Contract.<br />

The Contractor is a person or corporate body whose Bid to carry out <strong>the</strong> Works has been accepted by <strong>the</strong><br />

Employer.<br />

The Contractor‟s Bid is <strong>the</strong> completed bidd<strong>in</strong>g document submitted by <strong>the</strong> contractor to <strong>the</strong> Employer and<br />

<strong>in</strong>cludes Tech<strong>nic</strong>al and F<strong>in</strong>ancial Bids.<br />

The Contract Price is <strong>the</strong> price stated <strong>in</strong> <strong>the</strong> Letter <strong>of</strong> Acceptance and <strong>the</strong>reafter as adjusted <strong>in</strong> accordance<br />

with <strong>the</strong> provisions <strong>of</strong> <strong>the</strong> Contract.<br />

Days are calendar days; Months are Calendar months.<br />

A Defect is any part <strong>of</strong> <strong>the</strong> Works not completed <strong>in</strong> accordance with <strong>the</strong> Contract.<br />

Date.<br />

The Defects Liability Period is <strong>the</strong> period named <strong>in</strong> <strong>the</strong> Contract Data and calculated from <strong>the</strong> Completion<br />

The Employer is <strong>the</strong> party who will employ <strong>the</strong> Contractor to carry out <strong>the</strong> Works.<br />

The Eng<strong>in</strong>eer is <strong>the</strong> person names <strong>in</strong> <strong>the</strong> Contract Data (or any o<strong>the</strong>r competent person appo<strong>in</strong>ted and notified to <strong>the</strong><br />

Contractor to act <strong>in</strong> replacement <strong>of</strong> <strong>the</strong> Eng<strong>in</strong>eer) who is responsible for supervis<strong>in</strong>g <strong>the</strong> Contractor,<br />

adm<strong>in</strong>ister<strong>in</strong>g <strong>the</strong> contract, certify<strong>in</strong>g payments due to <strong>the</strong> Contractor, issu<strong>in</strong>g and valu<strong>in</strong>g Variation to <strong>the</strong> Contract,<br />

award<strong>in</strong>g extensions <strong>of</strong> time, and valu<strong>in</strong>g Compensation Events.<br />

Equipment is <strong>the</strong> Contractor’s mach<strong>in</strong>ery and vehicles brought temporarily to <strong>the</strong> Site to construct <strong>the</strong> Works.<br />

The Initial Contract Price is <strong>the</strong> Contract price listed <strong>in</strong> <strong>the</strong> Employer's Letter <strong>of</strong> Acceptance.<br />

The Intended Completion Date is <strong>the</strong> date on which it is <strong>in</strong>tended that <strong>the</strong> Contractor shall complete <strong>the</strong><br />

Works. The Intended Completion Date is specified <strong>in</strong> <strong>the</strong> Contract Data. The Intended Completion Date may be<br />

revised only by <strong>the</strong> Eng<strong>in</strong>eer by issu<strong>in</strong>g and extension <strong>of</strong> time.<br />

Materials are all supplies, <strong>in</strong>clud<strong>in</strong>g consumables, used by <strong>the</strong> contractor for <strong>in</strong>corporation <strong>in</strong> <strong>the</strong> Works.<br />

Plant is any <strong>in</strong>tegral part <strong>of</strong> <strong>the</strong> works, which is to have a mecha<strong>nic</strong>al, Electrical, Electro<strong>nic</strong> or Chemical or<br />

Biological function.
