1.0 LETTER OF INVITATION<br />
1.1 Advertisement<br />
This Expression <strong>of</strong> Interest (EoI) Document is <strong>for</strong> carrying out two tasks.<br />
Task 1: <strong>Preparation</strong> <strong>of</strong> <strong>State</strong>-<strong>wise</strong> Energy Savings Plan and General Consultancy.<br />
Task 2: <strong>Preparation</strong> <strong>of</strong> Detail Project Reports on waste heat recovery in some selected units <strong>of</strong><br />
small & medium enterprises (SME) clusters along with demonstration in a few <strong>of</strong> them.<br />
The consultants empanelled with Energy Efficiency Services Limited through this <strong>EOI</strong> and will<br />
be awarded the tasks based on second stage competitive bidding. Energy Efficiency Services<br />
Limited will carry out this task on behalf <strong>of</strong> the <strong>State</strong> Designated Agencies. The consultants will<br />
be empanelled separately <strong>for</strong> each task. Any interested consultant may apply <strong>for</strong> carrying out<br />
both the tasks or <strong>for</strong> any one <strong>of</strong> the task.<br />
Task 1: The Energy Savings Plan will be owned by the <strong>State</strong> Governments and its preparation<br />
will be facilitated by the <strong>State</strong> Designated Agencies (SDAs). It should clearly indicate the policy<br />
interventions required or the notifications to be issued by the <strong>State</strong> Governments which will<br />
facilitate in achieving the measures mentioned in the plan. The plan will consist <strong>of</strong> clear<br />
measures to reduce the energy consumption or the peak demand <strong>of</strong> the <strong>State</strong>. It will indicate<br />
annual implementation plans with well defined reductions in the energy end-use. Since various<br />
sectors viz. Municipality, agriculture, commercial, households are involved, so different <strong>State</strong><br />
Govt. departments / agencies like Power Dept., Utilities, Urban Local Bodies, Agriculture Dept.<br />
etc. are to be taken on board during the preparation <strong>of</strong> the plan. For implementation <strong>of</strong> the plan,<br />
the extent <strong>of</strong> possible financial involvement <strong>of</strong> the various <strong>State</strong> Government agencies / dept., the<br />
possibility <strong>of</strong> implementation through PPP mode, the extent <strong>of</strong> possible intervention through the<br />
ESCO route during implementation should be clearly stated.<br />
The <strong>State</strong>-<strong>wise</strong> Energy Savings Plan will be prepared on the basis <strong>of</strong> the state-<strong>wise</strong> study<br />
conducted by National Productivity Council under the guidance <strong>of</strong> the Bureau <strong>of</strong> Energy<br />
Efficiency on assessment <strong>of</strong> savings potential in the agricultural, commercial, municipalities,<br />
domestic and small & medium enterprises sectors. This study will be conducted by a consultant<br />
having experiences in preparation <strong>of</strong> policy intervention plans <strong>for</strong> the Central / <strong>State</strong><br />
Governments <strong>of</strong> India. The consultant / firm will work in close relation with <strong>State</strong> Government<br />
and <strong>State</strong> Designated Agencies <strong>of</strong>ficials. Reports and deliverables will be produced providing<br />
elements on points described above and as per the requirement <strong>of</strong> the <strong>State</strong> Governments / <strong>State</strong><br />
Designated Agency.<br />
General Consultancy: The main objective is to provide consultancy support to the <strong>State</strong><br />
Designated Agencies on the initiatives undertaken in carrying out the Energy Conservation<br />

and <strong>for</strong> <strong>Preparation</strong> <strong>of</strong> Detail Project Reports on Waste Heat Recovery in some Selected Units <strong>of</strong> Small &<br />
Medium Enterprises (SME) Clusters along with Demonstration in a few <strong>of</strong> them<br />
Activities in the states. The activities include industry interaction, awareness campaign, coordination<br />
with BEE, preparation <strong>of</strong> Yearly Action Plan, budget estimation, capacity building,<br />
implementing EC projects etc. The empanelled firm will be required to depute a technically<br />
qualified consultant to the headquarter <strong>of</strong> the <strong>State</strong> Designated Agencies as and when required.<br />
This also includes promoting Demand Side Management (DSM) by the utilities. The empanelled<br />
firm will be required to depute technically qualified consultants, located within the utility and<br />
will be responsible <strong>for</strong> the design and coordination <strong>of</strong> the DSM programme. The consultants<br />
should have knowledge <strong>of</strong> the electricity regulatory systems, DISCOM operations and DSM<br />
design.<br />
Task 2: The <strong>State</strong> Designated Agencies will identify some clusters <strong>of</strong> SME in the <strong>State</strong> where<br />
the potential <strong>of</strong> waste heat recovery is maximum in consultation with the Bureau <strong>of</strong> Energy<br />
Efficiency. The first task <strong>for</strong> the empanelled consultants will be preparation <strong>of</strong> DPRs in some<br />
units <strong>of</strong> the selected SME clusters indicating the potential <strong>of</strong> waste heat recovery that exists and<br />
the technological interventions along with the financial implication to achieve the same. The<br />
second task will be to demonstrate the findings <strong>of</strong> the DPR in two to three units <strong>of</strong> the selected<br />
clusters.<br />
This study will be conducted by a consultant having experiences in preparation <strong>of</strong> DPRs to<br />
explore the potential <strong>of</strong> waste heat recovery in small and medium enterprises clusters and<br />
implementation <strong>of</strong> technological interventions to facilitate the recovery <strong>of</strong> waste heat in small<br />
and medium enterprises. The consultant / firm will work in close relation with SME associations<br />
and with SDA <strong>of</strong>ficials. Reports and deliverables will be produced providing elements on points<br />
described above and as per the requirement <strong>of</strong> the SME Association / <strong>State</strong> Designated Agency.<br />
The empanelled consultants will essentially become partners <strong>of</strong> Energy Efficiency Services<br />
Limited in promoting the efficient use <strong>of</strong> energy and its conservation in the country.<br />

2.0 BACKGROUND INFORMATION<br />
India faces <strong>for</strong>midable challenge in meeting its energy needs and in providing adequate energy <strong>of</strong><br />
desired quality in various <strong>for</strong>ms in a sustainable manner and at competitive prices. Target is to<br />
achieve 8% to 10% economic growth rate over the next 25 years. To deliver this growth on<br />
sustainable basis and to meet the energy needs <strong>of</strong> all citizens, at the very least, India needs to<br />
increase its primary energy supply by 3 to 4 times and its electricity generation capacity/supply<br />
by 5 to 6 times <strong>of</strong> their 2003-04 levels. India’s commercial energy supply would need to grow<br />
from current 5.2% to 6.1% per annum while its total primary energy supply would need to grow<br />
at 4.3% to 5.1% annually. By the year 2031-32, power generation capacity must increase to<br />
nearly 800000 MW from the current capacity <strong>of</strong> around 160000 MW inclusive <strong>of</strong> all captive<br />
plants. Similarly, requirement <strong>of</strong> coal, the dominant fuel in India’s energy mix will need to<br />
expand to over 2 billion tonnes/annum based on domestic quality <strong>of</strong> coal. Meeting the energy<br />
challenge is <strong>of</strong> fundamental importance to India’s economic growth imperatives and its ef<strong>for</strong>ts to<br />
raise its level <strong>of</strong> human development. In all sectors <strong>of</strong> the economy, improving energy efficiency<br />
be<strong>for</strong>e increasing energy supply is generally the more economically and environmentally<br />
efficient national strategy. The emphasis <strong>for</strong> the future is to look <strong>for</strong> technologies to promote<br />
energy efficiency, demand side management and conservation. The success <strong>of</strong> Government <strong>of</strong><br />
India’s plan lies with effective policy framework, implementation and promotion <strong>of</strong> energy<br />
efficiency initiatives. The Energy Conservation Act, 2001; created Bureau <strong>of</strong> Energy Efficiency<br />
(BEE) which was assigned a quasi-regulatory role looking after policy advisory and a catalyst to<br />
promote energy efficiency in the country.<br />
Energy efficiency assumes significance <strong>for</strong> the nation in the current environment <strong>of</strong> shortages<br />
and concerns over climate change. It is a win-win situation <strong>for</strong> all – <strong>for</strong> facility owners increased<br />
energy efficiency means availability <strong>of</strong> more resources and <strong>for</strong> nations energy efficiency <strong>of</strong>fers a<br />
number <strong>of</strong> benefits including improved use <strong>of</strong> natural resources, reducing energy imports,<br />

Medium Enterprises (SME) Clusters along with Demonstration in a few <strong>of</strong> them<br />
improved balance <strong>of</strong> trade, conservation <strong>of</strong> <strong>for</strong>eign exchange, reduced capital requirement <strong>for</strong><br />
new energy production facilities, and reduced environmental pollution from energy use, and<br />
production. It <strong>of</strong>fers enormous promise <strong>for</strong> a robust market to exist under the PPP model (Energy<br />
Service Company (ESCO) based). Given that BEE has been assigned a quasi-regulatory role,<br />
taking on implementation may lead to conflict <strong>of</strong> interest as BEE is required to suggest policies,<br />
identify programs and then participate in the bidding process <strong>for</strong> implementing them. Hence,<br />
there was the need to have a separate implementing agency which addresses all the<br />
issues/barriers which impede the progress in investments in energy efficiency projects and can<br />
take the implementation leadership position in the market.<br />
In this regard, Energy Efficiency Services Limited (EESL) is a joint venture company promoted<br />
by 4 Central Public Sector Undertakings (CPSUs), namely National Thermal Power Corporation<br />
Limited (NTPC Limited), Power Grid Corporation <strong>of</strong> India Limited (PGCIL), Power Finance<br />
Corporation Limited (PFC Limited) and Rural Electrification Corporation (REC) was<br />
constituted. It is registered under the companies Act, 1956 on 10 th December 2009 and has<br />
obtained the commencement <strong>of</strong> business certificate on 11 th February 2010. It will be the first<br />
such company exclusively <strong>for</strong> implementation <strong>of</strong> energy efficiency in South Asia and amongst a<br />
very few such instances in the world. The authorised share capital <strong>of</strong> EESL is Rs. 190.00 crores<br />
with equal contribution from the 4 promoters.<br />
After analysing the market potential and future scenario, business models have been devised <strong>for</strong><br />
various activities. In the existing scenario, EESL could work in following broad areas as given in<br />
Fig. 1.<br />

Importance <strong>of</strong> ESCO model to propagate energy efficiency has been proven in various countries.<br />
In India, this is still at a nascent stage. EESL can demonstrate the effectiveness <strong>of</strong> ESCO model<br />
in taking up high risk products and demonstrate energy efficiency through this route. By<br />
demonstrating energy efficiency measures and realising saving potential, it can set up the market<br />
<strong>for</strong> future investments by other ESCO companies thereby leading the way and showing the path<br />
<strong>for</strong> others to follow.<br />
EESL as Monitoring/implementing Agency<br />
EESL can undertake few ongoing programmes <strong>of</strong> BEE and can implement and monitor them.<br />

Looking at the present scenario and rosy potential in the future <strong>of</strong> energy efficiency, consultancy<br />
business has lot <strong>of</strong> promise and EESL can certainly capture a good chunk <strong>of</strong> consultancy market<br />
in following areas:<br />
• CDM projects in Industrial sector<br />
• DSM<br />
• Energy Efficiency<br />
• Combined Heat and Power<br />
EESL as a Resource Centre<br />
Training and Capacity Building <strong>for</strong> Energy Efficiency has been considered a very important<br />
activity in the area <strong>of</strong> energy efficiency. EESL can act as a resource centre in this regard and take<br />
up following activities:<br />
• Capacity building <strong>of</strong> SDAs employees<br />
• Training/Capacity Building <strong>of</strong> Utilities<br />
• Training /Capacity Building <strong>of</strong> other Stakeholder and Bankers<br />
• Training under 3-L program<br />
• Operation <strong>of</strong> Website “ www.energymanagertraining.com”<br />
The Ministry <strong>of</strong> Power has approved a scheme <strong>for</strong> contribution to the <strong>State</strong> Energy Conservation<br />
Fund (SECF) by the Bureau <strong>of</strong> Energy Efficiency (BEE). The BEE suggests that the funds under<br />
the SECF may be utilized <strong>for</strong> the following activities:<br />
• <strong>Preparation</strong> and implementation <strong>of</strong> <strong>State</strong>-<strong>wise</strong> Energy Savings Plan <strong>of</strong> the <strong>State</strong><br />

Most <strong>of</strong> the <strong>State</strong> Designated Agencies who have created their SECFs and have received the<br />
contributions from the BEE have expressed their willingness to give EESL the task <strong>of</strong> preparing<br />
the <strong>State</strong>-<strong>wise</strong> Energy Savings Plan and preparation <strong>of</strong> Waste Heat Recovery Detailed Project<br />
Report <strong>for</strong> identified units in SME clusters.<br />
Task 1: The assessment <strong>of</strong> savings potential study in all 35 states / UTs carried out by National<br />
Productivity Council will provide the guidelines <strong>for</strong> preparation <strong>of</strong> <strong>State</strong>-<strong>wise</strong> energy savings<br />
plan. The study focused only on estimation <strong>of</strong> the total electricity consumption and saving<br />
potential in the following sectors <strong>of</strong> each state / UT:<br />
• Agricultural pumping<br />
• Municipal water and sewage pumping, street lighting<br />
• Commercial buildings like Hotel/Resorts, Hospital, Shopping Mall/Multiplex, <strong>of</strong>fice<br />
building, public park/monument having connected load <strong>of</strong> more than 500 KW.<br />
• Small and Medium Enterprises (SMEs) which have high saving potential.<br />
In addition to the above, the study also looks at the large industries and the household sector. For<br />
this purpose the consumption reported in the report <strong>of</strong> Central Electricity Authority titled All<br />
India Electricity Statistics 2009: General Review 2009, was adopted <strong>for</strong> the two sectors. The<br />
energy saving potential was assessed based on the experience gained in implementing<br />
programmes in industry and household sector by BEE and NPC.<br />
The sectoral consumption on an All-India basis <strong>for</strong> the year 2007-08 has been broken down in<br />
agriculture, commercial, municipalities, SMEs, domestic and industries. The conservative<br />
potential <strong>for</strong> savings is about 15% <strong>of</strong> the electricity consumption. The sector <strong>wise</strong> aggregated<br />
potential at the national level is as under:<br />

Task 2: India has nearly 13 million micro, small & medium enterprises which constitute more<br />
than 80% <strong>of</strong> the total number <strong>of</strong> industrial enterprises in the country. Small industries have a<br />
45% share <strong>of</strong> the total manufacturing output and they contribute nearly 40% <strong>of</strong> total exports in<br />
the economy. They are one <strong>of</strong> the biggest employers providing employment to about 41 million<br />
people and according to recent estimates, constitutes about 8-9% <strong>of</strong> the country’s GDP. The<br />
SME sector is one area which demonstrates high overall potential <strong>for</strong> reductions in energy<br />
intensity ranging from 20 – 25% as per study conducted by the BEE. SMEs, especially those <strong>for</strong><br />
whom energy costs represent a large portion <strong>of</strong> total production costs, can reap especially high<br />
benefits from improving efficiency <strong>of</strong> energy conversion and reduction <strong>of</strong> energy losses, yet<br />
numerous barriers and market failures have prevented widespread adoption <strong>of</strong> these measures.<br />
Rising energy costs can lead to higher production and distribution costs <strong>for</strong> business, eroding<br />
long term competitiveness and pr<strong>of</strong>itibality. SMEs are particularly vulnerable due to limited<br />
resources and tight operating margins. Cutting energy waste can be quick way <strong>for</strong> them to reduce<br />
costs, but they <strong>of</strong>ten lack the knowledge, financing and dedicated personnel needed to identify<br />
efficiency opportunities and implement improvements. Potential savings can be unlocked<br />
through simple measures, one <strong>of</strong> which can be the waste heat recovery in some <strong>of</strong> the clusters.<br />
Also, demonstration in few units will have high replicability potential as these units are located<br />
in clusters.<br />
The clusters will be identified by the Bureau <strong>of</strong> Energy Efficiency in consultation with the <strong>State</strong><br />
Designated Agencies <strong>of</strong> the respective states based on the potential <strong>of</strong> waste heat recovery that<br />
exists in the clusters.<br />
The empanelled consultants will essentially become partners <strong>of</strong> Energy Efficiency Services<br />
Limited in promoting the efficient use <strong>of</strong> energy and its conservation in the country.<br />
The consultants will be empanelled separately <strong>for</strong> each task. Any interested consultant may apply<br />
<strong>for</strong> carrying out both the tasks or <strong>for</strong> any one <strong>of</strong> the task.<br />
3.0 OBJECTIVE<br />
Task 1: Based on the preparation <strong>of</strong> the assessment <strong>of</strong> savings potential report <strong>for</strong> each <strong>State</strong>, it<br />
was felt necessary to prepare a <strong>State</strong>-<strong>wise</strong> Energy Savings Plan to explore and implement the<br />
sector-<strong>wise</strong> assessed savings potential <strong>of</strong> each <strong>State</strong> as per the scope given below. This<br />
Expression <strong>of</strong> Interest aims to have a pool <strong>of</strong> technically qualified empanelled consultants which<br />
will facilitate the EESL in preparing the <strong>State</strong>-<strong>wise</strong> Energy Savings Plan <strong>for</strong> the <strong>State</strong>s. The<br />
empanelled consultants will be awarded the task <strong>for</strong> preparation <strong>of</strong> <strong>State</strong>-<strong>wise</strong> Energy Savings<br />
Plan through a second stage competitive bidding.<br />

General Consultancy: The empanelled consultants will also be utilized <strong>for</strong> providing<br />
consultancy services on energy efficiency to <strong>State</strong> Designated Agencies / DISCOMS through a<br />
second stage competitive bidding.<br />
Task 2: One <strong>of</strong> the deliverable to be achieved by the SDAs with the contribution to SECF by the<br />
BEE is to explore the potential <strong>of</strong> waste heat recovery in SME clusters. This is to be achieved in<br />
two steps. Firstly DPRs will be prepared in some units <strong>of</strong> the selected SME clusters indicating<br />
the potential <strong>of</strong> waste heat recovery that exists and the technological interventions along with the<br />
financial implication to achieve the same. Secondly, the findings <strong>of</strong> the DPR are to be<br />
demonstrated in two to three units <strong>of</strong> the selected clusters. This Expression <strong>of</strong> Interest aims to<br />
have a pool <strong>of</strong> technically qualified empanelled consultants which will facilitate the EESL in<br />
achieving the same <strong>for</strong> the <strong>State</strong>s. The empanelled consultants will be awarded the task through a<br />
second stage competitive bidding.<br />

4.0 SCOPE<br />
Task 1: The Annual Energy Savings Plan is to be owned by the <strong>State</strong> Governments and its<br />
preparation will be coordinated by the <strong>State</strong> Designated Agencies <strong>of</strong> the <strong>State</strong>s. The plan will<br />
clearly indicate the policy interventions required by the <strong>State</strong> Governments, listing the<br />
notifications that are required to be issued <strong>for</strong> successful implementation <strong>of</strong> the plan. The<br />
successful implementation <strong>of</strong> the plan will essentially comprise two parts, firstly the energy audit<br />
part and secondly the implementation part based on the measures mentioned in the energy audit<br />
report. The financing sources which are required <strong>for</strong> conducting the energy audit as well as <strong>for</strong><br />
implementation should be clarified. The plan should deliberate on the time lines <strong>for</strong> conducting<br />
the energy audit, the means through which the energy audit will be conducted, the year-<strong>wise</strong><br />
implementation strategy and the gain that the <strong>State</strong> Government will accrue through reduction in<br />
energy consumption or the reduction in peak demand that can be achieved through<br />
implementation <strong>of</strong> the plan.<br />
The sector-<strong>wise</strong> state specific Annual Energy Savings Plan will be prepared on the basis <strong>of</strong> the<br />
study conducted by National Productivity Council under the guidance <strong>of</strong> the Bureau <strong>of</strong> Energy<br />
Efficiency on assessment <strong>of</strong> savings potential in the agricultural, commercial, municipalities,<br />
domestic, industries and small & medium enterprises sectors <strong>for</strong> each state. Following tasks will<br />
have to be undertaken <strong>for</strong> preparation <strong>of</strong> the sector-<strong>wise</strong> state specific Annual Energy Savings<br />
Plan:<br />

Step 1: The sector-<strong>wise</strong> state specific Annual Energy Savings Plan should be prepared keeping<br />
in mind the requirement <strong>of</strong> the <strong>State</strong> Governments, since it is to be owned and implemented by<br />
the respective <strong>State</strong> Governments. The plan should clearly indicate the policy interventions<br />
required by the <strong>State</strong> Governments to achieve the desired reduction in energy consumption or the<br />
reduction in peak demand, within a specified time limit. The policy interventions may in the<br />
<strong>for</strong>m <strong>of</strong> notifications or directives by the <strong>State</strong> Governments as mandated by the Energy<br />
Conservation Act 2001. The notifications or directives that are needed to be issued by the <strong>State</strong><br />
Governments <strong>for</strong> implementation <strong>of</strong> the plan and also <strong>for</strong> promoting the efficient use <strong>of</strong> energy<br />
and its conservation should be clearly deliberated upon in the report. These notifications may be<br />
making mandatory the procurement <strong>of</strong> appliances having a BEE Star rating <strong>of</strong> 3 and above in all<br />
Govt. purchase, making mandatory the procurement <strong>of</strong> agricultural pump sets having a BEE Star<br />
rating <strong>of</strong> 3 and above in all Govt. purchase, making mandatory that all new and high energy<br />
intensive commercial buildings that are being constructed be Energy Conservation Building<br />
Code complaint and many others.<br />
Step 2: Based on the report prepared by National Productivity Council, the sector-<strong>wise</strong> state<br />
specific Annual Energy Savings Plan will be prepared in consultation <strong>of</strong> various departments <strong>of</strong><br />
the <strong>State</strong> Governments like Power Dept., Utilities, Urban Local Bodies, Agriculture Dept. etc.<br />
The plan will essentially consist <strong>of</strong> two parts.<br />
The first part should be the energy audit. The primary objective <strong>of</strong> conducting the energy audit is<br />
to establish the baseline data and to explore the various possibilities <strong>of</strong> energy savings alongwith<br />
the financial implications. For energy consumption reduction in each sector, the plan should<br />
indicate the number <strong>of</strong> commercial buildings or agriculture pumpsets or municipalities <strong>for</strong> which<br />
investment grade energy audits are to be conducted annually so that the savings potential in those<br />
sectors can be harnessed within a period <strong>of</strong> five years. The plan should also include model scope<br />
<strong>of</strong> work <strong>for</strong> conducting energy audits in commercial buildings or agriculture pumpsets or<br />
municipalities. The scope <strong>of</strong> work should be prepared in such a manner that the energy audit<br />
report consist <strong>of</strong> cost-benefit analysis showing the simple pay-back period, Return on Investment<br />
(RoI), Net Present Value (NPV) and Internal Rate <strong>of</strong> Return (IRR) <strong>for</strong> every such audit reports<br />
prepared. The scope <strong>of</strong> work should take notice <strong>of</strong> the fact that a model bidding document be<br />
prepared along with each <strong>of</strong> the energy audit reports to facilitate the concerned departments in<br />
expediting the implementation <strong>of</strong> the measures mentioned in the energy audit report. The plan<br />
should state as to how the audits are to be conducted and how the finances involved <strong>for</strong><br />
conducting the energy audit will be met. The plan should clearly state the sources from which the<br />
audit fees will be paid. The possibility <strong>of</strong> sharing a certain percentage from the <strong>State</strong> Energy<br />
Conservation Fund with the concerned department / agency should be explored. The option <strong>of</strong><br />
conducting the energy audit and its subsequent implementation through the Energy Service<br />

and <strong>for</strong> <strong>Preparation</strong> <strong>of</strong> Detail Project Reports on Waste Heat Recovery in some Selected Units <strong>of</strong> Small &<br />
Medium Enterprises (SME) Clusters along with Demonstration in a few <strong>of</strong> them<br />
Company route should also be explored, if the concerned department / agency agrees to consider<br />
the ESCO route <strong>for</strong> conducting energy audit and its subsequent implementation <strong>for</strong> projects.<br />
The second part <strong>of</strong> the plan should state as to how the energy audit report will be implemented. It<br />
should clearly state <strong>for</strong> example the number <strong>of</strong> commercial buildings whose implementation<br />
should be taken in the first year, how many in the second year and so on based on the energy<br />
audit reports prepared and savings potential proposed in the energy audit report. This will be<br />
similar <strong>for</strong> agriculture pumpsets, small and medium enterprises sector also. The plan should also<br />
include exploring the financial implication <strong>of</strong> the various departments <strong>of</strong> the <strong>State</strong> Governments<br />
like Power Dept., Utilities, Urban Local Bodies, Agriculture Dept. etc., concerned departments /<br />
organizations, private firms, financial institutions and others <strong>for</strong> implementation. The plan should<br />
clearly indicate the flow <strong>of</strong> funds from various sources <strong>for</strong> carrying out both the energy audit and<br />
also <strong>for</strong> implementing them.<br />
The concept <strong>of</strong> achieving the specific targets by the Energy Service Companies through the<br />
shared savings or the guaranteed savings mode should be explored wherever possible. In the<br />
shared savings mode, the financial risk lies with the Energy Service Companies and the savings<br />
are shared between the ESCO and the concerned department / agency / facility owner <strong>for</strong> a<br />
negotiated period <strong>of</strong> time. In guaranteed savings the financial risk lies with the concerned<br />
department / agency / facility owner but the Energy Service Companies guarantees a certain<br />
percentage <strong>of</strong> savings. In some cases, the energy audit may be undertaken by one company and<br />
its implementation may be done by another, while in some other cases, the same company may<br />
undertake both the energy audit part and its subsequent implementation. Both these scenarios<br />
need to be explored and given due diligence while preparing the plan.<br />
Step 3: The plan should clearly indicate the benefits that the <strong>State</strong> Government will accrue due<br />
to the implementation <strong>of</strong> the Annual Energy Savings Plan. This benefit should be clearly stated<br />
in terms <strong>of</strong> million units <strong>of</strong> energy saved <strong>for</strong> each year. The benefits should also be related to the<br />
reduction in peak demand. The total savings potential <strong>of</strong> the <strong>State</strong> which can be achieved over a<br />
period <strong>of</strong> five years, should be broken annually. The plan should be prepared keeping in mind<br />
that the overall reduction is achieved in the specified time period with annual break-up <strong>of</strong><br />
reduction in energy consumption or reduction in peak demand which is to be achieved.<br />
General Consultancy: The main objective is to provide consultancy support to the <strong>State</strong><br />
Designated Agencies on the initiatives undertaken in carrying out the Energy Conservation<br />
Activities in the states. The activities include industry interaction, awareness campaign, coordination<br />
with BEE, preparation <strong>of</strong> Yearly Action Plan, budget estimation, capacity building,<br />
implementing EC projects etc. The empanelled firm will be required to depute a technically<br />
qualified consultant to the headquarter <strong>of</strong> the <strong>State</strong> Designated Agencies as and when required.<br />

This also includes promoting Demand Side Management (DSM) by the utilities. The empanelled<br />
firm will be required to depute technically qualified consultants, located within the utility and<br />
will be responsible <strong>for</strong> the design and coordination <strong>of</strong> the DSM programme. The consultants<br />
should have knowledge <strong>of</strong> the electricity regulatory systems, DISCOM operations and DSM<br />
design.<br />
Task 2: The scope <strong>of</strong> work to achieve the deliverables are:<br />
Step 1: <strong>Preparation</strong> <strong>of</strong> DPR in Selective Clusters<br />
a) The empanelled consultant will prepare a “Status Report” <strong>of</strong> the selected cluster from<br />
collection <strong>of</strong> secondary data from reliable sources or going through a rapid energy audit <strong>of</strong><br />
the cluster. The report should depict the brief overview <strong>of</strong> the cluster, no. <strong>of</strong> units, major<br />
products, production process/technology, age <strong>of</strong> the units, operational practices and potential<br />
<strong>for</strong> waste heat recovery.<br />
b) The consultant will identify 2-3 units in the cluster in consultation with BEE / SDA /<br />
Industry Association <strong>for</strong> preparation <strong>of</strong> the Detail Project Report (DPR).<br />
c) The empanelled consultants will prepare DPRs <strong>for</strong> the selective two to three units in each <strong>of</strong><br />
the identified clusters. The maximum number <strong>of</strong> DPRs to be prepared in a <strong>State</strong> will not<br />
exceed 20.<br />
d) For preparation <strong>of</strong> the DPR, detailed field study in the selected units with actual<br />
measurement <strong>of</strong> process parameters is to be conducted. Suitable gadgets may be used <strong>for</strong><br />
measuring flue gas quantity, temperature, %CO 2 or %O 2 in flue gas etc.<br />
e) Estimation <strong>of</strong> WHR potential with the use <strong>of</strong> Standard Empirical relations.<br />
f) <strong>Preparation</strong> <strong>of</strong> a DPR depicting findings, observations, design <strong>for</strong> suitable WHR scheme, bill<br />
<strong>of</strong> quantity, probable usage <strong>of</strong> waste heat and the simple payback period.<br />
g) The design criterion <strong>of</strong> the units as depicted in the DPRs to be finalized after the same is<br />
reviewed by a technical committee comprising <strong>of</strong>ficials from the Bureau <strong>of</strong> Energy<br />
Efficiency.<br />

Step 2: Demonstration & Knowledge Dissemination in selective Units<br />
a) Demonstrations in a single unit <strong>for</strong> some clusters may be carried out in each <strong>State</strong>. The units<br />
which have the maximum potential <strong>of</strong> waste heat recovery will be preferred <strong>for</strong><br />
demonstration. Selection <strong>of</strong> ‘Demonstration Unit’ will be done in mutual consultation <strong>of</strong><br />
BEE / SDA / Industry Association the consultant and the unit representative.<br />
b) Develop fabrication / modification <strong>of</strong> the existing structure as per the design scheme. This<br />
may include ducting, channeling, electrical and civil works.<br />
c) Trial run <strong>of</strong> the scheme and measurement <strong>of</strong> all parameters after the implementation.<br />
d) Fine tuning <strong>of</strong> the process parameters after successful utilization <strong>of</strong> the waste heat.<br />
e) Estimation <strong>of</strong> actual saving through standard empirical relations and suggest <strong>for</strong> suitable<br />
monitoring mechanism.<br />
f) <strong>Preparation</strong> <strong>of</strong> the project report with findings at each step <strong>of</strong> the project.<br />
g) Conduct workshop / training programmes to disseminate the findings <strong>of</strong> the successful<br />
demonstration on site. The consultant will also prepare a 2-page leaflet describing the<br />
project activities.<br />
The consultants will be empanelled separately <strong>for</strong> each task. Any interested consultant may apply<br />
<strong>for</strong> carrying out both the tasks or <strong>for</strong> any one <strong>of</strong> the task.<br />
5.0 TIMELINE<br />
The time period <strong>for</strong> preparation <strong>of</strong> <strong>State</strong>-<strong>wise</strong> Energy Savings Plan is approximately six months<br />
from the time <strong>of</strong> starting the task. The time period <strong>for</strong> preparation <strong>of</strong> Detail Project Reports to<br />
explore the potential <strong>of</strong> waste heat recovery in some selected units <strong>of</strong> small & medium<br />
enterprises (SME) clusters along with demonstration in a few <strong>of</strong> them is also approximately one<br />
year from the time <strong>of</strong> starting the task. However, the time period <strong>for</strong> achieving the deliverables <strong>of</strong><br />
both the tasks may vary as per the requirement <strong>of</strong> the <strong>State</strong> Governments.<br />
6.0 SELECTION PROCESS<br />
6.1 Pre-Qualification Criteria <strong>of</strong> <strong>Consultants</strong> / Consortium <strong>of</strong> <strong>Consultants</strong><br />
The Consultant interested in being considered <strong>for</strong> Task 1 must fulfil the following criteria:<br />
Should be a firm/company registered/incorporated in India.<br />
Should have at least 3 BEE Certified Energy Auditors/Energy Managers as on the date <strong>of</strong><br />
applying. A photocopy <strong>of</strong> the certificates <strong>of</strong> BEE Certified Energy Auditors/Energy<br />
Managers should be enclosed as pro<strong>of</strong>.<br />

Should have at least 2 financial management expert <strong>for</strong> preparation <strong>of</strong> financial modelling in<br />
Detailed Project Reports (DPRs) as on the date <strong>of</strong> applying. A detail CV <strong>of</strong> such experts<br />
should be submitted along with the <strong>EOI</strong>.<br />
Should have experience in preparation <strong>of</strong> Investment Grade Energy Audit (IGEA) Report,<br />
integrating financial modelling in the Detailed Project Report (DPR) and preparation <strong>of</strong><br />
bidding document <strong>for</strong> energy efficiency projects. Pro<strong>of</strong> <strong>of</strong> preparing at least 3 such energy<br />
efficiency projects having the above features should be submitted along with the <strong>EOI</strong>.<br />
Should have the work experience <strong>of</strong> at least 3 years in the field <strong>of</strong> Energy Efficiency. Pro<strong>of</strong><br />
<strong>of</strong> having this experience clearly mentioning the nature <strong>of</strong> work and the period during which<br />
the work has been undertaken should be submitted along with the EoI. The total months /<br />
years <strong>of</strong> working in the area <strong>of</strong> energy efficiency should be clearly stated.<br />
Should have the work experience <strong>of</strong> assisting the <strong>State</strong> Governments / Central Government<br />
in preparation <strong>of</strong> policy intervention plans. Pro<strong>of</strong> <strong>of</strong> assisting the <strong>State</strong> Government / Central<br />
Government in preparation <strong>of</strong> at least 3 such reports should be submitted along with the EoI.<br />
Should have a minimum annual turnover <strong>of</strong> INR 100 lakhs (INR or its equivalent in <strong>for</strong>eign<br />
currency) from Consulting Fees in last two <strong>of</strong> the last three (3) years i.e. FY 2007-08, 2008-<br />
09 and 2009-10.<br />
Should have been pr<strong>of</strong>itable <strong>for</strong> at least two (2) <strong>of</strong> the last three (3) years i.e. FY 2007-08,<br />
2008-09 and 2009-10.<br />
Consortium <strong>of</strong> not more than two companies / organizations / firms may also apply and will<br />
have to give a joint letter about the lead partner and MOU.<br />
The Consultant interested in being considered <strong>for</strong> Task 2 must fulfil the following criteria:<br />
Should be a firm/company registered/incorporated in India.<br />
Should have at least 3 BEE Certified Energy Auditors/Energy Managers as on March 31,<br />

The Firm should have the work experience in preparing at least 10 DPRs in energy<br />
efficiency projects. Preference will be given to the organizations who are involved in<br />
preparing DPRs <strong>for</strong> SME clusters.<br />
Should have a minimum annual turnover <strong>of</strong> INR 100 lakhs (INR or its equivalent in <strong>for</strong>eign<br />
currency) from Consulting Fees in last two <strong>of</strong> the last three (3) years i.e. FY 2007-08, 2008-<br />
09 and 2009-10.<br />
Should have been pr<strong>of</strong>itable <strong>for</strong> at least two (2) <strong>of</strong> the last three (3) years i.e. FY 2007-08,<br />
2008-09 and 2009-10.<br />
6.2 Preliminary Scrutiny<br />
Preliminary scrutiny <strong>of</strong> the proposal will be made to determine whether they are complete,<br />
whether required process fee has been furnished, whether the documents have been properly<br />
signed, and whether the bids are generally in order.<br />
Proposals not con<strong>for</strong>ming to such preliminary requirements will be prima facie rejected.<br />
6.3 Evaluation <strong>of</strong> Proposals<br />
The proposals would be evaluated on the basis <strong>of</strong> the pre-qualification criteria and Consultant’s<br />
prior experience in the areas mentioned above. However, EESL in its sole/absolute discretion<br />
can apply whatever criteria deemed appropriate in determining the responsiveness <strong>of</strong> the EoI<br />
submitted by the respondents.<br />
7.0 THE CONSULTANT<br />
7.1 Procedure <strong>for</strong> Submission <strong>of</strong> EoI<br />
The Consultant should submit two hard copies <strong>of</strong> the Expression <strong>of</strong> Interest (EoI) and one s<strong>of</strong>t<br />
copy in a sealed cover.<br />
Each copy <strong>of</strong> EoI should be a complete document and should be bound as a volume separately.<br />
The document should be page numbered and appropriately flagged and contain the list <strong>of</strong><br />
contents with page numbers. Different copies must be bound separately. The deficiency in<br />
documentation may result in the rejection <strong>of</strong> the Bid. The s<strong>of</strong>t copy <strong>of</strong> the EoI should be<br />
submitted, in the <strong>for</strong>m <strong>of</strong> a non-re-writeable CD (Compact Disc). The CD media must be duly<br />
signed by the Consultant using a “Permanent Pen/Marker” and should bear the name <strong>of</strong> the<br />
Consultant. The sealed cover should be super scribed with the wordings “<strong>Preparation</strong> <strong>of</strong> <strong>State</strong><strong>wise</strong><br />

Separate applications are requested from interested parties <strong>for</strong> achieving the deliverables related<br />
to Task 1 and Task 2. Any interested party who fulfils the pre-qualification criterion <strong>for</strong> both the<br />
tasks may apply separately <strong>for</strong> both.<br />
Consultant must ensure that the in<strong>for</strong>mation furnished by him/her in respective CDs is identical<br />
to that submitted by him/her in the original paper document. In case <strong>of</strong> any discrepancy observed<br />
in the contents <strong>of</strong> the CDs and original paper documents, the in<strong>for</strong>mation furnished on original<br />
paper document will prevail over the s<strong>of</strong>t copy.<br />
7.2 Cost <strong>of</strong> EoI<br />
The Consultant shall bear all costs associated with the preparation and submission <strong>of</strong> its EoI,<br />
including cost <strong>of</strong> presentation <strong>for</strong> the purposes <strong>of</strong> clarification <strong>of</strong> the bid, if so desired by the<br />
purchaser. EESL will in no case be responsible or liable <strong>for</strong> those costs, regardless <strong>of</strong> the conduct<br />
or outcome <strong>of</strong> the tendering process.<br />
7.3 Contents <strong>of</strong> the EoI<br />
The Consultant is expected to examine all instructions, <strong>for</strong>ms, terms & conditions and <strong>State</strong>ment<br />
<strong>of</strong> Work in the EoI documents. Failure to furnish all in<strong>for</strong>mation required or submission <strong>of</strong> an<br />
EoI Document not substantially responsive to the EoI in every respect will be at the Consultant’s<br />
risk and may result in the rejection <strong>of</strong> the EoI.<br />
7.4 Conflict <strong>of</strong> Interest<br />
The Consultant who is selected <strong>for</strong> the work will have to maintain the confidentiality <strong>of</strong> the<br />
in<strong>for</strong>mation compiled. In no case the Consultant would be allowed to use the data or share the<br />
in<strong>for</strong>mation with anyone else, except <strong>for</strong> the BEE, EESL and the respective <strong>State</strong> Governments.<br />
BEE, EESL and the respective <strong>State</strong> Governments shall hold the copyrights over any <strong>of</strong> the data<br />
collected or compiled during the course <strong>of</strong> the awards.<br />
7.5 Language <strong>of</strong> Bids<br />
The Bids prepared by the Consultant and all correspondence and documents relating to the bids<br />
exchanged by the Consultant and the Purchaser, shall be written in the English language,<br />

provided that any printed literature furnished by the Consultant may be written in another<br />
language so long the same is accompanied by an English translation in which case, <strong>for</strong> purposes<br />
<strong>of</strong> interpretation <strong>of</strong> the bid, the English translation shall govern.<br />
7.6 Confidentiality<br />
EESL require that recipients <strong>of</strong> this document to maintain its contents in the same confidence as<br />
their own confidential in<strong>for</strong>mation and refrain from any public disclosure whatsoever.<br />
7.7 Disclaimer<br />
EESL and/or its <strong>of</strong>ficers, employees disclaim all liability from any loss or damage, whether<br />
<strong>for</strong>eseeable or not, suffered by any person acting on or refraining from acting because <strong>of</strong> any<br />
in<strong>for</strong>mation including statements, in<strong>for</strong>mation, <strong>for</strong>ecasts, estimates or projections contained in<br />
this document or conduct ancillary to it whether or not the loss or damage arises in connection<br />
with any omission, negligence, default, lack <strong>of</strong> care or misrepresentation on the part <strong>of</strong> EESL<br />
and/or any <strong>of</strong> its <strong>of</strong>ficers, employees.<br />
7.8 Authorized Signatory (Consultant)<br />
The "Consultant" as used in the EoI shall mean the one who has signed the EoI document <strong>for</strong>ms.<br />
The Consultant should be the duly Authorized Representative <strong>of</strong> the Consultant, <strong>for</strong> which a<br />
certificate <strong>of</strong> authority will be submitted. All certificates and documents (including any<br />
clarifications sought and any subsequent correspondences) received hereby, shall, as far as<br />
possible, be furnished and signed by the Authorized Representative. The power or authorization,<br />
or any other document consisting <strong>of</strong> adequate pro<strong>of</strong> <strong>of</strong> the ability <strong>of</strong> the signatory to bind the<br />
Consultant shall be annexed to the bid. EESL may reject outright any proposal not supported by<br />
adequate pro<strong>of</strong> <strong>of</strong> the signatory’s authority.<br />
7.9 Consortium Partners related conditions<br />
The Consultant shall have the option to submit the proposal either alone or along with other<br />
consortium partners including the parent company/firm.<br />
Consortium <strong>of</strong> not more than two companies / organizations / firms may apply and will have to<br />
give a joint letter about the lead partner and MOU.<br />
The consortium partners should not be involved in any major litigation that may have an impact<br />
<strong>of</strong> affecting or compromising the delivery <strong>of</strong> services as required under this contract. The<br />

consortium partners should not have been black-listed by any Central / <strong>State</strong> Government or<br />
Public Sector Undertakings. If at any stage <strong>of</strong> Tendering process or during the currency <strong>of</strong> the<br />
Contract, any suppression / falsification <strong>of</strong> such in<strong>for</strong>mation is brought to the knowledge, BEE<br />
shall have the right to reject the proposal or terminate the contract, as the case may be, without<br />
any compensation to the Tenderer.<br />
7.10 Contact details <strong>of</strong> the Consultant<br />
Consultant who wants to receive EESL's response to queries should give their contact details to<br />
EESL. The Consultant should send their contact details in writing at the EESL’s contact address<br />
indicated above.<br />
7.11 Amendment <strong>of</strong> EoI<br />
At any time prior to the last date <strong>for</strong> receipt <strong>of</strong> bids, EESL, may, <strong>for</strong> any reason, whether at its<br />
own initiative or in response to a clarification requested by a prospective Consultant, modify the<br />
EoI Document by an amendment. In order to provide prospective <strong>Consultants</strong> reasonable time in<br />
which to take the amendment into account in preparing their bids, EESL may, at their discretion,<br />
extend the last date <strong>for</strong> the receipt <strong>of</strong> Bids and/or make other changes in the requirements set out<br />
in the Invitation <strong>for</strong> EoI.<br />
7.12 Bid Processing Fee<br />
All bids must be accompanied by a bid processing fee <strong>of</strong> INR 2,000 (INR Two Thousand only)<br />
in the <strong>for</strong>m <strong>of</strong> a crossed demand draft drawn on any nationalized/ scheduled bank payable at par<br />
in New Delhi, in favour <strong>of</strong> “Energy Efficiency Services Limited, New Delhi” <strong>for</strong> applying <strong>for</strong><br />
each <strong>of</strong> the tasks (Task 1 and Task 2).<br />

<strong>Consultants</strong> are advised to study the EoI document carefully. Submission <strong>of</strong> EoI shall be deemed<br />
to have been done after careful study and examination <strong>of</strong> the EoI document with full<br />
understanding <strong>of</strong> its implications.<br />
8.0 <strong>EOI</strong> FORMS<br />
