Management compensation<br />

In Group companies other than Compagnie de Saint-Gobain,<br />

attendance fees awarded to Directors representing the Group<br />

– particularly members of Group senior management –<br />

are either transferred to the company that employs them<br />

or paid directly to that company.<br />

In other companies of which the Group is a shareholder,<br />

attendance fees awarded to the Chairman of the Board as<br />

a Director of these companies are paid in full to the company.<br />

The compensation paid to members of senior management<br />

is set at a level consistent with compensation packages<br />

offered by comparable groups and is structured in a way<br />

that acts as an incentive for the executive concerned<br />

to contribute to Group earnings growth.<br />

The components of management compensation are defined<br />

by reference to specific studies commissioned by senior<br />

management from speci<strong>al</strong>ized consultants.<br />

All members of senior management receive a variable bonus<br />

designed to reflect their person<strong>al</strong> performance in managing<br />

their unit.<br />

The rollout of performance-related pay systems led<br />

to the introduction of formulas based on both financi<strong>al</strong> targets<br />

such as return on assets (ROA) and return on investment (ROI)<br />

and qu<strong>al</strong>itative targets such as developing a specific business<br />

or building a foothold in a given country.<br />

In this way, senior management compensation is clearly<br />

linked to a system of management by objectives that<br />

promotes a high level of person<strong>al</strong> commitment.<br />

An individu<strong>al</strong>’s compensation can fluctuate significantly<br />

from one year to the next, based on the Group’s results<br />

and the individu<strong>al</strong>’s person<strong>al</strong> performance.<br />

Compensation received by the members of senior<br />

management, directly and indirectly from Group companies<br />

within and outside France, tot<strong>al</strong>ed €13.4 million in <strong>2008</strong><br />

(2007: €15.2 million), including variable bonuses of<br />

€4.7 million (2007: €7.1 million) and termination benefits<br />

of €1.5 million (2007: €0.7 million).<br />
