Welcome to Q4’s ‘the Pulse’ from Daisy Distribution
Welcome to this latest edition of The Pulse and the first to showcase the updated and
refreshed brand identity of the business. We believe this new branding reflects the
sharp, dynamic nature of the industry in which we operate and shouts professionalism
and order.
This quarter is an important one in all of our years’ being a shorter quarter than normal
with Christmas at the end of it, but traditionally a strong trading one. This one is to be
no exception and Daisy Distribution is pleased to have a number of initiatives in place
to help partners.
Our Vodafone Perfect Partner Programme rolls into this quarter with the successful
partners from last quarter now enjoying a 4% revenue share on all business written
during this. In addition, Vodafone has extended its 3 months free sharer offer and
we have also put out a tactical bonus of £50 on all converged ports coming to the
network in October. And don’t forget to get your plans in to be in with a chance of
scooping the £15,000 business development grant.
O2 is all about the Joined Up Proposition and we are making it really easy for partners
to get onboard. An incentive to encourage customers to challenge us about saving
them money coincides with our Fixed Line Sales Specialist now being fully operational
and there to work with you in any way he can. My attention last quarter was drawn to
the O2 Broadband and All In propositions and they represent real value and business
benefit. I would encourage you to consider how these fit within your proposition and
let us know what we can do to help.
We are pleased to have a continuation of our BlackBerry focus, this time in the shape of
a partner incentive rewarding you with the chance to win a luxury trip away based on
all of your BlackBerry purchases.
We expect to be releasing a joint initiative on Orange and T-Mobile to run across the
end of the quarter into next, so look out for news of that.
As always we will continue to reward partners for delivering quality business and our
churn bonuses and support in managing customer satisfaction are testament to that,
so to ensure your continue to receive the maximum rewards please ensure you have a
robust and strategic customer contact strategy in place.

bonus is not available for SIM Only tariffs or 3, 6 and 12 month Mobile Broadband tariffs. Caller Plus plans do not automatically generate an in-life banding; please speak to Daisy Distribution’s Retentions

Please note that when submitting an in-life renewal request you must ensure that any required bolt-ons / additional services are included on the submitted order and appear on the customer contract. Should
an in-life renewal request be submitted without bolt-ons / additional services it will be assumed that they are not required, regardless of whether the customer currently has these and will be removed from the
existing account.

Vodafone Migration Rules and BlackBerry Licences
£50 PRODUCT BONUS ON ONE NET EXPRESS MIGRATIONS
Vodafone has updated its rules surrounding migrating Voice-Only plans to One Net Express Single and Sharer plans. These rule changes
are designed to recognise a customers true value by paying migrations based on renewal bandings, and in addition a £50 product bonus has
been introduced for the quarter, to further increase the value in moving your existing voice customers to One Net Express. The previous One
Net Express Migration commissions are no longer valid. The updated rules are outlined below.
Migrations from point of connection to earliest in-life resign point
Between the point of connection and the earliest point of in-life resign eligibility, pro-rata claw back of the last commissionable event will
occur*. Thereafter:
- if the last commissible event was acquisition, then full acquisition commission on new 24 month contracts will be paid,
PLUS a £50 product bonus**
- if the last commissionable event was an in-life resign, full in-life renewal banding amounts will be paid on new 24
month contracts PLUS a £50 product bonus**
- if the last commissionable event was a full term resign, full full-term renewal bandings on new 24 month cotnracts
will be paid, PLUS a £50 product bonus.***
Migrations from point of in-life resign eligibility to full term eligibility
- From point of in-life resign eligibility to full term eligibility, no claw back will occur. In-life banding PLUS a £50 product
bonus will be paid.

In order to get paid the correct upgrade commission on Orange Pay Monthly Business Tariffs for Corporate Business (50+ employees), please note the
tariff clarification must be changed to large business tariff prior to the upgrade being done.
Any customers with 50+ employees should not be on any Small Business tariff (1-48 employees) and it is down to the dealership at point of connection
to make sure the business customer is on the correct scale. Failing this your commission will be paid as small business, and future account queries
will not be looked into.

Revenue share on VAS that do not attract an advance will be paid monthly and in addition to the monthly payment of all out of bundle and additional spend once the revenue share advance has been repaid.

Clawback of new connection early termination: In the event of
a termination of a new connection either by the customer or by
O2 (in both cases, whether or not in accordance with its terms),
within the new connection pre-payment period, Daisy Distribution
shall:
Clawback from the dealer all revenue share advance along with all
and any bonuses that Daisy Distribution has pre-paid as per the
quarterly price guide including, but not limited to the connection
bonus, additional volume bonus, Value Added Services bonus
and any other discretional bonus amounts where the termination
occurs within the first six months of contract term.
Where the termination occurs outside of the first six months
of contract term Daisy Distribution shall reconcile the revenue
share advance paid against the actual revenue generated and
true down the balance notwithstanding any additional bonuses
that may have been paid.
Where there is a downward tariff migration at any time within the
contract term, a true-down will be applied and the entire revenue
share differential between the original connected tariff and the
downwardly migrated tariff will be clawed back.
Where any value added service is applied at the point of connection
or first resign into revenue share and a revenue share advance is
paid and the value added service is subsequently disconnected a
true-down of the advance element of that value added service will
occur and a clawback of the full advance differential will be made.
No revenue share advance will be paid for new lead handsets
where an existing customer migrates the current parent handset
down to a sharer and adds a new parent handset to the account.
This is viewed as commercial gain and as such attracts no
additional revenue share.
Clawback of a resign connection early termination: In the
event that an existing connection is resigned by the dealer and
subsequently is terminated by the customer or by O2 (in both
cases, whether or not in accordance with its terms), in the
previous connection pre-payment period, Daisy Distribution shall:
Clawback from the dealer any ongoing advanced revenue share
amount that Daisy Distribution has prepaid as per the quarterly
packages and any additional discretionary bonus.
Pay the dealer the actual revenue share in respect of the period
between the date of resign and the date of termination except in
the event that the resign is deemed to be fraudulent.
Daisy Distribution will only be able to pass on revenue share when
it has received the revenue share detail and subsequent payment
from O2. If, under any circumstance, it does not receive revenue
share detail or payment from O2 it will be unable to make the
dealer revenue share payments.
In the event that a dealer transfers their revenue share code to
another distributor, at this point Daisy Distribution reserves the
right to true up any advances given against the actual revenue
share earnt up to the point of the transfer. Any further revenue
share due will be held and may be paid once each customer has
fulfilled their full contract term and the revenue share payment
from O2 ceases.
Customers that disconnect from the O2 network and subsequently
reconnect within a 6 month period will not be entitled to any
revenue share advances or associated connection bonuses.
Ongoing revenue share will be payable within the terms of the
quarterly package.
Migrations from an alternative O2 service provider to O2 will not
be entitled to any revenue share advance or associated connection
bonuses. Ongoing revenue share will be payable within the terms
of the quarterly package.
A dealer’s churn must not exceed 15% in any quarter. Churn over
15% may result in the removal of the O2 stockist code. The churn
percentage in a calendar quarter shall be calculated as follows:
Total number of lines originally connected by the dealer that
disconnect in the relevant period divided by the average base size,
then multiplied by 100.
A dealer’s base should remain in net positive terms at all times.
That is to say that the volume of disconnections in a Period should
not exceed the volume of new connections in the same Period. In
this instance Daisy Distribution reserves the right to withhold any
due volume bonuses and additional funding.
Out of contract customers: If an O2 customers falls out of
contract, Daisy Distribution will withdraw or suspend all ongoing
revenue share payments until such point as the customer is
recommitted into contract, at which point the revenue share
payments will resume, although not to take into account any
retrospective payment for the period the customer was out of
commitment.
In all instances, Daisy Distribution reserves the right of offset any
commissions or revenues due against monies due to it.

Commission Clawback
Additional Services Cancellations
Where a data add-on is added to a tariff connection, the Business
Partner shall ensure that each data add-on has a minimum term
equal to that of the tariff connection.
Where there is cancellation of any additional services within the
clawback period of the first 270 days, the entire commission paid with
respect to those additional services will be clawed back. Where a
further additional service is added within the 270 days, the original
commission will be clawed back in full and a pro rata amount paid in
respect of the new value added service.
Additional services encompass all additional products and services
covered in this Special Edition for which a bonus or commission is
paid and includes, but is not exhaustive, of the following:
• Itemised Billing
• Mobile Connect Packs
• Extras Packs
• BlackBerry add-ons including:
• BlackBerry VBE
• BlackBerry Internet
Change of Tariff Migration Policy – Effective from 01.10.2010
18 month contracts
A consumer customer cannot downward tariff migrate on an 18
month contract.
24 month contracts
A customer can only downward tariff migrate in conjunction with
doing an in-life renewal where the contract is extended. You can only
tariff migrate down 1 step.
Secondary Connections
Text / Data / Email Bolt-ons cannot be removed mid contract. This
excludes the 30 day roaming voice bundles.
Any customer who is connected to a legacy tariff and wishes to
migrate up or down the tariff ladder (change their allocation of bundle
minutes) can only do so by moving to a current tariff set. This applies
both to customers who are out of commitment or customers tariff
migrating “in life” in accordance with the above Policy.
Downward Tariff Migrations
A downward migration is classed as a change to a tariff with a lower
line rental, or a change of service which has a detrimental impact on
the ARPU of the account. For the avoidance of doubt, this includes
removing any secondary subscription including UK and International
Voice, Email, Text or Data bolt-ons.
For the purposes of Vodafone Business Clarity a customer can
migrate up and down the Clarity parent ladder at any time during the
contract duration dependent upon the number of connections. This
will allow the customer to move to the best value tariff, dependant
on the size of their account. Customers will NOT be automatically
migrated to the best-priced plan for their number of connections. The
customer must inform Vodafone Partner Services when they wish to
move to a more effective Vodafone Business Clarity tariff.
Please note that a customer cannot move from a 24 month Hardware
version of Business Clarity to a Non-Hardware version of the tariff
while still in commitment.
In life customers on Mobile Broadband £12.77 / £18.00 contracts
cannot migrate downwards to either £3.00 or £5.00 tariffs, or to any
3 month / 12 month / 18 month offerings. This includes at point of
in-life renewal.
Out of contract customers (including those eligible for full term
renewal) can only migrate downwards to these tariffs with prior
commercial approval.
Customers migrating downwards in line with above will not be eligible
to receive Banding renewal payments as per standard Pay Plan Policy
on downward tariff migration.
Any existing customers migrating to 3 month tariffs with prior
commercial approval and then subsequently disconnecting
within 12 months of renewal WILL be subject to disconnection /
churn measurements.
Fraud
Where a customer has been disconnected for non-payment and has
never paid a bill, Vodafone will deem that customer to have been
fraudulently connected.
For these disconnections, the entire commission paid will be
clawed back.
In addition, through routine investigation or other means, where
an active connection is suspected to be fraudulent, the Business
Partner will provide a copy of the correctly completed contract and
all relevant documentation for Vodafone to establish whether actual
fraud occurred.
Should this be found to be in order, then no further action will be
taken.Should the Business Partner fail to comply with the request for
documentation within 30 days of the request, the entire commission
paid, including any volume bonuses will be clawed back.
Where the requested documentation is submitted to Vodafone but is
clearly found to be fraudulent (based on reasonable expectations of
the Business Partner’s employees or representatives to be able to
identify fraud, rather than specific expertise), the entire commission
paid, including any volume bonuses will be clawed back.
Full details of any actual fraud will be made available to the Business
Partner in order that they can review this and take appropriate
correcting actions.
Fraud will include but is not limited to:
• Amendments to a customer contract post signature that the
customer is unaware of or has no record of.
• Forged or inappropriate signatures on documents.
• Obtaining blank copies of customer purchase orders or the like.
• Placing the customer on a contract term that the customer has
not agreed to.
• Knowingly accepting connections that will have zero usage.
• Connecting a parent handset (or added value bundle) to an
existing customer account and subsequently removing or
downgrading an existing connection in order to remove a similar
feature or value.
• No time limits shall apply to any commission clawback in relation
to fraud. Daisy Distribution reserves the right to claw back at any
point where fraud is discovered.
Non-Compliance
As well as the above specific cases for clawback, all other customer
disconnections within the first six months of connection may also
be subject to commission clawback where It is shown that the
Business Partner has not complied with credit checking and /or other
operational procedures.
Business Partners will be required to provide evidence of compliance
by submitting copy contracts and proofs.
Where no evidence of compliance is submitted or substantiated,
the entire commission paid (including any volume bonuses) will be
clawed back from the Business Partner.
This does not affect Vodafone’s right to audit contracts from time to
time, as part of routine business procedures.
Zero-Usage Clawback
For Company Caller, Commercial Caller and Business Caller tariffs,
Vodafone will monitor for any zero usage after connection. Where it is
found that a tariff connection has no minutes or data usage, the entire
commission paid in respect of that connection (including any volume
bonuses) will be clawed back from the Business Partner.
Upgrade Commission Clawback
When a customer is upgraded they are put onto a 90 day clawback
period. If a customer should cancel within 90 days after upgrade,
Vodafone will clawback the upgrade commission.
Fixed Dialled SIMs
Any order requiring fixed dialled SIMs will be treated as bespoke
and must therefore be referred for approval before connecting the
deal as the commission payable may need to be reviewed to reflect
the ARPU.
Fixed Cellular Device
Vodafone Partner Services does not accept any equipment containing
a SIM card which enables the routing of calls from fixed apparatus to
mobile equipment by establishing a mobile to mobile call.
Disconnect/Reconnect (D/R)
In addition to the provisions for commission clawback Daisy
Distribution shall also clawback the entire commission for any new
connections where a D/R has been identified.
A D/R is defined as an existing Vodafone customer who either:
Disconnects the existing connection within 365 days before making
a new connection or Disconnects the existing connection within 365
days after making a new connection.
This applies to D/R within the same Vodafone billing base (e.g. ZYGO
to ZYGO), or across Vodafone’s various billing bases (e.g. Libra to
ZYGO), and across all Vodafone’s sales channels (i.e. Indirect to
Indirect, or Direct to Indirect).
Any Business Partner found to have deliberately encouraged the use
of D/R on three or more occasions shall be subject to termination.
For the purpose of this policy a customer who is ported out to another
Network and subsequently ported back in to VF within 12 months will
be defined as a Disconnect / Reconnect.
Unrestricted Policy
Customers who are on ‘unrestricted’ data or voice price plan or data
bundle are allowed to use their mobile internet for (1) calls over
the internet (voice over IP); and/or (2) peer to peer communication
services. If customers use their mobile internet for (1) and/or (2)
above and are not on an unrestricted data bundle we may do one or
more of the following:
1. block access to the services; and/or
2. restrict network performance; and/or
3. charge you for use at the full published rates as set out at www.
vodafone.co.uk
Re-sign Rules & Rules of Engagement
Resign Rules
For 18 and standard 24 month contracts, customers can re-sign
within 60 days of contract end date.
To be eligible for re-sign commission, any contract duration shortfall
must be added to the new contract, otherwise the re-sign is not
eligible for commission.
Customers on a 24 month contract are able to re-sign between
months 12 and 22, providing the customer re-signs a further 24
month contract. In this case, the Partner will receive the 24 in-life
re-sign commission.
Vodafone Migrations
Based on your feedback at the Partner Boards and the recent VPS
event we will be making some adjustments to our current migration
policy. The changes reflect our commitment to protecting your base
with Vodafone and will apply to all Vodafone channels, effective 1st
January 2012.
If you wish to migrate a customer any contractual obligations must
be settled in full with the current Vodafone channel. This means
that customers will start a new contract. Existing contract end dates
cannot be mapped across channels.
If a customer wishes to change Channel/Partner the following
commercial terms will apply:
• Zero upfront commission.
• Standard pay plan on-going commission for a review period*
• In-life renewal will be permitted**
*All Partners will be paid standard pay plan on-going commission.
**The review period will be defined as the period following
connection through until the in-life eligibility date. At the end of
this period the customer will be eligible for an in-life renewal
via the Managing Partner if both parties are happy to continue
the relationship.
Customers who are already on the Gemini Billing System must
remain on this platform to ensure they receive continued service with
no disruption. ZYGO Partners will be set up with a Gemini Dealer Code
for these instances.
Tariffs & Commissions
Secondary Product up sell at Voice Re-sign
Mobile Internet and Email Add on commission
If a Mobile Internet and Email add on is connected to the ctn then
standard SOC commissions will be applied.
Mid-Contract Bolt-Ons
If adding a data bolt-on at any point in the contract other than at
upgrade or in-life:
• Connection will be paid a pro-rated commission as detailed in
the Partner bulletin.
• Connection will NOT receive a commission payment if the
number has a previous data bolt-on.
• Connection will NOT receive a commission payment if adding
Roaming to an existing data bolt-on.
Text-Max / International and Roaming Sharers / Bundles
Text Max bolt-ons and International and Roaming Sharers / Bundles
only attract commission when added at point of connection.
ARPU
All Vodafone’s commissions are based on an assumed level of
customer spend. As such, Vodafone reserves the right to revise
maximum handset limits from those published, for some or all
Business Partners, following a review of customer ARPU.
In all instances, Daisy Distribution reserves the right of offset any
commissions or revenues due against monies due to it.
Irrespective of all of the above, Daisy Distribution reserves the right to
pass on any clawback received from the network.

Orange Terms & Conditions
Clawback
Daisy Distribution reserves the right to reclaim in full or part any
commissions or bonuses paid, including but not limited to the
revenue share (value share payment), advance payment, equipment
connection commission, upgrade service plan bonus, volume
bonus, commission, service plan commission or value added service
commission in the following circumstances:
1. Where the connection has been identified by Orange as
fraudulent. Daisy Distribution reserves the right to clawback
100% of the value share payment, the advance payment
and Commissions paid or payable in respect of fraudulent
connections unless the dealer can show to Orange’s satisfaction
that it used all reasonable endeavours (which shall include
complying with any applicable Orange procedures notified to
the dealer by Daisy Distribution) to verify the customer’s identity
and can provide copies of appropriate identity documents
obtained from the customer, in which case Daisy Distribution
may at its sole discretion repay 50% of Commissions paid or
payable in respect of that connection. For the avoidance of
doubt the 100% clawback of the value share payment and
advance payment is not repayable.
2. Where a fraudulent connection or upgrade is made to a SIM
only service plan, Daisy Distribution reserves the right to
clawback 100% of Commissions payable, even if satisfactory
proof of identity is obtained by the dealer.
3. Where a connection is terminated for call reselling as identified
by the Orange fraud team. For the avoidance of doubt, call
reselling is defined as the fraudulent use of an Orange SIM card
to route calls for Orange devices originated on other mobile
and fixed networks through call reseller’s equipment. The aim
being to gain financial benefit but the impact being reduced
revenues for Orange and reduced quality of service for the
Orange customer.
4. For the avoidance of doubt, where no payment to an account
has been received or where any outstanding payments
remain due in relation to a customer’s account within 120
days of connection, and as a result the customer account is
disconnected, Daisy Distribution will clawback 100% of the
value share payment, 100% of the advance payment and 50% of
any other Commissions paid.
5. Where Value Added Services or data bundles are sold and
subsequently disconnected within 120 days of connection.
6. Where Loyalty promotions are sold and subsequently
disconnected within 120 days of connection.
7. Where a customer connected through Mobile Number Transfer
is subsequently disconnected within 120 days of connection.
8. Where Orange suspends or terminates a customer from the
Network within 120 days of connection due to a breach by the
customer of the Orange network terms and conditions
9. Where Orange believes, in its sole discretion, that a consumer
customer has been connected to a business service plan or
vice versa.
10. Daisy Distribution reserves the right to clawback any
commissions after 120 days following any connection or service
plan change when, in the sole belief of Orange, the change of
service plan, connection or disconnection has been made for
the commercial gain of either.
11. For the avoidance of doubt, connections identified pursuant to
clauses 1 to 10 above (inclusive) will be disregarded in assessing
any revenue share, advance and/or volume bonus payable.
12. Daisy Distribution reserves the right to levy the following
charges if in any calendar month the number of Devices
(excluding PAYG Devices) terminated under the 14 day money
back policy as a percentage of the number of Connections of
Devices (excluding PAYG Devices)
• Up to 5% - no charge
• 5% or more but less than 6.25% - £10
• 6.25% or more but less than 7.5% - £15
• 7.5% or more - £20
This charge will be levied for each Device (excluding PAYG
Devices) disconnected under the 14 day money back policy
during the relevant calendar month.
13. Daisy Distribution reserves the right to levy the following
charges if in any calendar month the number of handset
upgrades which are cancelled as a percentage of the number
of handset upgrades in the same calendar month exceed the
thresholds set out below:
• Up to 5% - no charge
• 5% or more but less than 10% - £20
• 10% or more - £50
This charge will be levied for each handset upgrade which is
subsequently cancelled. The percentages will be calculated in
respect of mobile Devices supplied by Orange only.
14. In the event that a customer disconnects from the network
and reconnects within 120 days as a new customer, Daisy
Distribution reserves the right to clawback any monetary
difference between the Commissions payable on acquisition
of new customers and Commissions payable on the equivalent
upgrade at the time of reconnection.
15. Daisy Distribution reserves the right to clawback any
commissions and revenue share, paid to upgrades or
connections (including NHO) working through Gateway devices
(multi SIM systems) and not mobile handsets.
Terms
a. Once a connection has been made to the Network, usage may
be monitored by Orange on an ongoing monthly basis. If a
connection remains inactive or reverts to being inactive during
the term of the contract, Daisy Distribution reserves the right
to claw back all commissions paid in respect of the inactive
connections.
b. Inactivity will be measured as a percentage of total connections
from the same calendar month (e.g. connections made in July
2011 that are found to be inactive will be divided by the total
number of connections made by the dealer in July 2011 to
arrive at the inactivity percentage).
If inactivity on all connections made by the dealer is above 10%
in any month, the dealer will have all commission clawed back
on all inactive connections in the period.
c. The measurement is based on all connections made since 1st
July 2008 and will be measured monthly at Orange’s discretion
using Orange’s method of calculation. Any new connections to
an account in the 30 days before the measurement is taken will
be excluded from the measurement, as Orange accepts that
there may be a short ramp-up period on new connections.
d. For the avoidance of doubt, it is the dealer’s responsibility to
ensure connections become and remain active, to ensure that
commission payments remain eligible.
In all instances, Daisy Distribution reserves the right of offset any
commissions or revenues due against monies due to it.
Irrespective of all of the above, Daisy Distribution reserves the right
to pass on any clawback received from the network.
T-MOBILE Terms & Conditions
Disconnection Clawback (including additional services disconnections):
Where a customer disconnects for any reason (including fraud and non-payment) or de-activates any service within 120 days of connection, Daisy Distribution will clawback in full all elements of the commission,
including all additional bonuses.
Tariff Migrations:
If, within 120 days of connection, a customer migrates to a price plan with a lower commission rate than that of the price plan the customer originally connected to, Daisy Distribution will clawback the commission
differential between the tariffs. This includes Postpay to Prepay migrations without an IMEI which have zero value commissions.
Handset Returns Cap:
Postpay handset returns are capped at 4.5%. Prepay handset returns are capped at 4.5%. At the end of each quarter the Postpay / Prepay returns will be calculated and each return in excess of the cap will result in a
clawback of £80 per Postpay handset and £40 per Prepay handset.
Renewal Disconnection Clawback:
If a customer is disconnected for any reason (including fraud and non-payment) or de-activates any service within 120 days of renewal, Daisy Distribution will clawback in full all elements of the commission, including
all additional bonuses.
Renewal Return Clawback:
Where a renewal is returned within 120 days of the date of renewal, Daisy Distribution will clawback all elements of the renewal commission in full, including any additional bonuses.
Data Price Plan renewal clawback:
Handsets / cash renewals will be clawed back in full in the event of them being paid where a customer is renewing on to a data only price plan.
Business Proofs:
Where correct proofs are not collected and / or are not produced on request for audit, Daisy Distribution reserves the right to clawback in full all commissions and benefits in relation to a breach of acceptance process.
In any event a clawback of £40 will be levied where the dealer has failed to collect correct proofs in accordance with the T-Mobile policy.
Disconnect / Reconnect:
No commissions will be paid.
In all instances, Daisy Distribution reserves the right of offset any commissions or revenues due against monies due to it.
Irrespective of all of the above, Daisy Distribution reserves the right to pass on any clawback received from the network.
