The earnest money as indicated above shall have to be deposited by the tenderers along<br />

with application for issue of tender by a Bank Draft/Pay order of a<br />

scheduled/nationalized banks or call deposited receipt in favour of Agricultural Produce<br />

1. Eligibility Criteria:<br />

(i) The agencies / firms should have satisfactory completed three works of<br />

similar nature each of value not less than Rs. 75 Lakhs or two similar woks<br />

each of value not less than Rs. 1.1 Crore or one similar nature work of value<br />

not less than Rs. 1.5 Crore in Central Govt./State Govt./Public Sector<br />

Undertakings / co-operatives during the last five years ending December,<br />

2006.<br />

(ii) The agencies / firms should have satisfactorily completed three projects of<br />

LAN and WAN implementation of not less than 120 nodes.<br />

(iii) Consortiums / Joint Ventures are not accepted.<br />

(iv) The successful installation certificates issued by the officer of the client of the<br />

rank of Executive Engineer or equivalent will have to be furnished along with<br />

the application. The successful installation certificate must clearly indicate the<br />

past work done. If work is not done in a Government department then along<br />

with the experience certificate proof of income tax deducted at source (TDS)<br />

has to be produced without which experience shall not be considered. The<br />

experience certificate should indicate:-<br />

(a) The date of start and date of completion of work.<br />

(b) Nature of work.<br />

(c) That the work has been completed satisfactory.<br />

(d) Amount of work completed.<br />

2. If any information furnished by the tenderer is found incorrect at any stage, then his<br />

tender shall be rejected.<br />

3. As following:<br />

3.1. The tenderer shall submit the offer under two Bid system i.e. Technical Bid and<br />

Commercial Bid in a sealed envelope. Packet “A” marked as Technical Bid shall<br />

also have documents in support of eligibility criteria, Packet “B” marked<br />

Commercial Bid shall have tender forms, rates, schedule of quantity.<br />

3.2. In case of downloaded tender the earnest money deposit and cost of tender, in<br />

the form of Demand Draft shall be kept in a separate sealed envelope marked<br />

EMD / CTD.<br />

3.3. All the sealed envelopes as in 3.1 and 3.2 above shall be kept in a separate<br />

bigger size sealed packet-mentioning Name of work, NIT No. and due date of<br />

opening.<br />

4. No clarification regarding this tender document shall be entertained individually.<br />

5. The bidder can seek any clarification before seven days of the submission of the bid.<br />

No clarification would be provided thereafter.<br />

6. The tenders shall be received on XX upto 3.00 P.M and Technical Bid shall be<br />

opened on the same day at 3.30PM in the office of the Secretary, Agricultural<br />

Produce Marketing Committee, New Office Complex, NFM Phase-II, AZADPUR, Sarai<br />

Pipal Thala, DELHI –110033 in the presence of tenderers or their authorized<br />

representative who may like to attend. Tender received after the prescribed time<br />

and date shall not be considered.<br />

7. The date and time for opening of Commercial Bid shall be intimated later on. The<br />

commercial bid shall be opened only for those tenderers, who are technically<br />

qualified and comply with all the terms and conditions of the tender. In this regard<br />

decision of competent authority shall be final and binding upon all parties. The APMC<br />

reserves the right to reject any or all the tenders without assigning any reason.<br />

8. The NIT can be seen on website www.delhigovt.nic.in and<br />

www.apmcazadpurdelhi.com and the tender documents can also be downloaded<br />

from the above websites. In case of downloaded tender, the cost of tender and<br />

earnest money in the form prescribed above shall be enclosed as prescribed above<br />

PART-I: FUNCTIONAL AND TECHNICAL SPECIFICATIONS<br />

1 Introduction<br />

1.1 About APMC, Azadpur<br />

The Azadpur fruit and vegetable market, spread over an area of 43.65 Acres was<br />

constructed by the Delhi Development Authority in the year 1977. In the New Sabzi<br />

Mandi (NSM) the allotments of Shops to Traders was made and the market was<br />

maintained by APMC till 01.12.1979 after which, the maintenance of services of the<br />

market was handed over to APMC, Azadpur. Subsequently about 33 Acres of more land<br />

was acquired by APMC, Azadpur to develop a New Fruit Market (NFM) contiguous to the<br />

existing New Sabzi Mandi (NSM) at Azadpur.<br />

The Azadpur market, rechristened as Ch. Hira Singh Fruit & Vegetable market, Azadpur<br />

operates as per the Delhi Agricultural Marketing, Regulation Act, 1998 and the Delhi<br />

Agricultural Produce Marketing (Regulation) General Rules, 2000. Also the Azadpur<br />

market has been declared as Market of National Importance on 07.01.2004. The<br />

purpose of regulation is to ensure orderly marketing to safeguard the interests of both<br />

producers/sellers and consumers by eliminating any malpractices like short payment,<br />

delayed payments, unauthorized deductions and indulgence of too many intermediaries.<br />

The aim is to ensure such economic, legal and infrastructural conditions that are<br />

conducive to competitive marketing.<br />

Further Okhla fruit and vegetable market was developed by APMC and handed over to<br />

APMC Azadpur as its sub-yard in1987 and the maintenance of services for this Okhla<br />

Sub-yard is being done by APMC, Azadpur. The activities performed at the Okhla Subyard<br />

are mostly similar to those in Azadpur but only at a smaller scale.<br />

The Azadpur Railway Station has also been declared as a subsidiary yard of the principal<br />

market of Azadpur for fruits like banana, orange and mango coming from southern<br />

states.<br />

APMC Azadpur also developed a farmers market at Kissan Haat, Chattarpur to avoid the<br />

middleman and enable consumers to buy the Fruit & Vegetables on reasonable rates<br />

directly from the Farmers. As a result the life span is increased & the consumers may<br />

obtain fresh and qualitative fruit & vegetables. The maintenance of Kissan Haat is done<br />

by APMC, Azadpur.<br />

Further to this, land was acquired by APMC, Azadpur on the sides of GT Road in Tikri<br />

Khampur area for the development of fruit market. At present a check post has been<br />

constructed for incoming fruit carrying trucks coming to Delhi from the Northern Hill<br />

States of Jammu & Kashmir and Himachal Pradesh. The maintenance of this land is<br />

done by APMC, Azadpur and at present the land is being used for halting and parking of<br />

vehicles, which are mainly trucks, heading towards the Azadpur mandi. It is proposed<br />

that a fruit market will be made at this land.<br />

The Ch. Hira Singh Wholesale Fruit And Vegetable Market, Azadpur or the Azadpur<br />

Mandi, as it is commonly called, is today the biggest Fruit and Vegetable Market in the<br />

continent of Asia. This is the Market of National Importance (MNI) and has assumed the<br />

character of a National Distribution Centre for important fruits like Apple, Banana,<br />

Orange, Mango etc. and vegetables like Potato, Onion, Garlic, Ginger etc.<br />

1.2 APMC, Azadpur Computerization project<br />

As transactions increase in volume and the needs at APMC, Azadpur become more and<br />

more complex it becomes obvious to look for better efficiency and greater convenience<br />

as well as better returns. APMC, Azadpur believes that its employees should be able to<br />

concentrate fully on main and value added functions and spend little time on repeated<br />

work like preparing routine reports and statements.<br />

Thus to ensure meeting of objective and delivery of quality services to its stakeholders,<br />

it becomes imperative that the processes are efficient, and suitably enabled by<br />

technology. The recent stride in Information Technology presents new opportunities for<br />

process improvement and efficiency enhancement within the Organization. With this aim<br />

in mind, APMC has undertaken the ‘APMC, Azadpur Computerization project’.<br />

The main objectives of the computerization of APMC, Azadpur are as follows:<br />

1. Ease of Administration and reduction in Manual work<br />

2. Improving Revenue generation and collection from Market Activities<br />

3. Improving the Quality of Service and Information to all the market functionaries<br />

and farmers<br />

4. Centralized storage and access to Internal and Market related Data<br />

1.3 Scope of Work and Deliverables<br />

The scope of the project involves complete supply, design, implement, final acceptance<br />

tests of LAN, WAN, Hardware and related products and services for the Computerization<br />

of APMC, Azadpur. The entire activity should be completed as per the Project Plans.<br />

The Detailed Bill of Materials and Specifications annexed with this TENDER may be<br />

considered as an integral part of the scope of work and intending bidders should take it<br />

into account while estimating their efforts and bids.<br />

The broad scope of work of this engagement would include:<br />

1.3.1 Broad Scope of Work<br />

a) Supply, delivery, installation and commissioning of all Products/equipments at<br />

various sites of APMC, as mentioned in Annexure 5 of this tender, following<br />

the Bill of Materials Section of the tender<br />

b) Design, installation & commissioning of the LAN and WAN, at the locations<br />

mentioned in Annexure 5. The scope of work will also include designing of<br />

network, IP Addressing, Planning for Redundancy & Security, provisioning for<br />

connecting to SWAN/NICNET in future etc. for various locations of APMC,<br />

Azadpur. Maintenance of network links between the various locations of<br />

APMC, Azadpur shall be the responsibility of the vendor.<br />

c) Final Acceptance Testing of the Hardware equipments, networking<br />

equipments, LAN & WAN,<br />

e) Training and Handover<br />

1.3.2 Any work/service and any product/equipment, not specifically mentioned in the<br />

tender, but considered essential for the completion of work in all respects, shall<br />

be deemed to be included in the Scope of Work of the Successful Bidder.<br />

1.3.3 Supply of Products/equipment including active and passive components at<br />

various sites of APMC and Factory Acceptance Testing<br />

a) The Successful Bidder is responsible for the supply of all the<br />

Products/equipment specified in the Bill of Materials section of the tender<br />

viz. routers, switches, firewall, servers, desktops, UPS etc. of appropriate<br />

quantity & capacity which will meet the Technical Specifications outlined in<br />

the Annexure 3 to this tender.<br />

b) The Bidder is responsible for supply of passive components specified in the<br />

Bill of Materials section of the tender viz. Cables, Racks etc.<br />

c) The Bidder shall also quote as optional items and supply as per the Letter of<br />

Intent for all such items and their appropriate quantities that are not listed<br />

in the Bill of Material Section of the tender but are considered necessary for<br />

the successful implementation of the project.<br />

d) The Bidder shall undertake minimum three-years comprehensive on-site<br />

Warranty for all the supplied products/equipment.<br />

e) Final Acceptance Testing: The Bidder will get the Final Acceptance Tests as<br />

specified in this tender<br />

f) The bidder shall execute Annual Maintenance Contract for the<br />

products/equipments including all spares, routine and major repairs for a<br />

period of 3 years. Year wise rates are to be quoted in the format provided<br />

in Annexure 2.<br />

1.3.4 Design of the Wide Area Network connecting the various locations of APMC,<br />

g) The Successful Bidder shall submit the detailed design document to APMC<br />

1.3.5 Installation and Commissioning of Local Area Network and Wide Area Network at<br />

all the locations of APMC, Azadpur and Final Acceptance Testing<br />

i. The Bidder shall install, integrate and commission the APMC Wide<br />

Area Network connecting all locations of APMC and will keep provision for<br />

connecting to SWAN/NICNET.<br />

APMC, Azadpur can arrange provision of VSAT-based connectivity from the<br />

Service Provider for that location. The Bidder shall so install and commission<br />

the network that these VSAT locations, if any, also shall seamlessly get<br />

connected with the other offices for all requirements as specified in the<br />

tender document.<br />

The Successful Bidder shall design, install and commission the<br />

complete LAN at all the locations of APMC.<br />

It shall be the responsibility of the Bidder to bring all the installation<br />

equipment and tools required for the installation of the LAN.<br />

the Directory/Authentication, File & Print services, Creation of domain and<br />

Structured Cabling<br />

A. The Bidder is required to install and commission on a turnkey basis, the<br />

structured LAN cabling involving CAT6 cables, Surface Mount I/Os, 3’ CAT<br />

6/CAT6 patch cord, 7’ CAT 6/CAT6 patch cords, Jack Panel, PVC conduit /<br />

casing / capping with accessories, any other required components such as<br />

labels, ferrules etc., and all associated civil works at all the locations in<br />

accordance with the following guidelines.<br />

• Carrying out of the required surveys prior to installation work is the<br />

responsibility of the Successful Bidder, if deemed necessary.<br />

• The LAN cabling job should be carried out under the supervision of<br />

certified engineers.<br />

• All the wiring should be fully concealed inside the conduit and no cable<br />

(except patch cords) should be visible to the naked eye.<br />

• The actual ratio of trenching and casing work will depend upon the site<br />

layout. The Bidder is advised to familiarize itself with the site layout of<br />

APMC offices and locations through representative surveys/site visits and<br />

ascertain the actual ratio.<br />

• The cabling shall be properly labeled and ferruled so as to facilitate easy<br />

identification and maintenance. The labeling and ferruling shall be<br />

documented.<br />

• All civil work like cutting, chasing, drilling, etc. shall be finished to ensure<br />

smooth leveled surfaces matching the existing surface finish without<br />

disturbing the existing aesthetics of the office to the extent possible.<br />

• All waste material shall be properly disposed off from APMC premises in<br />

an environment friendly manner and compliant to applicable civil /<br />

municipal guidelines.<br />

B. Testing, in conformance to measurement procedures and test parameters for<br />

CAT 6 installations as defined in TIA/EIA-568-B standards, of each node at<br />

each site using a pentascanner. The certified test results are to be submitted<br />

to APMC in hard copy.<br />

C. Certification of each site for minimum 10 years performance warranty based<br />

on the above test results from the manufacturer of the structured LAN<br />

cabling components.<br />

x. Power Cabling<br />

A. The Bidder is required to install & commission the Power Cabling from the<br />

power source to the UPS & from the UPS to the equipments like desktops,<br />

servers, racks etc. that involves design, laying, fixing, installation, &<br />

commissioning of the power cabling system including electrical box / boards,<br />

cables, UPS, MDB, MCB, and associated civil works at locations of APMC on a<br />

turnkey basis in accordance with the following guidelines.<br />

(i) The power-cabling job should be carried out under the supervision of<br />

skilled electrical technicians.<br />

(ii) All the wiring should be fully concealed inside the conduit / G.I. pipe /<br />

Aluminum Channel and no cable should be visible to the naked eye.<br />

(iii) The cabling shall be properly labeled and ferruled so as to facilitate<br />

easy identification and maintenance. The labeling and ferruling shall<br />

be as documented.<br />

(iv) All civil work like cutting, chasing, drilling, etc. shall be finished to<br />

ensure smooth leveled surfaces matching the existing surface finish<br />

without disturbing the existing aesthetics of the office.<br />

B. The Bidder is required to ensure a proper electrical earthing for Power<br />

Cabling is available in the APMC offices. The bidder is also required to<br />

properly earth the UPS. The Bidder also shall repair the existing power<br />

earth(s), if any, and make sure that the existing earth is working properly.<br />

C. Each electrical point should be tested with line tester / multi-meter. Test<br />

results are to be submitted to APMC in hard copy.<br />

xi.<br />

Final Acceptance Testing: The Bidder should get the Final<br />

Acceptance Tests as specified in this tender document. (The Final Acceptance<br />

Tests shall cover the Functional Tests of LAN and WAN components,<br />

Structured Cabling and Power Cabling. The Final Acceptance Test Procedure<br />

shall also include tests to verify the data traffic handling capability of the LAN<br />

and WAN networks.).<br />

1.3.6 Scope of Work for Network Management Support and Remote Monitoring: The<br />

Contract period for this will start after the Final Acceptance Sign-off of all the<br />

hardware, LAN and WAN as per this tender.<br />

a) Services – The Successful Bidder shall provide the following services for<br />

1.3.7 General Scope of Work Clauses<br />

a) Implementation Methodology – The Bidder shall adopt industry best<br />

practices to ensure smooth implementation of the project including but not<br />

limited to: -<br />

i. Preparation of Project Schedule & Charter - a detailed location wise<br />

project schedule conforming to the overall Time frame of the project<br />

ii. Understanding the requirements for the project with specific details to<br />

kick-off the project as per schedule<br />

iii. Formulation of the Project Team with dedicated Program Manager for<br />

deploy extra resources to complete the project as per the timelines, if<br />

required.<br />

The Bidder shall submit the Project Schedule & charter and the Project<br />

Team Structure for approval to APMC within 1 week from issue of Letter of<br />

Intent.<br />

b) It shall be the responsibility of the Successful Bidder to bring all the<br />

installation equipment and tools required for the installation of the<br />

LAN/WAN.<br />

c) The Successful Bidder has to provide all necessary assistance to the APMC,<br />

Azadpur in resolving regulatory issues like obtaining Clearances/License<br />

from any government agency/regulatory authority, as required for setting<br />

up of the communication network.<br />

d) The Successful Bidder has to be responsible for liasoning with the<br />

Bandwidth provider for provisioning of the required connectivity services for<br />

successful and timely implementation.<br />

e) The Successful Bidder has to submit all relevant documentation pertaining<br />

to the entire network, for Remote Management of the Network. This should<br />

minimally cover the User Manuals, Operation Manuals, Manufacturer<br />

Supplied Technical Documentation, Configuration of all the Network<br />

Devices, all relevant diagrams/documentation required in hard copy as well<br />

as soft-copy. The documentation for Structured Cabling shall minimally<br />

cover detailed schematic layout of the structured cabling system with<br />

respect to the floor plan with details of cable numbering (labels and<br />

ferrules), wiring diagram for each node, test report for each node and pinout<br />

diagram for each jack panel. The documentation for Power Cabling shall<br />

minimally cover the detailed schematic layout of the power cabling system<br />

with respect to the floor plan with details of cable numbering (labels and<br />

ferrules).<br />

f) The Successful Bidder should provide free-of-cost training for two man<br />

weeks to APMC officers or its identified personnel in Operation, Testing,<br />

2 Proposed System Overview<br />

2.1 Applications Overview<br />

In its endeavor to streamline operations and deliver better services, APMC, Azadpur has<br />

embarked upon a Computerization initiative. This proposed solution framework would<br />

form the Integrated Mandi Management System (IMMS) aimed at serving a particular<br />

category/categories of stakeholders. Based on the functional requirement study, it has<br />

been proposed that the software should be a 3-layer software, which are:<br />

Layer I: Internal Branches Layer<br />

In this layer the focus has been “automation” of the current manual processes with very<br />

little or no process re-engineering involved. Most of the processes are governed by the<br />

Acts/Rules/Notifications and hence the benefit of computerization would arise mainly<br />

from automation/ online connectivity rather than any Business Process Reengineering.<br />

4 Operational Requirements<br />

4.1 Introduction<br />

This section outlines the operational requirements of Computerization Project at APMC,<br />

Azadpur. It should be noted that the Vendor selected for the Computerization Project<br />

would be involved in the implementation of the solution as well as ongoing support<br />

• All the products to be supplied shall conform to the relevant technical specifications<br />

as mentioned in this document. Bidders have to give complete compliance to the<br />

Technical Specifications mentioned in this tender along with reference to<br />

documentary support, giving the page and clause number of the<br />

document.<br />

• All the equipment shall operate in 230 + 5V AC power.<br />

• All the Networking Elements (Routers, Switches and Firewall) should be from the<br />

same OEM.<br />

• The OEM of the networking components should have supplied the routers, switches,<br />

firewalls and the other critical network elements to at least 5 customers in India<br />

whose networks should be running with the respective OEM’s products in at least 20<br />

sites each. Documentary proof of the same should be submitted along with the<br />

Technical Bid.<br />

• The OEM of the critical network equipments like routers, switches, firewall, IDS<br />

should have ISO international quality certification for manufacturing networking<br />

products. Documentary proof of the same should be submitted along with the<br />

Technical Bid.<br />

• Software version of the equipment being supplied must be latest & must be<br />

indicated.<br />

• All the latest Software Updates/Upgrades and/or Patches shall be installed along<br />

with associated hardware and memory upgrade necessary for running the system, at<br />

each site for the entire period of Warranty by the Successful Bidder at no extra cost<br />

to the APMC, Azadpur. The Successful Bidder shall get the Acceptance Testing of the<br />

system done by the authority designated by APMC for all functions of all systems<br />

after the implementation of Software Updates, Upgrades and Patches in each<br />

system.<br />

• No freeware shall be supplied as part of the proposal.<br />

• All software quoted as part of the solution shall be licensed for unlimited period.<br />

• The LAN cabling components and the system (cables, I/Os, Patch Cords and Jack<br />

Panel) shall be of the same make at all the locations of APMC<br />

o IEEE 802.3 compliant<br />

o UL listed<br />

• The PVC conduit / casing / capping / all accessories and other required components<br />

including labels, ferrules, and any other proposed components shall be ISI certified.<br />

• The Warranty for the cabling system shall be covered by certification of minimum<br />

ten-year warranty provided by the manufacturer and contractor on all the products<br />

within the system.<br />

• All electrical components used must be ISI certified.<br />

• The Bidder shall provide the details (technical specifications, dimensions, brochures,<br />

make, model, photo catalogues, and conformance to standards mentioned in this<br />

document about the quoted LAN cabling components and system.<br />

• The Bidder shall, quote as optional items and supply as per the Letter of Intent, all<br />

such items and their appropriate quantities that are not listed in the Bill of Material<br />

Section of the tender but are considered necessary for the successful<br />

implementation of the project.<br />

4.3 Implementation Schedule<br />

• Delivery Schedule: The delivery of all the equipments/materials should be done<br />

within 8 weeks from the date of order confirmation.<br />

• The products/equipment shall be supplied as per the requirements of APMC, Azadpur<br />

and within the time period specified in the Letter of Intent.<br />

• The complete installation of LAN and WAN networking components, servers,<br />

desktops, UPS, software etc. shall be completed successfully as per the schedule to<br />

be provided to the successful bidder.<br />

• The Successful Bidder shall get the Final Acceptance Testing completed successfully<br />

as per the schedule to be provided to the successful bidder.<br />

• In case the Final Acceptance Tests fail(s), all the liability will be of the Successful<br />

Bidder.<br />

4.4 Performance and Spares<br />

The Bidder shall specify in the Technical Proposal the complete list of spares that will be<br />

maintained for meeting the various SLA parameters specified in the tender.<br />

The Successful Bidder shall stand guarantee for the supply of spares of all the<br />

equipment under the scope of supply for a minimum period of 3 years from the date of<br />

sign-off of the Final Acceptance Tests and also guarantee that discontinuity of<br />

production of any item offered as a part of the system shall not affect the maintainability<br />

of the system for a period of 3 years from the date of sign-off of the Final Acceptance<br />

Tests.<br />

4.5 Support Requirement<br />

Vendors must specify the support they propose to offer under the following heads. The<br />

selected Vendor would assume primary responsibility for:<br />

• Authenticity of proposal(s)<br />

• Implementation support<br />

• Testing<br />

• Warranty support and Annual Maintenance<br />

4.6 Project Management<br />

Computerization Project is a multi-departmental initiative. Its implementation is complex<br />

and can go out of control unless all the stakeholders, especially the vendor designs and<br />

implements a comprehensive and effective project management methodology. The<br />

following requirements are therefore prescribed in this regard:<br />

4.6.1 Work Program<br />

The vendor should design a detailed Project Plan, which should include the following<br />

components:<br />

• Project Organization and Management Plan<br />

• Delivery and Installation Plan<br />

• Testing Plan and Methodology<br />

• Training Plan, Methodology and Training Details<br />

• Any other relevant items related to the Program Development<br />

4.6.2 Program Implementation<br />

The vendor shall:<br />

• Assume overall responsibility of managing and monitoring the project as per the<br />

indicative Time Schedule as specified in the tender or to be provided to the<br />

successful bidder.<br />

• Monitor the progress of change management plan as laid out in the tender in<br />

order to enable smooth transition to the new system<br />

4.6.3 Reporting<br />

The vendor shall submit to the Project Coordinator, APMC the following reports:<br />

• Weekly progress reports, summarizing:<br />

Results accomplished during the period;<br />

Cumulative deviations to date from schedule of progress on milestones as<br />

specified in tender read with the agreed and finalized Project Plan;<br />

4.7 Documentation<br />

The Implementation Partner is required to submit documents as mentioned in different<br />

sections in this tender.<br />

4.8 Training Requirement<br />

The Successful Bidder shall provide free-of-cost training for four weeks, as per the<br />

schedule of APMC, to APMC officers or its identified personnel in Operation, Testing,<br />

Maintenance of hardware and software of the Network Equipment, Interconnection<br />

details of attached hardware, General Network Capabilities and technologies involved<br />

and configuration and troubleshooting of the equipment. The training modules and their<br />

duration shall be finalized in consultation with APMC.<br />

The Successful Bidder shall also supply detailed training material to APMC, to enable<br />

APMC to train more number of officers independently. The Training shall be held at the<br />

APMC Office, Azadpur. Any expenses related to travel, boarding and lodging, etc. of<br />

APMC officers/its identified personnel shall be borne by APMC.<br />

4.9 Service Level Agreement<br />

Availability would be measured on a monthly basis for reporting to APMC. However, the<br />

availability statistics calculated on a quarterly basis would be considered for determining<br />

the penalties chargeable, if any.<br />

The Outages requested by APMC or Successful Bidder for agreed scheduled downtimes<br />

will not be taken into account for the calculation of availability:<br />

4.10 Handover Clause<br />

At the end of the specified warranty period, APMC may exercise its option to renew the<br />

warranty with the existing Implementation Partner or may invite fresh bids for<br />

If handover is required to a vendor other than the Implementation Partner, at the end of<br />

the existing warranty or otherwise, the Implementation Partner would be responsible for<br />

handing over the complete know-how, documentation records, network logs, equipment<br />

history and all such relevant items that may be necessary for the transition process.<br />

Testing and User Acceptance<br />

Coordinator APMC, Azadpur Computerization Project will undertake an exercise of<br />

Testing and User Acceptance of Computerized systems as soon as the Implementation<br />

Partner declares the system to be ready for the exercise.<br />

5.1 Acceptance Criteria<br />

The primary goal of Testing & Acceptance is to ensure that the project meets<br />

requirements, standards, specifications and performance prescribed by the TENDER, by<br />

ensuring that the following are associated with clear, quantifiable metrics for<br />

accountability:<br />

• Availability<br />

• Performance<br />

• Security<br />

• Manageability<br />

• Standards and protocols<br />

• Reliability<br />

The project is to be designed to meet all requirements as mentioned in the TENDER.<br />

5.2 Functional Requirement<br />

For each of the features listed in functional requirements, there are operational<br />

requirements, deliverables and a set of standards, wherever applicable.<br />

5.2.1 Performance<br />

Performance is that aspect of service, which is measured in terms of throughput and<br />

latency. Higher throughput and lower latency values represent good performance of a<br />

service. Throughput represents the number of service requests served. Latency is the<br />

round-trip time between sending a request and receiving the response.<br />

5.2.2 Availability<br />

High Availability is a key requirement. The project must provide employees with timely,<br />

continuous access to information - all day, every day. The project must also be able to<br />

rebound or recover from any planned or unplanned system downtime, ensuring a<br />

minimal impact on the operations.<br />

Availability is the quality aspect of whether the service is present or ready for immediate<br />

use. Availability represents the probability that a service is available. Larger values<br />

represent that the service is always ready to use while smaller values indicate<br />

unpredictability of whether the service will be available at a particular time.<br />

Also associated with availability is time-to-repair (TTR). TTR represents the time it takes<br />

to repair a service that has failed. Ideally smaller values of TTR are desirable.<br />

5.2.3 Security<br />

Security is the aspect of the service of providing confidentiality and non-repudiation by<br />

authenticating the parties involved, encrypting messages, and providing access control.<br />

The network can have different approaches and levels of providing security, depending<br />

on the service requester.<br />

5.2.4 Manageability<br />

Manageability needs to be a crucial aspect of an Enterprise Network Solution.<br />

Implementation Partner has to ensure that the network deployed has adequate<br />

monitoring and tracking features for measuring the utilization and availability of<br />

resources. This includes:<br />

• Remote Monitoring of Status and Statistics of all high-level components<br />

• Management capability to start/ stop/ restart services and systems<br />

• Auto discovery of all components manageable<br />

• Auto discovery of all other system components<br />

• Ability to track changes in configuration of the system components to help track<br />

service<br />

• System disruptions<br />

5.3 Final Acceptance Tests<br />

• The Successful Bidder shall carry out the product and network final acceptance tests<br />

in the presence and supervision of the APMC, Azadpur or its designated agency.<br />

• The Final Acceptance Tests shall cover the Structured Cabling, Power Cabling,<br />

Functional Tests of the LAN and WAN components. The Final Acceptance Test<br />

Procedure shall also include tests to verify the data traffic handling capability of the<br />

LAN and WAN networks.<br />

• The Successful Bidder shall prepare the Final Acceptance Test Procedures for the<br />

equipment and the LAN and WAN network functionalities and get the same finalized<br />

with the APMC, Azadpur or its appointed testing authority, within 20 days from the<br />

date of Letter of Intent. The Final Acceptance Test Procedure shall clearly indicate<br />

the specification clause numbers that is covered by each test.<br />

• The APMC, Azadpur reserves the right to ask for modifications/additions to the Final<br />

Acceptance Test Procedure at any point of time till the final acceptance tests signoff.<br />

• The APMC, Azadpur or its appointed testing authority shall supervise the tests<br />

described in the Final Acceptance Test Procedure performed by the Successful<br />

Bidder to confirm that the whole LAN and WAN network installation satisfies the<br />

requirement of specifications including the service performance.<br />

• The Successful Bidder, at its own cost, shall provide the testing<br />

equipment/instruments/software programs necessary for performing and<br />

demonstrating the Final Acceptance Tests.<br />

• The Successful Bidder shall rectify all deficiencies immediately, if found, in the<br />

performance of the system as per the requirement during the Final Acceptance<br />

Tests, at no cost to APMC.<br />

• Once all the Final Acceptance Tests are completed successfully, to the satisfaction of<br />

the APMC, Azadpur, the appointed testing authority shall certify (sign-off) that the<br />

site is fit for commissioning.<br />

5.4 Technical Audits from Time to Time<br />

Successful bidder has to perform bi-annual technical audit of the network himself or<br />

through any designated agency free of charge to APMC, to conform to the performance<br />

parameters stipulated in the tender document within the period of performance<br />

guarantee. The results of the audits should be submitted to APMC.<br />

PART – II: COMMERCIAL TERMS AND BID DOCUMENTS<br />

6 Bid Documents<br />

6.1 Distribution of Tender Documents<br />

A complete set of the TENDER Document shall be sent to the bidders by electronic mail/<br />

postage/ courier. The last date for receipt of the document by hand/ electronic mail is<br />

mentioned in the cover page of this document. The bidder shall bear the risk of delay in<br />

receiving the Tender Documents for any reasons whatsoever.<br />

6.2 Cost of Bidding<br />

The bidder shall bear all the cost associated with the preparation and submission of<br />

proposal including presentation. APMC, Azadpur will in no case be responsible or liable<br />

for those costs.<br />

6.3 List of Documents comprising the Tender<br />

This TENDER document for the Project consists of the following two parts:<br />

• TENDER Part I: Functional & Technical Specifications<br />

• TENDER Part II: Terms and Conditions of the Bidding Process<br />

The bidders are expected to examine all instructions, forms, project requirements and<br />

other information in the TENDER documents. Failure to furnish all information required<br />

by the TENDER documents or submission of a proposal not substantially responsive to<br />

the TENDER documents in every respect will be at the Bidder's risk and may result in<br />

rejection of its Proposal.<br />

6.4 Bid Structure<br />

Bidders must structure their Bid as follows:<br />

6.4.1.4 Description of Technical environment proposed –The technical bid should<br />

provide a detailed description of the IT environment required by the system,<br />

including the hardware and infrastructure requirements.<br />

6.4.1.5 Detailed Bill of Material using the Annexure ‘2 ’ format. This should be<br />

same as that given in the financial bid, but without the prices.<br />

6.4.1.6 Time Schedule – The bidder should provide the proposed time schedule of<br />

various activities of the project. However APMC, Azadpur has the discretion to<br />

ask the vendor to complete the project within a stipulated time period as<br />

decided by the APMC, Azadpur.<br />

6.4.1.7 Item Specification Compliance Statement – The bidder must provide<br />

compliance and remarks, if any, to all the items in the format provided in<br />

Annexure 3. The bidder should also provide a deviation statement, if any.<br />

6.4.1.8 Clause Compliance Statement – The bidder must provide compliance and<br />

remarks, if any, to all clauses in all sections of the RFP document. The bidder<br />

should also provide a deviation statement. If there are no deviations, then a nil<br />

deviation statement should be provided.<br />

6.4.1.9 Company profile: In the format provided in Annexure 6.<br />

6.4.1.10 Technical profile: In the format provided in Annexure 7.<br />

6.4.1.11 Letter of Authorization from the manufacturers (OEMs) of the items<br />

being supplied as this Tender.<br />

6.4.2 Commercial Bid<br />

Bidders must use this section to summarize the costs associated with the provision of<br />

the proposed solution. Full details of pricing mechanisms and licensing must be<br />

provided; together with the benefits and flexibility this would offer to APMC, Azadpur.<br />

The cost statement must include all aspects, for which, the bidder would be liable, if the<br />

bid is accepted. All costs must be supplied in the requested format in Annexure’ 2’.<br />

Bidder will also provide AMC for all Hardware equipment, Software components supplied<br />

under this RFP for a 3 year period. The year wise AMC charges for the next three<br />

years are to be quoted separately in the Commercial bid in the requested format in<br />

Annexure 2.<br />

The cost shall include those of software product updates / upgrades for a period of<br />

three years. Cost of all material, services and associated costs shall be priced in Indian<br />

Rupees only.<br />

6.5 Preliminary Process to be confidential<br />

Information relating to the examination, clarification and comparison of the proposals<br />

and recommendations for the award of the project shall not be disclosed to bidders or<br />

any other persons not officially concerned with such process until the award to the<br />

successful bidder has been announced.<br />

7 Bidding Process<br />

7.1 Proposal Submission, Format and Signing<br />

The bidder shall submit in a sealed cover consisting of 2 copies of the entire bid<br />

documents (sealed separately) subscribing on the right hand side top corner as “Original<br />

Proposal”, and “Duplicate Proposal”. Each of these copies of the proposals (Original and<br />

Duplicate) must consist of the following:<br />

i. Technical Proposal and Technical Proposal Letter: Super-scribing on the right<br />

hand side top of the cover as “Technical Proposal”. The bidder must also submit<br />

1 copy of the Technical Proposal in softcopy in a CD, which shall be enclosed in<br />

the envelope along with the hard copy of the Technical Proposal.<br />

ii.<br />

Commercial Proposal (under a separate sealed cover/ envelop): Super-scribing<br />

on the right hand side top of the cover as “Commercial Proposal”.<br />

iii.<br />

Earnest money and the cost of tender documents shall be placed in a separate<br />

envelope super-scribing on the right hand side top of the cover as “ E/M and<br />

C.T.D.”<br />

The original and all copies of the proposal, each consisting of the documents listed in<br />

the instructions, shall be typed or written in indelible ink and shall be signed by the<br />

bidder or a person or persons duly authorized to bind the Bidder to the contract.<br />

The authorization shall be indicated by written power of attorney and shall accompany<br />

the proposal.<br />

All pages of the proposal, except for appended printed literature, shall be initialed by a<br />

person or persons signing the bid.<br />

The outer and inner envelopes shall indicate the name and address of the bidder to<br />

enable the proposal to be returned unopened in the case it is declared “late” pursuant,<br />

and for matching purposes.<br />

If the outer envelope is not sealed and marked as above, APMC, Azadpur will bear no<br />

responsibility for the misplacement or premature opening of the Proposal.<br />

All the documents comprising the proposal shall be serially page-numbered, separately<br />

in respect of each volume.<br />

Only detailed complete proposals in the form indicated above received prior to the<br />

closing time and date of the proposals shall be taken as valid.<br />

Note: Vendors shall certify and mention explicitly that they are satisfying all the<br />

essential features/specifications mentioned in Annexure 3.<br />

7.2 Amendment of TENDER Document<br />

At any time during the bidding process APMC, Azadpur for any reason, whether at its<br />

own initiative or in response to a clarification requested by a Bidder, may modify the<br />

TENDER documents by amendment.<br />

All Bidders that have received the TENDER documents will be notified of the amendment<br />

and such modification will be binding on all bidders.<br />

In order to allow prospective bidders reasonable time in which to take the amendment<br />

into account in preparing their proposals, APMC, Azadpur at its discretion, may extend<br />

the deadline for the submission of proposals.<br />

7.3 Language of Proposal<br />

The Proposal and all correspondence and documents related to the Proposal exchanged<br />

by the Bidder shall be written in English language only. Supporting documents and<br />

printed literature furnished by the Bidder may, however, be in another language<br />

provided that they are accompanied by an accurate translation of the relevant passages<br />

in English language.<br />

7.4 Bid Security and Earnest Money Deposit (EMD)<br />

The bids should be submitted along with an EMD of Rs. 3,80,000/- (Rupees Three<br />

Lakh Eighty Thousand Only). Those bids without this EMD will be summarily<br />

rejected. The Demand Draft/ Banker’s Cheque should be drawn in favor of “APMC,<br />

Azadpur”.<br />

The EMD of those companies that are rejected during the technical evaluation stage will<br />

be returned within one week from the date of the decision. The EMD of the remaining<br />

companies will be returned after one week from the date of signing the agreement with<br />

the successful bidder.<br />

The EMD of the successful bidder shall be adjusted with the performance security as in<br />

section 11.3. However, if the successful bidder is unable to sign the contract within 15<br />

days from the award of the contract, the EMD will be forfeited and the award will be<br />

treated as withdrawn. APMC, Azadpur reserves the right to award the contract to the<br />

next lower bidder(s) who will also be required to sign the contract within 15 days from<br />

the award of the fresh contract.<br />

There will be two proposal – opening events, namely Technical Proposal Opening and<br />

Commercial Proposal Opening.<br />

The Commercial Proposals of only those Bidders, who are technically qualified, would be<br />

opened.<br />

8.3 Opening of Technical Proposals<br />

Proposals will be opened in the presence of the Bidder or the bidder's representatives. If<br />

the bidder’s representative is present at the event, he/ she shall sign an attendance<br />

register to acknowledge his/ her presence for the same.<br />

The bidders’ names, proposal’s modifications or deviations, withdrawals and such other<br />

details as the APMC, Azadpur officer at his discretion, may consider appropriate, will be<br />

announced at the opening.<br />

No proposal shall be rejected at proposal opening, except for late proposals, which shall<br />

be returned unopened.<br />

8.4 Clarification of Proposal<br />

During evaluation of the proposals, APMC, Azadpur may, at its discretion, ask the bidder<br />

for clarification of its proposal.<br />

8.5 Correction of errors<br />

Prior to the detailed evaluation, APMC, Azadpur will determine the substantial<br />

responsiveness of each bid to the bidding documents. For purposes of these clauses, a<br />

substantially responsive bid is one, which conforms to all the terms and conditions of the<br />

bidding documents without material deviations.<br />

APMC, Azadpur may, at its discretion, waive any minor infirmity or nonconformity or<br />

irregularity in a proposal, which does not constitute a material deviation, provided such<br />

waiver does not prejudice or affect the relative ranking of any bidder.<br />

If a bid is not substantially responsive, it will be rejected by APMC, Azadpur and may not<br />

subsequently be made responsive by the bidder by correction of the nonconformity.<br />

8.6 Evaluation Procedure<br />

Technical Proposals would be evaluated for compliance of the Bill of Materials and<br />

technical specifications as specified in the tender document.<br />

The bidders may have to make a presentation on their proposal, to an Evaluation<br />

Committee to be constituted for the purpose. An indicative agenda of the presentation<br />

and the evaluation criteria for the same is mentioned in Annexure 4.<br />

The Commercial Proposals of only the technically qualified bidders will be opened for<br />

further processing.<br />

9 Commercial Bid Evaluation<br />

9.1 Venue of Opening of Commercial Proposals<br />

The venue of opening of Commercial Proposals is as given below:<br />

day/specified date.<br />

9.2 Opening of Proposals<br />

Proposals will be opened in the presence of the Bidder or the bidder's representatives. If<br />

the bidder’s representative is present at the event, he/ she shall sign an attendance<br />

register to acknowledge his/ her presence for the same.<br />

The bidders’ names, proposal’s modifications or deviations, withdrawals, and such other<br />

9.3 Clarification of Proposals<br />

During evaluation of the proposals, APMC, Azadpur may, at its discretion, ask the bidder<br />

for clarification of its Commercial Proposal.<br />

If the commercial quote of a successful bidder is substantially below the Evaluation<br />

Committee’s estimate for the contract, the bidder may be required to produce detailed<br />

price break-up to demonstrate the internal consistency and justification/ reasonability of<br />

those prices.<br />

After evaluation of the price analysis, the Evaluation Committee may require that the<br />

amount of performance security be increased at the expense of the successful bidder to<br />

a level sufficient to protect APMC, Azadpur against any financial loss in the event of<br />

default of the successful bidder under the contract.<br />

9.4 Correction of errors<br />

If there is a discrepancy between the quoted rate in figures and the quoted rates in<br />

words, quoted rate in words will take precedence.<br />

If there is a discrepancy between the unit rate and the total price that is obtained by<br />

multiplying the unit rate and the quantity, the unit rate shall prevail and the total price<br />

shall be corrected, unless in the opinion of the evaluation committee there is an obvious<br />

misplacement of the decimal point in the unit rate in which case the total cost as quoted<br />

will govern and the unit rate are corrected.<br />

9.5 Evaluation Procedure and Criteria<br />

The evaluation will be done based on the total cost, which would be the total payouts<br />

including all taxes, duties and levies for the Supply of Products Implementation, Support<br />

and Maintenance costs.<br />

The bidders have to agree to all the terms and conditions mentioned in the tender. Any<br />

changes in the scope of work may lead to elimination. Bidders are required to submit<br />

signed and stamped copy of this tender document as a conformance to the tender scope<br />

of work<br />

Commercial evaluation would be done based on the commercial quote being made by<br />

the bidders. For evaluation purposes the following method will be used:<br />

• Annual Maintenance Amounts = Y1 (Year 1), Y2 (Year 2) and Y3 (Year 3)<br />

The bidder with the lowest commercial quote would be considered as the successful<br />

9.6 Acceptance or Rejection of Proposals<br />

APMC, Azadpur reserves the right to accept or reject any proposal, and to annal the<br />

bidding process and reject all bids at any time prior to award of contract, without<br />

thereby incurring any liability to the affected.<br />

Note: Vendors shall quote for all the items mentioned in the Annexure 2 else<br />

APMC, Azadpur reserve the right to reject the bid.<br />

10 Award of Contract<br />

10.1 Notification of Award<br />

Prior to expiry of the period of the proposal validity, APMC, Azadpur will notify the<br />

successful bidder in writing that its proposal has been accepted.<br />

Upon the successful bidder’s furnishing of implementation/ performance security, APMC,<br />

Azadpur will promptly notify each unsuccessful bidder and will discharge their bid<br />

security (EMD).<br />

10.2 Signing of Contract<br />

At the same time as APMC, Azadpur notifies the successful bidder that its proposal has<br />

been accepted, APMC, Azadpur will send the bidder the Contract Form, incorporating all<br />

agreements between the parties.<br />

On receipt of the Contract Form, the successful bidder shall sign and date the contract<br />

and return it to APMC, Azadpur.<br />

Failure of the successful bidder to sign the contract proposed through the award letter,<br />

shall constitute sufficient grounds for the annulment of the award, in which event APMC,<br />

Azadpur may make the award to the next lowest bidder or call for new proposals.<br />

10.3 Implementation/ Performance Security<br />

On receipt of notification of award from APMC, Azadpur the successful bidder shall<br />

furnish the implementation/ performance security. Successful bidder shall deposit the<br />

Performance Security equivalent to 5% of the total cost of work within 15 days of the<br />

receipt of notification of award from APMC, Azadpur. The bidder will deposit the balance<br />

amount after adjusting with the EMD as performance security amount. The Bank<br />

Guarantee should have a validity of 120 days. Failing to deposit the performance<br />

guarantee shall make the successful bidder liable for forfeiture of the earnest money<br />

deposited by them and their tender shall be rejected.<br />

The bidder shall not seek any interest or appreciation of the Performance Security<br />

amount or the EMD amount deposited with APMC, Azadpur.<br />

11 Legal Conditions of the Contract<br />

11.1 Confidentiality<br />

11.1.1 The Bidder shall keep confidential any information related to this tender with the<br />

same degree of care as it would treat its own confidential information. The<br />

Bidders shall note that the confidential information will be used only for the<br />

purposes of this tender and shall not be disclosed to any third party for any<br />

reason whatsoever.<br />

11.1.2 As used herein, the term “Confidential Information” means any information,<br />

including without intimation, information created by or for the other party,<br />

whether written or oral, which relates to internal controls, computer or data<br />

processing programs, algorithms, electronic data processing applications,<br />

routines, subroutines, techniques or systems, or information concerning the<br />

business or financial affairs and methods of operation or proposed methods of<br />

operation, accounts, transactions, proposed transactions or security procedures<br />

of either party or any of its affiliates, or any client of either party, except such<br />

information which is in the public domain at the time of its disclosure or<br />

thereafter enters the public domain other than as a result of a breach of duty on<br />

the part of the party receiving such information. It is the express intent of the<br />

parties that all the business process and methods used by the Bidder in<br />

rendering the services hereunder are the Confidential Information of the Bidder.<br />

11.1.3 At all times during the performance of the Services, the Bidder shall abide by all<br />

applicable APMC’s security rules, policies, standards, guidelines and procedures.<br />

The Bidder should note that before any of its employees or assignees is given<br />

access to the Confidential Information, each such employee and assignees shall<br />

agree to be bound by the term of this tender and such rules, policies, standards,<br />

guidelines and procedures by its employees or agents.<br />

11.1.4 The Bidder should not disclose to any other party and keep confidential the<br />

terms and conditions of this Contract agreement, any amendment hereof, and<br />

any Attachment or Annexure hereof.<br />

The obligations of confidentiality under this section shall survive rejection of the<br />

contract.<br />

11.2 Prices<br />

11.2.1 All prices quoted by the bidder should be the net price inclusive of all applicable<br />

taxes, local taxes, entry tax, work contract tax, sales tax, levies, octroi, duties<br />

etc.<br />

11.2.2 The price quoted in the tender should be inclusive of all other charges such as<br />

Forwarding, Packaging, Freight, Insurance, Importation, Customs, Clearance,<br />

Installation at the sites, transportation etc.<br />

11.2.3 Patent rights and royalty: Royalties and fees for patents covering materials,<br />

articles, equipments or processes used in the works shall be deemed to have<br />

been included in the contract price. The bidder shall satisfy all demands that may<br />

be made at any time for such royalties of fees and he alone shall be liable for<br />

any damages or claims for such patent infringements and shall keep APMC,<br />

Azadpur indemnified in that regard.<br />

11.2.4 Prices quoted shall remain firm and fixed and no escalation due to variation in<br />

the market price or because of any other reasons will be allowed during the<br />

tenure of the contract.<br />

11.2.5 In the case of revision of Statutory Levies/Taxes during the finalization period of<br />

tender, the APMC, Azadpur reserves the right to ask for reduction in prices.<br />

11.2.6 Prices once fixed will remain valid during the scheduled delivery period.<br />

11.2.7 Any increase in taxes and other statutory duties/levies/rules after the expiry of<br />

the delivery date shall be to the Bidder’s account. However the Bidder shall pass<br />

on benefit of any decrease in these taxes/duties to the APMC, Azadpur.<br />

11.2.8 The prices charged for the services under this contract by the Bidder shall in no<br />

event exceed the lowest prices at which the Bidder sells the services or offers of<br />

identical description to any persons /organizations including the APMC, Azadpur<br />

or any department of the Central or State government or any statutory<br />

undertaking of the Central or State government as the case may be during the<br />

currency of this contract. If at a later stage it is detected that the Vendors have<br />

not complied with this clause, then APMC is liable to take any suitable action<br />

including cancellation of contract.<br />

11.2.9 If any time during the currency of the contract, the Bidder reduces the sale price,<br />

sells or offers to sell such services to any person / organization including the<br />

APMC, Azadpur or any department of a State or Central government or any<br />

department of a State government or statutory undertaking of the State and<br />

Central government as the case may be at a price lower than the price<br />

chargeable under this contract, he shall forthwith notify such reduction of sale or<br />

offer to sell to the APMC, Azadpur and the price payable under this contract for<br />

the services installed after the date of coming into force of such reduction of sale<br />

or offer to sell shall stand correspondingly reduced.<br />

If the price breakup is given by the bidder for incidence of taxes & duties – sales tax,<br />

custom duties etc., only then the statutory variations on account of the said duty can be<br />

reimbursed. In such cases the bidder will be required to provide the documentations in<br />

support of the actual as against the anticipated value allowed/quoted in the tender.<br />

11.3 APMC, Azadpur’s Rights<br />

11.3.1 The APMC, Azadpur reserves the right to make changes within the scope of the<br />

Contract at any point of time.<br />

11.3.2 The APMC, Azadpur reserves the right to accept or reject any or all bids, and to<br />

annul the Tender process at any time prior to the Award of Letter of Intent. In<br />

this case, the APMC, Azadpur shall not incur any liability to the affected Bidders<br />

or any obligation to inform the affected Bidders about reasons for such action.<br />

11.3.3 The APMC, Azadpur reserves the right to order for increased or decreased<br />

quantity of products/equipments and services specified in the sections Bill of<br />

Materials section of this tender document without any change in unit price of the<br />

offered quantity at the time of award of letter of intent.<br />

11.3.4 The APMC, Azadpur reserves the right to award the repeat orders for any new<br />

additional sites up to the Contract Validity Period from the date of award of letter<br />

of intent taking into account the same unit price for individual items as<br />

mentioned in the Price Schedule Forms including all taxes, levies, duties, octroi<br />

or VAT, etc. as the case may be.<br />

11.4 Subcontracting By the Bidder<br />

11.4.1 The Successful Bidder would provide all the services through its own company.<br />

If sub contracting for specialized work is required, the Successful Bidder will take<br />

prior permission from APMC. Under all circumstances, the value of the works<br />

sub-contracted by the Successful Bidder should not exceed 25% of the Services<br />

Prices.<br />

11.4.2 In any case, the Successful Bidder shall be solely responsible to ensure<br />

compliance of all obligations under the contract.<br />

11.5 Specifications<br />

11.5.1 The Products/equipment supplied under this contract shall conform to the<br />

Technical Specifications given in this tender under Annexure-3.<br />

11.6 APMC, Azadpur’s Right to Inspect Goods<br />

11.6.1 The APMC, Azadpur and his authorized representative shall have the right to<br />

inspect and test the goods for their conformity to the specifications laid in the<br />

tender document under the Annexure-3. If the APMC, Azadpur decides to<br />

conduct such tests on the premises of the Bidder or its subcontractor(s), all<br />

facilities and assistance like testing instruments and other related documents<br />

shall be furnished to the inspectors at no cost to the APMC, Azadpur.<br />

11.6.2 If any inspected materials fail in the test to conform to the specifications laid in<br />

the tender document, the APMC, Azadpur may reject them and the supplier shall<br />

either replace or do the needful to the rejected materials so that the rejected<br />

material will meet the specification requirements at no cost to the APMC,<br />

Azadpur.<br />

11.6.3 Appeal: If the bidder prefers appeal against the decision of the Inspecting<br />

Authority for the rejection of any work as not being in accordance with the<br />

contract, he shall file such appeal to the Vice Chairman, Delhi Agricultural<br />

Marketing Board, within seven days after the decision of the Inspection<br />

Authority. If an appeal is so preferred, the decision of Vice-Chairman, Delhi<br />

Agricultural Marketing Board shall be final and conclusive.<br />

11.6.4 The Bidder is not released in any way from any warranty or other obligations<br />

under the contract in pursuant to clauses 11.2 to 11.6<br />

11.7 Delivery of Materials and Related Documentation<br />

11.7.1 Delivery, Installation and Commissioning of the materials and provision of<br />

documents, shall be made by the Bidder in accordance with the terms specified<br />

by the APMC, Azadpur in its Bill of Materials Section and Technical Specification<br />

Section. The materials shall remain at the risk of the supplier until the final<br />

acceptance sign-off of the installed network has been completed.<br />

11.7.2 The Successful Bidder shall ensure that all Products/equipment is supplied within<br />

the Implementation schedule mentioned in the tender document or any<br />

subsequent document as the case may be.<br />

11.7.3 Compensation for Delay: If the successful bidder fails to complete the supply,<br />

installation, commissioning and testing, training and satisfactory performace<br />

demonstration of the equipments within the Implementation Schedule under the<br />

contract, the bidder shall pay to APMC, Azadpur, without prejudice to any other<br />

right or remedy as may be available to the APMC, Azadpur an agreed<br />

compensation amount of 1 % on the total cost of item awarded per week or part<br />

thereof subject to a maximum of 10 % of total value of item.<br />

11.7.4 The Successful Bidder, at no extra cost to APMC, shall provide all necessary<br />

Technical Assistance, if any, for the installation, commissioning and Maintenance<br />

of the Products/equipment during the factory acceptance tests and final<br />

acceptance tests.<br />

11.7.5 The Successful Bidder shall submit any Software Kits (CDs), License Papers,<br />

Warranty Papers and any other relevant documentation related to the supplied<br />

products to the APMC, Azadpur along with the supplied products/equipment.<br />

11.8 Incidental Services<br />

11.8.1 The Bidder may be required to provide all of the following services:<br />

a) Performance, Supervision or maintenance and/or repair of the supplied<br />

Goods, for a period of time agreed by the parties.<br />

b) These incidental services shall not relieve the Bidder of any warranty<br />

obligations under this tender.<br />

11.9 Warranty<br />

11.9.1 The Bidder is required to provide warranty valid for 36 months for all supplied<br />

hardware and software, Structured LAN cabling, Power cabling, etc.<br />

11.9.2 The Bidder shall warrant that all the equipment supplied under the contract is<br />

newly manufactured and shall have no defect arising out of design, materials or<br />

workmanship or from any act or omission of the Bidder, that may develop under<br />

normal use of the supplied equipments in the conditions prevailing in Delhi.<br />

11.9.3 The Bidder shall warrant that the services provided under the contract shall be as<br />

per the Service Level Agreement (SLA) between APMC and the Bidder, which will<br />

be decided after selection of the successful bidder.<br />

11.9.4 This warranty, for all equipments, shall remain valid for 36 months after the<br />

complete installation and final acceptance sign-off of the project. The installation<br />

will be deemed incomplete if any component of the equipment or any<br />

documentation/media is not delivered or is delivered and not installed and/or not<br />

operational or not acceptable to APMC after final acceptance testing.<br />

11.9.5 APMC shall promptly notify the Bidder about any claims arising under this<br />

warranty. Upon receipt of such notice, the bidder shall<br />

repair/replace/reconfigure/re-provision the defective equipment or service.<br />

11.9.6 If the bidder, having been notified, fails to remedy the defect(s) within the<br />

period specified in the Service Level Agreements, APMC may proceed to take<br />

such remedial action as may be necessary at the Bidder’s risk and expense and<br />

without prejudice to any other rights, which APMC may have against the Bidder<br />

under the contract.<br />

11.9.7 The bidder shall have to submit a written warranty, on a non-judicial stamp<br />

paper incorporating provision of the above clauses.<br />

11.10 Authority of person signing the contract on behalf of the Bidder<br />

11.10.1 The person signing the tenders and other documents on behalf of the<br />

bidder should be legally authorized by the bidder for this purpose. A<br />

documentary proof in support of this shall be enclosed along with.<br />

11.11 Settlement of Disputes and Arbitration<br />

Except where otherwise provided in the contract all questions and disputes relating to<br />

the meaning of the specifications, design, and instructions here-in-before mentioned and<br />

as to the quality of workmanship or materials used in the work or as to any other<br />

question, claim, right, matter or thing whatsoever in any way arising out of or relating to<br />

the contractor, designs, drawings, specifications, estimates, instructions, orders or these<br />

conditions or otherwise concerning the works or the execution or failure to execute the<br />

same whether arising during the progress of the work or after the cancellation,<br />

termination, completion or abandonment thereof shall be dealt with as mentioned<br />

hereinafter.<br />

11.11.1<br />

A) If the agency considers any work awarded to him to be outside the requirements of<br />

the contract, or it disputes any drawings, record or decision given in writing by the<br />

officer-in-charge on any matter in connection with or arising out of the contract for<br />

carrying out the work, to be unacceptable then he shall within 15 days of such dispute<br />

request the Secretary, APMC, MNI, Azadpur, in writing for written instruction or decision.<br />

Thereupon, the Secretary, APMC, MNI, Azadpur, shall give his written instructions or<br />

decision within a period of one month from the receipt of the bidder’s letter.<br />

B) If the Secretary. APMC, MNI, Azadpur, fails to give instructions or decision in writing<br />

within the stipulated period or the bidder is not satisfied with the instructions or decision<br />

of the Secretary, APMC, MNI, Azadpur, the bidder may within 15 days of receipt of the<br />

Secretary, APMC, MNI, Azadpur, decision, prefer an appeal to the Vice-Chairman, DAMB<br />

who shall offer the bidder an opportunity to be heard, if the latter so desires, and to<br />

offer evidence in support of his appeal. If the bidder is not satisfied with the decision of<br />

appellate authority, the bidder shall within a period of 30 days from the receipt of the<br />

such decision, give notice to the Vice-Chairman, DAMB for appointment of arbitrator<br />

failing which, the said decision shall be final, binding and conclusive and not referable to<br />

adjustment by the arbitrator.<br />

11.11.2<br />

A) Except where the decision has become final, binding and conclusive in terms of sub<br />

para 11.11.1 B) above disputes or differences shall be referred for adjudication through<br />

arbitration by a sole arbitrator appointed by the Vice-Chairman, DAMB. If the arbitrator<br />

so assigned is unwilling or unable to act or resigns his appointment or vacates his office<br />

due to any reason whatsoever may be another sole arbitrator shall be appointed in the<br />

manner aforesaid. Such person shall be entitled to proceed with the reference from the<br />

stage at which it was left by his predecessor.<br />

B) It is a term of this contract that the party invoking arbitration shall give a list of<br />

disputes with amount claimed in respect of each such dispute along with the notice for<br />

appointment of arbitrator and giving reference to the rejection of the appeal by the<br />

Vice-Chairman, DAMB.<br />

C) It is also a term of this contract that no person other than a person appointed by the<br />

Vice-Chairman, DAMB as aforesaid should act as arbitrator and if for any reason that is<br />

not possible, the matter shall not be referred to arbitration at all.<br />

D) It is also a term of this contract that if the bidder does not make any demand for<br />

appointment of arbitrator in respect of any claims in writing as aforesaid within 120 days<br />

of receiving the intimation from the Engineer-in-charge that the final bill is ready for<br />

payment, the claim of the contractor shall be deemed to have been waived and<br />

absolutely barred and the APMC, MNI, Azadpur shall be deemed to have discharged and<br />

released of all liabilities under the contract in respect of these claims.<br />

E) The arbitration shall be conducted in accordance with the provisions of the Arbitration<br />

and Conciliation Act, 1996 (26 of 1996) or any statutory modifications or re-enactment<br />

thereof and the rules made there under, for the time being in force shall apply to the<br />

arbitration proceeding under this clause.<br />

F) It is also a term of this contract that the arbitrator shall adjudicate on only such<br />

disputes as are referred to him by the appointing authority and give separate award<br />

against each dispute and claim referred to him and in all the cases where the total<br />

amount of the claims by any party exceeds Rs. 1,00,000/-, the arbitrator shall give<br />

reasons for the award.<br />

G) It is also a term of the contract that any fees payable to the arbitrator shall be paid<br />

equally by both of the parties.<br />

H) It is also a term of the contract that the arbitrator shall be deemed to have entered<br />

on the reference from the date he issued notice to both of the parties calling them to<br />

submit their statement of claims and counter statement of claims. The venue of the<br />

arbitration shall be such place as may be fixed by the arbitrator. The fees, if any, of the<br />

arbitrator if required to be paid before the award is made and published, be paid half<br />

and half by each of the parties. The cost of the reference and of the award (including<br />

the fees, if any, of the arbitrator) shall be in the discretion of the arbitrator who may<br />

direct to that any by whom and in what manner, such costs or any part thereof shall be<br />

paid.<br />

11.12 Insolvency and Breach of Contract<br />

The APMC, Azadpur may, at any time, by notice in writing summarily determine the<br />

contract in any of the following events,<br />

11.12.1 If the bidder being a company is wound up voluntarily or by the order of<br />

a court or a Receiver, liquidator or Manager on behalf of the Debenture-holders<br />

is appointed or circumstances shall have arisen which entitles the court or<br />

Debenture-holder to appoint a Receiver, Liquidator or Manager; or;<br />

11.12.2 If the bidder commits any breach of the contract not herein specifically<br />

provided for.<br />

Provided that such determination shall not affect any right of action or remedy which<br />

shall have accrued or shall accrue thereafter to APMC, Azadpur and provided also the<br />

bidder shall be liable to pay to APMC, Azadpur for extra expenditure incurred there to.<br />

The bidder shall under no circumstances be entitled to any gain on the re-purchase.<br />

11.13 Defect and Jurisdiction of contract<br />

11.13.1 The contract shall be considered as having come into force from the date<br />

of issue of letter of the award of the contract by APMC, Azadpur.<br />

11.13.2 The law applicable to this contract shall be the law enforceable in India<br />

and the Courts of Delhi shall have the exclusive jurisdiction in all matters arising<br />

under the contract.<br />

11.14 Force Majeure Clause<br />

11.14.1 Force Majeure is herein defined as any clause which is beyond the control<br />

of the Bidder or APMC, Azadpur as the case may be and which they could not<br />

foresee or with a reasonable amount of diligence could not have foreseen and<br />

which substantially affect the performance of the contract, such as:<br />

11.14.1.1 Natural calamities, including but not limited to floods, riots, earthquakes<br />

and epidemics, etc.<br />

11.14.1.2 Acts of any Govt. including but not limited to war (declared or<br />

undeclared) mutiny, quarantines and embargoes etc.<br />

11.14.2 The bidder or APMC, Azadpur shall not be liable for delay in performing<br />

his obligations resulting from any force majeure clause as referred to and or<br />

defined above. The date of completion will subject to herein after provided, be<br />

extended by a reasonable time.<br />

11.14.3 If such force majeure events continued for more than three months, the<br />

APMC, Azadpur and the bidder shall decide the future course of action including<br />

the termination of the contract.<br />

Note: - If there is an additional requirement of hardware/ software, APMC may decide to adopt<br />

the rates finalized in this tender for such additional requirement also in accordance with terms<br />

and conditions to be decided subsequently<br />

12 General Terms and Conditions<br />

12.1 The bidder must study the terms and conditions before responding to the tender<br />

document.<br />

12.2 The tenders of the bidders who resort to canvassing of any kind for making the<br />

award of work in his favor will be liable to be rejected.<br />

12.3 Other requirements<br />

12.3.1 The successful bidder has to give details in respect of land, electricity etc.<br />

required for commissioning and functioning of the system, well in advance.<br />

12.4 Requirements from APMC, Azadpur<br />

12.4.1 If any material or services are to be provided by the APMC, Azadpur for<br />

successful commissioning of the system then this should be clearly specified by<br />

the bidder at the time of tendering only in Technical Bid under a separate section<br />

named “Requirements from APMC, Azapdpur”.<br />

12.5 Time being essence of the contract<br />

12.5.1 The time and date of completion of the supply as stipulated in the Purchase<br />

Order shall be essence of the contract.<br />

12.5.2 The bidder shall submit a detailed Time Schedule within one week of the<br />

placement of order indicating number of activities covering various key phases<br />

such as procurement, dispatch etc. The bidder shall discuss such Time Schedule<br />

so submitted with APMC, Azadpur and the same after revision by the APMC,<br />

Azadpur, if any, shall be reviewed and periodic review reports shall be submitted<br />

by the bidder to the APMC, Azadpur.<br />

12.6 Responsibility for completeness<br />

12.6.1 Any component or part of it or accessories not mentioned in the specification but<br />

which are usual or necessary to be provided by the bidder without any extra<br />

charge to make the equipment complete in all respect to meet the specifications.<br />

13 Miscellaneous<br />

13.1 Corrupt, fraudulent and unethical practices<br />

“Corrupt Practice” means the offering, giving, receiving or soliciting of any thing of<br />

value to influence the action of a APMC, Azadpur official in the process of contract<br />

execution.<br />

“Fraudulent Practice” means a misrepresentation of facts in order to influence a<br />

tendering process or the execution of a contract detrimental to the interests of APMC,<br />

Azadpur and includes collusive practice among Bidders (prior to or after proposal<br />

submission) designed to establish prices at artificial non-competitive levels and to<br />

deprive APMC, Azadpur of the benefits of free and open competition.<br />

“Unethical Practice” means any activity on the part of bidder, which tries to circumvent<br />

tender process in any way. Unsolicited offering of discounts, reduction in financial bid<br />

amount, upward revision of quality of goods, etc. after opening of first bid will be<br />

treated as unethical practice.<br />

APMC, Azadpur will reject a proposal for award and also may debar the bidder for future<br />

tenders in APMC, Azadpur if it determines that the bidder has engaged in corrupt,<br />

fraudulent or unethical practices in competing for, or in executing a contract.<br />

13.2 Notices<br />

Any notice given by one party to the other pursuant to this contract shall be sent to the<br />

other party in writing or by telex, email, cable or facsimile to the other party’s address,<br />

and confirmed in writing by the other party.<br />

A notice shall be effective when delivered or tendered to other party whichever is<br />

earlier.<br />

13.3 Use of documents and Information<br />

The Bidder shall not, without prior written consent from APMC, Azadpur, disclose/ share/<br />

use the TENDER document, contract, or any provision thereof, or any specification, plan,<br />

drawing, pattern, sample or information furnished by or on behalf of APMC, Azadpur in<br />

connection there with, to any person other than a person employed by the Bidder in the<br />

performance of the contract.<br />

The Bidder shall not, without prior written consent of APMC, Azadpur, make use of any<br />

document or information made available for the project, except for purposes of<br />

All project related document (including this TENDER document) issued by APMC,<br />

Azadpur, other than the contract itself, shall remain the property of APMC, Azadpur and<br />

shall be returned (in all copies) to APMC, Azadpur on completion of the Bidder’s<br />

performance under the contract if so required by APMC, Azadpur.<br />

13.4 Currency of the proposal<br />

Currency of the Proposal should be in Indian Rupees only. If the rates are not quoted in<br />

Indian Rupees, then rate prevalent on the date of opening the technical bid which would<br />

also be the last day for submission of the tender, will be the rate used for evaluation,<br />

contracting and for payments.<br />

13.5 Period of proposal validity<br />

The proposal shall be valid for 180 days after date of opening of the proposals. If the<br />

bidder withdraws his tender before the said period or makes any modification in the<br />

terms and conditions of the tender, then APMC, Azadpur shall without prejudice to any<br />

other right or remedy be at liberty to forfeit the entire amount of the earnest money<br />

deposited alongwith the tender and to reject the tender.<br />
